1. Call option granted to Resource Co. to acquire units of limited partnership did not give rise to an at-risk amount reduction under s. 96(2.2)(d) to the limited partners of that partnership or of the limited partners of the "top-tier" partnership.
2. Indemnities given to Manager of limited partnership did not give rise to at-risk reduction under s. 96(2.2)(d).
3. Conversion of working interests earned under farm-in arrangements to net profits interests would not likely be considered matchable expenditures under 18.1.

Reasons:
1. Exercise price will be no greater than the fair market value of the units of the limited partnership subject to the option.
2. Consistent with previous positions, s. 96(2.2)(d) is not to be applied to indemnities inherent in the contractual obligations of parties.
3. Net profits interests acquired on the conversion will likely be Canadian resource properties and therefore not included within "a right to receive production" in s. 18.1.
4. Capital contributed to partnerships will be part of the cost of the partners' partnership interest or added to the adjusted cost base of the partnership interest under s. 53(1)(e)(iv).

Principal Issues: A rental property was destroyed by fire in 2002. The insurance company made an initial payment in 2003 and a final payment in 2004. The total proceeds of disposition received from the insurance company exceed the original cost of the property. The rebuilding of the site is to be completed in 2005 or 2006. Whether the replacement property provisions apply in this situation to allow an individual taxpayer a deferral of the capital gain.

Position: Question of fact. The issue is what day the taxpayer agreed to the full amount of compensation for the property.

Reasons: If no claim, suit, appeal or other proceeding has been taken before a tribunal or court of competent jurisdiction within 2 years from the date of the destruction of the property, the earliest day of deemed disposition would be the earlier of the day the amount of compensation is agreed to and 2 years from the date of the fire. The replacement rental property must be acquired within 2 years of the deemed involuntary disposition in order to qualify for a deferral of income or capital gains under the replacement property rules

Reasons:
1) Employer does not provide in-house childcare services. The payment is to a third party. Paragraph 6(1)(a) of the Act includes in income the value of other benefits of any kind whatever.
2) Paragraph 18(1)(a) of the Act requires that an outlay or expense be incurred for the purpose of gaining or producing income in order to be deductible. The Supreme Court of Canada determined in the case of Canderel Ltd. v The Queen that a taxpayer must ascertain whether the deduction of an expense is consistent with the ordinary principles of accepted business practices. Employee benefits are generally considered deductible.

Lorsque cette dépense est engagée ou effectuée en vue de tirer un revenu d'une entreprise, cette dépense en capital peut se qualifier à titre de " dépense en capital admissible " à l'égard de laquelle une déduction peut être réclamée en vertu de l'alinéa 20(1)b) L.I.R.
2. Du point de vue de l'ex-employé, la somme reçue pour une liste de clients et pour un engagement de non-conccurrence est généralement réputée être une rémunération en vertu du paragraphe 6(3) L.I.R.

Raisons: 1. Cette dépense procure à l'employeur un avantage durable.
2. La somme reçue pour l'engagement de non-concurrence est visée par l'alinéa 6(3)e) L.I.R. Même si la somme reçue comprend un montant pour la liste de clients dont la disposition pourrait constituer la disposition d'un bien et générer un gain, la jurisprudence à l'égard de sommes reçues par un employé de son employeur ou ex-employeur dans de telles situations favorise l'application du paragraphe 6(3) L.I.R.
