Est-ce que l’article 80 de la Loi s’applique à la date où le débiteur émet des actions en paiement partiel de la dette ou à la date où le solde de la dette est payée?

RAISON POUR POSITION ADOPTÉE:
Au moment de la quittance partielle et de la modification du prêt, il y a pas novation de la dette en vertu du Code civil du Québec. La dette n’est donc pas réglée ou éteinte.

Gain sur règlement de dette
La présente fait suite à votre note de service du 29 mars 1999 par laquelle vous nous demandez si le gain sur règlement de dette se produit à la date de la quittance partielle ou à la date où le solde de la dette sera payé. Notre compréhension de la situation est la suivante.

Votre position
Basé sur le paragraphe 7 du IT-448, vous êtes d’avis qu’il y a règlement de dette en XXXXXXXXXX puisque les modifications effectuées en XXXXXXXXXX au contrat liant XXXXXXXXXX sont considérées comme ayant des répercussions tellement fondamentales sur la participation économique du détenteur qu’elle entraînent une disposition.
Les dispositions de l’article 80 de la Loi de l’impôt sur le revenu (ci-après la “Loi”) s’appliquent à une dette commerciale réglée ou éteinte. Lors de la table ronde de 1993 (Question 30), le Ministère a énoncé que s’il n’y a pas extinction ou règlement de la dette en droit, le paragraphe 80(1) de la Loi ne s’appliquera pas. Cette position s’applique au nouvel article 80 de la Loi. Le Ministère a aussi énoncé lors de cette table ronde qu’il réexaminait sa position énoncée au paragraphe 7 du Bulletin d’interprétation IT-448. Le Ministère a terminé son examen et a énoncé sa position dans la Nouvelles Techniques no 14.
À cet égard, la position du Ministère est maintenant que si une dette est renégociée autrement que selon ses conditions initiales, il faut se conformer au droit de l’administration compétente pour déterminer si la modification des conditions de cette dette constitue un remplacement de la dette par une autre.
Au Québec, si la modification des conditions de la dette initiale est telle qu’elle entraîne une novation (acquittement de la dette et son remplacement par une autre) selon le droit pertinent en matière de contrats, il est raisonnable de considérer la dette initiale comme ayant fait l’objet d’une disposition aux fins de l’impôt sur le revenu.
En vertu de l’article 1660 du Code Civil du Québec, “la novation s’opère lorsque le débiteur contracte envers son créancier une nouvelle dette qui est substituée à l’ancienne, laquelle est éteinte, ou lorsqu’un débiteur est substitué à l’ancien, lequel est déchargé par le créancier; la novation peut alors s’opérer sans le consentement de l’ancien débiteur”. En outre, l’article du Code Civil du Québec 1601 prévoit que la novation ne se présume pas, l’intention de nover doit être évidente.

En outre, la dette n’est pas réglée ou éteinte à ce moment. Par conséquent, nous sommes d’avis que l’article 80 de la Loi n’est pas applicable en date du XXXXXXXXXX mais le sera au moment du règlement final.
Pour votre information, une copie de cette lettre sera épurée selon les critères contenus dans la Loi sur l’accès à l’information et sera disponible dans la Banque d’accès à la législation (en anglais: Legislative Access Database-(LAD)) qui se trouve sur l’ordinateur central du Ministère. Une copie de la version épurée sera également distribuée aux éditeurs fiscaux commerciaux pour insertion dans leur banque de données. Le processus d’épuration permet d’enlever toute information qui n’a pas à être dévoilée y compris toute information qui permettrait l’identification du contribuable. Si votre client demande une copie de cette lettre, vous pouvez lui remettre une copie épurée de la lettre telle qu’elle se trouve dans la Banque d’accès à la législation. Le client peut aussi demander une copie de la lettre épurée en vertu des critères de la Loi sur la protection des renseignements personnels sur laquelle apparaît le nom du contribuable. Toute demande à cet effet devrait être faite auprès de Jackie Page au 819 994-2898. La copie épurée selon les critères de la Loi sur la protection des renseignements personnels vous sera envoyée pour que vous puissiez la remettre à votre client.
