Objet: Coopérative de travailleurs
La présente est en réponse à votre lettre du 3 février 1999 par laquelle vous nous demandez la position du Ministère relativement à divers aspects fiscaux d'une coopérative de travailleurs.
Une société coopérative, au sens du paragraphe 136(2) de la Loi de l'impôt sur le revenu (ci-après la "Loi"), s'entend d'une société qui a été constituée sous le régime d'une loi fédérale ou provinciale portant constitution de la société ou relative à la constitution de sociétés coopératives destinées, entre autres, à rendre des services à ses membres ou clients. En outre, la coopérative doit rencontrer les exigences a) à c) du paragraphe 136(2) de la Loi.
Suite à votre demande, le Ministère a réexaminé la position émise dans le dossier 9504967 auquel vous référiez, et il est maintenant d'avis qu'une coopérative de travailleurs rend des services à ses membres lorsqu'elle emploie ses membres directement ou indirectement. Par conséquent, la coopérative de travailleurs qui rencontre les exigences a) à c) du paragraphe 136(2) de la Loi peut être une société coopérative au sens de ce paragraphe. En outre, les parts détenues par les membres d'une telle coopérative se qualifient à titre d'actions au sens de la définition d'action au paragraphe 248(1) de la Loi qui prévoit que les parts d'une société coopérative au sens du paragraphe 136(2) de la Loi sont des actions pour l'application de la Loi.
Tel que défini au paragraphe 248(1) de la Loi, un actionnaire comprend un membre ayant droit de recevoir un dividende. Donc, les membres d'une coopérative de travailleurs qui ont droit de recevoir un dividende seraient des actionnaires.
Concernant les intérêts versés sur les parts privilégiées d'une telle coopérative, nous sommes d'avis qu'un montant payé annuellement au détenteur d'une part privilégiée proportionnellement entre les détenteurs de parts privilégiées, lequel est payé à titre de rendement sur le capital investi, serait imposable à titre de dividende en vertu de l'alinéa 12(1)j) de la Loi et ne serait pas déductible en vertu de l'alinéa 20(1)c) de la Loi.
L'impôt de la Partie VI.1 s'applique sur des dividendes imposables versés sur des actions privilégiées imposables autres qu'un dividende exclus. Comme les parts privilégiées sont des actions au sens du paragraphe 248(1) de la Loi, l'impôt de la Partie VI.1 pourrait s'appliquer si ces parts privilégiées sont des actions privilégiées imposables telles que définies au paragraphe 248(1) de la Loi.
Relativement à la déductibilité des intérêts payés ou payables au cours d'une année sur de l'argent emprunté pour acquérir des parts privilégiées d'une coopérative de travailleurs, nous sommes d'avis, basé sur notre position concernant les actions privilégiées, qu'ils seront déductibles jusqu'à concurrence du total des dividendes reçus sur les actions plus le montant de la majoration pour l'année donnée.
Sous réserve des exigences prévues aux alinéas 15(2.4)e) et f) de la Loi, l'alinéa 15(2.4)c) prévoit l'inapplication du paragraphe 15(2) lorsque le prêteur est une société qui a consenti un prêt à l'égard d'un de ses employés, ou de celui d'une société liée, pour lui permettre d'acquérir de la société ou de la société liée des actions de son capital-actions entièrement libérées. Les actions ainsi acquises doivent être des actions non émises auparavant que l'employé doit détenir pour son propre bénéfice.
La définition d'action au paragraphe 248(1) de la version anglaise de la Loi prévoit qu'une action d'un capital-actions d'une société inclut la part du capital social d'une coopérative. En conséquence, lorsqu'une société coopérative au sens du paragraphe 136(2) n'a pas de capital-actions, nous sommes d'avis que l'exception à l'alinéa 15(2.4)c) pourrait s'appliquer à un prêt consenti pour acquérir des parts de la coopérative ou des actions d'une société liée.
