Dear Sir,

Subject: Request for a technical interpretation of subsections 85(1) and 110.6(19) of the Act

This is in response to your letter of September 25, 2003 in which you asked for our opinion on the tax treatment of the disposition of an immovable in the particular situation described below.

Unless otherwise indicated, all statutory references herein are to provisions of the Income Tax Act (the "Act").

Particular Situation:

1. Mr. X acquired a rental building from a person with whom he was dealing at arm's length on February 28, 1982, for $100,000: $30,000 for the land; and $70,000 for the building.

2. The fair market value ("FMV") of the immovable on February 29, 1992 was $300,000: $130,000 for the land; and $170,000 for the building.

3. The FMV of the immovable on February 22, 1994 was $440,000: $150,000 for the land; and $190,000 for the building. On that date, the immovable met the definition of "non-qualifying real property" in subsection 110.6(1).

4. In his 1994 income tax return, Mr. X made a subsection 110.6(19) election in respect of the land for a stated amount of $150,000. The combined effect of that election and subsection 110.6(21) was, inter alia, to increase the adjusted cost base ("ACB") of the land to Mr. X by $100,000.

5. The immovable met the definition of "eligible property" in subsection 85(1.1).

6. In 2003, Mr. X proposes to transfer the immovable to a taxable Canadian corporation (the “corporation") with which he does not deal at arm's length on a tax-free basis by making an election pursuant to subsection 85(1), on the following basis:

Your Question:

You asked us to confirm that the transfer of the property by Mr. X to the corporation will have no tax consequences to Mr. X.

Our Comments:

It appears to us that the situation described in your letter may be an actual situation involving taxpayers. The Canada Customs and Revenue Agency ("CCRA") does not generally provide written opinions on proposed transactions otherwise than by way of advance ruling. Furthermore, it is the responsibility of the relevant Tax Services Office to determine whether completed transactions have received the appropriate tax treatment.

It appears to us that Mr. X's sale of the immovable to the corporation could be made tax-free if an election pursuant to subsection 85(1) were made as presented.

In closing, please note that this opinion is not an advance ruling and, as stated in paragraph 22 of Information Circular 70-6R5 of May 17, 2002, it is not binding on the CCRA with respect to any particular factual situation.

Objet : Demande d'interprétation technique concernant les paragraphes 85(1) et 110.6(19) de la Loi

La présente est en réponse à votre lettre du 25 septembre 2003 dans laquelle vous nous demandez notre opinion concernant le traitement fiscal à accorder à la disposition d'un immeuble dans la situation donnée décrite ci-après.

À moins d'indication contraire, tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi de l'impôt sur le revenu (" Loi ").

Situation donnée:

1. Monsieur X a acquis d'une personne avec laquelle il n'avait pas de lien de dépendance un immeuble locatif le 28 février 1982 au coût de 100 000 $, soit 30 000 $ pour le terrain et 70 000 $ pour le bâtiment.

2. La juste valeur marchande (" JVM ") de l'immeuble le 29 février 1992 se chiffrait à 300 000 $, soit 130 000 $ pour le terrain et 170 000 $ pour le bâtiment.

Nos commentaires:

Il nous apparaît que la situation décrite dans votre lettre pourrait constituer une situation réelle impliquant des contribuables. L'Agence des douanes et du revenu du Canada (" ADRC ") ne donne généralement pas d'opinion écrite concernant des opérations projetées autrement que par voie de décision anticipée. Par ailleurs, il appartient au bureau des services fiscaux concerné de déterminer si des transactions complétées ont reçu le traitement fiscal approprié.

Il nous apparaît que la vente par Monsieur X de l'immeuble à la société pourrait se faire en franchise d'impôt si un choix en vertu du paragraphe 85(1) était effectué tel que présenté.

En terminant, nous vous soulignons que la présente opinion ne constitue pas une décision anticipée et, tel que mentionné au paragraphe 22 de la Circulaire d'information 70-6R5 du 17 mai 2002, elle ne lie pas l'ADRC à l'égard d'une situation factuelle particulière.
