The Directorate will not provide Rulings in similar circumstances to the example provided in the explanatory notes accompanying the Department of Finance's amendments to section 245 contained in Bill C-59, where an individual shareholder proposes to engage in non-arm’s length transactions, one of the main purposes of which is to create cost basis to extract retained earnings.

Re: Amendments to the GAAR and Advance Income Tax Rulings
We are writing to update you on the treatment by the Income Tax Rulings Directorate (“Directorate”) of certain requests for advance income tax rulings (“Rulings”) involving transactions colloquially referred to as “post-mortem pipeline transactions” and certain non-arm’s length transactions involving the realization of capital gains in conjunction with the extraction of corporate earnings. We are providing this update in light of recent amendments to section 245 (the general anti-avoidance rule, or the GAAR) contained in Bill C-59 and the accompanying Department of Finance explanatory notes (“the explanatory notes”). We hope our comments will be useful to the Tax Avoidance Division in carrying out its compliance activities.
All statutory references herein are to the Income Tax Act (the “Act”).
Amendments to the GAAR
On November 30, 2023, the Fall Economic Statement Implementation Act, 2023 (Bill C-59) received first reading in the House of Commons. Bill C-59 contains income tax proposals, including amendments to the GAAR, which were included in the Notice of Ways and Means Motion tabled in Parliament on November 28, 2023.
Among other things, the GAAR amendments introduce new subsections 245(4.1) and (4.2). These subsections include an economic substance test. Subsection 245(4.1) provides that an avoidance transaction that is significantly lacking in economic substance will be “an important consideration that tends to indicate” that the transaction results in a misuse under paragraph 245(4)(a) or an abuse under paragraph 245(4)(b). Subsection 245(4.2) contains a list of factors that may establish that a transaction or series of transactions is significantly lacking in economic substance.
The explanatory notes accompanying the GAAR amendments indicate that other considerations may demonstrate that a transaction or series of transactions (although significantly lacking in economic substance) does not amount to a misuse or abuse within the meaning of subsection 245(4). In addition, the GAAR amendments also include a preamble which provides in part that the GAAR “applies to deny the tax benefit of avoidance transactions that result directly or indirectly either in a misuse of provisions of the Act […] or an abuse having regard to those provisions read as a whole, while not preventing taxpayers from obtaining tax benefits contemplated by Parliament”.
The explanatory notes provide an example of a series of transactions undertaken by an individual (Jane), who owns all the shares of a corporation (Opco). The series of transactions involves the extraction, by Jane, of the retained earnings from Opco other than by way of a dividend. As a first step, Jane realizes an accrued capital gain on the Opco shares by transferring some of these shares to Opco in exchange for new shares of Opco (new Opco shares). The new Opco shares have an adjusted cost base equal to their fair market value. Jane then transfers the new Opco shares to another corporation (Buyco) controlled by Jane and, in consideration, receives a promissory note. Opco distributes its retained earnings to Buyco through a tax-free inter-corporate dividend and Buyco uses those earnings to repay the promissory note. At the end of the series of transactions, Jane directly holds all the shares of Buyco and directly or indirectly holds all the shares of Opco and has extracted the retained earnings from Opco otherwise than through a dividend. The tax payable by Jane on the capital gain (one-half of which is included in income) would normally be less than the tax payable had Jane simply caused Opco to pay a taxable dividend.
The explanatory notes state that, following the above-noted steps, there has been no change in the opportunity for profit or gain or risk of loss for Jane, Opco and Buyco, taken together - “[r]ather, there has simply been a movement of funds within the group without any change in economic position (other than with respect to the tax paid on the capital gain).”
Given that the above-noted example raises concerns regarding the application of the amended GAAR to the series of transactions described therein, the Directorate will not provide Rulings in respect of such transactions. In addition, the Directorate will not provide Rulings in similar circumstances where an individual shareholder proposes to engage in non-arm’s length transactions, one of the main purposes of which is to create cost basis to extract retained earnings.
However, the Directorate will continue to consider Rulings that do not frustrate the object and purpose of specific provisions of the Act designed to limit the extraction of retained earnings without the payment of a taxable dividend.
Post-Mortem Pipeline Transactions
Post-mortem pipeline transactions are generally undertaken to preserve capital gains treatment in respect of accrued gains on shares of the capital stock of a private corporation (Opco) that were owned by a shareholder at the time of death. The accrued gain is realized by the shareholder in the year of death pursuant to subsection 70(5).
One possible strategy to limit further taxation on the subsequent distribution of Opco’s assets involves the transfer, by the deceased shareholder’s estate, of the Opco shares to a newly incorporated taxable Canadian corporation (Newco) in exchange for either shares of Newco or a note receivable from Newco. The Newco shares would generally have an adjusted cost base and paid-up capital equal to the adjusted cost base of the Opco shares. Alternatively, if a note is issued by Newco, the principal amount of the note would generally be equal to the adjusted cost base of the Opco shares. In brief, this “pipeline” transaction allows the estate of the deceased shareholder to remove Opco’s assets over a period of time without the payment of a taxable dividend either through the redemption of the Newco shares or on the repayment of the note within limits prescribed by section 84.1, subsection 84(2) and subsection 84(3).
The Directorate does not consider the use of a pipeline transaction as a means to preserve the capital gain arising on the death of a shareholder while limiting double taxation on the subsequent distribution of Opco’s assets to be a misuse described in paragraph 245(4)(a) or an abuse within the meaning of paragraph 245(4)(b). Accordingly, the Directorate will continue to issue favourable Rulings on the non-application of the amended GAAR in the context of post-mortem pipeline transactions that meet our existing administrative guidelines described in document 2018-0748381C6.

Objet: Modifications à la RGAÉ – Direction des décisions en impôt
Nous vous écrivons pour vous fournir une mise à jour du traitement par la Direction des décisions en impôt (la « Direction ») de certaines demandes de décisions anticipées en impôt (les « Décisions ») » impliquant des opérations communément appelées dans le jargon fiscal « opérations post mortem de type pipeline » ou de certaines opérations entre parties ayant un lien de dépendance impliquant la réalisation de gains en capital jumelée au retrait de surplus de sociétés. Nous vous fournissons cette mise à jour à la suite des récentes modifications à l’article 245 (la règle générale anti-évitement, ou la « RGAÉ ») faisant partie du projet de loi C-59 et des notes explicatives du ministère des Finances s’y rattachant (les « notes explicatives »). Nous espérons que nos commentaires s’avéreront utiles à votre division dans le cadre de ses activités d’observation fiscale.
Toutes les références législatives dans cette mise à jour sont des références à la Loi de l’impôt sur le revenu ( la « Loi »).
Modifications à la RGAÉ
Le 30 novembre 2023, la Loi d’exécution de l’énoncé économique de l’automne 2023 (Projet de loi C-59) a été déposée en première lecture à la Chambre des Communes. Le Projet de loi C-59 met en œuvre des mesures portant sur l’impôt sur le revenu, dont des modifications à la RGAÉ qui avaient été incluses dans l’Avis de motion de voies et moyens déposé au Parlement le 28 novembre 2023.
Notamment, les modifications à la RGAÉ introduisent les nouveaux paragraphes 245(4.1) et (4.2). Ces paragraphes énoncent un critère de substance économique. Selon le paragraphe 245(4.1), le fait qu’une opération d’évitement manque considérablement de substance économique sera « un facteur important qui tend à indiquer » que l’opération constitue un abus en vertu des alinéas 245(4)a) ou b). Une liste de facteurs devant être pris en considération pour établir si une opération ou une série d’opérations manque considérablement de substance économique se trouve au paragraphe 245(4.2).
Les notes explicatives accompagnant les modifications à la RGAÉ indiquent que d’autres facteurs peuvent démontrer qu’une opération ou une série d’opérations (même si elle manque considérablement de substance économique) n’entraîne pas un abus au sens du paragraphe 245(4). De plus, les modifications à la RGAÉ introduisent un préambule indiquant notamment que la RGAÉ « s’applique pour refuser les avantages fiscaux des opérations d’évitement qui entraînent directement ou indirectement un abus des dispositions de la présente loi […] ou un abus eu égard à ces dispositions lues dans leur ensemble, sans empêcher les contribuables d’obtenir les avantages fiscaux visés par le Parlement ».
Opérations entre parties avec lien de dépendance et distribution de bénéfices non répartis
Les notes explicatives fournissent une illustration d’une série d’opérations entreprise par un particulier (Jane) qui détient toutes les actions du capital-actions d’une société (Opco). La série d’opérations implique le retrait par Jane des bénéfices non répartis d’Opco autrement que par le versement d’un dividende. Lors de la première étape de la série, Jane réalise le gain en capital accumulé sur les actions d’Opco en les transférant à Opco en contrepartie de nouvelles actions de son capital-actions (les « nouvelles actions Opco »). Le prix de base rajusté pour Jane des nouvelles actions Opco est égal à leur juste valeur marchande. Après, Jane transfère les nouvelles actions Opco à une autre société (Acheteurco), que Jane contrôle, en contrepartie d’un billet à ordre. Ensuite, Opco distribue ses bénéfices non répartis à Acheteurco par le versement de dividendes inter-sociétés non imposables, et Acheteurco verse ensuite ces bénéfices à Jane en guise de paiement du billet à ordre. Au terme de la série d’opérations, Jane détient directement toutes les actions du capital-actions d’Acheteurco et directement ou indirectement toutes celles d’Opco, et a extrait les bénéfices non répartis d’Opco autrement que par le biais d’un dividende. Le montant d’impôt payable par Jane sur le gain en capital (la moitié duquel est inclus dans son revenu) serait normalement moins élevé que celui qu’elle aurait eu à payer si elle avait simplement entrepris des démarches pour que Opco lui verse un dividende imposable.
Les notes explicatives indiquent qu’après la série d’opérations décrite ci-haut, « rien n’a changé quant à la possibilité de réaliser des profits ou des gains ou de subir une perte pour Jane, Opco et Acheteurco, considérés ensemble; [p]lutôt, un mouvement de fonds a été observé au sein du groupe, sans un changement quelconque de la situation économique (sauf en ce qui concerne le gain en capital). »
Puisque l’exemple décrit ci-haut soulève des préoccupations quant à l’application de la RGAÉ dans sa version modifiée à la série d’opérations décrite dans les notes explicatives, la Direction ne rendra aucune Décision à l’égard d’une telle série d’opérations. De plus, la Direction ne rendra pas de Décisions en des circonstances similaires lorsqu’un particulier qui est actionnaire d’une société projette d’entreprendre des opérations entre parties ayant un lien de dépendance dont l’un des principaux objets est d’établir un prix de base pour distribuer des bénéfices non répartis.
Cependant, la Direction continuera de prendre en considération des demandes de Décisions qui ne contrecarrent pas l’objet et le but des règles pertinentes de la Loi élaborées pour limiter le retrait de bénéfices non répartis de sociétés autrement que par le versement de dividendes imposables.
Opérations post mortem de type pipeline
Les opérations post mortem de type pipeline sont généralement entreprises pour préserver le traitement de gain en capital à l’égard du gain accumulé sur des actions du capital-actions d’une société privée (Opco) qu’un actionnaire détenait lors de son décès. Le gain accumulé est réalisé par l’actionnaire durant l’année de son décès en vertu du paragraphe 70(5).
L’une des stratégies permettant de se prémunir contre une imposition supplémentaire lors d’une distribution subséquente par Opco de ses actifs implique le transfert par la succession de l’actionnaire décédé des actions du capital-actions d’Opco à une société canadienne imposable nouvellement incorporée (Nouco) en contrepartie soit d’actions du capital-actions de Nouco soit d’un billet à ordre émis à la succession par Nouco. Les actions Nouco auraient généralement un prix de base rajusté et un capital versé correspondant au prix de base rajusté des actions Opco pour la succession. Alternativement si un billet à ordre est émis par Nouco, le principal du billet correspondrait au prix de base rajusté des actions Opco pour la succession également. Brièvement, une opération post mortem de type pipeline permet à la succession d’un actionnaire décédé d’étaler le retrait des biens d’Opco sur une certaine période sans qu’un dividende imposable ne lui soit versé par l’entremise du rachat des actions Nouco ou du paiement du billet à ordre, à l’intérieur des balises établies par l’article 84.1, le paragraphe 84(2) et le paragraphe 84(3).
La Direction ne considère pas que l’utilisation d’opérations post mortem de type pipeline afin de préserver le gain en capital survenant au décès d’un actionnaire, tout en limitant la double imposition lors de la distribution subséquente des biens d’Opco, entraîne un abus au sens des alinéas 245(4)a) et b). Par conséquent, la Direction continuera de rendre des Décisions favorables portant sur la non-application de la version modifiée de la RGAÉ dans le cadre d’opérations post mortem de type pipeline qui répondent à nos paramètres administratifs actuels décrits dans le document 2018-0748381C6.
