Position: (1) None. General comments provided. (2) Yes. (3) No.

Reasons: (1) and (2) There will be a disposition of all or part of the beneficiary’s income interest in favor of the trust when the trust distributes the life insurance policy to its beneficiary in satisfaction of all or part of the beneficiary’s income interest. Determining the FMV of an income interest in a trust at any given time is a question of fact. To the extent that it is determined that at the time of disposition of the life insurance policy, the beneficiary’s income interest under the trust would include the right to enforce payment of an amount by the trust equal to the FMV of the life insurance policy, it could be argued that the consideration given by the beneficiary to the trust for the interest is equal to the FMV of that life insurance policy. In this context, the tax consequences that would arise from the disposition of the policy would be the same whether subsection 106(3) or 148(7) applies. Since it is not clear that such a result is consistent with tax policy, we will bring this issue to the attention of the Department of Finance. (3) A payment in kind to settle a promissory note is not a situation where a distribution of property from a trust is resulting in a disposition of all or part of the beneficiary’s interest in the capital of the trust. This is rather a situation where a debtor repays its debt to its creditor. The transfer of the life insurance policy by the trust in favor of its beneficiary in repayment of the promissory note gives rise to the application of subsection 148(7). The consideration given by the beneficiary to the trust for purposes of clause 148(7)(a)(ii)(B) corresponds to the amount of the debt being settled.

Dear XXXXXXXXXX,

SUBJECT: Transfer of a Life Insurance Policy Between Connected Corporations via a Trust

This letter is in response to your request for our advice on the tax consequences where a trust transfers its interest in a life insurance policy to its corporate beneficiary in payment of trust income, in this case a dividend in kind that the trust would have received in the year. We apologize for the delay in responding to your request.

Unless otherwise indicated, all legislative references herein are to the provisions of the Income Tax Act, R.S.C. 1985, c. 1 (5th Supp.) (the "Act").

In your request, you described the following hypothetical situation:

Aco is the holder and beneficiary of a life insurance policy, for which it pays the premiums, on the life of its controlling shareholder, Mr. X (the "Policy"). The Policy is an insurance contract payable on the death of Mr. X that was purchased a number of years ago for the purposes of the shareholders' agreement.
The Policy has a fair market value ("FMV") of $250, a cash surrender value ("CSV") of $150 and an adjusted cost basis ("ACB") of $50. The ACB, CSV and FMV of the Policy remained unchanged throughout the period relevant to the issues raised.
All of the common (participating) shares of Aco are held by Mr. X's family trust ("Trust X").
Trust X is a discretionary personal trust. Xco is both a capital and income beneficiary of Trust X.
Xco is a holding company controlled by Mr. X.
Aco and Xco are taxable Canadian corporations.
Aco and Xco are connected corporations within the meaning of subsection 186(4) by virtue of the application of subsection 186(2).
There is a non-arm's length relationship between Mr. X, Aco, Xco and Trust X.
All the parties involved are resident in Canada.
Under discussion is a sale by the shareholders of Aco of all of the shares in the capital stock of Aco to a third party on January 1 of next year.
There is sufficient safe income on hand attributable to the common shares of Aco held by Trust X in respect of the value of the dividend contemplated below.
Subsection 75(2) does not apply and has never applied to Trust X.

It is Mr. X's intention that the Policy be transferred to Xco in the following manner:

(1) In the year preceding the sale (“Year A1"), Aco will pay a dividend in kind to Trust X equal in value to the FMV of the Policy, in this case, $250. Trust X will include the $250 dividend income in computing its income.

You indicated that this will also result in a disposition of the Policy by Aco to Trust X to which subsections 148(1) and (7) will apply. Pursuant to the application of subsection 148(7), the disposition of the Policy by Aco and its acquisition by Trust X will be deemed to be made at the greatest of the value (footnote 1) of the Policy (i.e., its CSV of $150), the FMV of the consideration given ($0) and the ACB (footnote 2) of the Policy ($50). Aco would therefore have a taxable policy gain of $100.

(2) On December 31 of Year A1, Trust X will make a payment in kind in an amount equal to the dividend in kind (equal to the FMV of the Policy, i.e., $250) by transferring ownership of the Policy to its beneficiary, Xco, in accordance with subsections 104(6), (13) and (24), the deed governing Trust X permitting a payment in kind. You indicated that Trust X will also allocate and designate this amount to Xco in its income tax return for Year A1 in accordance with subsection 104(19). That amount will be included in the income of the beneficiary, Xco, and will retain its nature as a dividend since all the conditions set out in subsection 104(19) will be satisfied. You stated that since Aco is connected to Xco in accordance with the rules in subsection 186(4), and the dividend does not entitle Aco to a dividend refund, Part IV tax will not apply to Xco. You also stated that since Xco is a corporation, no Part I tax will result because of the deduction provided for in computing taxable income pursuant to subsection 112(1).

(3) On the same day, Xco will receive the ownership of the Policy.

(4) On January 1 of the following year (“Year A2"), all of the shares of the capital stock of Aco will be sold to a third party.

You asked the following questions:

(1) In Technical Interpretation 2011-0391781E5 (footnote 3), the Canada Revenue Agency ("CRA") confirmed that, where a life insurance policy owned by a personal trust is distributed to a beneficiary resident in Canada in satisfaction of all or a portion of the beneficiary's capital interest in the trust, provided that subsection 107(4.1) does not apply to the distribution, subsection 107(2) takes precedence over subsection 148(7) so that there would be a tax-deferred rollover. By analogy, where Trust X transfers the Policy to Corporation X as a payment pursuant to subsections 104(6), (13) and (24) (designated pursuant to subsection 104(19)), will subsection 106(3) prevail over subsection 148(7), so that Trust X is deemed to have disposed of the Policy for proceeds equal to the FMV of the Policy?

(2) If subsection 148(7) prevails over subsection 106(3), where Trust X distributes the Policy to Xco as a payment pursuant to subsections 104(6), (13) and (24) (designated pursuant to subsection 104(19)), can CRA confirm what Trust X's proceeds of disposition of the Policy will be?

(3) Assume that in Steps 2 and 3, on December 31 of Year A1, instead of surrendering the Policy, Trust X issued a promissory note to Xco for an amount equal to the FMV of the Policy, the promissory note being payable on demand by the beneficiary, without any conditions being attached to the beneficiary's right. In the course of Year A2, the promissory note would be repaid by the transfer of the Policy from Trust X to Xco.

In this context, would subsection 107(2) apply to the distribution of the Policy by Trust X to its beneficiary, Xco, in Year A2?

OUR COMMENTS

This technical interpretation provides general comments about the provisions of the Act and related legislation. It does not confirm the income tax treatment of a particular situation involving a specific taxpayer but is intended to assist you in making that determination. The income tax treatment of particular transactions proposed by a specific taxpayer will only be confirmed by this Directorate in the context of an advance income tax ruling request submitted in the manner set out in Information Circular IC70-6R12, Advance Income Tax Rulings and Technical Interpretations.

Comments on questions 1 and 2

In order to determine whether subsection 106(3) should apply in the situation described, it must first be determined whether Xco would receive the interest in the Policy in satisfaction of all or any part of its income interest in Trust X. If the answer to this question is yes, it must next be determined whether subsection 106(3) should then take precedence over subsection 148(7).

In order to conclude that Xco would receive the interest in the Policy in satisfaction of its income interest in Trust X, it would be necessary, first, for the interest in the Policy to form part of the income of Trust X for private law purposes (taking into account subsection 108(3)) (footnote 4) and, second, that Xco is the beneficiary of the income of Trust X and is entitled to receive the interest in the Policy in accordance with the terms of the deed governing Trust X.

The determination of whether property received by a trust by way of a dividend in kind would be income or capital to the trust receiving it is a mixed question of law and fact. Such a determination can only be made following an exhaustive analysis of the applicable private law (in the case of a trust governed by Quebec civil law, Articles 909 and 910 C.C.Q.) and all the relevant facts and documents. That said, our understanding is that, generally speaking, under the applicable private law, the interest in a life insurance policy received by a trust by way of a dividend in kind paid by a corporation of which it is a shareholder would form part of the trust's income.

The distribution by Trust X of its interest in the Policy to its corporate beneficiary, Xco, would result in a disposition by Trust X of that interest in the Policy. Where income, for the purposes of subsections 104(6) and (13) (footnote 5), of a trust paid to a beneficiary is income within the meaning of the applicable private law and the trust pays that income in kind to the beneficiary by the distribution of property (such as an interest in a life insurance policy) in satisfaction of all or any part of the beneficiary's interest in the income of the trust (footnote 6), subsection 106(3) could apply. Subsection 106(3) provides that, in such a situation, the trust is deemed to dispose of the property for proceeds equal to its FMV.

Subsection 148(7) applies where an interest of a policyholder in a life insurance policy is disposed of in any manner to a person with whom the policyholder was not dealing at arm's length. Under paragraph 251(1)(b), a personal trust (footnote 7) and its beneficiary are deemed not to deal with each other at arm's length. Thus, subsection 148(7) could apply where a trust transfers its interest in a life insurance policy to one of its beneficiaries.

Where subsection 148(7) applies to a disposition occurring after March 21, 2016, the policyholder is deemed to become entitled to receive, at the disposition time, proceeds of the disposition equal to the greatest of (i) the value of the interest at the time of disposition (footnote 8); (ii) the FMV at the disposition time of the consideration, if any, given for the interest; and (iii) the ACB to the policyholder of the interest immediately before the disposition time. Pursuant to paragraph 148(7)(b), the person who acquires the interest as a result of the disposition is deemed to acquire it, at the time of the disposition, at a cost equal to that same amount.

In the case of the distribution of an interest in a life insurance policy by a corporation to its shareholder by way of a dividend in kind, CRA has previously indicated that it is of the view that there is no consideration given for the interest for the purposes of clause 148(7)(a)(ii)(B). This position does not apply to the situation described, where a trust transfers its interest in a life insurance policy to its beneficiary. When a trust transfers property to a beneficiary, whether in payment of the trust's income or capital under the applicable private law, the beneficiary gives consideration for the transfer. This consideration may be all or any part of the beneficiary's income or capital interest, as the case may be.

Determining the FMV of an income interest in a trust at a particular time is a question of fact that can only be determined after considering all the relevant facts, circumstances and documents. However, in the situation described, to the extent that it would be determined that at the time of the disposition of the Policy, for the purposes of clause 148(7)(a)(ii)(B), the Xco beneficiary's income interest in Trust X included the right to require Trust X to pay an amount equal to the FMV of the Policy, it could then be argued that the part of Trust X's income interest that was given by Xco for the interest in the Policy had an FMV equal to the FMV of the Policy. In that context, the consequences of the disposition of the interest in the Policy would be the same for Trust X and Xco, regardless of whether subsection 106(3) or subsection 148(7) would prevail. It is not clear that such a result is consistent with tax policy. The CRA will bring this conclusion to the attention of the Department of Finance.

Comments on Question 3

Subsection 107(2) applies inter alia if property of a personal trust is distributed by the trust to a beneficiary and there is a resulting disposition of all or any part of the beneficiary’s capital interest in the trust and certain additional conditions are satisfied.

In the situation described, in Year A2, Trust X would distribute its interest in the Policy in full payment of the promissory note it owed to its beneficiary Xco. Trust X would therefore repay a debt to its beneficiary by a payment in kind. Subsection 107(2) would not apply in those circumstances, since this would not be a situation where a distribution of trust property gives rise to a disposition of all or part of the beneficiary's capital interest in the trust. Rather, it would be a situation where a debtor repays its debt to its creditor.

The transfer by Trust X of its interest in the Policy to its beneficiary, Xco, in repayment of the note would be a disposition to which subsection 148(7) would apply since Trust X is deemed not to deal at arm's length with Xco by paragraph 251(1)(b).

In the situation described, the application of subsection 148(7) on the distribution by Aco of its interest in the Policy to its shareholder Trust X by way of a dividend in kind would result in Trust X being deemed to have acquired the interest in the Policy at a cost equal to $150 pursuant to paragraph 148(7)(b).

In Year A2, Trust X would be deemed by paragraph 148(7)(a) to have acquired the right to receive, at the time of disposition, proceeds of disposition equal to $250 (the greatest of (i) the CSV of the interest at that time ($150), (ii) the FMV, at that time, of the consideration given for the interest ($250) and (iii) the ACB of the interest to Trust X immediately before that time ($150).

Regarding the consideration given for the interest, in the situation described, since the transfer of the interest in the Policy by Trust X to its beneficiary Xco would be in repayment of the promissory note, the consideration given by the beneficiary would correspond to the amount of the debt repaid. The FMV of the consideration given for the interest in the Policy would therefore be the FMV of the note, which, in the situation described, would represent an amount equal to the FMV of the interest in the Policy, i.e., $250.

The result for Trust X would be a taxable policy gain of $100 in respect of the disposition of the interest in the Policy. Pursuant to paragraph 148(7)(b), Trust X would be deemed to acquire the interest in the Policy at a cost equal to $250.

OBJET: Transfert d’une police d’assurance-vie entre sociétés rattachées par le biais d’une fiducie

La présente lettre est en réponse à votre demande, dans laquelle vous demandez notre avis sur les conséquences fiscales lorsqu’une fiducie transfère son intérêt dans une police d’assurance-vie à son bénéficiaire corporatif en paiement d’un revenu de la fiducie, en l’occurrence un dividende en nature que la fiducie aurait reçu dans l’année. Nous nous excusons du délai requis pour répondre à votre demande.

À moins d’indication contraire, tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi de l’impôt sur le revenu, L.R.C. (1985), ch. 1 (5e suppl.) (« Loi »).

Dans votre demande, vous décrivez la situation hypothétique suivante :

Société A est titulaire et bénéficiaire d’une police d’assurance-vie, dont elle paie les primes, sur la vie de son actionnaire de contrôle, M. X (« Police »). La Police est un contrat d’assurance payable au décès de M. X qui a été souscrite il y a plusieurs années aux fins de la convention entre actionnaires.
La Police a une juste valeur marchande (« JVM ») de 250 $, une valeur de rachat (« VR ») de 150 $ et un coût de base rajusté (« CBR ») de 50 $. Le CBR, la VR et la JVM de la Police demeurent inchangés pendant toute la période pertinente aux fins des questions soulevées.
Toutes les actions ordinaires (participantes) de Société A sont détenues par la fiducie familiale de M. X (« Fiducie X »).
Fiducie X est une fiducie personnelle et discrétionnaire. Société X est bénéficiaire tant du capital que du revenu de Fiducie X.
Société X est une société de gestion contrôlée par M. X.
Société A et Société X sont des sociétés canadiennes imposables.
Société A et Société X sont des sociétés rattachées au sens du paragraphe 186(4) par l’effet de l’application du paragraphe 186(2).
Il existe un lien de dépendance entre M. X, Société A, Société X et Fiducie X.
Toutes les parties concernées sont résidentes du Canada.
Il est discuté que les actionnaires de Société A vendront à une tierce partie la totalité des actions du capital-actions de Société A en date du 1er janvier de l’an prochain.
Il y a suffisamment de revenu protégé en main attribuable aux actions ordinaires de Société A détenues par Fiducie X relativement à la valeur du dividende envisagé ci-dessous.
Le paragraphe 75(2) ne s’applique pas et ne s’est jamais appliqué à Fiducie X.

L’intention de M. X est que la Police soit transférée à Société X de la manière suivante:

1) Dans l’année précédant la vente (année « A1 »), Société A verserait un dividende en nature à Fiducie X dont la valeur serait égale à la JVM de la Police, c’est-à-dire dans ce cas-ci 250 $. Fiducie X inclurait le revenu de dividende de 250 $ dans le calcul de son revenu.

Vous indiquez qu’il en résulterait également une disposition de la Police par Société A en faveur de Fiducie X à laquelle s’appliqueraient les paragraphes 148(1) et (7). Suivant l’application du paragraphe 148(7), la disposition de la Police par Société A et son acquisition par Fiducie X seraient réputées être effectuées au plus élevé de la valeur (footnote 1) de la Police (soit sa VR, 150 $), de la JVM de la contrepartie donnée (0 $) ou du CBR (footnote 2) de la Police (50 $). Société A aurait donc un gain sur police imposable de 100 $.

2) Au 31 décembre de l’année A1, Fiducie X effectuerait un paiement en nature, d’un montant égal au dividende en nature (égal à la JVM de la Police, soit 250 $) par le transfert de la propriété de la Police à son bénéficiaire, Société X, conformément aux paragraphes 104(6), (13) et (24), l’acte régissant Fiducie X permettant un paiement en nature. Vous indiquez que Fiducie X attribuerait de plus ce montant à Société X dans sa déclaration de revenus pour l’année A1 conformément au paragraphe 104(19). Ce montant serait inclus au revenu du bénéficiaire, Société X, et il conserverait sa nature de dividende puisque toutes les conditions énoncées au paragraphe 104(19) seraient satisfaites. Vous mentionnez qu’étant donné que Société A serait rattachée à Société X en conformité avec les règles prévues au paragraphe 186(4) et que le dividende ne donnerait pas droit à un remboursement au titre de dividendes à Société A, l’impôt de la partie IV ne s’appliquerait pas à Société X. Vous mentionnez de plus que comme Société X est une société, il ne résulterait aucune imposition en vertu de la partie I en raison de la déduction qui est prévue dans le calcul du revenu imposable au paragraphe 112(1).

3) Le même jour, Société X recevrait donc la propriété de la Police.

4) Le 1er janvier de l’année suivante (année « A2 »), toutes les actions du capital-actions de Société A seraient vendues à un tiers.

Vous posez les questions suivantes:

1) Dans l’interprétation technique 2011-0391781E5 (footnote 3) , l’Agence du revenu du Canada (« ARC ») a confirmé que dans le cas où une Police détenue par une fiducie personnelle est distribuée à un bénéficiaire résidant au Canada en règlement total ou partiel de sa participation au capital, en autant que le paragraphe 107(4.1) ne s’applique pas à la distribution, le paragraphe 107(2) aura préséance sur le paragraphe 148(7), ce qui permettrait un roulement à imposition différée. Par analogie, si Fiducie X transférait la Police à Société X à titre de paiement conformément aux paragraphes 104(6), (13) et (24) (attribué conformément au paragraphe 104(19)), est-ce que le paragraphe 106(3) aurait préséance sur le paragraphe 148(7), de sorte que Fiducie X soit réputée d’avoir disposé de la Police pour un produit égal à la JVM de cette Police?

2) Si le paragraphe 148(7) avait préséance sur le paragraphe 106(3), si Fiducie X distribuait la Police à Société X à titre de paiement conformément aux paragraphes 104(6), (13) et (24) (attribué conformément au paragraphe 104(19)), l’ARC pourrait-elle confirmer quel serait le produit de disposition de la Police pour Fiducie X?

3) Supposons qu’aux étapes 2 et 3, au 31 décembre de l’année A1, au lieu de la remise de la Police Fiducie X émettait un billet à ordre en faveur de Société X pour un montant correspondant à la JVM de la Police, le billet à ordre étant payable sur demande du bénéficiaire, sans que le droit de ce dernier ne soit assorti de conditions. Dans le courant de l’année A2, le billet à ordre serait remboursé par le transfert de la Police de Fiducie X à Société X.

Dans ce contexte, est-ce que le paragraphe 107(2) serait applicable à la distribution de la Police par Fiducie X à son bénéficiaire, Société X, dans le courant de l’année A2?

NOS COMMENTAIRES

Commentaires relatifs aux questions 1 et 2

Afin de déterminer si le paragraphe 106(3) doit trouver application dans la situation décrite, il faut, dans un premier temps, déterminer si Société X recevrait l’intérêt dans la Police en règlement total ou partiel de sa participation au revenu de Fiducie X. En cas de réponse affirmative à cette question, il faut, dans un second temps, déterminer si le paragraphe 106(3) devrait alors avoir préséance sur le paragraphe 148(7).

Pour conclure que Société X recevrait l’intérêt dans la Police en règlement de sa participation au revenu de Fiducie X, il faudrait, d’une part, que l’intérêt dans la Police fasse partie du revenu de Fiducie X aux fins du droit privé (compte tenu du paragraphe 108(3)) (footnote 4) et, d’autre part, que Société X soit bénéficiaire du revenu de Fiducie X et ait le droit de recevoir l’intérêt dans la Police selon les termes de l’acte régissant Fiducie X.

La détermination de savoir si un bien reçu par une fiducie par le biais d’un dividende en nature serait du revenu ou du capital pour la fiducie qui le reçoit est une question mixte de droit et de fait. Une telle détermination ne peut être établie que par suite d’une analyse exhaustive du droit privé applicable (dans le cas d’une fiducie régie par le droit civil du Québec, les articles 909 et 910 C.c.Q.) ainsi que de l’ensemble des faits et documents pertinents. Ceci étant dit, notre compréhension est que, de manière générale, selon le droit privé applicable, l’intérêt dans une police d’assurance-vie reçu par une fiducie par voie de dividende en nature versé par une société dont elle est actionnaire ferait partie du revenu de cette fiducie.

La distribution, par Fiducie X, de son intérêt dans la Police auprès de son bénéficiaire corporatif, Société X, occasionnerait une disposition de cet intérêt dans la Police par Fiducie X. Lorsque le revenu, aux fins des paragraphes 104(6) et (13) (footnote 5) , d’une fiducie payé à un bénéficiaire est un revenu au sens du droit privé applicable et que la fiducie paie ce revenu en nature à son bénéficiaire par la distribution d’un bien (tel qu’un intérêt dans une police d’assurance-vie), en règlement total ou partiel de la participation de ce bénéficiaire au revenu de la fiducie (footnote 6) , le paragraphe 106(3) pourrait trouver application. Le paragraphe 106(3) prévoit que, dans une telle situation, la fiducie est réputée disposer du bien pour un produit égal à sa JVM.

Le paragraphe 148(7) s’applique lorsqu’un intérêt d’un titulaire dans une police d’assurance-vie fait l’objet d’une disposition, notamment, de quelque manière que ce soit, en faveur d’une personne avec laquelle le titulaire de la police d’assurance-vie avait un lien de dépendance. Selon l’alinéa 251(1)b), une fiducie personnelle (footnote 7) et son bénéficiaire sont réputés avoir entre eux un lien de dépendance. Ainsi, le paragraphe 148(7) pourrait trouver application lorsqu’une fiducie transfère son intérêt dans une police d’assurance-vie à l’un de ses bénéficiaires.

Lorsque le paragraphe 148(7) s’applique à une disposition survenue après le 21 mars 2016, le titulaire est réputé acquérir le droit de recevoir, au moment de la disposition, un produit de disposition égal à la plus élevée des sommes suivantes : (i) la valeur de l’intérêt au moment de la disposition (footnote 8) , (ii) la JVM, au moment de la disposition, de toute contrepartie donnée pour l’intérêt et (iii) le CBR pour le titulaire de l’intérêt immédiatement avant la disposition. En vertu de l’alinéa 148(7)b), la personne qui acquiert l’intérêt par suite de la disposition est réputée l’acquérir, au moment de la disposition, à un coût égal à cette même somme.

Dans le cas de la distribution d’un intérêt dans une police d’assurance-vie par une société à son actionnaire par voie de dividende en nature, l’ARC a déjà indiqué être d’avis qu’il n’y a pas de contrepartie donnée pour l’intérêt aux fins de la division 148(7)a)(ii)(B). Cette position ne s’applique pas à la situation décrite, où une fiducie transfère son intérêt dans une police d’assurance-vie à son bénéficiaire. En effet, lorsqu’une fiducie transfère un bien à un bénéficiaire, qu’il s’agisse d’un transfert en paiement du revenu ou du capital de la fiducie selon le droit privé applicable, une contrepartie est donnée par le bénéficiaire pour le transfert. Il s’agit, selon le cas, de la totalité ou d’une partie de la participation au revenu ou au capital de ce bénéficiaire.

La détermination de la JVM d’une participation au revenu dans une fiducie à un moment donné est une question de fait qui ne peut être déterminée qu’après avoir considéré l’ensemble des faits, circonstances et documents pertinents. Cependant, dans la situation décrite, dans la mesure où il serait déterminé qu’au moment de la disposition de la Police, aux fins de la division 148(7)a)(ii)(B), la participation du bénéficiaire Société X au revenu de Fiducie X comprendrait le droit d’exiger de Fiducie X le versement d’une somme d’une valeur égale à la JVM de la Police, il pourrait alors être soutenu que la partie de la participation au revenu de Fiducie X qui est donnée par Société X pour l’intérêt dans la Police est d’une JVM égale à celle de la Police. Dans ce contexte, les conséquences découlant de la disposition de l’intérêt dans la Police seraient les mêmes pour Fiducie X et Société X, peu importe lequel des paragraphes 106(3) ou 148(7) aurait préséance. Il n’est pas clair qu’un tel résultat est conforme à la politique fiscale. L’ARC portera cette conclusion à l’attention du ministère des Finances.

Commentaires relatifs à la question 3

Le paragraphe 107(2) s’applique notamment lorsqu’une fiducie personnelle effectue, au profit d’un bénéficiaire, une distribution de ses biens qui donne lieu à la disposition de la totalité ou d’une partie de la participation de ce bénéficiaire au capital de la fiducie et que certaines conditions additionnelles sont respectées.

Dans la situation décrite, dans l’année A2, Fiducie X remettrait son intérêt dans la Police en paiement complet du billet à ordre qu’elle devrait à son bénéficiaire Société X. Fiducie X rembourserait donc une dette à son bénéficiaire par un paiement en nature. Le paragraphe 107(2) ne recevrait pas application dans ces circonstances, puisqu’il ne s’agirait pas d’une situation où une distribution de biens d’une fiducie donne lieu à une disposition de la totalité ou d’une partie de la participation du bénéficiaire au capital de la fiducie. Il s’agirait plutôt de la situation où un débiteur rembourse sa dette à son créancier.

Le transfert, par Fiducie X, de son intérêt dans la Police en faveur de son bénéficiaire, Société X, en remboursement du billet serait une disposition à laquelle le paragraphe 148(7) s’appliquerait puisque Fiducie X est réputée avoir un lien de dépendance avec Société X selon l’alinéa 251(1)b).

Dans la situation décrite, l’application du paragraphe 148(7) lors de la distribution par Société A de son intérêt dans la Police à son actionnaire Fiducie X par voie de dividende en nature ferait en sorte que Fiducie X serait réputée avoir acquis l’intérêt dans la Police à un coût égal à 150 $ en vertu de l’alinéa 148(7)b).

Lors de l’année A2, Fiducie X serait réputée, selon l’alinéa 148(7)a), avoir acquis le droit de recevoir, au moment de la disposition, un produit de disposition égal à 250 $ (le plus élevé de (i) la VR de l’intérêt à ce moment (150 $), (ii) la JVM, à ce moment, de la contrepartie donnée pour l’intérêt (250 $) et (iii) le CBR de l’intérêt pour Fiducie X immédiatement avant ce moment (150 $)).

En ce qui concerne la contrepartie donnée pour l’intérêt, dans la situation décrite, comme le transfert de l’intérêt dans la Police par Fiducie X en faveur de son bénéficiaire Société X le serait à titre de remboursement du billet à ordre, la contrepartie donnée par le bénéficiaire correspondrait au montant de la dette remboursée. La JVM de la contrepartie donnée pour l’intérêt dans la Police serait donc la JVM du billet, ce qui, dans la situation décrite, représenterait un montant correspondant à la JVM de l’intérêt dans la Police, soit 250 $.

Il en résulterait, pour Fiducie X, un gain sur police imposable de 100 $ à l’égard de la disposition de l’intérêt dans la Police. En vertu de l’alinéa 148(7)b), Société X serait réputée acquérir l’intérêt dans la police à un coût égal à 250 $.

A private corporation (Aco) distributes a life insurance policy of which it is the holder and beneficiary and with an adjusted cost basis (ACB), cash surrender value (CSV) and FMV of $50, $150 and $250, respectively as a dividend in kind to a discretionary family trust shareholder, and such trust then distributes the policy as an income distribution under ss. 104(6), (13) and (19) to a corporate beneficiary (Xco).

The dividend-in-kind of the life insurance policy by a corporation (Aco) to its shareholder is made for no consideration for purposes of s. 148(7)(a)(ii)(B), so that on the dividend-in-kind, the policy is deemed to be disposed of for the greatest of its ACB, CSV and the (nil) consideration received - or $150. However, where a trust transfers the policy to its beneficiary, the beneficiary (Xco) is regarded as giving consideration for the transfer that is all or any part of the beneficiary's income or capital interest in the trust, as applicable. Here, it would be reasonable to consider that such consideration had an FMV of $250.

If s. 106(3) rather than s. 148(7) was regarded as applying to the distribution, s. 106(3) also would generate deemed FMV proceeds. Thus, it made no difference which of s. 106(3) and s. 148(7) prevailed over the other.
