Position: To the extent that the duties of offices and employments are performed outside of Canada, they should not be taxable income earned in Canada.

Reasons: Duties of offices and employments which are performed outside of Canada by a non-resident are not subject to tax under subparagraph 115(1)(a)(i).

Directors' meeting by telephone and taxable income earned in Canada

This letter is in response to your email of April 11, 2016, in which you asked us, among other things, whether attendance fees received by non-resident directors of a corporation resident in Canada constitute taxable income earned in Canada. More specifically, you submitted the following hypothetical situation:

Non-resident individuals are members of the board of directors of a corporation resident in Canada;
the meetings of the board of directors are held in Canada;
the non-resident directors do not travel to Canada for the meetings but participate by telephone from a location outside Canada; and
the non-resident directors have not ceased to reside in Canada during the year or any previous year and do not physically travel to Canada during the year.

Our comments

Unless otherwise indicated, all statutory references herein are to the provisions of the Income Tax Act ("the Act") and all references to the "Regulations" are to the Income Tax Regulations.

Under subparagraph 115(1)(a)(i), incomes from the duties of offices and employments performed by a non-resident person in Canada must be included in the person's taxable income earned in Canada for the year in which it is received. Directors' fees received by a director of a corporation are considered to be income from an office. Your question concerns whether this office is exercised in Canada where the director performs it by telephone from a location outside Canada.

In our view, a non-resident director located outside Canada who participates in a meeting of the board of directors of a corporation resident in Canada held in Canada by means of a telephone system, or by means of any other telecommunications system, generally does not thereby realize income from an office or employment exercised in Canada. In those circumstances, the telephone system, or any other similar system, appears to us to be used as a means of transmitting services rendered from outside Canada.

When directors' fees are paid to a director who is not resident in Canada for work performed in Canada, withholding tax must be deducted from the amounts paid pursuant to paragraph 153(1)(a) and section 102 of the Regulations. However, subsection 104(2) of the Regulations provides that no amount shall generally be so deducted or withheld from a payment under section 102 of the Regulations where such payment is received in respect of an employee who was neither employed nor resident in Canada at the time of payment except in cases where the remuneration is reasonably attributable to the duties of any office or employment performed (or to be performed) in Canada by the non-resident person or in certain situations where the non-resident person has ceased to be resident in Canada. Thus, in accordance with those rules, directors' fees received by a non-resident director, who has not ceased to reside in Canada in the year or in a previous year, and who holds an office or employment outside Canada, should generally not be subject to withholding tax under Regulation 102.

Unless exempted, a copy of this memorandum will be severed using the Access to Information Act criteria and placed in the Canada Revenue Agency’s electronic library. After a 90-day waiting period, a severed copy will also be distributed to the commercial tax publishers for inclusion in their databases. You may request an extension of this 90-day period. The severing process removes all content that is not subject to disclosure, including information that could reveal the identity of the taxpayer. The taxpayer may ask for a version that has been severed using the Privacy Act criteria, which does not remove taxpayer identity. You can request this by e-mailing us at: ITRACCESSG@cra-arc.gc.ca. A copy will be sent to you for delivery to the taxpayer.

Réunion d’administrateurs par téléphone et revenu imposable gagné au Canada

Cette lettre est en réponse à votre courriel du 11 avril 2016, dans lequel vous nous demandez, entre autres, si des jetons de présence reçus par des administrateurs non résidents d’une société résidant au Canada constituent un revenu imposable gagné au Canada. Plus spécifiquement, vous nous soumettez la situation hypothétique suivante :

des individus non résidents sont membres du conseil d’administration d’une société résidant au Canada;
les réunions du conseil d’administration ont lieu au Canada;
les administrateurs non-résidents ne se déplacent pas au Canada pour les réunions mais y participent plutôt par téléphone, à partir d’un lieu situé à l’extérieur du Canada; et
les administrateurs non résidents n’ont pas cessé de résider au Canada au cours de l’année ou d’une année antérieure et ils ne se rendent pas physiquement au Canada pendant l’année.

À moins d’indications contraires, tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi de l’impôt sur le revenu (« la Loi ») et toute mention du « Règlement » fait référence au Règlement de l’impôt sur le revenu.

En vertu du sous-alinéa 115(1)a)(i), les revenus tirés des fonctions de charges et d'emplois exercées au Canada par une personne qui ne réside pas au Canada sont à inclure à son revenu imposable au Canada pour l’année au cours de laquelle ils sont reçus. Des jetons de présence reçus par un administrateur d’une société sont considérés comme étant du revenu tiré d’une fonction de charge. Votre question vise donc à savoir si cette charge est exercée au Canada lorsque l’administrateur exécute celle-ci par téléphone, à partir d’un lieu situé à l’extérieur du Canada.

Selon nous, un administrateur non résident, situé à l’extérieur du Canada, qui participe à une réunion d’un conseil d’administration d’une société résidant au Canada tenue au Canada par l’entremise d’un système téléphonique, ou par l’entremise de tout autre système de télécommunication, ne réalise généralement pas, de ce fait, un revenu tiré d’une charge ou d’un emploi exercé au Canada. Dans ces circonstances, le système téléphonique, ou tout autre système semblable, nous apparait être utilisé au titre d’un moyen de transmission de services rendus de l’extérieur du Canada.

Lorsque des jetons de présence sont payés à un administrateur non résident du Canada pour une prestation de travail effectuée au Canada, des retenues à la source doivent être prélevées à même les montants payés en application de l’alinéa 153(1)a) et de l’article 102 du Règlement. Toutefois, le paragraphe 104(2) du Règlement prévoit qu’aucun montant ne doit généralement être ainsi déduit ou retenu d’un paiement en vertu de l’article 102 du Règlement, lorsque ce paiement est reçu à l’égard d’un employé qui n’était pas employé au Canada et qui n’y résidait pas au moment du paiement, sauf dans des cas où la rémunération est raisonnablement attribuable aux fonctions d'une charge ou d'un emploi exercés (ou à être exercés) au Canada par une personne non résidente ou dans certaines situations où la personne non résidente a cessé de résider au Canada. Ainsi, conformément à ces règles, des jetons de présence reçus par un administrateur non résident, qui n’a pas cessé de résider au Canada dans l’année ou dans une année antérieure, et qui exerce des fonctions de charges ou d'emplois à l’extérieur du Canada, ne devraient généralement pas être assujettis à une retenue à la source en application du Règlement 102.

À moins d’être exemptée, une copie de la présente note de service sera dépersonnalisée en application de la Loi sur l’accès à l’information et ajoutée à la bibliothèque électronique de l’ARC. De plus, après un délai de 90 jours, la copie dépersonnalisée sera distribuée aux éditeurs de publications fiscales pour qu’ils l’ajoutent dans leurs bases de données. Vous pouvez demander la prolongation du délai de 90 jours. Le processus de dépersonnalisation supprime tout ce qui ne doit pas être divulgué, notamment les renseignements qui pourraient révéler l’identité d’un contribuable. Le contribuable peut demander une copie dépersonnalisée de la note de service en application de la Loi sur la protection des renseignements personnels, selon laquelle l’identité du contribuable n’est pas supprimée. Pour obtenir une copie de cette dernière version, adressez votre demande à ITRACCESSG@cra-arc.gc.ca. Nous vous enverrons alors une copie à remettre au contribuable.
