Faits

Opco est un organisme sans but lucratif.

Le conseil d'administration d'Opco est formé de dix membres qui n'ont pas de lien de dépendance entre eux au sens de la Loi de l'impôt sur le revenu (" L.I.R. ").

Opco souhaite créer un organisme de bienfaisance enregistré. Plus spécifiquement, Opco souhaite incorporer une entité en vertu de la Partie III de la Loi sur les compagnies (" Nouco ") et obtenir un enregistrement à titre d'œuvre de bienfaisance auprès de l'Agence du revenu du Canada.

Les règlements de Nouco prévoient que son conseil d'administration devra être formé de cinq personnes. Les règlements de Nouco prévoient que les personnes éligibles au poste d'administrateur doivent être membres du conseil d'administration d'Opco.

Est-ce que le fait que des individus, qui par ailleurs n'ont aucun lien de dépendance entre eux, siègent sur le conseil d'administration d'Opco et de Nouco fait en sorte que ces deux entités ont un lien de dépendance aux fins de la L.I.R.?

Réponse de l'ARC

À l'exception des situations où l'un des alinéas 251(1)a) ou b) L.I.R. s'appliquent, la question de savoir si deux entités ont ou non entre elles un lien de dépendance à un moment donné en est une de fait.

Tel que mentionné au paragraphe 23 du Bulletin d'interprétation IT-419R2, les tribunaux ont, de manière générale, appliqué les critères suivants pour déterminer si une transaction avait été réalisée entre des personnes ayant un lien de dépendance entre elles :

• un seul cerveau dirige les négociations pour les deux parties à une transaction ;
• les parties à une transaction agissent de concert sans intérêts distincts ;
• il y a exercice effectif (de fait) du contrôle.

Le fait d'avoir des administrateurs communs dans deux sociétés ainsi que des employés travaillant pour les deux sociétés a été l'un des facteurs qui a permis d'établir si ces critères étaient satisfaits dans l'affaire Noranda Mines Limited c. M.R.N., 87 DTC 379 (CCI).

Lors de son analyse des faits et circonstances entourant une situation donnée, l'ARC tiendrait compte, entre autres, de cette décision de la Cour canadienne de l'impôt. L'ARC pourrait, selon les faits et le contexte, arriver à la conclusion qu'il y a un lien de dépendance entre deux entités en raison du fait que des particuliers siègent sur le conseil d'administration des deux entités.

Facts

Opco is a non-profit organization.

Opco's board of directors consists of ten members who deal at arm's length with each other within the meaning of the Income Tax Act ("ITA").

Opco would like to create a registered charity. More specifically, Opco would like to incorporate an entity pursuant to Part III of the Companies Act ("Nouco") which entity would be registered with CRA as a charitable organization.

Nouco's by-laws require that its board of directors be comprised of five persons. Nouco's by-laws provide that a person has to be a member of Opco's board of directors, to become a director of Nouco.

Does the fact that individuals dealing at arm's length with each other sit on Opco's and Nouco's board of directors create a non-arm's length relationship between these two entities for the purposes of the ITA?

CRA response

Except where paragraph 251(1)(a) or (b) of the ITA applies, it is a question of fact whether two entities are dealing with each other at arm's length at a particular time.

As mentioned in paragraph 23 of Interpretation Bulletin IT-419R2, the following criteria have generally been used by the courts in determining whether parties to a transaction are not dealing at "arm's length":

• was there a common mind which directs the bargaining for both parties to a transaction;
• were the parties to a transaction acting in concert without separate interests; and
• was there a "de facto" control.

Having the same directors in two corporations, as well as employees working for both corporations, was one of the factors that helped establish whether these criteria had been met in Noranda Mines Limited v. M.R.N., 87 DTC 379 (TCC).

When analyzing the facts and circumstances surrounding a particular situation, the CRA would take, among other things, that decision of the Tax Court of Canada, into account. The CRA could, depending on the facts and on the context, conclude that the two entities do not deal at arm's length with each other due to the fact that certain individuals sit on the board of directors of both entities.
