Position Adoptée: 1) Le particulier réaliserait, au moment du transfert des actions, le gain en capital sur les actions transférées, le cas échéant; les règles d'attribution ne s'appliqueraient pas; les dividendes seraient inclus au revenu du conjoint et les intérêts seraient déductibles par le conjoint dans la mesure où toutes les conditions de l'alinéa 20(1)c) L.I.R. étaient satisfaites. 2) L'ARC appliquerait la RGAÉ pour refuser au particulier la déduction des intérêts dans le calcul du revenu ou de la perte qui lui serait attribué et pourrait envisager l'imposition de pénalités.

Opérations de type Lipson

Questions à l'ARC

Nous souhaiterions connaître quelle serait la position actuelle de l'ARC face à un dossier où un contribuable s'engageait, en 2009, dans des opérations semblables à celles réalisées par Monsieur Lipson et analysées par la Cour suprême du Canada en janvier 2009 dans les hypothèses suivantes :

(i) Le particulier effectue plutôt le choix de la JVM lors du transfert d'actions à son conjoint et reçoit une contrepartie égale à la JVM;

(ii) Le particulier applique en tout point la stratégie de M. Lipson et laisse les règles du paragraphe 73(1) L.I.R. s'appliquer au transfert des actions.

Compte tenu qu'un contribuable ne peut pas de son propre chef s'auto-appliquer la règle générale anti-évitement (RGAÉ) lors de la production de ses déclarations fiscales, comment le particulier et son conjoint devraient-ils produire leurs déclarations de revenus dans le scénario (ii)?

Réponse de l'ARC

Dans la situation décrite dans le scénario (i), le particulier transfère les actions qu'il détient à son conjoint et fait le choix de soustraire ces actions à l'application du paragraphe 73(1) L.I.R. En vertu de l'alinéa 74.5(1)c) L.I.R., puisque le particulier choisit de ne pas se prévaloir du roulement prévu au paragraphe 73(1) L.I.R., les règles d'attribution prévues au paragraphe 74.1(1) L.I.R. ne s'appliquent pas au revenu ou à la perte dérivé des actions transférées.

D'une part, cette situation se distingue de l'affaire Lipson puisque, dans ce contexte, le particulier réalise, au moment du transfert des actions, le gain en capital sur les actions transférées, le cas échéant. D'autre part, elle se distingue aussi de l'affaire Lipson du fait que le revenu ou la perte provenant des actions transférées n'est pas attribué au particulier mais est plutôt imposé au niveau du conjoint.

Ce dernier pourrait déduire les intérêts sur l'emprunt contracté pour acquérir les actions dans la mesure où toutes les conditions de l'alinéa 20(1)c) L.I.R. sont satisfaites.

Dans la situation décrite dans le scénario (ii), le particulier transfère les actions qu'il détient à son conjoint et ne fait pas le choix de soustraire ces actions à l'application du paragraphe 73(1) L.I.R. Par conséquent, sous réserve de dispositions anti-évitement spécifiques qui pourraient trouver application et de la RGAÉ, les règles d'attribution prévues au paragraphe 74.1(1) L.I.R. s'appliqueraient normalement au revenu ou à la perte provenant des actions transférées.

Dans l'affaire Lipson, la Cour suprême du Canada a qualifié ces opérations d'abusives et a appliqué la RGAÉ de manière à refuser à Monsieur Lipson la déduction des intérêts dans le calcul du revenu ou de la perte qui lui était attribué. Tout comme dans l'affaire Lipson, l'ARC appliquerait le paragraphe 245(2) L.I.R. et refuserait au particulier la déduction des intérêts dans le calcul du revenu ou de la perte qui lui serait attribué.

En ce qui concerne la production des déclarations de revenus du particulier et de son conjoint dans une telle situation, il appartient à chaque contribuable de procéder honnêtement, chaque année, à la préparation de sa déclaration de revenus en tenant compte des dispositions de la L.I.R. applicables. Cependant, nous notons que dans le scénario (ii), le particulier et son conjoint prendraient part à des opérations qui ont déjà été qualifiées d'abusives par la Cour suprême du Canada. Dans les circonstances, et tel que nous l'avons déjà mentionné dans le document 2006-0196021C6, l'ARC pourrait envisager d'appliquer la pénalité prévue au paragraphe 163(2). Également, l'imposition de pénalités administratives à des tiers pourrait être envisagée, conformément à ce qui est indiqué au paragraphe 77 de la Circulaire d'information 01-1, Pénalités administratives imposées à des tiers.

Lipson-Type Transactions

Question to the CRA

We would like to know what the CRA's current position would be in a situation where a taxpayer proceeds, in 2009, with transactions similar to those carried out by Mr. Lipson and analyzed by the Supreme Court of Canada in January 2009, in the following hypothetical scenarios:

(i) Instead, the individual makes an election for the transfer of shares at FMV to his spouse and receives consideration equal to the FMV;

(ii) The individual applies the exact strategy of Mr. Lipson and lets the rules of subsection 73(1) of the ITA apply to the transfer of the shares.

Given that a taxpayer cannot, on his own initiative, apply the general anti-avoidance rule (GAAR) to himself when filing his tax returns, how should the individual and his spouse file their tax returns in scenario (ii)?

CRA Response

In the situation described in scenario (i), the individual transfers the shares he owns to his spouse and elects not to have the provisions of subsection 73(1) of the ITA apply to the shares. Pursuant to paragraph 74.5(1)(c) of the ITA, since the individual elects not to take advantage of the rollover provided in subsection 73(1) of the ITA, the attribution rules set out in subsection 74.1(1) of the ITA do not apply to the income or loss derived from the transferred shares.

On the one hand, this situation differs from the situation in Lipson, because in this context, the individual realizes the capital gain on the transferred shares, if any, at the time of the transfer. Additionally, it also differs from Lipson because the income or loss resulting from the transferred shares is not attributed to the individual, but is taxed instead in the hands of the spouse.

The spouse could deduct the interest on the borrowing made to acquire the shares, to the extent that all the conditions in paragraph 20(1)(c) of the ITA are met.

In the situation described in scenario (ii), the individual transfers the shares he owns to his spouse and does not make the election that the provisions of subsection 73(1) of the ITA do not apply to the shares. Consequently, subject to any specific anti-avoidance provisions that may apply and the GAAR, the attribution rules provided in subsection 74.1(1) of the ITA would normally apply to the income or loss from the transferred shares.

In Lipson, the Supreme Court of Canada described these transactions as abusive and applied the GAAR so as to disallow the deduction of interest for Mr. Lipson in computing the income or loss attributed to him. As in the Lipson case, the CRA would apply subsection 245(2) of the ITA and would disallow the deduction of interest in computing the income or loss that would be attributed to the individual.

Regarding the filing of the tax returns of the individual and his spouse in such a situation, it is the responsibility of each taxpayer to proceed with the preparation of his tax return each year in an honest manner, taking into account the applicable provisions of the ITA. However, we note that in scenario (ii), the individual and his spouse would be taking part in transactions that have already been deemed abusive by the Supreme Court of Canada. In the circumstances, and as we previously mentioned in document 2006-0196021C6, the CRA might consider applying the penalty provided in subsection 163(2) of the ITA. In addition, the application of third-party civil penalties might be considered, in accordance with what is indicated in paragraph 77 of Information Circular 01-1, Third-Party Civil Penalties.
