Désenregistrement de REÉR et hypothèque légale
Les conditions d'enregistrement d'un régime d'épargne-retraite au sous-alinéa 146(2)c.3)(ii) de la L.I.R. prévoient que lorsqu'un dépositaire est en cause, les biens détenus en vertu du régime ne peuvent être donnés en gage, cédés ou autrement aliénés pour garantir un prêt ou à toute autre fin que d'assurer au rentier un revenu de retraite à compter de l'échéance.
L'alinéa 146(12)a) L.I.R. prévoit qu'un régime enregistré d'épargne-retraite (ci-après " REÉR ") qui est révisé ou modifié de sorte qu'il ne répond plus aux conditions d'enregistrement prévues à l'article 146 L.I.R. est réputé ne plus être un REÉR.
Une opinion a été demandée pour savoir si les dispositions du paragraphe 146(12) L.I.R. s'appliquent lorsque l'Agence acquiert une hypothèque légale sur les REÉR. Dans l'interprétation technique numéro 2007-0258051I7 du 23 novembre 2007 1 , l'ARC a répondu que les conditions d'application du paragraphe 146(12) L.I.R. ne sont pas satisfaites du seul fait qu'un créancier acquiert une hypothèque légale en vertu de l'article 2730 du Code civil du Québec 2 .
Pouvez-vous préciser les raisons justifiant cette position? Votre opinion est-elle la même lorsque le créancier n'est pas l'ARC?
Réponse de l'ARC
L'article 2730 C.c.Q. permet à certains créanciers d'acquérir une hypothèque. Cet article se lit comme suit :
" Tout créancier en faveur de qui un tribunal ayant compétence au Québec a rendu un jugement portant condamnation à verser un somme d'argent, peut acquérir une hypothèque légale sur un bien, meuble ou immeuble, de son débiteur.
Il l'acquiert par l'inscription d'un avis désignant le bien grevé par l'hypothèque et indiquant le montant de l'obligation (...). L'avis est présenté avec une copie du jugement et une preuve de sa signification au débiteur. "
Pour que le paragraphe 146(12) L.I.R. s'applique à une situation spécifique, le régime doit, notamment, être révisé ou modifié ou un nouveau régime doit lui être substitué et ne plus répondre aux conditions d'enregistrement prévus à l'article 146 L.I.R.. De façon générale, le paragraphe 146(13) L.I.R. répute, aux fins du paragraphe146(12), un nouveau régime substitué au régime existant lorsqu'il existe un accord visé à ce paragraphe. L'ARC est d'opinion que les conditions d'application des paragraphes 146(12) et (13) L.I.R. ne sont pas remplies du seul fait qu'un créancier acquiert une hypothèque en vertu de l'article 2730 C.c.Q. Cette opinion s'applique que le créancier soit l'ARC ou une autre personne.

Deregistration of RRSP and Legal Hypothec
The conditions for registration of a retirement savings plan in subparagraph 146(2)(c.3)(ii) of the ITA stipulate that where a depositary is involved, the property held under the plan cannot be pledged, assigned or in any way alienated as security for a loan or for any purpose other than that of providing for the annuitant, commencing at maturity, a retirement income.
Paragraph 146(12)(a) of the ITA stipulates that a registered retirement savings plan (hereafter "RRSP") that is revised or amended such that it no longer complies with the conditions for registration provided in section 146 of the ITA shall be deemed not to be a RRSP.
An opinion was requested to determine whether the provisions of subsection 146(12) of the ITA apply where the CRA acquires a legal hypothec on RRSPs. In technical interpretation number 2007-0258051I7 dated November 23, 2007 3 , the CRA responded that the conditions for application of subsection 146(12) of the ITA are not satisfied simply because a creditor acquires a legal hypothec pursuant to article 2730 of the Civil Code of Québec 4 .
Can you explain the reasons justifying this position? Is your opinion the same when the creditor is not the CRA?
CRA Response
Article 2730 C.c.Q. allows certain creditors to acquire a hypothec. This article reads as follows:
Every creditor in whose favour a judgment awarding a sum of money has been rendered by a court having jurisdiction in Québec may acquire a legal hypothec on the movable or immovable property of his debtor.
He may acquire it by registering a notice describing the property charged with the hypothec and specifying the amount of the obligation (...). The notice is filed with a copy of the judgment; it must be served on the debtor.
In order for subsection 146(12) of the ITA to apply to a specific situation, the plan must, in particular, be revised or amended or a new plan substituted for it and no longer comply with the conditions for registration provided in section 146 of the ITA. In general terms, subsection 146(13) of the ITA deems, for the purposes of subsection 146(12) of the ITA, a new plan to be substituted for the existing plan where there is an arrangement as referred to in that subsection. The CRA is of the view that the conditions for the application of subsections 146(12) and (13) of the ITA are not satisfied simply because a creditor acquires a hypothec pursuant to article 2730 C.c.Q. This opinion is applicable whether the creditor is the CRA or another person.
