Définition de AAPE
L'alinéa 110.6(14)b) L.I.R. prévoit que pour les fins de la définition d' "action admissible de petite entreprise" (AAPE) que l'on retrouve au paragraphe 110.6(1) L.I.R., "le droit visé à l'alinéa 251(5)b) L.I.R. ne comprend pas un droit prévu par convention d'achat-vente portant sur une action du capital-actions d'une société".
Questions:
a) L'ARC considère-t-elle qu'une convention prévoyant que des actions d'une société pourraient être émises à une personne non-résidente dans certaines circonstances et sur décision de cette personne constitue une "convention d'achat-vente" pour les fins de l'alinéa 110.6(14) b) L.I.R.?
b) L'ARC pourrait-elle plus généralement apporter des précisions quant à son interprétation de cette expression?
Réponse de l'ARC
a) L'alinéa 110.6(14)b) L.I.R. a pour effet de permettre à un particulier dont les actions sont des AAPE de ne pas perdre ce statut du seul fait qu'il a conclu une convention d'achat-vente relativement à ses actions. Tout autre droit visé à l'alinéa 251(5)b) L.I.R. peut faire en sorte qu'une action ne rencontre pas les exigences de la définition de AAPE, notamment en ce qui a trait à l'exigence de propriété des actions.
Une convention d'achat-vente doit d'abord constituer un droit visé à l'alinéa 251(5)b) L.I.R. avant qu'il ne soit pertinent de l'exclure en vertu de l'alinéa 110.6(14)b) L.I.R.. Aux termes du bulletin d'interprétation IT-419R2, Sens de l'expression "sans lien de dépendance", l'ARC est d'avis que bien que le libellé de l'alinéa 251(5)b) L.I.R. soit suffisamment général pour comprendre presque n'importe quelle convention "d'achat-vente", ce paragraphe ne s'applique normalement pas uniquement en raison de l'existence d'un droit de premier refus ou d'une clause de coercition (en anglais, appelée "shotgun clause").
Une convention prévoyant que des actions d'une société pourraient être émises à une personne non-résidente dans certaines circonstances et sur décision de cette personne semble à première vue constituer un contrat d'option d'achat ("call option"). Selon les termes d'un tel contrat, le bénéficiaire de l'option d'achat peut exiger qu'une autre partie - celle qui a accordé l'option d'achat - lui vende les actions qui font l'objet de l'option d'achat.
La position de l'ARC - telle qu'énoncée dans l'interprétation 2002-0156745 - est qu'un contrat d'option d'achat ne peut être qualifié de convention d'achat-vente aux fins de l'application de l'alinéa 110.6(14)b) L.I.R.. Ainsi, les droits découlant d'un contrat d'option d'achat sont pertinents afin de déterminer si une action constitue une AAPE aux termes du paragraphe 110.6(1) L.I.R..
b) Puisque le terme "convention d'achat-vente" n'est pas défini dans la L.I.R., l'ARC est d'avis qu'il est nécessaire d'interpréter cette expression à la lumière de son sens ordinaire. Quoique la forme et la teneur d'une convention d'achat-vente peut varier selon les circonstances, l'ARC a indiqué dans l'interprétation 2002-0156745 qu'une telle convention d'achat-vente est généralement défini comme étant un contrat bilatéral qui prévoit habituellement la vente par une personne et l'acquisition par une autre personne de biens qui font l'objet de la convention appartenant à la première personne.

Definition of QSBC Share
Paragraph 110.6(14)(b) of the ITA provides that, for the purpose of the definition of "qualified small business corporation share" (QSBCS), that is found at subsection 110.6(1) of the ITA, the "right referred to in paragraph 251(5)(b) shall not include a right under a purchase and sale agreement relating to a share of the capital stock of a corporation".
Questions:
c) Does the CRA consider that a contract providing that the shares of a corporation could be issued to a non-resident person in certain circumstances and under the direction of that person constitutes a "purchase and sale agreement" for the purpose of paragraph 110.6(14)(b) of the ITA?
d) Could the CRA give more general precisions on the interpretation of this expression?
CRA's Response
(a) The purpose of paragraph 110.6(14)(b) of the ITA is to allow a taxpayer who is the owner of shares that are QSBCS not to lose this status by the very fact that he has entered into a purchase and sale agreement concerning those shares. Any other right referred to in paragraph 251(5)(b) of the ITA may disqualify a share from being a QSBCS, notably with respect to the requirement of ownership of the shares.
A purchase and sale agreement must first constitute a right referred to in paragraph 251(5)(b) of the ITA before it may be excluded under paragraph 110.6(14)(b) of the ITA. As per Interpretation Bulletin IT-419R2, Meaning of Arm's Length, the CRA is of the opinion that, even if the wording of paragraph 251(5)(b) of the Act may be broad enough to include almost any "purchase and sale" agreement, this paragraph normally does not apply solely because of a right of first refusal or a shotgun agreement.
An agreement providing that shares of a corporation could be issued to a non-resident in certain circumstances and on the direction of that person seems, at first glance, to constitute a call option agreement. Under the terms of such agreement, the beneficiary of the call option can force that other party - the party that granted the call option - to sell him the shares that are subject to the call option.
The CRA's position - as outlined in technical interpretation #2002-0156745 - is to the effect that a call option agreement cannot constitute a purchase and sale agreement for the purpose of the application of paragraph 110.6(14)(b) of the ITA. Hence, the rights resulting from a call option agreement must be considered when determining whether a share constitutes a QSBCS for the purpose of subsection 110.6(1) of the ITA.
(b) Since the expression "purchase and sale agreement" is not defined in the ITA, the CRA is of the opinion that it is necessary to interpret this expression in light of its ordinary meaning. Although the form and content of a purchase and sale agreement can be different according to circumstances, the CRA has indicated in technical interpretation 2002-0156745 that a purchase and sale agreement is generally defined as a bilateral agreement that usually provides for the sale by one person and the purchase by another person of properties, that are identified by the agreement, belonging to the first person.
