Dear Sir,

Subject: Donation of a portion of the value of a property

This is in response to your fax of March 18, 2003 regarding the above subject. You indicated that your corporation is in the process of obtaining charitable status. An estate has offered to sell land to your corporation at a price that is less than its fair market value (FMV). You asked us if the corporation can issue a donation receipt for the difference between the FMV of the property and the price paid to acquire it.

As stated in paragraph 22 of Information Circular 70-6R5 dated May 17, 2002, it is our practice not to issue written opinions on proposed transactions otherwise than by way of advance rulings. We can, however, offer the following general comments which we hope you will find useful. These comments may not, however, apply to your particular circumstances in certain circumstances.

The question of whether a taxpayer has made a gift can only be resolved after taking into account all the relevant facts and documents pertaining to the arrangement. The Agency has clarified its interpretive approach to determining whether there is a gift in Income Tax Technical News No. 26. As stated therein, for there to be a gift there must be a voluntary transfer of property to the donee, as well as a clearly ascertainable value. In addition, any advantage the donor receives in respect of the transfer of the property must be clearly stated and the value of that advantage must be ascertainable.

As noted on page 2 of Income Tax Technical News No. 26, consistent with the case law, in order for there to be a gift there must be a clear donative intent to enrich the donee. It is recognized that the determination of donative intent is a subjective determination which can be difficult to establish. In this regard, it is proposed that the Income Tax Act be amended by adding subsection 248(32) so that a transfer of property will not necessarily be disqualified from being a gift, provided the amount of the advantage does not exceed 80% of the value of the property transferred to the donee. In exceptional circumstances, where the amount of the advantage exceeds 80% of the value of the transferred property, the transfer may still nevertheless qualify as a gift under the proposed amendments, provided the donor is able to establish to the satisfaction of the Minister that there was an intention to make a gift.

The proposed definition of "eligible amount of a gift" in new subsection 248(30) of the Act provides that this amount will generally be the amount by which the FMV of the property that is the subject of the gift exceeds the amount of the advantage in respect of the gift.

As indicated in paragraph 26 of the Income Tax Technical News, although the Agency is allowing time for stakeholders to make recommendations before revising its publications to reflect its new interpretation, the guidelines set out in that issue of the Income Tax Technical News and briefly outlined above may be followed in the interim.

In your fax, you stated that your corporation is in the process of obtaining charitable status. In order for a taxpayer to claim a donation tax credit, the taxpayer must have made the donation to a qualified donee. Your corporation must be registered as a charity with the Agency to be a qualified donee. Donations you receive before such registration will not be considered charitable donations eligible for the donation tax credit.

As stated in Information Circular 70-6R5, this opinion is not an advance income tax ruling and is not binding.

Objet : Don pour une partie de la valeur d'un bien

La présente fait suite à votre fac-similé du 18 mars 2003 concernant le sujet susmentionné. Vous nous indiquez que votre société est sur le point d'obtenir le statut d'organisme de bienfaisance. Une succession a offert de vendre à votre société un terrain à un prix qui est inférieur à sa juste valeur marchande (JVM). Vous nous demandez si la société peut émettre un reçu pour don pour un montant correspondant à la différence entre la JVM du bien et le prix payé pour l'acquérir.

Tel qu'il est mentionné au paragraphe 22 de la circulaire d'information 70-6R5 du 17 mai 2002, nous avons comme pratique de ne pas émettre d'opinion écrite concernant des transactions projetées autrement que par voie de décisions anticipées. Nous pouvons toutefois vous offrir les commentaires généraux suivants qui, nous l'espérons, vous seront utiles. Ces commentaires pourraient cependant, dans certaines circonstances, ne pas s'appliquer à votre situation particulière.

La question de savoir si un contribuable a fait un don ne peut-être résolue qu'après avoir pris en compte tous les faits pertinents et les documents se rapportant à l'entente. L'Agence a précisé son approche interprétative pour déterminer s'il y a un don dans le numéro 26 des Nouvelles techniques de l'impôt. Tel qu'il y est mentionné, pour avoir un don il doit y avoir un transfert volontaire de biens au donataire, ainsi qu'une valeur clairement vérifiable. De plus, tout avantage que le donateur reçoit à l'égard du transfert du bien doit être indiqué clairement et la valeur de cet avantage doit être vérifiable.

Tel qu'il est indiqué à la page 2 du numéro 26 des Nouvelles techniques de l'impôt, conformément à la jurisprudence, pour qu'il y ait don il faut une intention manifeste de faire un don afin d'enrichir le donataire. Il est reconnu que déterminer la présence d'une telle intention comporte un élément subjectif et peut être difficile à établir. À cet égard, il est proposé que la Loi de l'impôt sur le revenu soit modifiée par l'ajout du paragraphe 248(32) de telle manière que le transfert d'un bien ne sera pas nécessairement exclu des dons, pourvu que le montant de l'avantage ne dépasse pas 80% de la valeur du bien transféré au donataire. Dans des circonstances exceptionnelles où le montant de l'avantage dépasse 80% de la valeur du bien transféré, le transfert pourra quant même être reconnu comme un don en vertu des modifications proposées, pourvu que le donateur puisse établir, de façon jugée satisfaisante par le ministre, qu'il avait l'intention de faire un don.

La définition proposée de " montant admissible d'un don " au nouveau paragraphe 248(30) de la Loi, prévoit que ce montant correspondra généralement à l'excédent de la JVM du bien qui fait l'objet du don sur le montant de l'avantage au titre du don.

Comme il est indiqué numéro 26 des Nouvelles techniques de l'impôt, même si l'Agence laisse aux intéressés le temps de formuler leurs recommandations avant la révision des ses publications pour tenir compte de sa nouvelle interprétation, les lignes directrices énoncées dans ce numéro des Nouvelles techniques de l'impôt et qui sont présentées brièvement ci-haut peuvent être suivies d'ici là.

Dans votre fac-similé, vous mentionnez que votre société est sur le point d'obtenir le statut d'organisme de bienfaisance. Pour qu'un contribuable puisse demander un crédit d'impôt pour don, il doit avoir fait ce don à un donataire reconnu. Votre société doit être enregistrée comme organisme de bienfaisance auprès de l'Agence pour être un donataire reconnu. Les dons que vous recevrez avant un tel enregistrement ne seront pas considérés comme des dons de bienfaisances admissibles au crédit d'impôt pour don.

Tel qu'il est mentionné dans la circulaire d'information 70-6R5, la présente opinion ne constitue pas une décision anticipée en matière d'impôt sur le revenu et elle ne nous lie pas.
