Position:

1. There is a deemed acquisition for the purposes of the taxable capital gains rules as per paragraph 48(3) of the Income Tax Act (the "Act"). At the time of immigration, there was no deemed acquisition for the purposes of the capital cost allowance rules.

2. There is a deemed acquisition of the interest in the partnership of the immigrating partner as per 48(3) of the Act.

Subject: Tax consequences of immigration

Dear XXXXXXXXXX,

This is in response to your email of May 8, 2002 on the above subject. In particular, you requested our opinion on two situations.

The facts of the first situation can be summarized as follows:

Mr. X immigrated to Canada in 1988. At the time of immigration, he held an undivided interest in a rental property located in the United States. The property was acquired in 1983 for US$300,000. At the time of immigration, the fair market value of the property was Cdn.$650,000 Canadian. After immigration, additions were made to the building. Mr. X's share of those additions were Cdn.$50,000. Since immigration, Mr. X has deducted Cdn.$50,000 as tax depreciation from his Canadian reported income in respect of the building. In 2001, Mr. X sold his property for Cdn.$550,000.

The facts of the second situation can be summarized as follows:

Mr. X immigrated to Canada in 1988. At the time of immigration, he held an interest in a partnership registered in the United States. The partnership owned a rental property located in the United States. Mr. X's interest in the partnership was acquired in 1983 at a cost of US$300,000. At the time of immigration, the fair market value of Mr. X's interest in the partnership was Cdn.$650,000. The partnership never incurred any debt and never held any assets other than the building.

After immigration, Mr. X invested an additional Cdn.$50,000 in the partnership. This amount was used to make additions to the building. In 2001, the partnership sold the building and Mr. X's share of the sale price was Cdn.$550,000. The partnership was wound up in 2002. The net income of the partnership had always been nil and no tax depreciation had been claimed.

The particular circumstances referred to in your request and on which you have sought our opinion appear to be an actual situation concerning a specific taxpayer. As explained in Information Circular 70-6R5, it is not the practice of this Directorate to provide comments on proposed transactions involving specific taxpayers otherwise than in the form of an advance income tax ruling. If your situation involved a specific taxpayer and a completed transaction, you should submit all relevant facts and documentation to the appropriate Tax Services Office for its opinion.

Regarding the above facts, you have addressed certain questions to us. In order to illustrate the interaction of the various applicable tax rules, we have retained the figures submitted in your hypothetical situations. Please note, however, that this letter represents an opinion and is not binding on the Canada Customs and Revenue Agency.

A - First situation

Question 1: What are the tax consequences to Mr. X on the disposition of the building in 2001? Specifically, does Mr. X realize a capital loss and recapture of depreciation, a capital loss only, or a terminal loss, and what are the amounts?

Comments:

i) Capital gains and losses

Your question concerns the tax consequences to Mr. X of the disposition of the building in 2001. Under paragraph 3(b) of the Income Tax Act (the Act), Mr. X, who is now a Canadian resident, must include his net taxable capital gain in computing his income for his 2001 taxation year. Section 38 of the Act provides that a taxable capital gain and an allowable capital loss are one-half of the capital gain and one-half of the capital loss respectively.

Paragraph 39(1)(a) states inter alia that a taxpayer's capital gain from the disposition of a property is the gain as determined by sections 38 to 55 inclusive. In this regard, subsection 40(1) sets out the general rule that the gain is the amount, if any, by which the taxpayer’s proceeds of disposition exceed the total of the adjusted cost base to the taxpayer of the property and any outlays and expenses made or incurred for the purpose of making the disposition.

The loss is the amount, if any, by which the adjusted cost base of the property to the taxpayer and the expenses made or incurred for the purpose of making the disposition exceed the proceeds of disposition.

Section 54 defines the "adjusted cost base" of a depreciable property as the capital cost to the taxpayer of the property at the time. In order to determine the capital cost of Mr. X's undivided share of the building, we must take into account the specific rules for determining "cost" in subsection 48(3) as it applied at the time of Mr. X's immigration in 1988. Subsection 48(3) read as follows:

48(3) Deemed acquisition of property on becoming resident in Canada. For the purposes of this subdivision, where a taxpayer has become, at any particular time in a taxation year and after 1971, resident in Canada, he shall be deemed to have acquired at the particular time each property owned by him at that time, other than

(a) property that would be taxable Canadian property if he had disposed of it immediately before the particular time, or

(b) property described in paragraph (1)(c) in respect of which the taxpayer had previously made an election under that paragraph in respect of the last preceding time he ceased to be resident in Canada,

at a cost equal to its fair market value at the particular time.

Subsection 48(3) deemed a taxpayer to have acquired his property at a cost equal to its fair market value at the time he became resident. In the context of the application of subsection 48(3) to this situation, there is no difference between the words "cost" and "capital cost". That was recognized by Pinard J. in H.R. Gaynor v. The Queen, [1988] 2 C.T.C. 163 (F.C.T.D.), aff'd, [1991] 1 C.T.C. 470 (F.C.A.), when he stated at pp. 166-167 in the context of the interpretation of section 54 of the Act:

[…] I fully agree with the comments made by the following authors on the subject:

- in a paper entitled "The Meaning of Cost in Canadian Income Tax" (Canadian Tax Paper No. 60-C.T.F. September 1982) D. Keith McNair states, at pages 105 and 106:

The courts frequently define "capital cost" in terms of cost, actual cost, historical cost or similar terms. For example, in Ottawa Valley, Power Co. President Jackett of the Exchequer Court made the following statements:

There has been no suggestion that there is any difference between "cost" and "capital cost" in the circumstances of this case. I should have thought that where property is acquired as capital assets of a business there is probably no difference between the ideas of "cost" and "capital cost". The situation may be different where capital assets, such as goodwill or the supply contract in the appeal, arise as a result of the current operations of a business.

Subsection 48(3) is a deeming provision that applies only for the purposes of subdivision c of Division B of Part I of the Act, namely sections 38 to 55 of the Act, which deal with taxable capital gains and allowable capital losses. Subsection 48(3) has been replaced by, in particular, subsection 128.1(1), which now applies to the entire Act. The effect of that change is to reduce the distortions that existed in the Act at the time of immigration with respect to the capital cost for determining a capital gain or loss and the capital cost for claiming capital cost allowance.¹

Mr. X was therefore deemed, pursuant to subsection 48(3), to have acquired his undivided interest in the U.S. property at fair market value when he became a Canadian resident in 1988.

You did not state Mr. X's proportionate interest in the building and the amount for which his interest was acquired. Consequently, we have assumed that Mr. X's undivided interest in the building was 50% and that it was acquired for US$150,000. Mr. X was therefore deemed to have acquired his undivided interest in the building for Cdn.$325,000 at the time he began to reside in Canada.

When the building was disposed of in 2001, the proceeds of disposition received were Cdn.$550,000. It is therefore reasonable to consider that Mr. X's undivided interest was disposed of for $275,000. The adjusted cost base of Mr. X's undivided interest was the capital cost as deemed pursuant to subsection 48(3) plus disbursements made for additions to the property following immigration, which brought the capital cost of Mr. X's undivided interest to Cdn.$375,000. Cost generally means the amount spent to acquire a good or service², which must necessarily take into account the Act’s deeming rules. Consequently, the $50,000 must be added to the amount deemed to be the "cost" by subsection 48(3) since it was made or incurred subsequent to the immigration.

Since Mr. X's adjusted cost base exceeded the proceeds of disposition, Mr. X was in a capital loss position. However, there can be no capital loss on the disposition of depreciable property, as provided in subparagraph 39(1)(b)(i).

ii) Recapture of Depreciation

Since Mr. X disposed of depreciable property, we must determine whether that event gave rise to recapture of depreciation or a terminal loss. Recapture of depreciation must be included in computing a taxpayer's income for the year. In this regard, subsection 13(1) of the Act states:

13. (1) Recapture of depreciation - A taxpayer shall include in computing income for a taxation year the amount, if any, by which the total of all amounts determined for E to J in the definition "undepreciated capital cost" in subsection (21) exceeds the total of all amounts determined for A to D in that definition in respect of the taxpayer's depreciable property of a prescribed class.

Undepreciated capital cost ("UCC") is defined in subsection 13(21) of the Act as follows:

undepreciated capital cost to a taxpayer of depreciable property of a prescribed class as of any time means the amount determined by the formula

(A + B + C + D + D.1) - (E + E.1 + F + G + H + I + J + K)

where

A is the total of all amounts each of which is the capital cost to the taxpayer of a depreciable property of the class acquired before that time,

B is the total of all amounts included in the taxpayer’s income under this section for a taxation year ending before that time, to the extent that those amounts relate to depreciable property of the class,

C is the total of all amounts each of which is such part of any assistance as has been repaid by the taxpayer, pursuant to an obligation to repay all or any part of that assistance, in respect of a depreciable property of the class subsequent to the disposition thereof by the taxpayer that would have been included in an amount determined under paragraph 13(7.1)(d) had the repayment been made before the disposition,

D is the total of all amounts each of which is an amount repaid in respect of a property of the class subsequent to the disposition thereof by the taxpayer that would have been an amount described in paragraph 13(7.4)(b) had the repayment been made before the disposition,

D.1 is the total of all amounts each of which is an amount paid by the taxpayer before that time as or on account of an existing or proposed countervailing or anti-dumping duty in respect of depreciable property of the class,

E is the total depreciation allowed to the taxpayer for property of the class before that time,

E.1 is the total of all amounts each of which is an amount by which the undepreciated capital cost to the taxpayer of depreciable property of that class is required (otherwise than because of a reduction in the capital cost to the taxpayer of depreciable property) to be reduced at or before that time because of subsection 80(5),

F is the total of all amounts each of which is an amount in respect of a disposition before that time of property (other than a timber resource property) of the taxpayer of the class, and is the lesser of

(a) the proceeds of disposition of the property minus any outlays and expenses to the extent that they were made or incurred by the taxpayer for the purpose of making the disposition, and

(b) the capital cost to the taxpayer of the property,

G is the total of all amounts each of which is the proceeds of disposition before that time of a timber resource property of the taxpayer of the class minus any outlays and expenses to the extent that they were made or incurred by the taxpayer for the purpose of making the disposition,

H is, where the property of the class was acquired by the taxpayer for the purpose of gaining or producing income from a mine and the taxpayer so elects in prescribed manner and within a prescribed time in respect of that property, the amount equal to that portion of the income derived from the operation of the mine that is, by virtue of the provisions of the Income Tax Application Rules relating to income from the operation of new mines, not included in computing income of the taxpayer or any other person,

I is the total of all amounts deducted under subsection 127(5) or 127(6), in respect of a depreciable property of the class of the taxpayer, in computing the taxpayers tax payable for a taxation year ending before that time and subsequent to the disposition of that property by the taxpayer,

J is the total of all amounts of assistance that the taxpayer received or was entitled to receive before that time, in respect of or for the acquisition of a depreciable property of the class of the taxpayer subsequent to the disposition of that property by the taxpayer, that would have been included in an amount determined under paragraph 13(7.1)(f) had the assistance been received before the disposition, and

K is the total of all amounts each of which is an amount received by the taxpayer before that time in respect of a refund of an amount added to the undepreciated capital cost of depreciable property of the class because of the description of D.1;

The effect on Mr. X of the application of subsection 13(1) and the definition of UCC in subsection 13(21) is to result in recapture of depreciation to be included in his income for the year 2001. The computation of the UCC and recapture must be made on the basis of each depreciable property in each class. The post-immigration addition is part of the same property in the same class.³ Consequently, Variable E is $50,000, Variable F is $225,000 (proceeds of disposition⁴ equaling capital cost⁵), Variable A is $225,000. The amount to be included under subsection 13(1) is therefore $50,000.

Question 2: What was the amount that was required to be included in Variable A of the definition of "undepreciated capital cost" in subsection 13(21) at the time of immigration?

Comments:

The amount that was required to be included in Variable A of the definition of UCC in subsection 13(21) at the time of immigration was the Canadian dollar equivalent of his interest in the building using the exchange rate in effect at the time of acquisition.⁶Since we do not have the date of acquisition of the undivided interest in the building, we have assumed that that amount is Cdn. $175,000.

“Capital cost" for purposes of the definition of UCC in subsection 13(21) means the actual, factual and historical cost to the taxpayer of the property. The taxpayer is not subject to the deeming provision in subsection 48(3) because section 13 is not included in subdivision c of Division B of Part I of the Act.

Question 3: If Mr. X were to realize recapture of depreciation in both Canada and the United States, would he be able to claim a foreign tax credit against that income?

Comments:

In Mr. X's situation, the rules of subsection 126(1) would have to be followed in order to claim a foreign tax credit, since the disposition of his interest in the building related to "non-business income tax". The tax credit is, however, limited by the fraction in paragraph 126(1)(b). The term "income" referred to in the latter paragraph must be determined according to Canadian tax law and not according to foreign law. Consequently, the numerator of the fraction in paragraph 126(1)(b) will include only the Canadian recapture determined under subsection 13(1). On the other hand, the "non-business income tax" in paragraph 126(1)(a) could be attributable to the foreign recapture.

Question 4: Would the answers to Questions 1 and 2 differ if the taxpayer had immigrated to Canada in 1993? If so, how would they differ and why?

Comments:

Assuming that Mr. X had begun to reside in Canada in 1993, the answers to Questions 1 and 2 would be different since section 128.1 would have been applicable. The capital cost of Mr. X's share of the building for capital cost allowance purposes would, pursuant to paragraphs 128.1(1)(b) and (c), be the fair market value of that property immediately before Mr. X became resident in Canada. This follows from the fact that subsection 128.1(1) applies to the Act as a whole, while subsection 48(3) applied only for the purposes of subdivision c of Division B of Part I of the Act, i.e., sections 38 to 55, which deal with taxable capital gains and allowable capital losses.

Question 5: Assuming that the sale price was Cdn. $250,000, what would be the tax consequences to Mr. X of his disposition of the building?

Comments:

The disposition of the building for $250,000 resulted in a terminal loss to Mr. X. The deduction of a terminal loss is determined in accordance with the method set out in subsection 20(16) which reads as follows:

Terminal loss

(16) Notwithstanding paragraphs 18(1)(a), 18(1)(b) and 18(1)(h), where at the end of a taxation year,

(a) the total of all amounts used to determine A to D in the definition undepreciated capital cost in subsection 13(21) in respect of a taxpayer’s depreciable property of a particular class exceeds the total of all amounts used to determine E to J in that definition in respect of that property, and

(b) the taxpayer no longer owns any property of that class,

in computing the taxpayer’s income for the year

(c) there shall be deducted the amount of the excess determined under paragraph 20(16)(a), and

(d) no amount shall be deducted for the year under paragraph 20(1)(a) in respect of property of that class.

Since the sum of the descriptions of Variables A to D in the definition of "undepreciated capital cost" in subsection 13(21) is $50,000 greater than the total of the descriptions of Variables E to J in the same formula, this results in a terminal loss for Mr. X. In this formula, the amounts for Variables A and E remain unchanged at $225,000 and $50,000 respectively. Variable F is $125,000, which represents the proceeds of disposition of Mr. X's undivided interest in the property.

B - Second Situation

We must point out that the statement of facts for the second situation is incomplete in order to answer your questions accurately. We have tried to fill in the gaps, if any, in order to present you with a situation that will clarify the interaction of the various rules of the Act. In addition, we would like to point out that the existence of a partnership is determined in accordance with the principles established by Canadian law.

Question 1: What are the tax consequences to Mr. X of the disposition of the building by the partnership in 2001?

Comments:

The disposition of the building in 2001 may result in a capital gain. However, you failed to indicate the "capital cost" of the building at the time of purchase by the partnership as well as the proceeds of disposition of the building. Assuming that the building was acquired by the partnership for Cdn.$700,000 in 1983, that additions were made to the building at a cost of $100,000, and that the same building was disposed of for Cdn.$1,100,000⁷, a taxable capital gain resulted. This consequence is explained by the use of the original cost or the cost incurred by the partnership to determine the "capital cost" as illustrated in Duncan v. R., [2002] 4 C.T.C. 1 (F.C.A.).⁸

The taxable capital gain must be calculated as if the partnership were a separate person resident in Canada and the partner must include his share of the taxable capital gain in income pursuant to section 3 and subsection 96(1). Based on the figures in the previous paragraph and assuming that the partnership has two partners with equal interests in the assets and profits, Mr. X's share of the taxable capital gain on the disposition of the building was $75,000.

The tax consequences of the disposition would have been quite different if subsection 96(8) had applied at the time of Mr. X's immigration.

Question 2: What are the tax consequences to Mr. X of the disposition of his partnership interest in 2002?

Comments:

The building was not deemed to have been acquired by the partnership at the time of the immigration of the partner, Mr. X, in 1988. Nevertheless, Mr. X was deemed to have acquired his partnership interest at fair market value at the time of immigration pursuant to subsection 48(3) since the term "taxpayer" in that subsection refers to the member of the partnership. Consequently, Mr. X was deemed to have acquired, at the time of immigration, his interest in the partnership for Cdn. $650,000. The adjusted cost base of Mr. X's interest was increased to $700,000 as a result of his $50,000 contribution made subsequent to immigration.⁹

In order to determine the tax consequences in 2002 of the disposition of Mr. X's interest following the dissolution of the partnership in 2002, it is necessary to determine the adjusted cost base of Mr. X's interest at the time of its disposition. The capital gain attributable to Mr. X on the disposition of the building had the effect of adding to the cost, in computing the adjusted cost base of the property that was Mr. X's interest, the full amount of his share of the $150,000 capital gain.¹⁰Assuming that Mr. X's share of the capital gain was distributed to him, the $150,000 was required to be deducted in computing his adjusted cost base.¹¹ If, as a result of the application of section 53, the adjusted cost base of Mr. X's interest was Cdn.$700,000 and the proceeds of disposition of his share were less than that amount, the tax consequence of the disposition would be a capital loss.

Question 3: How would the tax consequences differ if Mr. X had claimed Cdn.$50,000 of tax depreciation as a deduction from his partnership income reported in Canada?

Comments:

Assuming that capital cost allowance had been claimed against Canadian income, this would result in a recapture of capital cost allowance to the partnership equal to the amounts deducted as capital cost allowance.

Le revenu net de la société de personnes a toujours été nul et aucun amortissement fiscal n'a été réclamé.

Les circonstances particulières mentionnées dans votre demande et à propos desquelles vous avez demandé notre opinion semblent constituer une situation de fait touchant un contribuable précis. Comme l'explique la Circulaire d'information 70-6R5, la présente Direction n'a pas comme pratique de fournir des observations sur les opérations envisagées concernant des contribuables précis autrement que sous la forme d'une décision anticipée en matière d'impôt sur le revenu. Si votre situation concernait un contribuable précis et une opération réalisée, vous devriez soumettre tous les faits et documents pertinents au bureau des services fiscaux approprié afin d'obtenir son opinion.

En regard des faits ci-haut décrits, vous nous adressez certaines questions. Afin d'illustrer l'interaction des diverses règles fiscales applicables, nous avons conservé les chiffres soumis dans vos situations hypothétiques. Veuillez néanmoins noter que cette lettre représente une opinion qui ne lie en aucun cas l'Agence des douanes et du revenu du Canada.

A - Première situation

Question 1 : Quelles sont les incidences fiscales pour Monsieur X à la disposition de l'immeuble en 2001? Plus particulièrement, Monsieur X réalise-t-il une perte en capital et une récupération d'amortissement, une perte en capital seulement ou une perte finale et quels en sont les montants?

Commentaires :

i) Gains et pertes en capital

Votre question porte sur les conséquences fiscales pour Monsieur X de la disposition de l'immeuble en 2001. Selon l'alinéa 3b) de la Loi de l'impôt sur le revenu (la Loi), Monsieur X, qui est maintenant résident canadien, doit inclure son gain en capital imposable net dans le calcul de son revenu pour l'année d'imposition 2001. L'article 38 de la Loi prévoit qu'un gain en capital imposable et qu'une perte en capital déductible équivalent respectivement à la moitié du gain en capital et à la moitié de la perte en capital.

L'alinéa 39(1)a) de la Loi mentionne notamment que le gain en capital qu'un contribuable réalise suite à la disposition d'un bien est le gain tel que déterminé par les articles 38 à 55 inclusivement. À cet égard, le paragraphe 40(1) de la Loi énonce la règle générale que le gain est l'excédent éventuel du produit de disposition sur le prix de base rajusté du bien pour le contribuable et des dépenses encourues en vue de la disposition. La perte, quant à elle, est l'excédent éventuel du prix de base rajusté du bien pour le contribuable et des dépenses encourues en vue de la disposition sur le produit de disposition.

L'article 54 définit pour sa part le " prix de base rajusté " d'un bien amortissable comme étant le coût en capital du bien supporté par le contribuable à ce moment. Afin de déterminer le coût en capital de la part indivise de Monsieur X dans l'immeuble, nous devons prendre en considération les règles particulières de détermination du " coût " du paragraphe 48(3) de la Loi tel qu'applicable au moment de l'immigration de Monsieur X en 1988. Le paragraphe 48(3) se lisait comme suit :

48 (3) Acquisition de biens présumée lorsque le contribuable devient résident du Canada - Aux fins de la présente sous-section, lorsqu'un contribuable est devenu résident du Canada, à une date donnée dans une année d'imposition, après 1971, il est réputé avoir acquis à la date donnée chacun des biens qui lui appartenaient à cette date, autre

a) qu'un bien qui serait un bien canadien imposable si le contribuable en avait disposé immédiatement avant la date donnée, ou

b) qu'un bien visé à l'alinéa (1)c) relativement auquel le contribuable avait auparavant effectué un choix en vertu de cet alinéa relativement à la date à laquelle il a antérieurement cessé pour la dernière fois d'être résident du Canada,

à un coût égal à sa juste valeur marchande à la date donnée.

Selon le paragraphe 48(3) de la Loi, un contribuable est réputé avoir acquis ses biens pour un coût égal à la valeur marchande au moment où il est devenu résident. Dans le contexte de l'application du paragraphe 48(3) à la présente situation, il n'y a pas de différence entre les mots " coût " et " coût en capital ". C'est d'ailleurs ce que reconnaît le juge Pinard dans l'affaire H.R. Gaynor v. The Queen, [1988] 2 C.T.C. 163 (C.F. 1re inst.), confirmée, [1991] 1 C.T.C. 470 (C.A.F.), lorsqu'il mentionne aux pages 166 et 167 dans le contexte de l'interprétation de l'article 54 de la Loi:

[...] I fully agree with the comments made by the following authors on the subject:

- in a paper entitled "The Meaning of Cost in Canadian Income Tax" (Canadian Tax Paper No. 60-C.T.F. September 1982) D. Keith McNair states, at pages 105 and 106:

The courts frequently define "capital cost" in terms of cost, actual cost, historical cost or similar terms. For example, in Ottawa Valley, Power Co. President Jackett of the Exchequer Court made the following statements:

There has been no suggestion that there is any difference between "cost" and "capital cost" in the circumstances of this case. I should have thought that where property is acquired as capital assets of a business there is probably no difference between the ideas of "cost" and "capital cost". The situation may be different where capital assets, such as goodwill or the supply contract in the appeal, arise as a result of the current operations of a business.

Le paragraphe 48(3) de la Loi est une présomption qui ne s'applique qu'aux fins de la sous-section c de la section B de la partie I de la Loi, soit les articles 38 à 55 de la Loi qui portent sur les gains en capital imposables et les pertes en capital déductibles. Le paragraphe 48(3) de la Loi a été remplacé notamment par le paragraphe 128.1(1) de la Loi qui s'applique désormais à l'ensemble de la Loi. Cette distinction a notamment eu pour effet d'atténuer les distorsions présentes au sein de la Loi lors de l'immigration quant au coût en capital relatif à la détermination du gain ou d'une perte en capital et le coût en capital quant à la déduction pour amortissement.¹

Monsieur X est donc réputé, par l'effet du paragraphe 48(3) de la Loi, avoir acquis sa part indivise dans l'immeuble situé aux États-Unis à la juste valeur marchande lorsqu'il est devenu résident canadien en 1988.

Vous n'avez pas mentionné dans l'énoncé du problème, la proportion de la part de Monsieur X dans l'immeuble et le montant pour laquelle sa part a été acquise. Par conséquent, nous prendrons pour acquis que la part indivise de Monsieur X dans l'immeuble est de 50% et qu'elle a été acquise pour une somme de 150 000 $ en dollars américains. Monsieur X est donc réputé avoir acquis sa part indivise dans l'immeuble pour un montant de 325 000 $ dollars canadiens au moment où il commence à résider au Canada.

Lors de la disposition de l'immeuble en 2001, le produit de disposition obtenu était de 550 000 $ dollars canadiens. Il est donc raisonnable de considérer que la part indivise de Monsieur X a été disposé pour la somme de 275 000 $. Le prix de base rajusté de la part indivise de Monsieur X est le coût en capital tel que réputé par le paragraphe 48(3) de la Loi en plus des débours engendrés pour les additions apportées à l'immeuble suite à l'immigration ce qui porte le coût en capital de la part indivise de Monsieur X à 375 000 $ dollars canadiens. Le coût s'entend généralement du montant dépensé pour acquérir un bien ou un service² ce qui doit nécessairement prendre en considération les présomptions de la Loi. Par conséquent, le montant de 50 000 $ doit être ajouté au montant réputé être le " coût " par le paragraphe 48(3) puisqu'il a été encouru subséquemment à l'immigration.

Le prix de base rajusté de Monsieur X étant supérieur au produit de disposition, Monsieur X est en situation de perte en capital. Cependant, il ne peut y avoir de perte en capital lors de la disposition d'un bien amortissable tel que prévu par le sous-alinéa 39(1)b)(i) de la Loi.

ii) Récupération de l'amortissement

Puisque Monsieur X dispose d'un bien amortissable, nous devons déterminer si cet événement donne lieu à une récupération d'amortissement ou à une perte finale. La récupération de l'amortissement doit être incluse dans le calcul du revenu d'un contribuable pour l'année. À cet égard, le paragraphe 13(1) de la Loi stipule :

13. (1) Récupération de l'amortissement - Tout contribuable doit inclure, dans le calcul de son revenu pour une année d'imposition, l'excédent éventuel à la fin de l'année du total des sommes représentées par les éléments E à J de la formule figurant à la définition de " fraction non amortie du coût en capital " au paragraphe (21) sur le total des sommes représentées par les éléments A à D de cette formule, concernant ses biens amortissables d'une catégorie prescrite.

La fraction non amortie du coût en capital (la " FNACC ") est définie comme suit au paragraphe 13(21) de la Loi :

" fraction non amortie du coût en capital " S'agissant de la fraction non amortie du coût en capital existant à un moment donné pour un contribuable, relativement à des biens amortissables d'une catégorie prescrite, le montant calculé selon la formule suivante :

(A + B + C + D + D.1) -
(E + E.1 + F + G + H + I + J + K)

où :

A représente le total des sommes dont chacune est le coût en capital que le contribuable a supporté pour chaque bien amortissable de cette catégorie acquis avant ce moment;

B le total des sommes incluses en vertu du présent article dans le revenu du contribuable pour une année d'imposition antérieure à ce moment, si ces sommes sont relatives à des biens amortissables de cette catégorie;

C le total des sommes dont chacune est la fraction d'une aide que le contribuable a remboursée en vertu d'une obligation de rembourser tout ou partie de cette aide en ce qui concerne un bien amortissable de cette catégorie après qu'il en a disposé et qui aurait été incluse dans une somme déterminée en vertu de l'alinéa (7.1)d) si le remboursement avait été effectué avant la disposition;

D le total des montants dont chacun est un montant, remboursé relativement à un bien de la catégorie après la disposition de celui-ci par le contribuable, qui aurait été visé à l'alinéa (7.4)b) si le remboursement avait été fait avant la disposition;

D.1 le total des sommes représentant chacune un montant payé par le contribuable avant ce moment au titre d'un droit compensateur ou antidumping en vigueur ou proposé sur un bien amortissable de cette catégorie;

E l'amortissement total accordé au contribuable relativement aux biens de cette catégorie avant ce moment;

E.1 le total des montants représentant chacun un montant qui, par l'effet du paragraphe 80(5), est à appliquer, à ce moment ou antérieurement, en réduction de la fraction non amortie du coût en capital, pour le contribuable, d'un bien amortissable de cette catégorie (pour une raison autre que la réduction du coût en capital de biens amortissables pour le contribuable);

F le total des sommes dont chacune est, pour une disposition, avant ce moment, de biens (sauf les avoirs forestiers) de cette catégorie dont le contribuable est propriétaire, la moins élevée des sommes suivantes :

a) le produit de disposition des biens moins les dépenses engagées ou effectuées en vue de la disposition;

b) le coût en capital que ce contribuable a supporté pour les biens;

G le total des sommes dont chacune est, pour une disposition, avant ce moment, d'un avoir forestier de cette catégorie dont le contribuable est propriétaire, le produit de disposition de cet avoir moins les dépenses engagées ou effectuées en vue de la disposition;

H la somme, lorsque le contribuable a acquis les biens de cette catégorie en vue de tirer un revenu d'une mine et qu'il fait un choix à l'égard de ces biens selon les modalités et dans le délai réglementaire, égale à la partie du revenu tiré de l'exploitation de la mine qui n'est pas, en vertu des Règles concernant l'application de l'impôt sur le revenu relatives au revenu tiré de l'exploitation de nouvelles mines, incluse dans le calcul du revenu du contribuable ou d'une autre personne;

I le total des sommes dont chacune est une somme déduite en application du paragraphe 127(5) ou (6), au titre d'un bien amortissable de cette catégorie, dans le calcul de l'impôt payable par le contribuable pour une année d'imposition se terminant avant ce moment et après qu'il a disposé de ces biens;

J le total des sommes dont chacune est une aide que le contribuable a reçue ou avait le droit de recevoir avant ce moment à l'égard d'un bien amortissable de cette catégorie du contribuable - ou pour l'acquisition d'un tel bien - après avoir disposé de ces biens et qui aurait été incluse dans une somme déterminée en vertu de l'alinéa (7.1)f) si l'aide avait été reçue avant la disposition;

K le total des sommes représentant chacune un montant reçu par le contribuable avant ce moment à titre de remboursement d'un montant ajouté à la fraction non amortie du coût en capital des biens amortissables de cette catégorie par l'effet de l'élément D.1 de la formule figurant à la présente définition.

La conséquence pour Monsieur X de l'application du paragraphe 13(1) et de la définition de la FNACC du paragraphe 13(21) de la Loi entraîne une récupération d'amortissement à inclure dans son revenu de l'année 2001. Le calcul de la FNACC et de la récupération doit être effectué en fonction de chaque bien amortissable de chaque catégorie. Le rajout effectué après l'immigration fait partie du même bien de la même catégorie.³ Par conséquent, l'élément E est de 50 000, l'élément F est de 225 000 $ (le produit de disposition⁴ est égal au coût en capital⁵), l'élément A est de 225 000 $. Le montant à inclure en raison du paragraphe 13(1) de la Loi est donc de 50 000 $.

Question 2 : Quel était le montant qui devait être inclus à l'élément A de la définition de " fraction non amortie du coût en capital " au paragraphe 13(21) de la Loi au moment de l'immigration?

Commentaires :

Le montant qui devait être inclus à l'élément A de la définition de FNACC du paragraphe 13(21) de la Loi au moment de l'immigration est l'équivalent en dollars canadiens de sa part dans l'immeuble en appliquant le taux de change en vigueur au moment de l'acquisition.⁶ Puisque nous n'avons pas la date d'acquisition de la part indivise de l'immeuble, nous avons pris pour acquis que ce montant est 175 000 $ dollars canadiens.

Le " coût en capital " pour les fins de la définition de la FNACC du paragraphe 13(21) de la Loi s'entend du coût réel, factuel et historique du bien pour le contribuable. Celui-ci n'est pas assujetti à la présomption du paragraphe 48(3) de la Loi puisque l'article 13 ne fait pas partie de la sous-section c de la section B de la partie I de la Loi.

Question 3 : Dans l'hypothèse où Monsieur X réalisait une récupération d'amortissement au Canada et aux États-Unis, pourrait-il réclamer un crédit pour impôt étranger à l'encontre de ce revenu?

Commentaires :

Dans la situation de Monsieur X, les règles du paragraphe 126(1) de la Loi devront être respectées afin de réclamer un crédit d'impôt étranger puisque la disposition de sa part dans l'immeuble se rapporte à " l'impôt sur le revenu ne provenant pas d'entreprises ". Le crédit d'impôt est toutefois limité par la fraction de l'alinéa 126(1)b) de la Loi. Le terme " revenu " auquel ce dernier paragraphe réfère doit être déterminé selon le droit fiscal canadien et non en fonction du droit étranger. Par conséquent, le numérateur de la fraction de l'alinéa 126(1)b) comportera seulement la récupération canadienne déterminée selon le paragraphe 13(1) de la Loi. D'autre part, " l'impôt sur le revenu ne provenant pas d'entreprises " de l'alinéa 126(1)a) de la Loi pourrait être attribuable à la récupération étrangère.

Question 4 : Les réponses aux questions 1 et 2 seraient-elles différentes si le contribuable avait immigré au Canada en 1993? Dans l'affirmative, en quoi seraient-elles différentes et pourquoi?

Commentaires :

Dans l'hypothèse où Monsieur X avait commencé à résider au Canada en 1993, les réponses aux questions 1 et 2 seraient différentes puisque l'article 128.1 de la Loi aurait été applicable. Le coût en capital de la part de Monsieur X dans l'immeuble pour les fins du calcul de la déduction pour amortissement serait, en vertu des alinéas 128.1(1)b) et c), la juste valeur marchande de ce bien immédiatement avant que Monsieur X ne commence à résider au Canada. Ceci découle du fait que le paragraphe 128.1(1) s'applique à l'ensemble de la Loi, tandis que le paragraphe 48(3) ne s'applique que pour les fins de la sous-section c de la section B de la partie I de la Loi, soit les articles 38 à 55 de la Loi qui portent sur les gains en capital imposables et les pertes en capital déductibles.

Question 5 : Dans l'hypothèse où le prix de vente était de 250 000 $ dollars canadiens, quelles seraient les conséquences fiscales de la disposition de l'immeuble pour Monsieur X?

Commentaires :

La disposition de l'immeuble pour une somme de 250 000 $ entraîne la réalisation d'une perte finale pour Monsieur X. La déduction d'une perte finale est déterminée selon la méthode énoncée par le paragraphe 20(16) de la Loi qui se lit comme suit :

(16) Perte finale - Malgré les alinéas 18(1)a), b) et h), lorsque, à la fin d'une année d'imposition :

a) d'une part, le total des montants utilisés pour le calcul des éléments A à D de la formule figurant à la définition de " fraction non amortie du coût en capital " au paragraphe 13(21) est supérieur au total des montants utilisés pour le calcul des éléments E à J de la même formule, au titre des biens amortissables d'une catégorie prescrite d'un contribuable;

b) d'autre part, le contribuable ne possède plus de biens de cette catégorie, dans le calcul de son revenu pour l'année :

c) il doit déduire l'excédent déterminé en vertu de l'alinéa a);

d) il ne peut déduire aucun montant pour l'année en vertu de l'alinéa (1)a) à l'égard des biens de cette catégorie.

Puisque la somme des éléments A à D de la formule figurant à la définition de " fraction non amortie du coût en capital " au paragraphe 13(21) est supérieure de 50 000 $ au total des montants utilisés pour le calcul des éléments E à J de la même formule, il en résulte une perte finale pour Monsieur X. Dans cette formule, les montants des éléments A et E demeurent inchangés à 225 000 $ et 50 000 $ respectivement. Quant à l'élément F, il est de 125 000 $ ce qui représente le produit de disposition afférent à la part indivise de Monsieur X dans l'immeuble.

B - Deuxième situation

Nous devons souligner que les énoncés de faits de la deuxième situation sont incomplets pour répondre de façon précise à vos questions. Nous tenterons de combler les lacunes, le cas échéant, afin de vous présenter une situation qui saura éclaircir l'interaction des diverses règles de la Loi. De plus, nous aimerions souligner que l'existence d'une société de personnes est déterminée selon les règles établies par le droit canadien.

Question 1 : Quelles sont les incidences fiscales pour Monsieur X de la disposition de l'immeuble par la société de personnes en 2001?

Commentaires :

La disposition de l'immeuble en 2001 pourra avoir comme conséquence la réalisation d'un gain en capital. Néanmoins, vous avez omis d'indiquer le " coût en capital " de l'immeuble au moment de l'achat par la société de personnes de même que le produit de disposition de l'immeuble. Dans l'hypothèse où l'immeuble a été acquis par la société de personnes pour une somme de 700 000 $ dollars canadiens en 1983, que des additions au coût de 100 000 $ ont été apportées à l'immeuble et que ce même immeuble a été disposé pour un montant de 1 100 000 $ dollars canadiens⁷, un gain en capital imposable en résultera. Cette conséquence s'explique par l'utilisation du coût d'origine ou du coût supporté par la société de personnes pour déterminer le " coût en capital " tel qu'illustré dans l'affaire Duncan v. R., [2002] 4 C.T.C. 1 (C.A.F.).⁸

Le gain en capital imposable doit être calculé comme si la société de personnes était une personne distincte résidant au Canada et l'associé doit inclure sa part de gain en capital imposable dans son revenu en vertu de l'article 3 et du paragraphe 96(1) de la Loi. Selon les chiffres avancés au paragraphe précédent et dans l'hypothèse où la société de personnes comporte deux associés dont la participation dans l'actif et les bénéfices est égale, la part de Monsieur X du gain en capital imposable sur la disposition de l'immeuble est de 75 000 $.

Les conséquences fiscales de la disposition auraient été tout autre dans l'éventualité où le paragraphe 96(8) de la Loi s'était appliqué au moment de l'immigration de Monsieur X.

Question 2 : Quelles sont les incidences fiscales pour Monsieur X de la disposition de sa participation dans la société de personnes en 2002?

Commentaires :

L'immeuble ne sera pas réputé acquis par la société de personnes au moment de l'immigration de l'associé, Monsieur X, en 1988. Néanmoins, Monsieur X est réputé avoir acquis à la juste valeur marchande, au moment de l'immigration, sa participation dans la société de personnes en vertu du paragraphe 48(3) de la Loi puisque le terme " contribuable " mentionné à ce paragraphe vise l'associé de la société de personnes. Par conséquent, Monsieur X est réputé avoir acquis, au moment de l'immigration, sa participation dans la société de personnes pour un montant de 650 000 $ dollars canadiens. Le prix de base rajusté de la participation de Monsieur X sera ajusté à 700 000 $ suite à l'apport de 50 000 $ effectué subséquemment à l'immigration.⁹

Afin de déterminer les conséquences fiscales en 2002 de la disposition de la participation de Monsieur X suite à la dissolution de la société de personnes en 2002, encore faut-il déterminer le prix de base rajusté de la participation de Monsieur X au moment de la disposition. Le gain en capital attribuable à Monsieur X suite à la disposition de l'immeuble a eu pour effet d'ajouter au coût dans le calcul du prix de base rajusté du bien de la participation de Monsieur X le plein montant de sa part du gain en capital de 150 000 $.¹⁰ Dans l'hypothèse où la part du gain en capital a été attribué à Monsieur X, la somme de 150 000 $ doit être déduite du calcul du prix de base rajusté.¹¹ Dans l'éventualité où, suite à l'application de l'article 53, le prix de base rajusté de la participation de Monsieur X est de 700 000 $ dollars canadiens et que le produit de disposition de sa part est inférieur à ce montant, la conséquence fiscale de la disposition est une perte en capital.

Question 3 : En quoi les incidences fiscales seraient-elles différentes si Monsieur X avait réclamé 50 000 $ dollars canadiens à titre d'amortissement fiscal à l'encontre de son revenu de société déclaré au Canada?

Commentaires :

Dans l'hypothèse où une déduction pour amortissement avait été déduite à l'encontre du revenu canadien, il en résulterait une récupération d'amortissement pour la société de personnes équivalente aux sommes déduites à ce titre.

At the time of his immigration to Canada in 1988, Mr. X held a 1/2 undivided interest in a US rental property with an FMV of Cdn.$650,000 (his share, Cdn.$325,000), which had been acquired in 1983 for US$300,000 (his share, US$150,000, equivalent to Cdn. $175,000). His share of additions thereafter made to the building was Cdn.$50,000, and he had deducted CCA of Cdn.$50,000 from his share of partnership income before selling his ½ interest for Cdn.$275,000.

CRA indicated that, in light of the step-up under former s. 48(3) and the subsequent cost additions, he disposed of the building at a capital loss, which was denied by s. 39(1)(b)(i). However, the step-up under s. 48(3) did not apply for CCA/recapture purposes, so that on the disposition he realized recapture of depreciation based on proceeds equal to this capital cost of ($175,000 + $50,000, or) $225,000. At the time of Mr. X’s immigration in 1988, he held an interest in a US rental property partnership (with no debt) which he had acquired in 1983 at a cost of US$300,000 and which had an FMV of Cdn.$650,000 at the time of his immigration. After immigration, he invested an additional Cdn.$50,000 in the partnership, which funded building additions. In 2001, the partnership sold the building at a capital gain of $300,000. The net income of the partnership was always nil and no tax depreciation was claimed.

CCRA indicated that Mr. X would be allocated his share of the capital gain – but that since the ACB of his partnership interest was increased to FMV under former s. 48(3) on his immigration and further increased by his capital contribution and his share of the capital gain, he would realize a capital loss on the partnership winding-up.
