Deregistration of an RRSP

This is further to your email of November 6, 2003 requesting our opinion on the application of subsection 146(12) of the Income Tax Act (the "Act").

Our understanding of the facts and the issuer's request in relation to the situation you have submitted to us is as follows.

The issuer currently manages registered retirement savings plan ("RRSP") trusts whose property is cooperative shares. At the time the shares were acquired by the RRSP trusts, the issuer had all the necessary documentation to show that the cooperative shares were qualified investments. Tax receipts for the value of the shares were issued to the annuitants.

You indicate that in the year in which the annuitant of an RRSP reaches the age of 69, the issuer must convert the RRSP into either a registered retirement income fund ("RRIF") or a life annuity. Currently, no financial institution will accept the transfer of cooperative shares into a RRIF.

The issuer has considered the possibility of an exchange of shares within the RRSP before the annuitants of the RRSPs concerned reach the age of 69. However, this would require the cooperatives concerned to agree to redeem their shares, which seems implausible given the lack of funds available for this purpose.

The issuer indicates that it would like to be able to deregister RRSPs of annuitants who have reached age 69 and who have not made a transfer to a RRIF or purchased a life annuity in the year in which they reach age 69. Deregistration would take place on January 1 following the year in which the annuitants turn 69.

Since it is not possible to determine the market value of the shares of the cooperative held by the RRSP, the Issuer would use the book value provided to it by the cooperative's accountants. The issuer believes that to determine the fair market value of these securities, a certified appraiser would be required. However, no resources are available for this purpose. You have indicated that the market value of these shares is less than the book value.

The issuer has informed you that it will not be able to make deductions at source when deregistering RRSPs.

The issuer is therefore requesting authorization to issue T4RSP information slips to the annuitants effective January 1 following the year in which the annuitant turns 69 years of age at the book value amount. In addition, it is requesting authorization not to make deductions at source due to the lack of cash flow.

QUESTIONS

1. You require confirmation that the issuer's proposal does not comply with the provisions of section 146 of the Act.

2. What are the possible tax consequences to the RRSP if the benefit under paragraph 146(12)(b) is the book value of the shares of the cooperative?

3. What is the trustee's responsibility to determine the actual fair market value ("FMV") of the securities and how can it be determined?

OUR COMMENTS:

Paragraph 146(12)(a) of the Act provides that where, at a date subsequent to the registration of a plan, an RRSP is revised or amended, or a new plan (referred to as an "amended plan") is substituted for it, and the amended plan does not comply with the requirements for registration under section 146, the amended plan is deemed not to be an RRSP.

Paragraph 146(12)(b) provides that a taxpayer who was the annuitant under the plan before it became an amended plan must include as income received at the deregistration time an amount equal to the FMV of all the property of the plan immediately before the deregistration time in computing the taxpayer's income for the taxation year that includes that time.

As stated in paragraph 6 of IT-415R2, the CCRA takes the position that subsection 146(12) applies when it is evident that the date of maturity has passed and no annuity has been acquired as retirement income under the plan. In this case, the date of deregistration will be the day following the date of maturity. Consequently, we agree with you that subsection 146(12) would be applicable in the situation you have presented.

Subsection 214(3) of the Income Tax Regulations ("Regulations") provides that where an amount is required to be included in computing a taxpayer's income for a taxation year under subsection 146(12) of the Act, the issuer of the plan must file an information return in prescribed form in respect of that amount.

Since paragraph 146(12)(b) provides that the amount to be included in the annuitant's income is the FMV, it is our view that the issuer has a responsibility to prepare the necessary information return and to disclose the FMV of the cooperative's shares.

The Act does not contain a definition of the term "fair market value". Therefore, one must rely on the ordinary meaning. The term is defined in Black's Law Dictionary (6th edition) as:

"the amount at which property would change hands between a willing buyer and a willing seller, neither being under any compulsion to buy or sell and both having reasonable knowledge of the relevant facts".

Other definitions exist but they apply the same methods and conditions (see the British Columbia Supreme Court of B.C. in Mann Estate, (1972) 5 W.W.R. 23, page 26).

While it may be appropriate for the issuer to use the services of an independent valuator to determine the FMV, this is not specifically required under the Act. However, we are of the view that the issuer should make a reasonable effort to determine the FMV.

The IncomeTax Rulings Directorate does not normally give opinions on valuation issues as these are the responsibility of the Agency's valuation departments. You should therefore contact the Technical Applications and Valuation Division if you wish to discuss the application of valuation principles in the situation described in your letter.

With respect to source deductions, paragraph 153(1)(j) of the Act provides that a person who makes a payment out of a modified plan in a taxation year must withhold the amount determined in the prescribed manner and remit that amount to the Receiver General for Canada. A payment includes a transfer of property and the amount of such a payment is the FMV of the transferred property. Subsection 103(4) of the Regulations sets out withholding rates where a lump sum payment is made. Paragraph 103(6)(d) of the Regulations provides that the term "lump sum payment" means, for the purposes of subsection 103(4) of the Regulations, inter alia, a payment out of or under a plan referred to in subsection 146(12) of the Act as an "amended plan", but does not include a payment made in a year subsequent to the year in which paragraph 146(12)(a) of the Act could be applied to the plan.

In the situation that you have presented, if the trust continues to exist after deregistration and the shares of the cooperative are not transferred to the annuitant in the year of deregistration or are transferred in a year subsequent to the year in which subsection 146(12) applies, we are of the view that no withholding tax is required under the application of the provisions of the Act and Regulations since no payment is made on deregistration and in the year of deregistration.

If shares are transferred to annuitants in the year in which subsection 146(12) applies as a lump sum payment, paragraph 153(1)(j) will apply and the issuer will be required to withhold tax. The plan trustee may contact the Tax Services Office for the application of withholding taxes for an RRSP with insufficient assets.

Désenregistrement d'un REER

La présente fait suite à votre courriel du 6 novembre 2003 par lequel vous nous demandez notre opinion relativement à l'application du paragraphe 146(12) de la Loi de l'impôt sur le revenu (ci-après la "Loi").

Notre compréhension des faits et de la demande de l'émetteur relativement à la situation que vous nous avez soumise est la suivante.

L'émetteur gère présentement des fiducies régies par un Régime enregistré d'épargne-retraite ("REER") dont les biens sont des parts de coopérative. Au moment où les parts ont été acquises par les fiducies régies par un REER, l'émetteur disposait de toute la documentation nécessaire à l'effet que les parts de la coopérative étaient des placements admissibles. Des reçus d'impôt équivalent à la valeur des parts ont été émis aux rentiers.

Vous indiquez que dans l'année où le rentier d'un REER atteint l'âge de 69 ans, l'émetteur doit convertir le REER soit en fonds enregistré de revenu de retraite ("FERR") ou en rente viagère. Or, présentement, aucune institution financière n'accepte de transférer des parts de coopératives dans un FERR.

L'émetteur a envisagé la possibilité de procéder à un échange de titres à l'intérieur du REER avant que les rentiers des REER concernés n'atteignent 69 ans. Toutefois, pour ce faire, il faudrait que les coopératives concernées acceptent de racheter leurs parts, ce qui semble peu plausible, vu l'absence de fonds disponibles à cette fin.

L'émetteur indique qu'il aimerait pouvoir procéder au désenregistrement du REER des rentiers ayant atteint l'âge de 69 ans qui n'auraient pas procédé à un transfert vers un FERR ou à l'achat d'une rente viagère dans l'année où ils atteignent l'âge de 69 ans. Le désensregistrement aurait lieu le 1er janvier suivant l'année où les rentiers atteignent l'âge de 69 ans.

Vu l'impossibilité de pouvoir déterminer la valeur marchande des parts de la coopérative détenues par le REER, l'émetteur utiliserait la valeur aux livres qui lui serait transmise par les comptables de la coopérative. L'émetteur est d'avis que pour connaître la juste valeur marchande de ces titres, il faudrait un évaluateur agréé. Toutefois, aucune ressource n'est disponible à cette fin. Vous nous avez indiqué que la valeur marchande de ces parts est inférieure à la valeur aux livres.

L'émetteur vous indique qu'il ne pourra pas effectuer de retenues à la source lors du désenregisterement des REER.

L'émetteur vous demande donc l'autorisation d'émettre aux rentiers les feuillets de renseignements T4RSP en date du 1er janvier suivant l'année où le rentier atteint l'âge de 69 ans au montant de la valeur aux livres. En outre, il demande l'autorisation de ne pas effectuer de retenues à la source étant donné l'absence de liquidités.

QUESTIONS

1. Vous désirez une confirmation que la proposition de l'émetteur n'est pas conforme aux dispositions de l'article 146 de la Loi.

2. Quelles sont les conséquences fiscales possibles pour le REER si la prestation prévue à l'alinéa 146(12)b) est la valeur au livre des parts de la coopérative?

3. Quelle est la responsabilité du fiduciaire d'établir la juste valeur marchande ("JVM") réelle des titres et comment peut-il l'établir?

NOS COMMENTAIRES:

L'alinéa 146(12)a) de la Loi prévoit que lorsque, à une date postérieure à l'enregistrement d'un régime, un REER est révisé ou modifié ou est substitué par un nouveau régime (appelé "régime modifié"), et dont le régime modifié ne répond pas aux conditions d'enregistrement prévues à l'article 146 de la Loi, le régime modifié est réputé ne pas être un REER.

L'alinéa 146(12)b) de la Loi prévoit que le contribuable qui était rentier du régime avant que celui-ci ne devienne un régime modifié, doit ajouter comme revenu reçu au moment du désenregistrement une somme égale à la JVM de tous les biens du régime immédiatement avant le moment du désenregistrement dans le calcul de son revenu pour l'année d'imposition qui comprend ce moment.

Tel qu'il est énoncé au paragraphe 6 du IT-415R2, l'ADRC estime que les dispositions du paragraphe 146(12) de la Loi s'appliquent lorsqu'il est évident que la date d'échéance est passée et qu'aucune rente n'a été acquise comme revenu de retraite en vertu du régime. En pareil cas, la date de désenregistrement est celle qui suit la date d'échéance. Par conséquent, nous sommes d'accord avec vous que le paragraphe 146(12) de la Loi serait applicable dans la situation que vous avez soumise.

Le paragraphe 214(3) du Règlement de l'impôt sur le revenu ("Règlement") prévoit que lorsqu'un montant doit être inclus dans le calcul du revenu d'un contribuable pour une année d'imposition en vertu du paragraphe 146(12) de la Loi, l'émetteur du régime doit remplir à l'égard de ce montant une déclaration de renseignements selon le formulaire prescrit.

Puisque l'alinéa 146(12)b) prévoit que le montant que le rentier doit inclure dans le calcul de son revenu est la JVM, nous sommes d'avis que l'émetteur a la responsabilité de préparer la déclaration de renseignements nécessaire et d'y indiquer la JVM des parts de la coopérative.

La Loi ne contient pas de définition de l'expression "juste valeur marchande". Par conséquent, on doit s'en remettre au sens courant. Cette expression est définie dans le Black's Law Dictionary (6th edition) comme étant :

"the amount at which property would change hands between a willing buyer and a willing seller, neither being under any compulsion to buy or sell and both having reasonable knowledge of the relevant facts".

D'autres définitions existent mais elles appliquent les mêmes méthodes et conditions (Voir British Columbia Supreme Court of B.C. dans Mann Estate, (1972) 5 W.W.R. 23, page 26).

Bien qu'il puisse être approprié pour l'émetteur d'utiliser les services d'un évaluateur indépendant pour déterminer la JVM, ceci n'est pas spécifiquement requis en vertu de la Loi. Toutefois, nous sommes d'avis que l'émetteur doit faire un effort raisonnable afin d'établir la JVM.

La Direction des décisions en l'impôt ne donne habituellement pas d'opinion sur des questions d'évaluation car ces questions relèvent de la responsabilité des services de l'évaluation de l'Agence. Vous devriez donc vous adresser à la Division des applications techniques et des évaluations si vous désirez discuter de l'application des principes d'évaluation dans la situation décrite dans votre lettre.

Relativement aux retenues à la source, l'alinéa 153(1)j) de la Loi prévoit que toute personne qui verse au cours d'une année d'imposition un paiement provenant d'un régime modifié doit retenir la somme fixée selon les modalités réglementaires et remettre cette somme au receveur général du Canada. Un paiement comprend le transfert d'un bien et le montant d'un tel paiement est la JVM du bien transféré. Le paragraphe 103(4) du Règlement donne les taux de retenue lorsqu'un paiement est versé sous forme d'une somme forfaitaire. Par ailleurs, l'alinéa 103(6)d) du Règlement prévoit que l'expression "paiement d'une somme forfaitaire" s'entend, aux fins du paragraphe 103(4) du Règlement, entre autres, d'un paiement versé à partir ou aux termes d'un régime appelé "régime modifié" au paragraphe 146(12) de la Loi sauf entre autres un paiement versé durant une année postérieure à l'année durant laquelle l'alinéa 146(12)a) de la Loi pouvait être appliqué au régime.

Dans la situation que vous nous avez soumise, si la fiducie continue d'exister après le désenregistrement et que les parts de la coopérative ne sont pas transférées au rentier dans l'année du désenregistrement ou sont transférées dans une année postérieure à celle où le paragraphe 146(12) de la Loi s'applique, nous sommes d'avis qu'aucune retenue à la source n'est requise en vertu de l'application des dispositions de la Loi et du Règlement puisqu'aucun paiement n'est effectué lors du désenregistrement et dans l'année du désenregistrement.

Advenant que les parts sont transférées aux rentiers dans l'année où le paragraphe 146(12) s'applique sous forme de paiement forfaitaire, l'alinéa 153(1)j) de la Loi s'appliquera et l'émetteur devra effectuer des retenues à la source. Le fiduciaire du régime peut communiquer avec le bureau des services fiscaux pour l'application des retenues d'impôt pour un REER qui n'aurait pas suffisamment d'actifs.
