2. Is the tax receivable arising from the fact that tax instalments exceed the tax owing by a business corporation an item used principally in an active business?

Position:

1. In the situation described where the credits are earned in the course of carrying on the business, the tax credits receivable would be assets used principally in the active business of the corporation for the purposes of the definitions.

2. In the situation where instalments are paid in respect of income tax generated by the corporation's active business and the payment of instalments is required by the Act or provincial law, the tax receivable resulting from the instalment obligation would be an asset used principally in the corporation's active business for the purposes of those definitions.

Reasons:

1. In such a case, the credits would be used and risked in the business because they result from the operation of the business and the collection of those credits is not under the full control of the corporation.

2. The property is used and risked in the business because it relates to a defined responsibility or obligation of the business and meets a requirement necessary for the operation of the business.

Subject: Assets used principally in a business

This is in response to your fax of October 18, 2002, in which you requested our opinion on the above subject. We apologize for the delay in responding to this request.

Facts

Situation 1

A corporation carrying on a processing business records an amount of tax credits receivable at the end of its fiscal period. This asset consists of the excess of all refundable tax credits receivable over taxes payable for the fiscal period.

The tax credits receivable are derived from the investment tax credit for scientific research and experimental development expenditures, the Quebec scientific research and experimental development salaries credit and the Quebec refundable tax credit based on the increase in payroll of eligible employees working in certain manufacturing and processing activities.

Second Situation

A corporation actively carried on a business. It had significant income during the previous year. Its instalments were therefore high. The corporation's income for the current year has decreased substantially so that the corporation has a quite significant tax receivable due to the instalment payments.

Question

You wish to know whether the asset consisting of the tax credit receivable in the first situation or the asset consisting of the income tax receivable in the second situation is an asset used principally in an active business carried on primarily in Canada by the corporation holding the asset for the purposes of the definition of "qualified small business corporation share" in subsection 110.6(1) of the Income Tax Act (the "Act") and the definition of "small business corporation" in subsection 248(1) (the “Definitions").

Our Comments

As stated in paragraph 22 of Information Circular 70-6R5 dated May 17, 2002, it is the practice of the Canada Customs and Revenue Agency (CCRA) not to issue a written opinion regarding proposed transactions otherwise than by way of advance rulings. Furthermore, when it comes to determining whether a completed transaction has received appropriate tax treatment, that determination rests first with our Tax Services Offices following their review of all facts and documents, which is usually performed as part of an audit engagement. However, we can offer the following general comments that we hope may be helpful to you. These comments may not, however, apply to your particular situation in certain circumstances.

As stated in paragraph 6 of Interpretation Bulletin IT-73R6, the determination of whether a property is used principally in an active business is a question of fact. In making that determination, it is necessary to consider inter alia the actual use to which the asset is put in the course of the business, the nature of the business involved and the current practices in the particular industry.

In addition, the Supreme Court of Canada considered the issue in Ensite Limited v. The Queen, 86 DTC 6521. It held that the property had to be employed and risked in the business to be considered used in that business. Paragraph 6 of Interpretation Bulletin IT-73R6 provides the following comments on this decision:

“…The court held that the holding or using of property must be linked to some definite obligation or liability of the business and that a business purpose test for the use of the property was not sufficient. The property had to be employed and risked in the business to fulfil a requirement which had to be met in order to do business. In this context, risk means more than a remote risk. If the withdrawal of the property would have a decidedly destabilizing effect on the corporate operations, the property would generally be considered to be used in the course of carrying on a business. In other words, the property has to be an integral part of the financing of the business or necessary to the overall business operations in order for income from the property to be part of the "income of the corporation ... from an active business."”

In the first situation, the tax credits are earned in the course of carrying on the business since they relate to scientific research and experimental development and manufacturing and processing. The collection of those tax credits is not under the full control of the corporation. In that situation, we are of the view that the tax credits receivable would be assets used principally in the corporation's active business for the purposes of the Definitions.

In the second situation, the instalments are paid in respect of income taxes generated by the corporation's active business and the payment of the instalments to the various governments is an obligation of the corporation and is required by the Act or by provincial law. In that situation, we are of the view that the tax receivable resulting from this obligation would be an asset used principally in the active business of the corporation for the purposes of the Definitions.

These comments are not advance income tax rulings and do not bind the CCRA in any particular situation.

Position Adoptée:

2. Dans la situation où les acomptes provisionnels sont versés à l'égard de l'impôt sur le revenu généré par l'entreprise exploitée activement de la société et que le versement des acomptes provisionnels est requis par la Loi ou une loi provinciale, l'impôt à recevoir résultant de l'obligation de verser les acomptes provisionnels serait un élément d'actif utilisé principalement dans l'entreprise exploitée activement par la société aux fins de ces définitions.

Raisons POUR POSITION ADOPTÉE:

1. Dans un tel cas, les crédits seraient employés et risqués dans l'entreprise car ils résultent de l'exploitation de l'entreprise et que l'encaissement de ces crédits n'est pas sous le contrôle entier de la société.

2. Le bien est employé et risqué dans l'entreprise parce qu'il est relié à une responsabilité ou à une obligation définie de l'entreprise et qu'il satisfait à une exigence nécessaire à l'exploitation de l'entreprise.

La présente fait suite à votre fac-similé du 18 octobre 2002 dans lequel vous nous demandez notre opinion concernant le sujet ci-dessus mentionné. Nous nous excusons du délai requis pour répondre à cette demande.

Faits

Première situationj

Une société qui exploite une entreprise de transformation comptabilise à la fin de son exercice financier un montant de crédits d'impôt à recevoir. Cet actif est constitué de l'excédent de tous les crédits d'impôt remboursables à recevoir sur les impôts à payer de l'exercice financier.

Les crédits d'impôts à recevoir proviennent du crédit d'impôt à l'investissement à l'égard de dépenses de recherche scientifique et de développement expérimental, du crédit sur les salaires de recherche scientifique et de développement expérimental du Québec et du crédit d'impôt remboursable du Québec basé sur l'augmentation de la masse salariale des employés admissibles qui oeuvrent dans certaines activités de fabrication et transformation.

Deuxième situation

Une société exploite activement une entreprise. Elle a eu des revenus importants au cours de l'année précédente. Ses acomptes provisionnels ont donc été élevés. Les revenus de la société pour l'année courante ont diminué de façon substantielle de sorte que la société a un impôt à recevoir assez élevé en raison du versement des acomptes provisionnels.

Question

Vous désirez savoir si l'actif constitué des crédits d'impôt à recevoir dans la première situation ou l'actif constitué de l'impôt à recevoir dans la deuxième situation est un élément d'actif utilisé principalement dans une entreprise que la société détenant cet actif exploite activement, principalement au Canada aux fins de la définition d'" action admissible de petite entreprise " au paragraphe 110.6(1) de la Loi de l'impôt sur le revenu (ci-après la " Loi ") et de la définition de " société exploitant une petite entreprise " au paragraphe 248(1) de la Loi (ci-après les " Définitions ").

Nos commentaires

Tel qu'il est mentionné au paragraphe 22 de la Circulaire d'information 70-6R5 du 17 mai 2002, l'Agence des douanes et du revenu du Canada (ADRC) a comme pratique de ne pas émettre d'opinion écrite concernant des transactions projetées autrement que par voie de décisions anticipées. Par ailleurs, lorsqu'il s'agit de déterminer si une transaction complétée a reçu le traitement fiscal adéquat, la décision en revient d'abord à nos bureaux des services fiscaux à la suite de l'examen de tous les faits et documents, ce qui est généralement effectué dans le cadre d'une mission de vérification. Nous pouvons toutefois vous offrir les commentaires généraux suivants qui, nous l'espérons, vous seront utiles. Ces commentaires pourraient cependant, dans certaines circonstances, ne pas s'appliquer à votre situation particulière.

Tel que mentionné au paragraphe 6 du Bulletin d'interprétation IT-73R6, déterminer si un bien est utilisé principalement dans une entreprise exploitée activement est une question de fait. Pour ce faire, il faut notamment considérer l'usage qui est réellement fait de ce bien dans le cours des activités de l'entreprise, la nature de l'entreprise et les pratiques courantes dans ce secteur particulier de l'entreprise.

Par ailleurs, la Cour suprême du Canada a considéré la question dans l'arrêt Ensite Limited c. La Reine, 86 DTC 6521. Elle a établi que l'élément d'actif doit être employé ou risqué dans l'entreprise pour être considéré comme utilisé dans une entreprise. Le paragraphe 6 du Bulletin d'interprétation IT-73R6 nous donne les commentaires suivants relativement à cette décision :

...Selon le jugement de la Cour, la détention ou l'utilisation du bien devait être reliée à une responsabilité ou à une obligation définie de l'entreprise et le seul fait que l'utilisation du bien avait un objet commercial ne suffisait pas. Le bien devait être utilisé ou risqué dans l'entreprise et satisfaire à une exigence nécessaire à l'exploitation de l'entreprise. Dans ce contexte, " risquer " signifie plus qu'exposer à un risque éloigné. Si le fait de ne plus avoir le bien devait avoir un effet résolument déstabilisateur sur les activités de la société, le bien serait généralement considéré comme utilisé dans le cours des activités d'exploitation d'une entreprise. En d'autres termes, le bien doit être un élément essentiel du financement de l'entreprise ou être nécessaire à l'ensemble des activités d'entreprise de la société pour que le revenu provenant du bien soit compris dans le " revenu de la société...provenant d'une entreprise exploitée activement ".

Dans la première situation, les crédits d'impôt sont obtenus dans le cadre de l'exploitation de l'entreprise puisqu'ils concernent la recherche scientifique et le développement expérimental ainsi que la fabrication et transformation. L'encaissement de ces crédits d'impôt n'est pas sous le contrôle entier de la société. Dans une telle situation, nous sommes d'avis que les crédits d'impôt à recevoir seraient des éléments d'actif utilisés principalement dans l'entreprise exploitée activement par la société aux fins des Définitions.

Dans la deuxième situation, les acomptes provisionnels sont versés à l'égard de l'impôt sur le revenu généré par l'entreprise exploitée activement de la société et le versement des acomptes provisionnels aux différents gouvernements représente une obligation de la société et est requis par la Loi ou par une loi provinciale. Dans une telle situation, nous sommes d'avis que l'impôt à recevoir résultant de cette obligation serait un élément d'actif utilisé principalement dans l'entreprise exploitée activement par la société aux fins des Définitions.

Ces commentaires ne constituent pas des décisions anticipées en matière d'impôt sur le revenu et ne lient pas l'ADRC à l'égard d'une situation particulière.
