Loss resulting from the disappearance of paintings

This is in response to your fax of December 5, 2002 in which you requested our opinion on the matter referred to above in relation to the situation described below. We have taken into account the additional information contained in the affidavit by XXXXXXXXXX received on February 17, 2003.

Our understanding of the facts is as follows.

Facts

1. Under contracts of sale entered into on XXXXXXXXXX (the "customer"), purchased from XXXXXXXXXX (the "vendor") XXXXXXXXXX (the "works").

2. Upon delivery and following payment, the works were consigned to the vendor for resale. Consignment renewal agreements dated XXXXXXXXXX were provided to us. Those specify inter alia the following information: XXXXXXXXXX.

3. Over the years, the customer has found that some works have become more difficult to sell and has exchanged a block of works for other works.

4. The customer subsequently asked the vendor to return the works. Unable to obtain them, he hired a bailiff in XXXXXXXXXX to collect them. The works could not be traced. On the advice of his lawyer, the customer did not make a complaint to the police at that time.

5. The customer claimed a terminal loss of $XXXXXXXXXX in computing his income for the year XXXXXXXXXX representing the capital cost of his works which were included in Class 8 of Schedule II of the Income Tax Regulations (the "Regulations"). According to Schedule A attached to the request, the customer owned XXXXXXXXXX works. The customer had not insured the works.

6. The customer is a XXXXXXXXXX. According to the affidavits we received, the works were never exhibited in the XXXXXXXXXX or in the office where he practises his profession of XXXXXXXXXX. The intention of the customer was, according to him, to carry out an endeavour of profiting from the sale of such works.

7. In his personal balance sheet of XXXXXXXXXX, the paintings are recorded at cost under the heading "investments".

Question

Can the customer claim a terminal loss under subsection 20(16) of the Income Tax Act (the "Act") for the missing works?

Your Comments

You have treated the works as "listed personal property" within the meaning of that expression in section 54 and consequently you have denied the customer a terminal loss.

Our Comments

Before dealing with the nature of the loss that the customer may be entitled to claim, it is necessary to consider when the customer is entitled to claim a loss.

Before a capital loss can be recognized, there must first be a disposition of property (in this case, the works). As stated in paragraph 40(1)(b), a taxpayer's loss for a taxation year from the disposition of any property is essentially the excess, if any, of the adjusted cost base of the property over the proceeds of disposition of the property. As stated in paragraph 9 of Interpretation Bulletin IT-185R, Losses From Theft, Defalcation, or Embezzlement, where no proceeds of disposition are received for property unlawfully taken, a disposition is considered to have occurred on the date the loss of the property was discovered. In this context, the capital loss is equal to the adjusted cost base of the unlawfully taken property. In the event that the missing property is depreciable property of a prescribed class, a terminal loss may result, which would be deducted in computing business or property income in the year in which the loss is discovered.

As will be discussed below, if the property was inventory and the inventory was unlawfully taken, the resulting loss may be deductible in computing business income if it is reasonable to consider the loss to be inherent in the income-producing activities of the business. The loss would then be deductible in computing the income of the year in which it was verified.

In this case, the customer found that all of the works disappeared in XXXXXXXXXX and the vendor, who held the works on consignment, could not be located. As the works were not insured, the customer could not receive any compensation and no proceeds of disposition were declared. Subject to the determination of the nature of the loss, it is our opinion that the customer's loss should be recognized in the XXXXXXXXXX taxation year.

Taking into account the information provided to us, we must characterize the property held by the customer to determine the nature of the loss.

Depreciable capital property

The concept of terminal loss in the Act applies to depreciable property of a class prescribed by regulation.

In order for a work of art to be included in a class in Schedule II of the Regulations, in this case Class 8, it must be created by an individual who is a Canadian at the time the property is created, pursuant to paragraph 1102(1)(e) of the Regulations. We have assumed that the works referred to here meet this condition. In addition, paragraph 1102(1)(c) of the Regulations indicates that an asset must have been acquired for the purpose of gaining or producing income in order for it to be a property described in Part XI and Schedule II of the Regulations. Based on the information provided to us, no income appears to have been earned from the holding of the works during the XXXXXXXXXX period. Unless the works had been rented by the customer, it appears to us that no income could really have been derived from their use or holding, except for a profit at the time of their resale, since the works were kept by the vendor, for and on behalf of the buyer. Consequently, we are of the opinion that the works could not qualify as depreciable property for the purposes of a class in Schedule II of the Regulations and, as such, a terminal loss cannot be allowed to the customer.

Capital listed personal property

In addition, to qualify as "listed personal property", the works must be "personal-use property" to the customer within the meaning of that expression in section 54 of the Act, i.e., works that belong to the customer and are used primarily for the customer's personal use or enjoyment or that of a person related to the customer. Taking into account the information provided to us and assuming that the works were in the vendor's possession throughout the period of XXXXXXXXXX for the purpose of resale, it appears to us that the works were not, to the customer, personal-use property.

Property in inventory

As stated in paragraph 6 of the facts, the customer wanted to make a profit from the sale of the works. It seems necessary to us to analyze whether the customer's possession of the works could be property listed in an inventory in the context of a business and whether the disappearance of the works could result in the realization of a business loss.

The term "business" is defined in section 248(1) and includes: an “undertaking of any kind whatever and … an adventure or concern in the nature of trade”. The courts have ruled at various times on what constitutes an "adventure or concern in the nature of trade". As the Supreme Court of Canada stated in Jake Friesen v. The Queen, 95 DTC 5551:

The first requirement for an adventure in the nature of trade is that it involve a "scheme for profit-making". The taxpayer must have a legitimate intention of gaining a profit from the transaction. Other requirements are conveniently summarized in Interpretation Bulletin IT-459 "Adventure or Concern in the Nature of Trade" (September 8, 1980) … .

In W. Struan Robertson v. The Queen (FCA), the judges had to determine whether the acquisition of shares by way of exercise of an option and the disposition of those shares in 1990 constituted an "adventure in the nature of trade". The Honorable Justice Desjardins stated:

As noted by W.E. Crawford and R.E. Beam, an "adventure", by the nature of that word, is likely to be an isolated transaction. Many isolated transactions are not, however, "in the nature of trade". There must be some activity, some features of business in the transaction dealt with which makes it an adventure in the nature of trade. What must be looked for is whether there are "badges of trade" or behavioral factors which might assist in tracing the course of conduct of the taxpayer. From these, inferences might be drawn as to whether a taxpayer was engaged in an operation of trade or simply investing.

Generally, the CCRA's position is that a business commences when a significant activity is initiated that is part of an income-generating process in that type of business. A business would not be considered to have commenced if serious and reasonable efforts are not made to commence normal business operations.

Interpretation Bulletin IT-459 refers to certain criteria to be considered such as the taxpayer's conduct, the nature of the property and the taxpayer's intention in determining whether a particular transaction represents an adventure or concern in the nature of trade. We have reviewed those criteria in light of the facts of this situation.

Conduct of the customer

The customer left the works on consignment with the vendor for resale. According to the consignment renewal contract concluded in XXXXXXXXXX, the value of the work, the price charged by the customer and the vendor's commission were specified in the contract. In the affidavit of XXXXXXXXXX, the customer states that: "XXXXXXXXXX". Finally, the customer is said to have exchanged a block of works for others in order to facilitate their sale.

Nature of the property

As previously stated, the works do not appear to have constituted an income-generating investment. Nevertheless, they could have provided personal enjoyment to the customer. According to the facts, however, the customer would not have acquired the works for his personal use, the works being on consignment for resale.

Client's intention

The customer maintains that throughout the period his intention was to carry out an activity with a view to making a profit from the sale of the works.

Taking into account the fragmentary information provided to us, it appears to us that certain elements in the customer's conduct support in part his intention to carry on an activity with a view to making a profit from the sale of the works and that certain commercial steps had been taken. The works were displayed at the vendor's premises for resale. The selling price and the amount of commission were determined for each work. In the event that an offer to purchase was lower than the asking price, the customer had to authorize the sale. At no time would the works have been at the personal disposal of the customer for his use and enjoyment.

However, before concluding that the customer was engaged in an adventure or concern in the nature of trade and that a loss of business could result from the disappearance of the XXXXXXXXXX, we are of the view that certain points should be clarified. For example, in point 5 of the affidavit, the customer states that he contacted the vendor on a regular basis and visited him in order to find out about the progress of sales, the physical existence and the value of the works. In this context, did the customer actually sell any works and/or refuse any offers to purchase during the period of XXXXXXXXXX? In the event that no works were sold and no offers were made, what motivated the customer to remain with the vendor throughout this period? At the time of the purchase of the works, were there any other agreements between the buyer and the vendor, such as the donation of certain works? Had the customer obtained an independent appraisal of the works at the time of purchase or subsequently?

Where a taxpayer's income from a business is an adventure or concern in the nature of trade, the property in the inventory must be valued at its acquisition cost by virtue of subsection 10(1.01). If the vendor and the customer were not dealing with each other at arm's length and it is shown that the customer paid more than fair market value ("FMV") for the works, paragraph 69(1)(a) may apply to reduce the customer's purchase price for the works to FMV. See paragraph 1 of Interpretation Bulletin IT-405, Insufficient considerations - Acquisitions and dispositions, and paragraphs 15 to 19 of Interpretation Bulletin IT-419R, Meaning of Arm's Length.

Capital property

In the event that you cannot obtain information from the customer that would allow you to conclude that there is an adventure or concern in the nature of trade, we are of the view that the works could be treated as capital investments and qualify as capital property. Consequently, the loss resulting from the disappearance of the works in XXXXXXXXXX would be a capital loss.

For your information, unless exempted, a copy of this memorandum will be severed using the Access to Information Act criteria and placed in the Canada Customs and Revenue Agency's library. A severed copy will also be distributed to the commercial tax publishers for inclusion in their databases. The severing process will remove all material that is not subject to disclosure, including information that could disclose the identity of the taxpayer. Should your customer request a copy of this memorandum, the CRA library version can be provided. Alternatively, the customer may request a severed copy using the Privacy Act criteria, which does not remove customer identity. Requests for this latter version should be made by you to Ms. Jackie Page at (819) 994-2898. Perte découlant de la disparition de tableaux

La présente fait suite à votre fac-similé du 5 décembre 2002 dans lequel vous demandez notre opinion quant au sujet mentionné en titre dans la situation décrite ci-après. Nous avons tenu compte des renseignements additionnels contenus dans la déclaration sous serment faite par XXXXXXXXXX que nous avons reçue le 17 février 2003.

Notre compréhension des faits est la suivante.

Faits

1. En vertu de contrats de vente intervenus le XXXXXXXXXX (ci-après le " client ") a acheté de XXXXXXXXXX (ci-après le " vendeur "), des XXXXXXXXXX (ci-après les " œuvres ").

2. Dès la livraison et suite au paiement, les œuvres ont été consignées chez le vendeur pour fin de revente. Des conventions de renouvellement de consignation en date du XXXXXXXXXX nous ont été fournies. Ces dernières précisent, entre autres, les renseignements suivants : XXXXXXXXXX.

3. Constatant, au fil des années, que certaines œuvres devenaient plus difficiles à vendre, le client a échangé un bloc d'œuvres pour d'autres œuvres.

4. Le client a demandé, par la suite, au vendeur de lui remettre ses œuvres. Ne pouvant les obtenir, il a retenu, en XXXXXXXXXX, les services d'un huissier pour les reprendre. Les œuvres n'ont pu être retracées. Au conseil de son avocat, le client n'a pas formulé de plainte à la police à ce moment.

5. Le client a réclamé, dans le calcul de son revenu pour l'année XXXXXXXXXX, une perte finale de XXXXXXXXXX $ représentant le coût en capital de ses œuvres lesquelles ont été incluses dans la catégorie 8 de l'Annexe II du Règlement de l'impôt sur le revenu (ci-après le " Règlement "). Selon l'Annexe A jointe à la demande, le client possédait XXXXXXXXXX œuvres. Le client n'avait pas assuré les œuvres.

6. Le client est un XXXXXXXXXX. Selon les déclarations sous serment que nous avons reçues, les œuvres n'ont jamais été exposées dans la XXXXXXXXXX ou dans le bureau où il exerce sa profession de XXXXXXXXXX. L'intention du client était, selon lui, d'exercer une activité en vue de réaliser un profit à la vente desdites œuvres.

7. Dans son bilan personnel du XXXXXXXXXX, les tableaux sont comptabilisés au coût, sous la rubrique " placements ".

Question

Le client peut-il réclamer une perte finale en vertu du paragraphe 20(16) de la Loi de l'impôt sur le revenu (ci-après la " Loi ") pour les œuvres disparues?

Vos commentaires

Vous avez traité les œuvres comme " biens meubles déterminés " au sens de cette expression à l'article 54 de la Loi et conséquemment vous avez refusé la perte finale au client.

Nos commentaires

Avant de traiter de la nature de la perte que le client pourrait être en droit de réclamer, il y a lieu d'examiner à quel moment le client est en droit de réclamer une perte.

Avant qu'une perte en capital puisse être reconnue, il doit y avoir en premier lieu une disposition d'un bien (dans le cas présent les œuvres). Tel que précisé à l'alinéa 40(1)b) de la Loi, la perte en capital d'un contribuable pour une année d'imposition résultant de la disposition d'un bien est essentiellement l'excédent éventuel du prix de base rajusté du bien sur le produit de disposition du bien. Tel que précisé au paragraphe 9 du Bulletin d'interprétation IT-185R, Pertes découlant d'un vol, d'un détournement de fonds ou de malversation, lorsque aucun produit de disposition n'est reçu pour des biens pris illégalement, on considère qu'il y a eu disposition à la date à laquelle la perte des biens a été constatée. Dans ce contexte, la perte en capital est équivalente au prix de base rajusté des biens pris illégalement. Advenant que les biens disparus sont des biens amortissables d'une catégorie prescrite, une perte finale peut en découler laquelle serait déduite dans le calcul du revenu d'entreprise ou de bien dans l'année où la disparition est notée.

Comme il sera discuté ci-après, si les biens sont des biens figurant dans un inventaire et que ces derniers sont pris illégalement, la perte qui en résulte peut être déductible dans le calcul du revenu d'entreprise s'il est raisonnable de considérer la perte comme inhérente aux activités génératrices de revenus de l'entreprise. La perte serait alors déductible dans le calcul du revenu de l'année au cours de laquelle on l'a constatée.

Dans le cas sous examen, le client a constaté que la totalité des œuvres ont disparues en XXXXXXXXXX et le vendeur, qui détenait les œuvres en consignation, n'a pu être retracé. Les œuvres n'étant pas assurées, le client n'a pu toucher aucune indemnité et aucun produit de disposition n'a été déclaré. Sous réserve de la détermination de la nature de la perte, nous sommes d'avis que la perte du client devrait être constatée dans l'année d'imposition XXXXXXXXXX.

En tenant compte des informations qui nous ont été fournies, nous devons qualifier les biens détenus par le client pour déterminer la nature de la perte.

Immobilisations-biens amortissables

La notion de perte finale dans la Loi s'applique à un bien amortissable d'une catégorie prescrite par Règlement.

Pour qu'une œuvre d'art soit incluse dans une catégorie de l'Annexe II du Règlement, soit dans le cas présent la catégorie 8, il faut en vertu de l'alinéa 1102(1)e) du Règlement qu'elle soit créée par un particulier qui est un canadien au moment de la création du bien. Nous assumons que les œuvres visées dans la présente respectent cette condition. De plus, l'alinéa 1102(1)c) du Règlement indique qu'un élément d'actif doit avoir été acquis aux fins de gagner ou de produire un revenu afin qu'il soit un bien visé par la partie XI et l'annexe II du Règlement. Selon les informations qui nous ont été fournies, aucun revenu ne semble avoir découlé de la détention des œuvres au cours de la période de XXXXXXXXXX. Sauf si les œuvres avaient été louées par le client, il nous apparaît qu'aucun revenu ne pouvait réellement découler de leur usage ou de leur détention à l'exception d'un profit au moment de leur revente puisque les œuvres étaient conservées par le vendeur, pour et au nom de l'acheteur. Conséquemment, nous sommes d'avis que les œuvres ne pouvaient se qualifier à titre de biens amortissables aux fins d'une catégorie de l'Annexe II du Règlement et, ce faisant, une perte finale ne peut être accordée au client.

Immobilisations-biens meubles déterminés

Par ailleurs, pour être qualifiés à titre de " biens meubles déterminés ", les œuvres doivent être des " biens à usage personnel " pour le client au sens de cette expression à l'article 54 de la Loi, c'est-à-dire, des œuvres qui lui appartiennent et qui sont affectées principalement à son usage ou à son agrément personnel ou à celui d'une personne qui lui est liée. En tenant compte des informations qui nous ont été fournies et en assumant que les œuvres ont été en la possession du vendeur tout au long de la période de XXXXXXXXXX pour fins de revente, il nous apparaît que les œuvres n'étaient pas, pour le client, des biens à usage personnel.

Biens figurant dans un inventaire

Tel que précisé au paragraphe 6 des faits, le client désirait réaliser un profit lors de la vente des œuvres. Il nous apparaît nécessaire d'analyser si la détention des œuvres pour le client pouvait être des biens figurant dans un inventaire dans le cadre d'une entreprise et si la disparition de ces dernières pouvait entraîner la réalisation d'une perte d'entreprise.

Le terme " entreprise " est défini au paragraphe 248(1) de la Loi et comprend : les activités de quelque genre que ce soit et ... les projets comportant un risque ou les affaires de caractère commercial. Les tribunaux ont eu à se prononcer plusieurs fois sur ce que constitue un " projet comportant un risque ou une affaire de caractère commercial ". Comme le précisait la Cour suprême du Canada dans l'affaire Jake Friesen c. La Reine, 95 DTC 5551 :

La première condition de l'existence d'un projet comportant un risque de caractère commercial est qu'il comporte un "plan visant la réalisation d'un bénéfice". Le contribuable doit avoir l'intention légitime de tirer un bénéfice de l'opération. Les autres conditions sont énoncées utilement dans le bulletin d'interprétation IT-459, intitulé "Projet comportant un risque ou une affaire de caractère commercial" (8 septembre 1980),...

Dans l'affaire W. Struan Robertson c. La Reine (CAF), les juges ont eu à déterminer si l'acquisition d'actions par voie de levée d'option et la disposition de ces actions, en 1990, constituaient un " risque de caractère commercial ". L'Honorable juge Desjardins a mentionné :

Ainsi que les auteurs W.E. Crawford et R.E. Beam le font remarquer, un " risque " est, par définition, le plus souvent une opération isolée. Un grand nombre d'opérations isolées ne sont toutefois pas " de caractère commercial ". L'opération en cause doit comporter certains éléments, certains aspects commerciaux qui en font un risque de caractère commercial. Ce qu'il faut rechercher, ce sont les " caractéristiques commerciales " ou facteurs de comportement qui permettent de qualifier la ligne de conduite qu'a suivie le contribuable. Ces éléments permettent de tirer des inférences sur la question de savoir si le contribuable se livrait à une opération commerciale ou s'il ne faisait qu'un placement. (notre soulignement)

Généralement, la position de l'ADRC est qu'une entreprise commence lorsqu'une activité significative est amorcée qui est partie d'un processus générateur de revenu dans ce type d'entreprise. Une entreprise ne serait pas considérée comme ayant débuté si des efforts sérieux et raisonnables ne sont pas faits pour commencer des opérations normales d'affaire.

Le Bulletin d'interprétation IT-459 mentionne certains critères à examiner tels que la conduite du contribuable, la nature du bien et l'intention du contribuable afin de déterminer si une transaction en particulier représente un projet comportant un risque ou une affaire de caractère commercial. Nous reprenons ces critères à la lumière des faits de la présente situation.

Conduite du client

Le client aurait laissé en consignation les œuvres auprès du vendeur pour que ce dernier les revende. Selon le contrat visant le renouvellement de consignation conclu en XXXXXXXXXX, la valeur de l'œuvre, le prix demandé par le client et la commission du vendeur étaient précisés dans le contrat. Dans la déclaration sous serment du XXXXXXXXXX, le client précise que : " XXXXXXXXXX ". Finalement, le client aurait échangé un bloc d'œuvres pour d'autres dans le but d'en faciliter la vente.

Nature du bien

Tel que précisé précédemment, les œuvres ne semblent pas avoir constitué un placement générateur de revenu. Elles auraient pu néanmoins procurer un agrément personnel au client. Selon les faits, cependant, le client n'aurait pas acquis les œuvres pour son usage personnel, les œuvres étant en consignation pour fins de revente.

Intention du client

Le client maintient que tout au long de la période son intention était d'exercer une activité en vue de réaliser un profit à la vente des œuvres.

En tenant compte des informations fragmentaires qui nous ont été fournies, il nous apparaît que certains éléments dans la conduite du client supportent en partie son intention d'exercer une activité en vue de réaliser un profit lors de la vente des œuvres et que certaines démarches commerciales avaient été entreprises. Les œuvres étaient exposées chez le vendeur pour fins de revente. Le prix de vente et le montant de commission étaient déterminés pour chacune des œuvres. Dans l'éventualité qu'une offre d'achat aurait été inférieure au prix demandé, le client aurait eu à autoriser la vente. En aucun temps les œuvres auraient été à la disposition personnelle du client pour son usage et son agrément.

Cependant avant de conclure que le client était engagé dans un projet comportant un risque ou une affaire de caractère commercial et qu'une perte d'entreprise pourrait découler de la disparition des XXXXXXXXXX, nous sommes d'avis que certains points devraient être clarifiés. Par exemple, au point 5 de la déclaration sous serment, le client affirme avoir contacté sur une base régulière le vendeur et s'être déplacé afin de connaître l'évolution des ventes, l'existence physique et la valeur des œuvres. Dans ce contexte, le client a-t-il vendu effectivement des œuvres et/ou a-t-il refusé des offres d'achat au cours de la période de XXXXXXXXXX? Advenant qu'aucune œuvre n'ait été vendue et qu'aucune offre ne lui a été soumise, qu'est-ce qui a motivé le client à demeurer avec le vendeur au cours de toute cette période? Au moment de l'achat des œuvres, y avait-il eu d'autres ententes conclues entre l'acheteur et le vendeur, prévoyant par exemple, le don de certaines œuvres? Le client avait-il obtenu d'un évaluateur indépendant au moment de l'achat ou par la suite une évaluation des œuvres?

Lorsque le revenu qu'un contribuable tire d'une entreprise est un projet comportant un risque ou une affaire de caractère commercial, les biens figurant à l'inventaire doivent être évalués à leur coût d'acquisition en vertu du paragraphe 10(1.01) de la Loi. Si le vendeur et le client avaient entre eux un lien de dépendance et qu'il était démontré que le client a payé pour les œuvres un montant supérieur à la juste valeur marchande (ci-après la " JVM "), l'alinéa 69(1)a) de la Loi pourrait s'appliquer réduisant le prix d'achat du client pour ses œuvres à leur JVM. Voir à cet effet, le paragraphe 1 du Bulletin d'interprétation IT-405, Contreparties insuffisantes-Acquisitions et dispositions et les paragraphes 15 à 19 du Bulletin d'interprétation IT-419R, Définition de l'expression " sans lien de dépendance ".

Immobilisations

Dans l'éventualité où vous ne pouvez obtenir du client des informations vous permettant de conclure à l'existence d'un projet comportant un risque ou une affaire de caractère commercial, nous sommes d'avis que les œuvres pourraient être traitées comme des investissements de nature capitale et être qualifiées à titre d'immobilisation. Conséquemment, la perte découlant de la disparition des œuvres, en XXXXXXXXXX, serait une perte en capital.

Pour votre information, une copie de cette lettre sera épurée selon les critères contenus dans la Loi sur l'accès à l'information et sera disponible dans la Bibliothèque de l'ADRC qui se trouve sur votre réseau local ou sur Intranet. Une copie de la version épurée sera également distribuée aux éditeurs fiscaux commerciaux pour insertion dans leurs banques de données. Le processus d'épuration permet d'enlever toute information qui n'a pas à être dévoilée y compris toute information qui permettrait l'identification du contribuable. Si votre client demande une copie de cette lettre, vous pouvez lui remettre une copie épurée de la lettre telle qu'elle se trouve dans la Bibliothèque de l'ADRC. Le client peut aussi demander une copie de la lettre épurée en vertu des critères de la Loi sur la protection des renseignements personnels sur laquelle apparaît le nom du contribuable. Toute demande à cet effet devrait être faite auprès de Madame Jackie Page au (819) 994-2898. La copie épurée selon les critères de la Loi sur la protection des renseignements personnels vous sera alors envoyée pour que vous puissiez la remettre à votre client.

The taxpayer purchased artwork but left it on consignment with the vendor for sale on his behalf. When the artwork remained unsold, he asked for its return, at which point it emerged that the artwork had disappeared. Regarding whether the artwork had been acquired as part of an adventure in the nature of trade, the Directorate stated:

Generally, the CCRA's position is that a business commences when a significant activity is initiated that is part of an income-generating process in that type of business. A business would not be considered to have commenced if serious and reasonable efforts are not made to commence normal business operations.

Regarding the timing of recognition of loss, if the artwork had been acquired as an adventure in the nature of trade, the Directorate affirmed the position in IT-185R that where no proceeds of disposition are received for property unlawfully taken, a disposition is considered to have occurred on the date the loss of the property was discovered.
