Objet: Exonération du gain en capital - bien agricole admissible paragraphe 110.6(1) de la Loi de l'impôt sur le revenu (Canada)
La présente est en réponse à votre lettre du 16 novembre 1994 par laquelle vous nous demandez de vous confirmer votre interprétation relativement à la déduction pour gains en capital à l'égard d'un bien agricole, prévue au paragraphe 110.6(2) de la Loi de l'impôt sur le revenu (Canada) (ci-après la "Loi"), dans un situation hypothétique donnée. En résumé, vous décrivez la situation suivante.
Situation
M. X possède un fonds de terre situé à proximité d'un centre de ski (ci-après le «Fonds de terre»). Sa résidence principale est située sur le Fonds de terre de même qu'une écurie où il garde des chevaux en pension. Une partie du Fonds de terre sert à la culture du foin pour les chevaux et le reste constitue un boisé. M. X a toujours eu un emploi et n'a jamais exploité une entreprise agricole sur le Fonds de terre. M. X est décédé en 1993.
Mme X, épouse de M. X, est légataire universelle de M. X. Le Fonds de terre a donc été transféré à Mme X en vertu du roulement prévu au paragraphe 70(6) de la Loi. Depuis le décès de M. X, Mme X est déménagée et la résidence située sur le Fonds de terre est louée.
Fils 1 et Fils 2 ont des emplois et envisagent d'utiliser le Fonds de terre dans le cadre d'une entreprise agricole au Canada.
Fils 1 et Fils 2 se proposent de créer une société (Nouco) dont ils détiendraient, en parts égales, la totalité des actions ordinaires du capital-actions émis. Mme X transfèrerait tous les équipements servant à l'exploitation de l'écurie et à la culture du foin à Nouco par un roulement en vertu du paragraphe 85(1) de la Loi. Mme X louerait le Fonds de terre à Nouco. Nouco utiliserait le Fonds de terre pour poursuivre l'exploitation de l'écurie, pour cultiver du foin pour les chevaux, pour mettre en place une plantation de sapin et établir un programme de gestion pour l'exploitation forestière. Fils 1 et Fils 2, les seuls administrateurs de Nouco, feraient les plantations et les coupes de foin pour Nouco. Une personne engagée par la société Nouco s'occuperait de la pension des chevaux.
Dans une année d'imposition subséquente, soit un peu plus de 24 mois après la création de Nouco, Mme X vendrait le Fonds de terre, en faisant un choix en vertu du paragraphe 73(3) de la Loi, à Fils 1 et Fils 2 pour une contrepartie totale de 500 000 $. Mme X se prévaudrait, jusqu'à concurrence du montant permis par la Loi, de la déduction pour gains en capital pour biens agricoles admissibles selon le paragraphe 110.6(2) de la Loi. Le prix de base rajusté du Fonds de terre pour Fils 1 et Fils 2 serait de 500 000 $ en vertu de l'alinéa 73(3)d) de la Loi.
Par la suite, Fils 1 et Fils 2 vendraient le Fonds de terre à Nouco pour une somme convenue de 1 500 000 $ de sorte que chacun d'eux réaliserait un gain en capital de 500 000 $. Fils 1 et Fils 2 se prévaudrait, jusqu'à concurrence du montant permis par la Loi, de la déduction pour gains en capital pour biens agricoles admissibles selon le paragraphe 110.6(2) de la Loi.
Questions soulevées
Vous désirez savoir, compte tenu de l'ensemble des faits énoncés dans votre lettre, si les transactions ci-dessus mentionnés permettraient de faire en sorte que Mme X, Fils 1 et Fils 2 puissent utiliser la déduction pour gains en capital pour les biens agricoles admissibles prévue au paragraphe 110.6(2) de la Loi du fait que Fils 1 et Fils 2 prendraient une part active à l'entreprise agricole dans laquelle le Fonds de terre est utilisé et ce même s'ils occupent un emploi à l'extérieur de la ferme.
Ils nous apparaît que la situation que vous avez décrite n'est pas une situation hypothétique et peut représenter des transactions proposées. Tel qu'il est mentionné au paragraphe 21 de la Circulaire d'information 70-6R2 du 28 septembre 1990 ainsi que dans le Communiqué Spécial du 30 septembre 1992 (la "Circulaire"), le Ministère a comme pratique de ne pas émettre d'opinion écrite concernant des transactions projetées autrement que par voie de décisions anticipées. Par ailleurs, lorsqu'il s'agit de déterminer si une transaction complétée a reçu un traitement fiscal approprié, la décision en revient d'abord à nos bureaux régionaux qui peuvent faire l'examen de tous les faits et documents dans le cadre d'une mission de vérification. Néanmoins, nous vous offrons les commentaires d'ordre général suivants.
Nous ne pouvons vous confirmer que Mme X, Fils 1 ou Fils 2 pourraient se prévaloir de la déduction pour gains en capital prévue au paragraphe 110.6(2) de la Loi dans une situation comme celle que vous avez décrite dans votre demande. A cet égard, nous tenons à attirer votre attention sur certaines questions qui nous apparaissent importantes dans le contexte de votre question.
Tout d'abord, nous présumons que Mme X se prévaudrait des dispositions du paragraphe 45(1) de la Loi en raison du changement d'usage de l'immeuble (logement et fonds de terre), de bien personnel en bien producteur de revenu.
Étant donné que le fonds de terre constituait un bien personnel sous-jacent ou adjacent à un logement, il y aurait lieu de déterminer quelle est la juste valeur marchande attribuable à la partie du fonds de terre qui peut raisonnablement se rapporter au logement et la partie attribuable au reste qui serait loué à la société. Il faudrait également déterminer quel est l'usage principal de l'immeuble.
En ce qui concerne la société, il faudrait déterminer la nature exacte de ses activités et si une activité donnée constitue ou non une activité agricole. Par exemple, il n'est pas évident qu'une activité se limitant à donner des cours d'équitation (si c'est le sens que l'on peut prêter à votre expression: «exploitation de l'écurie») ou à garder des chevaux en pension constitue une activité agricole. En effet, dans l'affaire Jean-Yves Leguillou c. Le Ministre du Revenu National, 84 DTC 1367 (CCI), le Juge Cardin a émis les commentaires suivants:
If giving riding lessons can be considered as farming (I have serious doubts that it can) it cannot, in my opinion, be considered as a sideline business, because it did not have an objective and reasonable expectation of profit.

Quant à l'activité décrite comme étant la «mise en place d'une plantation de sapin et l'établissement d'un programme de gestion pour l'exploitation forestière», la question principale serait sans doute de déterminer si cette activité est poursuivie avec un espoir raisonnable de profit. En effet, tel que prévu au paragraphe 10 du bulletin d'interprétation IT-349R2 du 17 juillet 1987, la question de savoir si une activité agricole particulière constitue à un moment donné une entreprise agricole est une question de fait et doit être examiné cas par cas.
Pour qu'une activité agricole soit considérée comme un source de revenu c'est-à-dire une entreprise, il faut que l'activité agricole soit exercée avec un espoir raisonnable de profit. Le paragraphe 4 du bulletin d'interprétation IT-322R du 25 octobre 1978 énumère quelques critères à considérer pour déterminer si une opération agricole est une entreprise ou non, dont:
a) l'ampleur des activités par rapport à celles des entreprises de nature semblable, l'espace utilisé pour poursuivre l'activité, la viabilité du projet;
b) le temps consacré à l'activité;
c) les engagements financiers dans un projet;
d) la reconnaissance de l'activité agricole par un organisme d'aide agricole provincial.
Dans la situation factuelle que vous nous exposez, il faudrait donc déterminer, entre autres, si les opérations de la société sont des activités agricoles et si ces activités agricoles sont exercées avec un espoir raisonnable de profit au cours de chacune des années d'imposition considérées. Dans votre exemple, il se pourrait que la très courte période d'environ 26 mois entre le début des opérations de la société et la vente du fonds de terre par les propriétaires ne soit pas suffisante pour faire la démonstration qu'au cours de cette période il existe un espoir raisonnable de profit; particulièrement à cause du fait qu'il s'agit d'une nouvelle entreprise et qu'aucune membre de la famille n'a d'expérience dans le domaine agricole. Par analogie, nous vous référons à l'affaire Edward Hilts and Peggy Hilts c. Le Ministère du Revenu National, 91 DTC 633 (CCI), où le Juge Margeson a émis les commentaires suivants à l'égard du plan de développement des contribuables sur une période de sept ans, divisé en deux phases:
The first phase was to obtain the land and develop the platform, as they called it, and then in phase two to go into the livestock operations from which they intended to make a profit....

It is apparent that what the Appellants were doing in the years under review (la phase un) here were expending funds to improve the capital assets of the property so that a business might be carried on in the future when the production aspect of their enterprise commenced, but they were not during those years carrying on the business of farming.

Enfin, l'expression "prenait une part active de façon régulière et continue" utilisée, entre autres, dans la définition de «bien agricole admissible» au paragraphe 110.6(1) de la Loi, n'est pas définie dans la Loi. Il faut examiner les faits pour établir si le contribuable, son conjoint ou ses enfants prenaient une part active de façon régulière et continue dans l'exploitation de l'entreprise agricole donnée.
Comme vous l'avez mentionné dans votre demande, dans la décision Ross D. Wilde v. MNR 91 DTC 1125, CCI, le juge T.C.J. Bonner a émis les commentaires suivants à l'égard de l'interprétation de cette expression utilisée dans la définition de «action du capital-actions d'une société agricole familiale» au paragraphe 70(10) de la Loi:
In my view it was not the intention of the legislature to include within the class of person described in paragraph 70(10)(b) of the Act, that is to say the class of person entitled to the exemption provided by section 110.6, those who at the moment of sale of the property in question engaged fleetingly in the conduct of some farming activity of the company. The words «actively engaged» require, if not continuity of employment of business, at least frequency of employment therein over a substantial period of time.

Il n'est donc pas nécessaire qu'une personne se consacre exclusivement à une entreprise agricole exploitée par une société pour être considérée comme «prenant une part active de façon régulière et continue» à l'entreprise agricole d'une société; il faut cependant que dans les faits on puisse démontrer que la personne prend une part active de façon régulière et continue à l'entreprise agricole de la société.
