Reasons: It is an activity that is, in itself, undertaken to achieve the non-profit goals of the organization in that it is part of the establishment of appropriate facilities for the holding of the festival event in question. In addition, the amounts involved and the scale of retail activities are minimal compared to the operations of the organization as a whole.

This is in response to your e-mail of November 29, 2011, in which you asked for our comments regarding the qualification of Corporation as an organization described in paragraph 149(1)(l) of the Income Tax Act, R.S.C. 1985 (5th Supp.), c.1 , as amended (the "Act").

In particular, you asked us whether the retail sale of consumer products such as food, beer and wine, by Corporation, at some of its outdoor activities, has the effect that Corporation is not operated exclusively for non-profit purposes as required by paragraph 149(1)(l). We have considered the documents submitted to you by XXXXXXXXXX, including the letter sent to it by representatives of Corporation on XXXXXXXXXX.

Unless otherwise indicated, all statutory references herein are to the provisions of the Act.

THE FACTS

The relevant facts, as we understand them in light of the documents you have submitted to us, are as follows:

1. Corporation is a corporation formed under Part III of the Quebec Companies Act.

2. According to the letters patent of Corporation, the objects for which Corporation has been formed are the following:

3. The letters patent of Corporation further provide as follows: "In the event of the winding-up of the corporation or distribution of the property of the corporation, the latter shall become vested in an organization carrying on a similar activity".

4. We understand that in fact, Corporation hosts, organizes and promotes a festival event XXXXXXXXXX which takes place annually. We understand that as part of this festival event, Corporation presents activities focused primarily XXXXXXXXXX.

5. We understand that the Corporation operates without intention of profit.

6. Most of the revenue generated by Corporation comes from government grants and sponsorships.

7. During the described activities, Corporation sells consumer products such as food, beer and wine to its clientele. These sales are made only because of the festival-event activities, only at the time of their mounting and only on the site of those activities (through outdoor kiosks).

8. For the relevant taxation years (XXXXXXXXXX and XXXXXXXXXX), the revenue from the sale of such consumer products was XXXXXXXXXX% and XXXXXXXX%, respectively, of Corporation’s total revenues. The resulting net profits were small.

9. We understand that the sale of such products is a common practice in the field of entertainment and cultural events of that nature.

QUESTION

Based on the information you provided to us, your only concern about Corporation is whether the retail sale of consumer products means that the Corporation is not operated exclusively for non-profit purposes as required by paragraph 149(1)(l).

Position of the TSO

XXXXXXXXXX stresses that an organization that qualifies under paragraph 149(1)(l) can generate profits, but that they must be incidental and result from activities that it performs to achieve its non-profit goals. It states that profits from the retail sale of consumer goods are not incidental or earned as part of an activity that is, in itself, undertaken to achieve the non-profit purposes of the organization.

Position of the Corporation’s Representatives

The Corporation's representatives argue that the sale of consumer products in the circumstances described above does not cause the Corporation to carry on business, but rather, it is an ad hoc commercial activity [“activité commerciale ponctuelle”] that is incidental to its non-profit purposes. They further argue that in order to determine the non-profit nature of an organization, the study of its purposes and intent takes precedence over the study of its ad hoc activities [“activités ponctuelles”] so that in this case we should limit our analysis to the mission and purposes pursued by Corporation rather than the nature of its ad hoc activities. Finally, they argue that the revenues from the sale of consumer products are minimal in relation to its total revenues, that little profit is generated by the sale of such products and that the minimal profits derived from such sales have been fully applied by Corporation to achieve its mission. Consequently, the representatives are of the view that it would be difficult to argue that Corporation engages in the sale of such products with a view to making and accumulating profits.

OUR COMMENTS

We are of the view that the retail sale by Corporation of consumer products such as food, beer and wine, in the circumstances described above, does not, in itself, prevent Corporation from qualifying under paragraph 149(1)(l).

Generally, paragraph 149(1)(l) provides that the taxable income of a particular organization is exempt from Part I tax for the period in which the organization satisfies the following conditions:

the organization is a club, society or association;
the organization is not a charity;
the organization is organized and operated exclusively for purposes other than making a profit;
its income is not payable to its members and cannot be used for the benefit of its members.

Although Corporation may realize some minimal profits through the retail sale of consumer products such as food, beer and wine, we are of the view that that activity does not, in itself, indicate that Corporation is operated for the dual purpose of generating profits and carrying out non-profit activities.

In fact, we are of the view that, in the circumstances described, the retail sale of consumer products is part of the establishment of appropriate facilities for the holding of the festival event that Corporation is mandated to host, organize and promote. Consequently, we are of the view that that is an activity that is, in itself, undertaken to achieve the Corporation’s non-profit purposes. We further note that the amounts involved and the scale of the retail operations are minimal with respect to Corporation's operations as a whole, which tends to confirm that the making of profits is not an end in itself pursued by Corporation.

We wish to bring to your attention, however, that we disagree with the argument of Corporation’s representatives that, in order to determine the non-profit nature of an organization, the study of its purposes and intent takes precedence over the study of its ad hoc activities.

Paragraph 149(1)(l) requires the organization to be established exclusively for any purpose other than profit but also requires that it be operated for such purposes. Paragraph 5 of Interpretation Bulletin IT-496R, Non-Profit Organizations, states that "[w]hen determining the purpose for which an association was organized, the instruments creating the association will normally be reviewed. These instruments may include letters patent, articles of incorporation, memoranda of agreement, by-laws, and so on.” Paragraph 10 states the following:

10. To qualify for exemption, an association must not only be organized exclusively for non-profit purposes but it must in fact be operated in accordance with these purposes in each year for which it seeks exemption under paragraph 149(1)(l). A determination of whether an association was operated exclusively for and in accordance with its non-profit purposes in a particular taxation year must be based on the facts of each case, which can be obtained only by reviewing all of its activities for that year. …

It is true that in BBM Canada v. The Queen, 2008 DTC 4129 (T.C.C.), Justice Boyle stated in paragraph 43 that " the provision requires a focus on the entity’s purposes and not merely its activities.” However, that does not mean that activities should not be taken into account. On the contrary, jurisprudence recognizes that the activities of an organization are important in determining what are the purpose(s) for which it is operated. In the case of The Canadian Bar Insurance Association v. The Queen, 99 DTC 653 (TCC) ("CBIA"), Justice Mogan specifically stated in paragraph 37 that "[w]hen determining purpose or object or motive, the conduct of a corporation is more important than a declared object in its charter.” This is also consistent with the following comments of Couture CJ in Tourbec (1979) Inc. v. M.R.N., 88 DTC 1439 (TCC):

The fact that the appellant was incorporated under Part III of the Companies Act, that is under the provisions governing the incorporation of non-profit companies, is not the criterion that establishes whether it is in fact a non-profit organization within the meaning of paragraph 149(1)(l). In Sutton Lumber and Trading Co. Ltd. v. M.N.R. 53 DTC 1158, the Supreme Court of Canada stated, at page 1161, the following:

The question to be decided is not as to what business or trade the company might have carried on under its memorandum, but rather what was in truth the business it did engage in. To determine this, it is necessary to examine the facts with care.

Thus, it is the study of the Corporation's activities that determines whether it was operated exclusively for purposes other than making a profit in a particular period.

ACCESS TO INFORMATION

For your information, unless exempted, a copy of this memorandum will be severed using the Access to Information Act criteria and placed in the Canada Revenue Agency's electronic library. A severed copy will also be distributed to the commercial tax publishers for inclusion in their databases. Raisons: Il s'agit d'une activité qui est, en soi, entreprise pour atteindre les buts non lucratifs de l'organisation en ce sens qu'elle fait partie de la mise en place d'installations appropriées à la tenue de l'événement festivalier en cause. De plus, les montants impliqués et l'ampleur des activités de vente au détail sont minimes en regard des opérations de l'organisation dans leur ensemble.

La présente fait suite à votre courriel du 29 novembre 2011, dans lequel vous nous demandiez nos commentaires concernant la qualification de Société en tant qu'organisation visée à l'alinéa 149(1)l) de la Loi de l'impôt sur le revenu, chapitre 1 des L.R.C. (1985) (5e supplément), telle que modifiée (la " Loi ").

Plus particulièrement, vous nous demandiez si la vente au détail de produits de consommation tels que nourriture, bière et vin, par Société, lors de certaines de ses activités extérieures, fait en sorte que Société n'est pas administrée uniquement à des fins non lucratives tel que l'exige l'alinéa 149(1)l). Nous avons tenu compte des documents qui vous ont été soumis par XXXXXXXXXX , incluant la lettre qui lui a été adressée par les représentants de Société le XXXXXXXXXX .

À moins d'indication contraire, tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi.

LES FAITS

Les faits pertinents, tels que nous les comprenons compte tenu des documents que vous nous avez soumis, sont les suivants :

1. Société est une personne morale constituée en vertu de la Partie III de la Loi sur les compagnies du Québec.

2. Selon les lettres patentes de Société, les objets pour lesquels Société a été constituée sont les suivants :

3. Les lettres patentes de Société prévoient de plus ce qui suit : " Au cas de liquidation de la corporation ou de distribution des biens de la corporation, ces derniers seront dévolus à une organisation exerçant une activité analogue ".

4. Nous comprenons que dans les faits, Société anime, organise et fait la promotion d'un événement festivalier XXXXXXXXXX qui a lieu annuellement. Nous comprenons que dans le cadre de cet événement festivalier, Société présente des activités concentrées principalement XXXXXXXXXX .

5. Nous comprenons que Société exerce ses activités sans intention pécuniaire.

6. La majeure partie des revenus générés par Société provient de subventions gouvernementales et de commandites.

7. Au cours des activités présentées, Société vend à sa clientèle des produits de consommation tels que de la nourriture, de la bière et du vin. Ces ventes ne sont réalisées qu'en raison des activités de l'événement festivalier, seulement au moment de la tenue de ces activités et seulement sur le site de ces activités, par l'entremise de kiosques extérieurs.

8. Pour les années d'imposition pertinentes (XXXXXXXXXX et XXXXXXXXXX ), le revenu tiré de la vente de tels produits de consommation représentait respectivement XXXXXXXXXX % et XXXXXXXXXX % du revenu total de Société. Les profits nets en résultant étaient peu importants.

9. Nous comprenons que la vente de tels produits est une pratique courante dans le domaine du spectacle et des événements culturels de cette nature.

QUESTION

Selon les informations que vous nous avez transmises, votre seul élément de préoccupation concernant Société est de savoir si la vente au détail de produits de consommation fait en sorte que Société n'est pas administrée uniquement à des fins non lucratives tel que l'exige l'alinéa 149(1)l).

Position DU BSF

XXXXXXXXXX souligne qu'une organisation qui se qualifie sous l'alinéa 149(1)l) peut générer des profits, mais qu'ils doivent être accessoires et découler d'activités qu'elle effectue pour atteindre ses buts non lucratifs. Il indique que les profits découlant de la vente au détail de produits de consommation ne sont pas accessoires ni gagnés dans le cadre d'une activité qui est, en soi, entreprise pour atteindre les buts non lucratifs de l'organisation.

Position DES REPRÉSENTANTS DE SOCIÉTÉ

Les représentants de Société soutiennent que la vente de produits de consommation dans les circonstances décrites précédemment ne fait pas en sorte que Société exploite une entreprise, mais qu'il s'agit plutôt d'une activité commerciale ponctuelle, accessoire à ses objets non lucratifs. Ils soutiennent de plus que pour déterminer le caractère non lucratif d'un organisme, l'étude de ses objets et de son intention a préséance sur l'étude de ses activités ponctuelles de sorte qu'en l'espèce, nous devrions limiter notre analyse à la mission et aux objets poursuivis par Société plutôt qu'à la nature de ses activités ponctuelles. Ils soutiennent enfin que les revenus résultant de la vente de produits de consommation sont minimes par rapport à ses revenus totaux, que peu de profits sont générés par la vente de tels produits et que les minimes profits qui en découlent ont été entièrement utilisés par Société pour réaliser sa mission. Par conséquent, les représentants sont d'avis qu'il serait difficile de soutenir que Société s'adonne à la vente de tels produits dans une perspective de réaliser et de cumuler des profits.

NOS COMMENTAIRES

Nous sommes d'avis que la vente au détail par Société de produits de consommation tels que de la nourriture, de la bière et du vin, dans les circonstances décrites précédemment, n'a pas pour conséquence, en soi, d'empêcher Société de se qualifier sous l'alinéa 149(1)l).

De manière générale, l'alinéa 149(1)l) prévoit que le revenu imposable d'une organisation donnée est exonéré de l'impôt de la partie I de la Loi pour la période où cette organisation satisfait les conditions suivantes :

l'organisation est un cercle ou une association;
l'organisation n'est pas un organisme de bienfaisance;
l'organisation est constituée et administrée uniquement à des fins autres que la réalisation d'un profit,
son revenu n'est pas payable à ses membres, et ne peut servir au profit de ceux-ci.

Bien que Société puisse réaliser certains profits minimes par la vente au détail de produits de consommation tels que de la nourriture, de la bière et du vin, nous sommes d'avis que cette activité n'indique pas, en soi, que Société est administrée dans un double but, consistant à réaliser des profits et à accomplir ses activités non lucratives.

En effet, nous sommes d'avis que, dans les circonstances décrites, la vente au détail de produits de consommation fait partie de la mise en place d'installations appropriées pour la tenue de l'événement festivalier que Société a pour mission d'animer, d'organiser et de promouvoir. Par conséquent, nous sommes d'avis qu'il s'agit d'une activité qui est, en soi, entreprise pour atteindre les buts non lucratifs de Société. Nous notons de plus que les montants en cause et l'ampleur des activités de vente au détail sont minimes en regard des opérations de Société dans leur ensemble, ce qui tend à confirmer que la réalisation de profits n'est pas une fin en soi poursuivie par Société.

Nous souhaitons néanmoins porter à votre attention que nous sommes en désaccord avec l'argument des représentants de Société selon lequel, pour déterminer le caractère non lucratif d'un organisme, l'étude de ses objets et de son intention a préséance sur l'étude de ses activités ponctuelles.

L'alinéa 149(1)l) exige que l'organisation soit constituée uniquement à des fins autres que la réalisation d'un profit mais également qu'elle soit administrée à de telles fins. Le numéro 5 du bulletin d'interprétation IT-496R, Organisations à but non lucratif, indique que " [p]our déterminer l'objet de la constitution d'une association, on examine habituellement les documents en vertu desquels elle a été créée. Ces documents peuvent comprendre les lettres patentes, les statuts, les protocoles d'entente, les règlements, etc. ". Le numéro 10 indique par ailleurs ce qui suit :

10. Pour avoir droit à une exemption, une association doit non seulement être constituée uniquement à des fins non lucratives, mais aussi être effectivement administrée conformément à ces fins chaque année pour laquelle elle demande une exemption selon l'alinéa 149(1)l). La question de déterminer si une association a été administrée uniquement à des fins non lucratives et conformément à ses objectifs non lucratifs dans une année d'imposition donnée doit être fondée sur les faits pertinents à chaque cas; seul l'examen de toutes les activités de l'année permet de faire cette détermination. [...]

Il est vrai que dans l'affaire BBM Canada c. La Reine, 2008 DTC 4129 (C.C.I.), le juge Boyle a indiqué, au paragraphe 43, que " la disposition en question exige que l'accent soit mis sur l'objet de l'entité et non simplement sur ses activités ". Toutefois, ceci ne signifie pas que les activités ne doivent pas être prises en compte. Au contraire, la jurisprudence reconnaît que les activités d'une organisation sont importantes lorsqu'il s'agit de déterminer dans quel(s) but(s) elle est administrée. Dans l'affaire de L'Association d'assurances du Barreau canadien c. La Reine, 99 DTC 653 (C.C.I.) (" A.A.B.C. "), le juge Mogan a précisément indiqué, au paragraphe 37, que " [p]our déterminer le but, l'objet ou le motif, la conduite d'une société est plus importante que l'objet déclaré dans sa charte. " Ceci est également conforme aux commentaires suivants du juge en chef Couture dans l'affaire Tourbec (1979) Inc. c. M.R.N., 88 DTC 1439 (C.C.I.) :

Le fait que l'appelante ait été incorporée sous l'autorité de la Partie III de la Loi sur les compagnies, c'est-à-dire selon les dispositions qui régissent l'incorporation de compagnies à but non lucratif n'est pas le critère qui établit si en effet elle est une organisation sans but lucratif au sens de l'alinéa 149(1)(l) de la Loi. Dans l'arrêt Sutton Lumber and Trading Co. Ltd. v. M.N.R., 53 DTC 1158 la Cour suprême du Canada à décrété à la page 1161 ce qui suit:

The question to be decided is not as to what business or trade the company might have carried on under its memorandum, but rather what was in truth the business it did engage in. To determine this, it is necessary to examine the facts with care.

Ainsi, c'est l'étude des activités de Société qui permet de déterminer si elle était administrée uniquement à des fins autres que la réalisation d'un profit au cours d'une période donnée.

ACCÈS À L'INFORMATION

Consistently with its not-for-profit objects, Corporation hosts, organizes and promotes an annual out-doors festival event. Although it receives most of its revenues as government grants, it also derives a small portion of its revenues from the sale through outdoor kiosks at the festivals of products such as food, beer and wine. Are these consistent with the s. 149(1)(l) requirement of being operated exclusively for non-profit purposes?

In responding favourably, CRA stated:

[T]he retail sale of consumer products is part of the establishment of appropriate facilities for the holding of the festival event that Corporation is mandated to host, organize and promote. Consequently, we are of the view that that is an activity that is, in itself, undertaken to achieve the Corporation’s non-profit purposes.

CRA went on to clarify that it disagreed with the argument of Corporation’s representatives that, “in order to determine the non-profit nature of an organization, the study of its purposes and intent takes precedence over the study of its ad hoc activities,” and referenced inter alia in this regard the statement in the CBIA case (99 DTC 653) that "[w]hen determining purpose or object or motive, the conduct of a corporation is more important than a declared object in its charter.”
