Dear XXXXXXXXXX:
This is in reply to your facsimile transmission of July 11, 1995 concerning a proposed amendment to certificates of limited partnerships.
In order to protect its security interest against subsequent creditors of limited partnerships with respect to funds provided by way of loan, a financial institution requires that public notice of the contingent right to receive certain partnership income be provided in the form of amendments to the certificates of limited partnerships. The amendment will indicate that the specific income assigned to the financial institution will not be available to other creditors of the limited partnerships.
In our opinion, such an amendment would not change any of the views expressed in our letter of April 11, 1995.
