Prepaid royalty income

This memo is in response to your email received on December 6, 2013, in which you requested our opinion respecting the tax treatment of prepaid royalty income in a context such as that described below.

Legislation

Unless otherwise indicated, all legislative references herein refer to the provisions of the Income Tax Act, R.S.C . 1985 (5th Supplement), c.1, as amended (hereinafter the "Act").

Similarly, unless otherwise stated, the terms and expressions which are defined in the Act have the meanings so assigned to them.

Designation of parties and abbreviations

For the purposes of this interpretation, names and corporate names and certain terms are replaced by the following names, corporate names and abbreviations:

Facts

Based on the documentation you provided, we noted the following:

1. Corporation A is a Canadian corporation controlled by Corporation E, a XXXXXXXXXX corporation.

2. In XXXXXXXXXX, Corporation A granted a licence to Corporation D, a XXXXXXXXXX corporation, to manufactures and sells Product A throughout the world in return for a royalty and an advance payment of XXXXXXXXXX Canadian dollars. In XXXXXXXXXX, this license was amended to exclude the XXXXXXXXXX market.

3. The royalty referred to in the preceding paragraph corresponds to XXXXXXXXXX% of the worldwide net sales (excluding the XXXXXXXXXXX market) made by Corporation D and is governed, inter alia, by the following terms and conditions:

a) Within XXXXXXXXXXX days following the end of each quarter, Corporation D shall file and remit to Corporation A a detailed statement of the sales of Product A booked for that quarter;

b) Corporation D shall pay the royalties due within a period of XXXXXXXXXX days following the delivery of this statement. However, Corporation D is still entitled to remit the sums thus due before the expiry of this period.

4. In XXXXXXXXXX, Corporation A effected a transfer of assets, including the licence described above, to Corporation B, which was now the owner of the licence and consequently the recipient of the royalties arising therefrom.

5. On XXXXXXXXXX, Corporation B amalgamated with another group corporation, Corporation F and the new Corporation resulting from the amalgamation was named Corporation G. The tax consequences resulting from this amalgamation were as follows:

a) By virtue of paragraph 87(2)(a) of the Act, property owned by the predecessor corporation immediately before the amalgamation, including the licence held by Corporation B, became the property of Corporation G following the amalgamation. Consequently, Corporation G was now the recipient of the royalties described above.

b) At the time of the amalgamation, XXXXXXXXXX, Corporation F had the following tax attributes: a non-capital loss balance of $XXXXXXXXXX and a cumulative eligible capital amount of $XXXXXXXXXX. These attributes were also transferred to Corporation G.

c) As a result of the amalgamation, Corporation B and Corporation F were deemed to have a taxation year ending on XXXXXXXXXX, while Corporation G was deemed to begin its first taxation year at the time of the amalgamation, being XXXXXXXXXX.

6. On XXXXXXXXXX, Corporation E, the parent XXXXXXXXXX corporation, amalgamated with another XXXXXXXXXX corporation operating in the same field. This amalgamation resulted in a change in control that caused the taxation year of Corporation G to be deemed to end on XXXXXXXXXX.

7. On XXXXXXXXXX, Corporation G had a non-capital loss balance of $XXXXXXXXXX, which could no longer be applied against future income earned by it, as that balance had reached the carry-forward limit (Footnote 1) permitted by paragraph 111(1)(a) of the Act.

8. On the same day, Corporation D made a payment of $XXXXXXXXXX (footnote 2) (hereinafter, the "Payment") to Corporation G. We have summarized, in our words, our understanding of the conditions surrounding the Payment as provided for in the letter of agreement of XXXXXXXXXX between Corporation G and Corporation D:

a) It is agreed that the Payment (footnote 3) is made as an advance on any royalties arising from future sales of Product A.

b) The parties agree that it is reasonable to believe that future sales will occur between the months of XXXXXXXXXX and XXXXXXXXXX. Where applicable, the said amount shall be credited against the royalties to be paid by Corporation D arising from such sales.

c) The letter of agreement also states that the Payment will not, under any circumstances, be refundable by Corporation G, even if future sales do not materialize. The parties agree, however, that such an event is very unlikely.

9. For accounting purposes, Corporation G indicated that the Payment had been amortized over the period XXXXXXXXXX to XXXXXXXXXX in accordance with GAAP. From a tax point of view, the Payment was instead included in income for the fiscal year ending on XXXXXXXXXX.

10. Furthermore, in conversations and e-mail exchanges (Deslandes/XXXXXXXXXX), you indicated that royalties had historically been included in Corporation G's income as business income.

Your questions

11. You have asked us several questions which we summarize as follows:

a) You inquired as to the characterization of the payment that Corporation D made to Corporation G. You asked us whether this payment really constituted "pre-paid royalties" to be included in the income of Corporation G in its taxation year ending on XXXXXXXXXX. This question arises because the parties' binding contract stipulates that the royalties are calculated on the basis of the net sales that are realized, according to the taxpayer estimates, between the months of XXXXXXXXXX and XXXXXXXXXX.

b) In addition, you wished to know if the Payment, to the extent that it constitutes income, must be included in the income of Corporation G under paragraph 12(1)(a) or pursuant to subsection 9(1) of the Act. You also asked us to specify in which taxation year the Payment should be included in the income of Corporation G.

Your position

12. In your view, the Payment constitutes royalty income. In your view, royalty income is generally considered to be property income. You indicated that this was not an amount that Corporation G had received in respect of services that were not rendered or goods not delivered in the course of a business. Therefore, the royalty income was not subject to paragraph 12(1)(a) of the Act.

13. Rather, you indicate that the income inclusion of the Payment should be made in the taxation year which ended XXXXXXXXXX under subsection 9(1) of the Act in order to most accurately reflect the financial position of Corporation G. In your view, the Payment is linked to future royalties calculated on the basis of the net sales of Product A that will in all likelihood occur during its taxation year (footnote 4) ending on XXXXXXXXXX.

The position of the taxpayer/representative

14. The worksheets provided to you by Corporation G (or its agent) indicated that the Corporation considered the Payment to be business income subject to paragraph 12(1)(a) of the Act and that it must be included in the income of Corporation G in its taxation year ending on XXXXXXXXXX. However, representations made by Corporation G to us on XXXXXXXXXX indicated that the Payment should instead be included under subsection 9(1) of the Act. Essentially, it states that the case law (footnote 5) provides that, where a taxpayer has an absolute right in respect of an amount paid to it, that amount constitutes income. Accordingly, the representative submits that the taxpayer correctly included the Payment in its income during the taxation year ending on XXXXXXXXXX, being the year in which the Payment was received.

Our comments

15. We have grouped our comments under two headings. First, the nature of the Payment will be examined. Then, we will review the relevant provisions in this file, namely, subsection 9(1) and paragraph 12(1)(a) of the Act.

Qualification of payment

16. In the situation described, the parties to the agreement seem to agree on the characterization of the payment, i.e. as "pre-paid royalties". However (and as raised by you in your note, it is appropriate to consider whether the Payment, based on its particular features, constituted a royalty.

17. The term "royalty" is not defined in the Act. In this context, it is necessary to rely on the courts which have been called upon to examine the meaning of the term on various occasions. For example, in the Vauban Productions case (footnote 6), the Federal Court, Trial Division, stated:

The term "royalties" normally refers to a share in the profits or a share or percentage of a profit based on use or on the number of units, copies or articles sold, rented or used. When referring to a right, the amount of the royalty is related in some way to the degree of use of that right. This is evident from the various dictionary definitions of the word "royalty" when used in connection with a sum payable. Royalties, which are akin to rental payments, have invariably been considered as income since they are either based on the degree of use of the right or on the duration of the use, while a lump sum payment for the absolute transfer of a right, without regard to the use to be made of it, is of its nature considered a capital payment, although it may of course be taxable as income in the hands of the recipient if it is part of that taxpayer's regular business.

18. Essentially, the case-law highlights that the term "royalty" is generally used in reference to a periodic payment based on use, production or sales.

19. This principle was adopted, in particular, in the Grand Toys case (footnote 7), where the question of whether a lump sum payment had the characteristics of a royalty was examined. In that case, Lamarre-Proulx J found (footnote 8) that the amount in question was not a royalty (but a capital payment) as it was not influenced by any factor, contingency or uncertainty. She indicated that the element of "contingency," which could be translated as a possibility or uncertainty, was the essence of the definition of the term "royalty".

20. In the file under review, we noted that one of the terms of the Payment ensures that it is not refundable under any condition. In our view, this is an important element separating such payment from the future events (i.e, anticipated sales) to which it appears to be linked by its wording. In addition, Corporation G has the right to benefit from the Payment and to use it as it wishes since it is not refundable under any conditions. Thus, even if Corporation D did not sell any Product A in the following year and therefore did not owe any royalty to Corporation G, Corporation G could still retain the Payment. In this case, therefore, the Payment does not appear to be subject to any contingency which, in our opinion, suggests that it does not satsify the essential character of the term "royalty" imparted by the courts.

21. That being said, taking into account the particular facts of this file, we are of the view that the classification of the Payment, i.e. determining whether or not such Payment constitutes a royalty, does not affect its nature, although there are in fact arguments to the effect that the Payment does not satisfy the definition of the term "royalty". In sum, in the situation under consideration, our conclusion is that the transactions and commercial relations between Corporation D and Corporation G ensure that the Payment is integral to the business of Corporation G and that it is business income to it (footnote 9).

Subsection 9(1) versus paragraph 12(1)(a) of the Act

22. Your other questions, which we have consolidated into the same question, inquire as to whether subsection 9(1) or paragraph 12(1)(a) of the Act applies to include the Payment in the business income of Corporation G. If applicable, you would like us to confirm to you in which taxation year the Payment is to be included as income, either that ending on XXXXXXXXXX or that ending in the year following, being XXXXXXXXXX.

23. Both subsection 9(1) and paragraph 12(1)(a) of the Act have the effect of including amounts in the taxpayer's income. However, paragraph 20(1)(m) allows the taxpayer to claim a reserve in respect of the amounts described in paragraph 12(1)(a) of the Act.

Paragraph 12(1)(a) of the Act

24. The question of the application of paragraphs 12(1)(a) and 9(1) to prepaid income was one of the issues of interest discussed at the annual Canadian Tax Foundation Conference in 2003 (footnote 10). The position articulated by the CRA on this subject was as follows:

[A]s a general rule, the inclusion/deduction mechanism provided under paragraphs 12(1)(a), 12(1)(e) and 20(1)(m) should apply to amounts received in a year by a taxpayer in the course of a business in respect of services not rendered or goods not delivered before the end of the year or that for any reason may be regarded as not having been earned in the year or a previous year. This inclusion/deduction mechanism is a specific statutory scheme dealing with the taxation of some types of prepaid income. It normally allows a closer matching of costs and revenues and therefore generally results in a more accurate picture of a taxpayer's profit for a particular period.

25. In the file under review, we are of the view that the Payment could be included under paragraph 12(1)(a) of the Act in the course of Corporation G's business from the standpoint of being viewed by us as prepaid royalties. This paragraph includes amounts paid on account of services not rendered or goods not delivered before the end of the year or that for any other reason may be regarded as not having been earned in the year or a previous year.

26. The Ellis Vision case (footnote 11) dealt in particular with a similar issue. In that case, Ellis Vision granted licences for the broadcast of programs that had not yet been produced or for programs that had been produced but may have already been televised.

27. Ellis Vision was attempting to grant as many international licences as possible. Respecting the tax treatment of the licence fees, its counsel argued that the licence fees received by Ellis Vision were not all, at the time of their receipt, earned income since those amounts were collected incrementally as the contracts were performed. Consequently, the amounts received were to be considered taxable income over the term of the license. For its part, the CRA argued that the wording of paragraph 12(1)(a) did not apply to the facts of this case. Under the licensing agreements, as soon as Ellis Vision had the right to charge or collect amounts provided under the agreements, it was no longer required to provide services or goods.

28. In this scenario, Rip J. provided the following reasoning. He first concluded that the scenario met the parameters of subparagraph 20(1)(m)(iii) and that, if applicable, the amount was described by paragraph 12(1)(a) of the Act. He stated:

[53] I am also of the view that the right to the production licensed to a broadcaster is a chattel. The French version of subparagraph 20(1)(m)(iii) uses the words "de biens meubles" for "chattels" in the English version. …

[55] Ellis Vision is entitled to deduct an amount as a reserve in accordance with paragraph 20(1)(m). Ellis had transferred the right to use a production in a defined area for a specific term to a licensee. To the extent the licensee pays in advance to enjoy this right, Ellis Vision is entitled to a reasonable reserve in respect of the amount it so received. The amount is described in paragraph 12(1)(a): it is either on account of a service that, in the main, is not rendered before the end of the year or is not earned in the year of receipt or a previous year in the course of Ellis Vision's business, or as an amount for the use of a chattel that was paid in advance. 29. In our view, a parallel can be drawn between the situation under consideration and that described in the Ellis Vision case. Just as in that case, the Payment could be considered as an amount paid in advance for the use of chattels (bien meuble). If so, then the Payment would be described by paragraph 12(1)(a) of the Act and, thus, included in the Corporation G's business income in its taxation year ending XXXXXXXXXX.

Section 9 of the Act

30. Section 9 provides that, subject to the other provisions of Part I of the Act, a taxpayer’s income for a taxation year from a business or property is the taxpayer’s profit from that business or property for the year. The Act does not define the word "profit". However, the Supreme Court of Canada considered this concept in Canderel Limited (footnote 13) and set out six principles relevant to the computation of profit for the purposes of the Act and summarized as follows:

(1) The determination of profit is a question of law.

(2) The profit of a business for a taxation year is to be determined by setting against the revenues from the business for that year the expenses incurred in earning said income: Minister of National Revenue v. Irwin, [[1964] R.C.S. 675], Associated Investors, [[1967] 2 R.C. 96].

(3) In seeking to ascertain profit, the goal is to obtain an accurate picture of the taxpayer's profit for the given year.

(4) In ascertaining profit, the taxpayer is free to adopt any method which is not inconsistent with:

a) the provisions of the Income Tax Act;
b) established case law principles or "rules of law"; and
c) well-accepted business principles.

(5) Well-accepted business principles, which include but are not limited to the formal codification found in G.A.A.P., are not rules of law but interpretative aids. To the extent that they may influence the calculation of income, they will do so only on a case-by-case basis, depending on the facts of the taxpayer's financial situation.

(6) On reassessment, once the taxpayer has shown that he has provided an accurate picture of income for the year, which is consistent with the Act, the case law, and well-accepted business principles, the onus shifts to the Minister to show either that the figure provided does not represent an accurate picture, or that another method of computation would provide a more accurate picture (footnote 14).

31. It follows that the manner in which a transaction is recorded according to well-accepted business principles, including GAAP, is not determinative of its treatment in tax law. Thus, accounting methods do not in themselves establish rules of income tax law but they are tools of interpretation that could influence the computation of income in specific cases depending on the particular facts of the taxpayer's situation. According to this case, the taxpayer may adopt any method that is not inconsistent with the provisions of the Act and the principles derived from jurisprudence or established rules of law.

32. In the situation you have presented to us, the profit component under review is revenue. In this regard, the courts have provided extensive guidance. Thus, Justice Létourneau in The Queen v. La Capitale, Compagnie d'assurance générale (footnote 15) stated that for the purposes of section 9 of the Act, the concept of "income" included both amounts received and amounts receivable. In addition, in IKEA Limited v. Canada (footnote16), Iacobucci J. stated that:

The ultimate effect of this principle is clear: amounts received or realized by a taxpayer, free of conditions or restrictions upon their use, are taxable in the year realized, subject to any contrary provision of the Act or other rule of law.

33. This is called the realization principle. In our view, given that the Payment received by Corporation G does not contain any condition or limitation as to its use, an argument could be made that the Payment could also come within subsection 9(1) of the Act. As a result, Corporation G would include the Payment in its income upon receipt. In other words, on the basis of the above reasoning, the Payment would be added to Corporation G's income during its taxation year ending XXXXXXXXXX.

Conclusion

34. In summary, we are of the view that the tax treatment of the Payment by the taxpayer gives an accurate picture of the income of Corporation G that is consistent with the Act, jurisprudence and business principles. As we have indicated, we are of the view there are still arguments for the payment to be included in income either under paragraph 12(1)(a) or under subsection 9(1) of the Act. We will not resolve the issue of which of these two provisions prevails because Corporation G does not wish to benefit from a deduction under paragraph 20(1)(m) of the Act.

35. In addition, according to the stated principles in Canderel (footnote 17) and Ikea (footnote 18), it would be for the Minister to show either that the amount provided does not represent an accurate picture, or that another method of computation would provide a more accurate picture. As a result of our review, we have not identified a methodology that would give a more accurate picture of the taxpayer's profit. In the circumstances, we recommend that you accept the tax treatment proposed by the taxpayer.

36. We have not considered the application of the General Anti-Avoidance Rule (GAAR) in this case since the decision of whether or not to apply the GAAR rests with the Tax Planning Division of the Compliance Programs Branch.

It is the Respondent's contention that the payments in issue are clearly related to revenue or profit and therefore are royalties. I cannot agree with this proposition. The profits referred to in the two cases cited are the payor's profits, not the payee's profits. In the case at bar, the payments were the payee's profits and were in no way related to the Appellant's profits nor were they related to the Appellant's gross sales of the units. Whether the Appellant sold all the units or none of them, whether it made profits or not, did not influence the amount of money paid. There was no element of contingency in the payments in question and an element of contingency is the essence of a royalty payment. »

Revenu de redevances perçues d’avance

Cette note de service est en réponse à votre courriel reçu le 6 décembre 2013, dans lequel vous demandez notre opinion concernant le traitement fiscal lié à un revenu de redevances perçues d’avance dans un contexte tel que celui décrit dans les lignes qui suivent.

Législation

Sauf indication contraire, tous les renvois législatifs dans la présente font référence aux dispositions de la Loi de l’impôt sur le revenu, L.R.C 1985 (5ième supplément), ch.1, telle que modifiée (ci-après la « Loi »).

De même, à moins de mention spécifique, les termes et les expressions définis dans la Loi ont dans la présente, le sens que leur confère la Loi.

Désignation des parties et abréviations

Aux fins de la présente interprétation, les noms et dénominations sociales, de même que certains termes, sont remplacés par les noms, dénominations sociales et abréviations suivants :

Faits

À la lecture de la documentation que vous nous avez remise, nous avons relevé les faits suivants:

1. Société A est une société canadienne contrôlée par Société E, une société XXXXXXXXXX.

2. En XXXXXXXXXX, Société A accorde une licence à Société D, une société XXXXXXXXXX pour fabriquer, faire fabriquer et vendre Produit A à travers le monde en retour d’une redevance et d’un paiement anticipé de XXXXXXXXXX de dollars canadiens. En XXXXXXXXXX, cette licence est modifiée afin d’y exclure le marché XXXXXXXXXX.

3. La redevance dont il est question au point précédent, correspond à XXXXXXXXXX% des ventes nettes mondiales (excluant le marché XXXXXXXXXX) effectuées par Société D et est visée entre autres, par les modalités/obligations suivantes :

a) Dans les XXXXXXXXXX jours suivant la fin de chaque trimestre, Société D doit produire et remettre à Société A un relevé détaillé des ventes comptabilisées de Produit A pour ledit trimestre;

b) Société D doit effectuer le paiement des redevances dues à l’intérieur d’un délai de XXXXXXXXXX jours suivant la remise du relevé ci-haut mentionné. Cependant, Société D est toujours en droit de remettre les sommes ainsi dues avant l’expiration du délai.

4. En XXXXXXXXXX, Société A procède à un transfert d’actifs, incluant la licence décrite ci-haut en faveur de Société B, qui est désormais propriétaire de la licence et par conséquent, bénéficiaire des redevances qui en découlent.

5. Le XXXXXXXXXX, Société B fusionne avec une autre société du groupe, Société F et la nouvelle société issue de la fusion se nomme Société G. Les conséquences fiscales découlant de cette fusion sont les suivantes :

a) En vertu de l’alinéa 87(2)a) de la Loi, les biens appartenant aux sociétés remplacées immédiatement avant l’unification, incluant la licence détenue par Société B, deviennent les biens de Société G suite à l’unification. Par conséquent, Société G est dorénavant bénéficiaire des redevances décrites plus haut.

b) Au moment de la fusion, le XXXXXXXXXX, Société F bénéficie des attributs fiscaux suivants : un solde de pertes autres qu’en capital de XXXXXXXXXX$ et un montant cumulatif des immobilisations admissibles de XXXXXXXXXX$. Ces attributs sont également transférés à Société G.

c) En raison de la fusion, Société B et Société F sont réputées avoir une fin d’année d’imposition se terminant le XXXXXXXXXX alors que Société G est réputée débuter sa première année d’imposition au moment de la fusion soit le XXXXXXXXXX.

6. Le XXXXXXXXXX, Société E, la société-mère XXXXXXXXXX, fusionne avec une autre société XXXXXXXXXX œuvrant dans le même domaine. Cette fusion donne lieu à un changement de contrôle qui provoque, pour Société G, une fin d’année d’imposition réputée le XXXXXXXXXX.

7. Le XXXXXXXXXX, Société G dispose d’un solde de pertes autres qu’en capital de XXXXXXXXXX$ qui ne pourra plus être utilisé à l’encontre de revenu futur gagné par Société G, le solde ayant atteint la limite de report prospectif (footnote 1) permise par l’alinéa 111(1)a) de la Loi.

8. Cette même journée, Société D effectue un paiement de XXXXXXXXXX $ (footnote 2) (ci-après « le Paiement ») à Société G. Nous avons résumé, en nos termes, notre compréhension des conditions entourant le Paiement telles que prévues dans une lettre d’entente du XXXXXXXXXX entre Société G et Société D :

a) Il est entendu que le Paiement (footnote 3) est effectué à titre d’avance sur des redevances éventuelles découlant des ventes futures de Produit A.

b) Les parties conviennent qu’il est raisonnable de croire que ces ventes futures se réaliseront entre le mois de XXXXXXXXXX et XXXXXXXXXX. Le cas échéant, ladite somme sera alors créditée à l’encontre des redevances que devra payer Société D découlant de ces ventes.

c) La lettre d’entente précise également que le Paiement ne sera, sous aucune condition, remboursable par Société G et ce, même si les ventes futures ne se réalisaient pas. Les parties conviennent cependant que ce dernier évènement est très peu probable.

9. Pour les fins comptables, Société G indique que le Paiement a été amorti entre la période de XXXXXXXXXX et XXXXXXXXXX selon les recommandations des PCGR. D’un point de vue fiscal, le Paiement a plutôt été inclus au revenu au cours de l’exercice financier se terminant le XXXXXXXXXX.

10. Par ailleurs, vous nous avez indiqué, dans le cadre de conversations et d’échanges de courriels (Deslandes/XXXXXXXXXX), que les redevances, avaient, historiquement, été incluses au revenu de Société G en tant que revenu d’entreprise.

Vos questions

11. Vous nous avez posé plusieurs questions que nous résumons comme suit:

a) Vous nous interrogez sur la qualification du Paiement que Société D verse à Société G. Vous nous demandez si ce Paiement constitue véritablement des « redevances perçues d’avance » à inclure au revenu de Société G dans son année d’imposition se terminant le XXXXXXXXXX. Cette interrogation vient du fait que, selon le contrat qui lie les parties, il est indiqué que les redevances sont calculées à partir des ventes nettes qui se réaliseront, selon les estimations du contribuable, entre le mois de XXXXXXXXXX et XXXXXXXXXX.

b) De plus, vous désirez savoir, dans la mesure où le Paiement constitue un revenu, s’il doit être inclus au revenu de Société G en vertu de l’alinéa 12(1)a) ou selon le paragraphe 9(1) de la Loi. Vous nous demandez également de préciser dans quelle année d’imposition l’inclusion du Paiement au revenu de Société G devrait avoir lieu.

Votre position

12. À votre avis, le Paiement constitue un revenu de redevances. Selon vous, les revenus de redevances sont généralement considérés comme étant un revenu de bien. Vous nous indiquez qu’il ne s’agit pas d’une somme que Société G a reçue au titre de services non rendus ou de marchandises non livrées dans le cours des activités d’une entreprise. Par conséquent, le revenu de redevances n’est pas assujetti à l’alinéa 12(1)a) de la Loi.

13. Plutôt, vous indiquez que l’inclusion au revenu du Paiement devrait être faite dans l’année d’imposition terminée le XXXXXXXXXX en vertu du paragraphe 9(1) de la Loi afin de refléter le plus fidèlement la situation financière de Société G. En effet, selon vous, le Paiement est lié à des redevances futures calculées en fonction des ventes nettes de Produit A qui se réaliseront, selon toute vraisemblance, au cours de son année d’imposition (footnote 4) se terminant le XXXXXXXXXX.

La position du contribuable / représentant

14. Les feuilles de travail que Société G (ou son représentant) vous a remises, indiquent que celle-ci considère que le Paiement est un revenu d’entreprise assujetti à l’alinéa 12(1)a) de la Loi et qu’il se doit d’être inclus au revenu de Société G dans son année d’imposition se terminant le XXXXXXXXXX. Toutefois, les représentations que Société G nous a fait parvenir le XXXXXXXXXX indiquent que le Paiement devrait plutôt être inclus en vertu du paragraphe 9(1) de la Loi. Essentiellement, on y indique que la jurisprudence (footnote 5) prévoit que, lorsqu’un contribuable possède un droit absolu à l’égard d’une somme qui lui a été payée, cette somme constitue un revenu. À ce titre, le représentant soutient que le contribuable a correctement inclus le Paiement à son revenu au cours de l’année d’imposition se terminant le XXXXXXXXXX, soit celle durant laquelle le Paiement a été reçu.

Nos commentaires

15. Nous avons regroupé nos commentaires sous deux sections. Tout d’abord, la qualification du Paiement sera examinée. Par la suite, nous passerons en revue les dispositions pertinentes dans ce dossier soit le paragraphe 9(1) et l’alinéa 12(1)a) de la Loi.

Qualification du paiement

16. Dans la situation décrite, les parties à l’entente semblent s’entendre sur la qualification même du Paiement, i.e. qu’il s’agit de « redevances perçues d’avance ». Toutefois et tel que vous le soulevez dans votre note de service, il est opportun de se questionner si ce Paiement constitue, de par ses particularités, une redevance.

17. Le terme « redevance » n’est pas défini dans la Loi. Dans ce contexte, il faut s’en remettre aux tribunaux qui ont été appelés à examiner à quelques reprises le sens de ce terme. Par exemple, dans l’affaire Vauban Productions, (footnote 6) la Cour fédérale de première instance a mentionné ce qui suit :

The term "royalties" normally refers to a share in the profits or a share or percentage of a profit based on use or on the number of units, copies or articles sold, rented or used. When referring to a right, the amount of the royalty is related in some way to the degree of use of that right. This is evident from the various dictionary definitions of the word "royalty" when used in connection with a sum payable. Royalties, which are akin to rental payments, have invariably been considered as income since they are either based on the degree of use of the right or on the duration of the use, while a lump sum payment for the absolute transfer of a right, without regard to the use to be made of it, is of its nature considered a capital payment, although it may of course be taxable as income in the hands of the recipient if it is part of that taxpayer's regular business.

18. Essentiellement, la jurisprudence souligne que le terme « redevance » est utilisé, de façon générale, en référence à un paiement périodique basé sur l’usage, la production ou les ventes.

19. Ce principe a été repris notamment dans la cause Grand Toys (footnote 7) où la question de déterminer si un paiement unique possédait les caractéristiques d’une redevance, a été examinée. Dans cette affaire, la juge Lamarre-Proulx a conclu (footnote 8) que la somme en question ne constituait pas une redevance (mais un paiement en capital) étant donné qu’elle n’était influencée par aucun élément, éventualité ou incertitude. Elle a indiqué que l’élément « contingency », que l’on pourrait traduire comme étant une éventualité ou une incertitude était l’élément central de la définition du terme « redevance ».

20. Dans le cas sous examen, nous avons noté qu’une des modalités du Paiement fait en sorte que celui-ci n’est remboursable sous aucune condition. À notre avis, il s’agit là d’un élément important qui a pour effet de dissocier ledit paiement des évènements futurs (i.e les ventes prévues) auxquels on semble l’avoir associé de par son libellé. En outre, Société G a le loisir de bénéficier du Paiement et de l’utiliser selon son gré puisque celui-ci n’est remboursable sous aucune condition. Ainsi, même si Société D ne vendait aucun Produit A dans l’année qui suit et par conséquent, ne devait aucune redevance à Société G, celle-ci pourrait toujours conserver le Paiement. Dans un tel cas, le Paiement ne nous semble donc pas assujetti à aucune éventualité ce qui, à notre avis, suggère qu’il ne respecterait pas l’essence même de la définition du terme « redevance » telle qu’enseignée par les tribunaux.

21. Ceci étant dit, compte tenu des faits particuliers du présent cas, nous sommes d’avis que la qualification du Paiement i.e. déterminer si ce Paiement constitue une redevance ou non n’a pas d’influence sur sa nature et ce, bien qu’il y ait effectivement des arguments à l’effet que le Paiement ne respecte pas la définition du terme « redevance ». En somme, dans la situation examinée, nous en venons à la conclusion que les opérations et les relations commerciales entre Société D et Société G font en sorte que le Paiement est inhérent à l’entreprise de Société G et qu’il s’agit pour cette dernière d’un revenu d’entreprise (footnote 9).

Le paragraphe 9(1) versus l’alinéa 12(1)a) de la Loi

22. Vos autres interrogations, que nous avons regroupées sous une seule et même question, visent à déterminer si le paragraphe 9(1) ou l'alinéa 12(1)a) de la Loi s’applique afin d’inclure le Paiement au revenu d’entreprise de Société G. Le cas échéant, vous désirez que nous vous confirmions dans quelle année d’imposition le Paiement est à inclure à titre de revenu, soit celle se terminant le XXXXXXXXXX ou celle se terminant dans l’année qui suit, soit le XXXXXXXXXX.

23. Le paragraphe 9(1) et l'alinéa 12(1)a) de la Loi ont tous deux pour effet d'inclure des sommes dans le revenu du contribuable. Toutefois, l'alinéa 20(1)m) permet au contribuable de réclamer une provision à l'égard des sommes visées dans le revenu en vertu de l'alinéa 12(1)a) de la Loi.

L’alinéa 12(1)a) de la Loi

24. La question de l'application de l'alinéa 12(1)a) et du paragraphe 9(1) au revenu payé d'avance faisait partie des sujets d'intérêt courant discutés à la conférence annuelle de l'Association canadienne d'études fiscales de 2003 (footnote 10). La position énoncée par l’ARC à ce sujet fut la suivante :

En principe, le mécanisme d'inclusion et de déduction prévu aux alinéas 12(1)a), 12(1)e) et 20(1)m) devrait s'appliquer aux sommes reçues au cours d'une année par un contribuable dans le cours des activités d'une entreprise au titre des services non rendus ou des marchandises non livrées avant la fin de l'année ou qui, pour toute autre raison, peuvent être considérées comme n'ayant pas été gagnées durant cette année ou une année antérieure. Ce mécanisme d'inclusion et de déduction est un régime statutaire spécifique d'imposition de certains types de revenu payé d'avance. Il assure normalement un rattachement plus étroit des produits et des charges et, en conséquence, permet généralement d'obtenir une image plus fidèle du bénéfice d'un contribuable pour une période donnée.

25. Dans le cas sous examen, nous sommes d’avis que le Paiement pourrait être visé par l’alinéa 12(1)a) de la Loi, dans le cours des activités de l’entreprise de Société G dans la perspective où nous considérons cette somme comme étant des redevances payées d’avance. Cet alinéa vise les sommes versées au titre des services non rendus ou des marchandises non livrées avant la fin de l'année ou qui, pour toute autre raison, peuvent être considérées comme n'ayant pas été gagnées durant cette année ou une année antérieure.

26. L’affaire Ellis Vision (footnote 11) a notamment traité d’une question semblable. Dans cette cause, Ellis Vision octroie des licences aux fins de diffusion d'émissions qui n'ont pas encore été produites ou pour des émissions qui ont été produites mais qui peuvent avoir déjà été télédiffusées.

27. Ellis Vision tente d'octroyer le plus de licences possibles à l'échelle internationale. En ce qui a trait au traitement fiscal des droits de licences, les avocats de cette dernière faisaient valoir que les droits de licence que percevait l'entreprise Ellis Vision n'étaient pas tous, au moment de leur réception, des revenus gagnés puisque ces droits étaient perçus au fur et à mesure que progressaient les contrats et jusqu'à ce qu'ils soient exécutés. Par conséquent, les sommes reçues devaient être considérées comme un revenu imposable pendant la période de validité de la licence. De son côté, l’ARC faisait valoir que le libellé de l'alinéa 12(1)a) ne s'appliquait pas aux faits en l'espèce. En vertu des accords de concession de licence, dès que l'entreprise Ellis Vision avait le droit de facturer ou de percevoir des sommes prévues aux accords, elle n'était plus tenue de fournir des services ou des biens.

28. Dans ce scénario, le juge Rip a posé le raisonnement suivant. Il a d’abord conclu que le scénario respectait les paramètres de l’alinéa 20(1)m)(iii) et que le cas échéant, la somme se devait d’être visée par l’alinéa 12(1)a) de la Loi. Il s’est exprimé ainsi :

[53] Je suis également d’avis que le droit dont dispose un télédiffuseur à l’égard de la production sous licence est un bien meuble. La version française de l’alinéa 20(1)m)(iii) emploie le terme de « biens meubles » pour traduire le terme « chattels » de la version anglaise….

[55] L’entreprise Ellis Vision a le droit de déduire une somme au titre d’une provision conformément à l’alinéa 20(1)m). L’entreprise Ellis avait transféré, à un titulaire de licence, le droit d’utiliser une production dans un secteur défini pour une période déterminée. Dans la mesure où le titulaire de licence paie à l’avance pour jouir de ce droit, l’entreprise Ellis Vision est admissible à une somme raisonnable à titre de provision à l’égard de la somme qu’elle a ainsi reçue. Cette somme est visée à l’alinéa 12(1)a) : il s’agit soit d’une somme perçue au titre d’un service qui, essentiellement, n’a pas été rendu avant la fin de l’année ou qui n’a pas été gagnée durant l’année dans laquelle elle a été reçue ou durant une année antérieure dans le cours des activités de l’entreprise Ellis Vision, soit d’une autre somme relative à l’usage d’un bien meuble qui a été payée à l’avance. 29. À notre avis, un parallèle peut être tracé entre la situation sous étude et celle décrite dans l’affaire Ellis Vision. Tout comme dans cette cause, le Paiement pourrait être considéré comme une somme payée à l'avance relativement à l'usage d'un bien meuble (chattels). Le cas échéant, le Paiement serait alors visé par l’alinéa 12(1)a) de la Loi et ainsi, inclus dans le revenu d’entreprise de Société G dans son année d’imposition se terminant le XXXXXXXXXX.

L’Article 9 de la Loi

30. L'article 9 prévoit que, sous réserve des autres dispositions de la partie I de la Loi, le revenu qu’un contribuable tire d’une entreprise ou d’un bien pour une année d’imposition est le bénéfice qu’il en tire pour cette année. La Loi ne donne aucune définition du mot « bénéfice ». Toutefois, la Cour suprême du Canada s’est penchée sur cette notion dans l’affaire Canderel Limited (footnote 13) et a énoncé six principes pertinents pour le calcul du bénéfice aux fins de la Loi qu’elle a résumés comme suit :

(1) La détermination du bénéfice est une question de droit.

(2) Le bénéfice tiré d'une entreprise pour une année d'imposition est déterminé en déduisant des revenus tirés de l'entreprise pour l'année en question les dépenses engagées pour gagner ces revenus: Minister of National Revenue c. Irwin, [ [1964] R.C.S. 675] , Associated Investors, [ [1967] 2 R.C. de l’É. 96].

(3) Dans la détermination du bénéfice, l’objectif est d’obtenir une image fidèle du bénéfice du contribuable pour l’année visée.

(4) Dans la détermination du bénéfice, le contribuable est libre d’adopter toute méthode qui n’est pas incompatible avec :

a) Les dispositions de la Loi de l’impôt sur le revenu;
b) Les principes dégagés de la jurisprudence ou les «règles de droit» établis;
c) Les principes commerciaux reconnus.

(5) Les principes commerciaux reconnus, notamment ceux codifiés formellement dans les PCGR, ne sont pas des règles de droit mais des outils d’interprétation. Dans la mesure où ils peuvent influencer le calcul du revenu, ils ne le feront qu’au cas par cas, selon les faits relatifs à la situation financière du contribuable.

(6) En cas de nouvelle cotisation, une fois que le contribuable a prouvé qu’il a donné une image fidèle de son revenu pour l’année, image qui est compatible avec la Loi, la jurisprudence et les principes commerciaux reconnus, il incombe alors au ministre de prouver que le chiffre fourni ne donne pas une image fidèle ou qu’une autre méthode de calcul fournirait une image plus fidèle (footnote 14).

31. Il en ressort que la façon dont une transaction est inscrite selon les principes commerciaux reconnus, dont les PCGR, n’est pas déterminante quant à son traitement en droit fiscal. Ainsi, les méthodes comptables n’établissent pas, en elles-mêmes, des règles de droit en matière d’impôt sur le revenu mais elles sont des outils d’interprétation qui pourraient influencer le calcul du revenu dans des cas précis selon les faits relatifs à la situation du contribuable. Selon cette affaire, le contribuable peut adopter toute méthode qui n’est pas incompatible avec les dispositions de la Loi et les principes dégagés de la jurisprudence ou les règles de droit établies.

32. Dans la situation que vous nous avez présentée, la composante du bénéfice qui est sous examen est celle du revenu. À ce sujet, les tribunaux nous ont fournis de nombreuses indications. Ainsi, le juge Létourneau dans la cause La Reine c. La Capitale, Compagnie d'assurance générale (footnote 15) a indiqué que, pour les fins de l'article 9 de la Loi, la notion de « revenu » comprenait à la fois les sommes reçues et les sommes à recevoir. De plus, dans l’affaire IKEA Limited c. Canada (footnote16), le juge Iacobucci a précisé ce qui suit :

En bout de ligne, l’effet de ce principe (de réalisation) est clair: les sommes reçues ou réalisées par un contribuable - libres de conditions ou restrictions assortissant leur utilisation - sont imposables dans l’année où elles sont réalisées, sous réserve de toute disposition contraire de la Loi ou d’une autre règle de droit.

33. C’est ce que l’on appelle le principe de réalisation. À notre avis, compte tenu que le Paiement reçu par Société G ne comporte aucune condition ou restriction quant à son utilisation, un argument pourrait être fait à l’effet que le Paiement pourrait également être visé par le paragraphe 9(1) de la Loi. En conséquence, Société G inclurait le Paiement dans son revenu dès sa réception. En d’autres termes, en fonction du raisonnement qui précède, le Paiement serait ajouté au bénéfice de Société G au cours de son année d’imposition se terminant le XXXXXXXXXX.

Conclusion

34. En résumé, nous sommes d’avis que le traitement fiscal accordé au Paiement par le contribuable donne une image fidèle du revenu de Société G qui est compatible avec la Loi, la jurisprudence et les principes commerciaux. Comme nous vous en avons fait part, nous croyons que des arguments subsistent pour que le Paiement soit inclus au revenu soit en vertu de l’alinéa 12(1)a) soit en vertu du paragraphe 9(1) de la Loi. Nous ne trancherons d’ailleurs pas sur la question de savoir laquelle de ces deux dispositions a préséance puisque Société G ne désire pas bénéficier d’une déduction prévue à l’alinéa 20(1)m) de la Loi.

35. En outre, suivant les principes énoncés de Canderel (footnote 17) et Ikea (footnote 18), il incomberait au Ministre de prouver que le chiffre fourni ne donne pas une image fidèle ou qu’une autre méthode de calcul fournirait une image plus fidèle. Suite à notre examen, nous n’avons pas identifié une méthode qui donnerait une image plus fidèle du bénéfice du contribuable. Dans les circonstances, nous vous recommandons d’accepter le traitement fiscal proposé par le contribuable.

36. Nous n’avons pas considéré l’application de la disposition générale anti-évitement (DGAE) dans ce cas puisque la décision d’appliquer la DGAE ou non relève de la Division de la planification fiscale de la Direction générale des programmes d’observation.

Nous espérons que nos commentaires vous seront utiles.

The Queen, 75 DTC 5371, where Mr. Justice Addy discusses the meaning of royalties at p. 5372 "The term royalties normally refers to a share in the profits or a share or percentage of a profit based on use or on the number of units, copies or articles sold rented or used." Counsel relies on the expression "a share in the profits". He says that contrary to what is expressed in the case of The Queen v. Saint John Shipbuilding and Dry Dock Co. Ltd., 80 DTC 6272 at 6276: "here them was no limit as to time with respect to use or the right to use. Nor were the payments proportionate to or in any way related to use or extent of use or to revenues or profits therefrom or to a period of use" the Respondent's basic contention is that the expression "in no way related to revenue or profit" is not a means of defence that the Appellant can invoke in the present case. It is the Respondent's contention that the payments in issue are clearly related to revenue or profit and therefore are royalties. I cannot agree with this proposition. The profits referred to in the two cases cited are the payor's profits not the payee's profits. In the case at bar, the payments were the payee's profits and were in no way related to the Appellant's profits nor were they related to the Appellant's gross sales of the units. Whether the Appellant sold all the units or none of them, whether it made profits or not, did not influence the amount of money paid. There was no element of contingency in the payments in question and an element of contingency is the essence of a royalty payment. »
