Subject: Cooperatives and entitlement to dividend refunds

This letter is in response to your letter of October 21, 2013 in which you requested our comments regarding the entitlement to dividend refunds ("DR") of agricultural cooperatives and co-operative corporations , as well as the eligibility of these types of entities under subsections 135.1(1) and 136(2) of the Income Tax Act (the "Act").

We understand that the cooperatives referred to in your application are cooperatives incorporated or continued under the provisions of the Cooperatives Act (RSQ, c. C-67.2) ("CA"). Sections 3 and 14 of the CA provide that a cooperative is a legal person from the date stated in the articles of incorporation. We therefore understand that the cooperatives are corporations within the meaning of the definition of "corporation" in subsection 248(1) of the Act.

Unless otherwise indicated, all legislative references in this document are references to the provisions of the Act.

Our Comments

This technical interpretation provides general comments on the provisions of the Act and related legislation, where referenced. It does not confirm the income tax treatment of a particular situation involving a specific taxpayer but is intended to assist you in making that determination. The income tax treatment of particular transactions proposed by a specific taxpayer will only be confirmed by this Directorate in the context of an advance income tax ruling request submitted in the manner set out in Information Circular IC 70-6R6, Advance Income Tax Rulings and Technical Interpretations. However, we are prepared to provide the following general comments, which may be helpful.

Question 1

You wish to know if an agricultural cooperative corporation that is referred to in subsection 135.1(1), which has a refundable dividend tax on hand balance ("RDTOH") and is at all times a private corporation can obtain a DR. We understand that this cooperative does not qualify as a cooperative corporation, as defined in subsection 136(2).

In accordance with the provisions of section 129, a corporation is generally entitled to a DR equal to the lesser of its RDTOH at the end of the year and one-third of all taxable dividends paid by the corporation on shares of its capital stock in the year and at a time when it was a private corporation. Under subsection 248(1), a private corporation has the same meaning as in subsection 89(1).

A "share" under subsection 248(1) includes a share of the capital of an agricultural cooperative corporation and a cooperative corporation, as defined in subsections 135.1(1) and 136(2), respectively, as well as a share of the capital of a credit union. Furthermore, we are of the view that an amount which is annually paid to the holders of preferred fractional interests ["parts privilégiées"- also translatable more loosely as cooperative shares] in a cooperative as a return on the invested capital and proportionally among the holders of the cooperative interests, generally will be taxable as dividends.

In light of the foregoing, we are of the view that an agricultural cooperative corporation that is not a cooperative corporation within the meaning of subsection 136(2) may obtain a DR to the extent that:

it has an RDTOH balance;
it has paid to its members an amount that is considered to be a taxable dividend on shares of its capital stock under the conditions set out in the preceding paragraph; and
it was a private corporation, within the meaning of subsections 89(1) and 248(1), at the time it paid the taxable dividend.

It should be noted that patronage dividends paid to members of a cooperative do not qualify as taxable dividends so as to permit a refund of the RDTOH balance.

Question 2

You also wished us to indicate whether a cooperative, with an RDTOH balance, that does not qualify as an agricultural cooperative corporation or a cooperative corporation within the meaning of the Act can obtain a DR.

We have previously stated that the balance of a corporation's RDTOH balance can only be recovered to the extent that the corporation pays taxable dividends on shares of its capital stock. Even if a cooperative has an RDTOH balance, it will likely not receive a dividend refund in accordance with section 129 if the fractional interests in its capital do not constitute shares as defined under subsection 248(1).

As a fraction of the capital of a cooperative other than an agricultural cooperative corporation, a cooperative corporation and a credit union does not constitute a share within the meaning of subsection 248(1); we are of the view that this type of cooperative is not able to obtain a DR.

Question 3

Finally, you asked us whether it is correct to conclude that a cooperative where more than 90% of the members whose principal business is carrying on the business of farming but who only hold 70% of the shares in the capital of the cooperative, could qualify as an agricultural cooperative corporation, but not as a cooperative corporation.

We understand that your question is specific to the conditions set out in subparagraph 135.1(1)(b)(ii) of the definition of "agricultural cooperative corporation" and those set out in the definition of "cooperative corporation" in paragraphs 136(2)(c) and 136 (2)(d). We will therefore limit our comments to these provisions.

Under subparagraph 135.1(1)(b)(ii), at least 75% of the members of the corporation must either be an agricultural cooperative corporation or have as their principal business a farming business. Given that 90% of the members of the above corporation have as their principal business a farming business, we are of the view that it could qualify as an agricultural cooperative corporation if it meets the other conditions set out in the definition of the expression in 135.1(1).

The definition of "cooperative corporation" in subsection 136(2)(c) requires that at least 90% of its members be individuals, other cooperative corporations, or corporations or partnerships that carry on the business of farming. In addition, paragraph 136(2)(d) provides, among other things, that at least 90% of the shares of the cooperative are held by members described in paragraph (c). In our view, the requirement to carry on the business of farming provided in paragraph 136(2)(c) is only required for cooperative corporations or partnerships that are members, and not for individuals and other cooperative corporations. Accordingly, depending on the facts and circumstances of the particular situation, the corporation may qualify as a cooperative corporation if it complies with the other conditions set out in subsection 136(2).

Objet : Coopérative et remboursement au titre de dividendes

La présente est en réponse à votre lettre du 21 octobre 2013 dans laquelle vous désirez obtenir nos commentaires concernant le droit au remboursement au titre de dividendes (« RTD ») des coopératives agricoles et des sociétés coopératives, de même que sur la qualification de ce type d'entités aux termes des paragraphes 135.1(1) et 136(2) de la Loi de l'impôt sur le revenu (« Loi »).

Nous comprenons que les coopératives auxquelles vous faites référence dans votre demande sont des coopératives constituées ou prorogées en vertu des dispositions de la Loi sur les coopératives (L.R.Q., c. C-67.2) (« LC »). Les articles 3 et 14 de la LC édictent qu'une coopérative est une personne morale à compter de la date figurant sur les statuts de constitution. Nous comprenons donc que lesdites coopératives sont des sociétés au sens de la définition du terme « société » prévue au paragraphe 248(1) de la Loi.

Sauf indication contraire, tous les renvois législatifs dans le présent document sont des renvois aux dispositions de la Loi.

Nos commentaires

La présente interprétation technique offre des commentaires généraux sur des dispositions contenues dans la Loi et d'autres lois connexes, le cas échéant. Elle n'a pas comme but de confirmer le traitement fiscal relativement à une situation donnée mettant en cause un contribuable en particulier, mais plutôt de vous aider à le déterminer. Notre direction ne confirme le traitement fiscal relatif aux opérations données d'un contribuable en particulier que dans le cadre d'une demande de décision anticipée en matière d'impôt sur le revenu présentée de la façon décrite dans la circulaire d'information IC 70-6R6, Décisions anticipées et interprétations techniques en matière d'impôt. Nous sommes cependant disposés à fournir les commentaires généraux qui suivent, lesquels pourraient vous être utiles.

Question 1

Vous désirez savoir si une coopérative agricole qui est visée au paragraphe 135.1(1), qui détient un solde d'impôt en main remboursable au titre de dividendes (« IMRTD ») et qui est en tout temps une société privée peut obtenir un RTD. Nous comprenons que cette coopérative ne se qualifie pas à titre de société coopérative, au sens du paragraphe 136(2).

Selon les dispositions de l'article 129, une société a généralement droit à un RTD égal au moindre de son IMRTD à la fin de l'année et du tiers de l'ensemble des dividendes imposables qu'elle a versés sur des actions de son capital-actions au cours de l'année et à un moment où elle était une société privée. Selon le paragraphe 248(1), une société privée s'entend au sens du paragraphe 89(1).

Une « action », selon le paragraphe 248(1), comprend la part du capital social d'une coopérative agricole et d'une société coopérative, telles qu'elles sont respectivement définies aux paragraphes 135.1(1) et 136(2), ainsi que la part du capital social d'une caisse de crédit. Par ailleurs, nous sommes d'avis qu'un montant qui est payé annuellement aux détenteurs de parts privilégiées d'une coopérative à titre de rendement sur le capital investi et de façon proportionnelle entre les détenteurs de parts privilégiées sera généralement imposable à titre de dividende.

Compte tenu de ce qui précède, nous sommes d'avis qu'une coopérative agricole qui n'est pas une société coopérative au sens du paragraphe 136(2) pourra obtenir un RTD dans la mesure où:

elle a un solde d'IMRTD;
elle a versé à ses membres un montant qui est considéré comme un dividende imposable sur des actions de son capital-actions selon les conditions mentionnées au paragraphe précédent; et
elle était une société privée, au sens des paragraphes 89(1) et 248(1), au moment où elle a versé le dividende imposable.

Il est à noter que les ristournes versées aux membres d'une coopérative ne se qualifient pas de dividendes imposables pour permettre le remboursement du solde d'IMRTD.

Question 2

Vous désirez par ailleurs que nous déterminions si une coopérative ayant un solde d'IMRTD et qui ne se qualifie ni de coopérative agricole, ni de société coopérative au sens de la Loi peut obtenir un RTD.

Nous avons précédemment mentionné que le solde d'IMRTD d'une société ne peut être récupéré que dans la mesure où cette dernière verse des dividendes imposables sur des actions de son capital-actions. Même si une coopérative possède un solde d'IMRTD, celle-ci ne pourra vraisemblablement pas obtenir un RTD aux termes de l'article 129 si les parts de son capital social ne constituent pas des actions selon la définition de ce terme au paragraphe 248(1).

Puisqu'une part du capital social d'une coopérative autre qu'une coopérative agricole, une société coopérative et une caisse de crédit ne constitue pas une action au sens du paragraphe 248(1), nous sommes d'avis que ce type de coopérative ne peut pas obtenir un RTD.

Question 3

Enfin, vous nous demandez s'il est exact de conclure qu'une coopérative dont plus de 90% des membres ont comme principale entreprise une entreprise agricole, mais qui détiennent seulement 70% des parts du capital social de la coopérative, pourrait se qualifier à titre de coopérative agricole, mais ne se qualifierait pas de société coopérative.

Nous comprenons que votre question porte spécifiquement sur les conditions énoncées dans la définition de « coopérative agricole » prévue au sous-alinéa 135.1(1)b)(ii), ainsi que celles édictées dans la définition de « société coopérative » aux alinéas 136(2)c) et 136(2)d). Nous limiterons donc nos commentaires à ces dispositions.

Selon le sous-alinéa 135.1(1)b)(ii), au moins 75% des membres de la société doivent être soit des coopératives agricoles, soit avoir comme entreprise principale une entreprise agricole. Puisque 90% des membres de la société susmentionnée ont comme principale entreprise une entreprise agricole, nous sommes d'avis qu'elle pourrait se qualifier à titre de coopérative agricole, si elle respecte les autres conditions énoncées dans la définition de l'expression au paragraphe 135.1(1).

La définition de « société coopérative » au paragraphe 136(2)c) exige, quant à elle, qu'au moins 90?% de ses membres soient des particuliers, d'autres sociétés coopératives ou des sociétés ou sociétés de personnes qui exploitent une entreprise agricole. De plus, l'alinéa 136(2)d) prévoit entre autres qu'au moins 90 % des actions de la coopérative doivent être détenues par des membres visés à l'alinéa 136(2)c). La condition d'exploiter une entreprise agricole édictée à l'alinéa 136(2)c) est, à notre avis, uniquement requise pour les sociétés et les sociétés de personnes membres de la coopérative et non pour les particuliers et les autres sociétés coopératives. Par conséquent, selon les faits et circonstances propres à la situation donnée, il se pourrait que la société se qualifie à titre de société coopérative, si elle respecte les autres conditions énoncées au paragraphe 136(2).
