Question 4

Qualification d'un choix fiscal à titre d'opération aux fins de l'application de la RGAÉ

Plusieurs paragraphes de la L.I.R. permettent à un contribuable d'effectuer un choix fiscal. Mentionnons, entre autres, les choix prévus à 50(1), 55(5)f), 85(1), 89(11) et 97(2).

Aux fins de l'article 245 L.I.R., une opération est assimilée à une convention, un mécanisme ou un événement. Une " opération " n'est pas définie ailleurs dans la L.I.R. Dans la cause La Reine c. Canadian Pacific Ltée (2002 DTC 6742), la Cour d'appel fédérale a déterminé que le choix d'une devise dans le cadre d'un emprunt n'est pas une opération en soi. Pour la Cour d'appel, l'opération est l'emprunt et non le choix de la devise.

Certains choix fiscaux sont accessoires à une transaction juridique, par exemple le paiement d'un dividende et le choix à 55(5)f) L.I.R., la vente d'un bien et les choix à 85(1) L.I.R. ou 97(2) L.I.R. Par contre, certains choix fiscaux ne découlent pas d'une transaction juridique, c'est le cas, entre autres, des choix prévus au paragraphe 50(1) et 89(11) L.I.R.

Questions à l'ARC

a) Est-ce que l'ARC pourrait nous donner son point de vue sur la notion d'une " opération " dans un contexte d'un choix fiscal. Est-ce que le simple fait de produire un choix fiscal qui procure un avantage fiscal pourrait être considéré comme étant une opération d'évitement au sens du paragraphe 245(3) L.I.R.?

b) Est-ce que l'ARC peut nous donner son point de vue dans le contexte d'un choix fiscal qui est accessoire à une transaction juridique et dans le contexte d'un choix qui n'est pas dans un contexte d'une transaction juridique?

Réponse de l'ARC

L'interprétation et l'application de l'article 245 L.I.R. nécessite l'examen de tous les faits et circonstances se rapportant à une situation donnée. Compte tenu que l'énoncé relatif à la présente question ne comporte que très peu d'information, nous nous limiterons à formuler les commentaires généraux suivants.

Il faut d'abord souligner que lorsqu'une désignation ou un choix prévu dans la L.I.R. est effectué, un acte est alors posé entraînant des incidences fiscales pour un ou des contribuables. En conséquence, l'ARC est d'avis que lorsqu'une désignation ou un choix prévu dans la L.I.R. est effectué par un ou des contribuables, ceci constitue une opération aux fins de l'application de l'article 245.

Par ailleurs, nous sommes d'avis qu'aux fins de l'interprétation de l'article 245 et de la notion d'opération qui y est employée, la situation où un contribuable choisit la monnaie dans laquelle est libellé l'emprunt qu'il contracte (situation qui prévalait dans la décision Canadien Pacifique) ne saurait être assimilée à une situation où un ou des contribuables effectuent un choix fiscal prévu dans la L.I.R., que ce choix soit relatif à une opération ou non.

En terminant, nous sommes d'avis que tout dépendant des faits et circonstances se rapportant à une situation donnée, le fait de produire un choix fiscal pourrait constituer une opération d'évitement au sens du paragraphe 245(3).

Qualification of an Election as a Transaction for the Purposes of the Application of GAAR

A number of subsections of the ITA allow a taxpayer to make an election. Let us mention, among others, the elections provided in subsections 50(1), 85(1), 89(11) and 97(2) of the ITA and paragraph 55(5)(f) of the ITA.

For the purposes of section 245 of the ITA, a transaction includes an arrangement or event. A "transaction" is not defined elsewhere in the ITA. In the Queen v. Canadian Pacific Limited (2002 DTC 6742), the Federal Court of Appeal determined that the denomination of a currency in regard to a borrowing is not itself a transaction. For the Court of Appeal, the transaction is the borrowing and not the denomination of the currency.

Certain elections are ancillary to a legal transaction, for example the payment of a dividend and the election in paragraph 55(5)(f) of the ITA, the sale of property and the elections in subsections 85(1) or 97(2) of the ITA. However, certain elections do not arise from a legal transaction, this is the case, among others, with respect to the elections in subsections 50(1) and 89(11) of the ITA.

Questions to the CRA

Could the CRA give us its point of view on the concept of a "transaction" in the context of an election? Could one consider the simple fact of filing an election that results in a tax benefit as being an avoidance transaction within the meaning of subsection 245(3) of the ITA?

Can the CRA give us its point of view in the context of an election that is ancillary to a legal transaction and of an election which is not in the context of a legal transaction?

CRA Response

The interpretation and the application of section 245 of the ITA require the examination of all the facts and circumstances relating to a particular transaction. Given that the present question contains very little information, we are limited to providing the following general comments.

To begin with, it should be noted that when a designation or an election provided in the ITA is completed, an act is made which results in tax consequences for one or more taxpayers. Consequently, the CRA is of the opinion that when a designation or an election provided in the ITA is made by one or more taxpayers, this constitutes a transaction for the purposes of the application of section 245 of the ITA.

Moreover, we are of the opinion that for the purposes of the interpretation of section 245 of the ITA and the concept of a transaction provided therein, the situation where a taxpayer chooses the currency in which the borrowing is made (the situation which prevailed in Canadian Pacific) cannot be compared with a situation where one or more taxpayers make an election provided in the ITA, irrespective of whether this election relates to a transaction or not.

In closing, we are of the opinion that depending on the facts and circumstances relating to a particular transaction, the fact that an election is filed could constitute an avoidance transaction within the meaning of subsection 245(3) of the ITA.
