2. Comment calculer le gain ou la perte sur change réalisé lors de la disposition d'une immobilisation ou d'un bien en inventaire? How do you compute the gain or loss resulting from the disposition of a capital property or from the disposition of inventory?

Position Adoptée: 1. Pour déterminer la nature du gain ou de la perte sur change à l'égard de fonds empruntés en monnaie étrangère, il faut examiner l'utilisation des fonds. Si les fonds ont été utilisés pour acquérir une immobilisation, le gain ou la perte sera de nature capital et si les fonds ont été utilisés pour acquérir des biens en inventaire, le gain sera considéré comme un accroissement du revenu d'entreprise ou de bien et la perte comme une perte d'entreprise ou de bien. Pour déterminer le gain ou la perte sur change étranger, il faut mesurer le montant du remboursement en monnaie canadienne au taux de change en vigueur à la date du remboursement et mesurer cette partie de l'emprunt en monnaie canadienne au taux de change en vigueur à la date où l'emprunt a été contracté. La différence entre les deux montants constitue le gain ou la perte sur change étranger. The identification of the use of the funds borrowed in a foreign currency is required to determine the income tax status of foreign exchange gains or losses when the funds are repaid. If the funds were borrowed to acquire a capital property, the gain or loss will be on capital account. If the funds were used to acquire inventory, the gain will be considered to be income from business or property and the loss will be considered to be a loss from business or property. The foreign exchange gain or loss resulting from the repayment of the loan will be computed by converting the repayment amount to Canadian currency at the exchange rate in effect at the time of the repayment and by converting the part of the loan repaid to Canadian currency at the exchange rate in effect at the time the loan was made. The difference between the two amounts constitutes the foreign exchange gain or loss.

2. Question 11

Remboursement d'une dette en devises étrangères sur un bien productif ou non productif de revenus et gain ou perte sur change étranger

Le paragraphe 39(2) L.I.R. reconnaît que le gain ou la perte découlant de n'importe quelle transaction sur devise constitue un gain ou une perte en capital, à l'exception des transactions afférentes au revenu et aussi des gains ou pertes inférieurs à 200 $ (dans le cas des particuliers). Le paragraphe 39(2) L.I.R. constitue une exception aux règles normalement applicables au calcul des gains et des pertes en capital en vertu des dispositions de la sous-section c de la section B L.I.R.

L'ARC reconnaît que les gains et les pertes découlant de transactions personnelles sur devises étrangères constituent des gains et des pertes en capital en vertu du paragraphe 39(2) L.I.R. Le Bulletin d'interprétation IT-95R prévoit d'ailleurs au paragraphe 5 :

" 5. Dans l'affaire Bernier c. La Reine, 2004 DTC 3235 (C.C.I.), la décision rendue par la Cour canadienne de l'impôt en procédure générale a d'ailleurs reconnu cet état de fait. À la lumière des commentaires ci-dessus, imaginons maintenant la situation d'un contribuable ayant acquis un condominium en Floride au prix de 500 000 $ US en 2005, utilisé uniquement à des fins personnelles. Il avait alors contracté une hypothèque de 300 000 $ US. En 2009, à la suite de l'encaissement de sommes provenant d'un héritage important, il décide de liquider le solde de son hypothèque qui s'élève alors à 250 000 $ US. Au moment où il a contracté son hypothèque de 300 000 $ US en 2005, le dollar américain valait 1,20 $ CAN. Au moment où il a remboursé le montant de 250 000 $ US en 2009, le dollar américain valait 1,10 $ CAN. Il en a donc résulté un enrichissement pour le particulier en raison de la hausse du dollar canadien entre 2005 et 2009. D'autre part, tout au long de la période de 2005 à 2009, le dollar américain a fortement fluctué par rapport à la devise canadienne, période au cours de laquelle le particulier a remboursé 50 000 $ en capital sur sa dette hypothécaire par le biais de ses mensualités hypothécaires.

a) Quel est le traitement fiscal à appliquer à l'égard du gain sur change étranger lors du remboursement du solde de l'hypothèque de 250 000 $ en 2009?

b) Quel est le traitement fiscal à appliquer à l'égard du gain sur change étranger lors des multiples remboursements mensuels de capital durant la période de 2005 à 2009?

c) Quel serait le traitement fiscal à appliquer si le remboursement de l'hypothèque s'effectuait plutôt en même temps que la vente du condominium et comment serait déterminé le gain ou la perte sur change étranger, tant en ce qui a trait à la disposition du condominium que par rapport au remboursement du solde de l'hypothèque?

d) Est-ce que les conclusions de l'ARC iraient essentiellement dans le même sens dans la situation où un particulier rembourserait plutôt une dette contractée en devises étrangères ayant été utilisée pour produire un revenu de biens, telle qu'une marge de crédit (ou un prêt sur marge) libellée en dollars américains ayant servi à acquérir des actions cotées à la Bourse de New York?

Réponse de l'ARC

a) Tel que le prévoit le Bulletin d'interprétation IT-95R, le remboursement d'un emprunt représente une transaction pouvant donner lieu à un gain ou une perte sur change étranger. Pour déterminer quel doit être le traitement fiscal des gains ou des pertes sur change étranger à l'égard de fonds empruntés en monnaie étrangère, il faut examiner l'utilisation de ces fonds. Dans la présente situation, le contribuable a emprunté les fonds pour acquérir un bien à usage personnel. Tout gain ou toute perte sur change étranger lors du remboursement de l'emprunt serait de nature capital. Tel que mentionné au paragraphe 5 du Bulletin d'interprétation IT-95R, les pertes sur change étranger subies lors du remboursement d'un emprunt obtenu pour l'acquisition d'un bien à usage personnel sont aussi considérées comme des pertes en capital en vertu du paragraphe 39(2) L.I.R.

Pour déterminer le gain ou la perte sur change étranger, il faut mesurer le montant du remboursement en monnaie canadienne au taux de change en vigueur à la date du remboursement et mesurer cette partie de l'emprunt en monnaie canadienne au taux de change en vigueur à la date où l'emprunt a été contracté. La différence entre les deux montants constitue le gain ou la perte visée au paragraphe 39(2) L.I.R. Ainsi, le montant du remboursement sera de 275 000 $ (250 000 $ US multiplié par 1,10, qui représente le taux de change au moment du remboursement). Nous comparons ce montant au montant en monnaie canadienne lorsque l'emprunt a été contracté soit 300 000 $ (250 000 $ US multiplié par 1,20, qui représente le taux de change au moment où l'emprunt a été contracté). Ainsi, le contribuable réalisera un gain en capital en vertu du paragraphe 39(2) L.I.R. de 25 000 $.

b) De la même façon que pour le remboursement du solde effectué en 2009, il faut calculer le gain ou la perte en capital en comparant chacun des montants de remboursement mensuel en monnaie canadienne au taux de change en vigueur à la date du remboursement aux montants en monnaie canadienne au taux de change en vigueur à la date où l'emprunt a été contracté.

c) Le remboursement de l'emprunt est une transaction distincte de la disposition du bien. Il y aura donc un calcul distinct du gain ou de la perte en capital pour chacune des transactions. Si les fonds utilisés pour rembourser l'emprunt sont des fonds en monnaie étrangère, le traitement fiscal sera celui mentionné en réponse à la première question.

Par ailleurs, relativement à un gain ou à une perte résultant de la disposition d'un bien qui est une immobilisation, la position de l'ARC indique que le paragraphe 39(2) L.I.R. s'appliquera si et seulement si ce gain ou cette perte, tel qu'il est calculé à l'article 40 L.I.R., est uniquement attribuable à la fluctuation de la valeur d'une monnaie étrangère par rapport à la monnaie canadienne. Si ledit gain ou ladite perte n'est pas uniquement attribuable à la fluctuation de la valeur d'une monnaie étrangère par rapport à la monnaie canadienne, c'est le paragraphe 39(1) L.I.R., et non le paragraphe 39(2) L.I.R., qui doit être utilisé afin de calculer le gain en capital ou la perte en capital résultant de la disposition du bien. Lorsque les paragraphes 39(1) et 40(1) L.I.R. s'appliquent à l'égard de la disposition d'une immobilisation, la position de l'ARC est que le gain (ou la perte) en capital doit être calculé en convertissant en monnaie canadienne le prix de base rajusté (ci-après " PBR ") et le produit de disposition de l'immobilisation selon le taux de change en vigueur à l'époque pertinente. De manière plus précise, la position de l'ARC montre que le PBR doit être converti en monnaie canadienne en utilisant le taux de change en vigueur au moment de l'acquisition de l'immobilisation, et que le produit de disposition de l'immobilisation doit être converti en monnaie canadienne en utilisant le taux de change en vigueur au moment de la disposition de l'immobilisation. Toute perte subie lors de la disposition d'un bien à usage personnel sera réputée nulle en vertu du sous-alinéa 40(2)g)(iii) L.I.R.

d) La réponse à votre question dépendra de la nature des actions cotées à la Bourse de New York. Si les actions sont des immobilisations, le traitement fiscal expliqué précédemment s'appliquerait puisque l'emprunt aurait été contracté pour acquérir des immobilisations. Les actions n'étant pas des biens à usage personnel, le sous-alinéa 40(2)g)(iii) L.I.R. ne s'appliquerait pas dans une telle situation.

Par contre, si les actions détenues par le contribuable ne sont pas des immobilisations mais sont des biens en inventaire, tout gain sur change étranger réalisé lors du remboursement de l'emprunt sera considéré comme un accroissement de revenu d'entreprise ou de bien et toute perte sur change subie lors du remboursement de l'emprunt sera considérée comme une perte d'entreprise ou de bien. La façon de calculer le gain ou la perte sur change étranger résultant du remboursement de l'emprunt sera la même que celle mentionnée à l'égard d'un emprunt utilisé pour acquérir des immobilisations. Le gain ou la perte sur change étranger résultant de la disposition des biens en inventaire sera considéré comme étant un revenu ou une perte d'entreprise ou de bien. Ce revenu ou cette perte sera calculé de la même façon en convertissant le coût d'acquisition des actions en monnaie canadienne au taux de change à la date d'acquisition et en convertissant leur produit de disposition en monnaie canadienne au taux de change à la date de disposition.

Question 11 - Repayment of a Debt denominated in Foreign Currency used to acquire an Income-Producing Property or a Non-Income-Producing Property and Foreign Exchange Gain or Loss

Subsection 39(2) of the ITA provides that the gain or loss resulting from any foreign currency transaction is a capital gain or loss, with the exception of transactions on income account and with the exception of gains or losses that are less than $200 (in the case of individuals). Subsection 39(2) of the ITA represents an exception to the general rules applicable to the computation of capital gains or losses found in the subdivision c of division B of the ITA.

The CRA recognizes that gains or losses resulting from personal transactions with respect to foreign currencies constitute capital gains or losses pursuant to subsection 39(2) of the ITA. Paragraph 5 of Interpretation Bulletin IT-95R provides the following:

"5. Sundry dispositions of foreign currency by individuals, such as a conversion of travellers cheques in foreign funds to Canadian dollars on return from a vacation, are considered to be on account of capital. Foreign exchange losses sustained on the repayment of a debt which was given to acquire a personal-use property are also considered to be capital losses under subsection 39(2)." (Our underlining)

In Bernier v. The Queen, 2004 DTC 3235, the Tax Court of Canada (General Procedure) recognized that fact. In light of the above comments, let us now consider a situation where a taxpayer acquired a condominium in Florida at a cost of $500,000 US in 2005, the condominium being used only for personal purposes. At that time, he took out a mortgage of $300,000 US. In 2009, following the receipt of amounts from a sizeable inheritance, he repaid his mortgage balance of $250,000 US. At the time when he took out the mortgage of $300,000 US in 2005, the foreign currency rate was US$1=CDN$1.20 . At the time of the repayment of the $250,000 balance in 2009, the foreign currency rate was US$1=CDN$1.10. Therefore, the individual enjoyed an increase in wealth because of the increase of the CND dollar compared to the US dollar between 2005 and 2009. In addition, the individual made monthly mortgage payments of $50,000 to reduce the capital throughout the period from 2005 to 2009 while the US dollar strongly fluctuated compared to the Canadian currency,

Questions to the CRA:

a) What is the tax treatment that applies with respect to the foreign exchange gain realized on the repayment of the mortgage balance of $250,000 in 2009?

b) What is the tax treatment that applies with respect to the foreign exchange gain realized on the monthly capital repayments made during the period from 2005 to 2009?

c) What would be the applicable tax treatment if the repayment of the mortgage was made at the time of the condominium sale instead and how would be computed the foreign exchange gain or loss with respect to the disposition of the condominium and with respect to the repayment of the mortgage balance?

d) Would the CRA's conclusions be essentially the same in a situation where the individual repays a debt denominated in a foreign currency which was used to earn property income, such as a line of credit (or a margin loan) denominated in American dollars which was used to acquire shares listed on the New York Stock Exchange?

CRA Response

a) As provided in Interpretation Bulletin IT-95R, the repayment of a loan is a kind of transaction that may give rise to a foreign exchange gain or loss. The major problem in determining the income tax status of foreign exchange gains or losses in the case of funds borrowed in a foreign currency is the identification of the use of the funds. In the present situation, the taxpayer borrowed funds to acquire a personal-use property. Any foreign exchange gain or loss resulting from the repayment of the loan would be on capital account. As mentioned in paragraph 5 of Interpretation Bulletin IT-95R, foreign exchange losses sustained on the repayment of a debt which was given to acquire a personal-use property are also considered to be capital losses under subsection 39(2) of the ITA.

The foreign exchange gain or loss will be computed by converting the repayment amount to Canadian currency at the exchange rate in effect at the time of the repayment and by converting the part of the loan repaid to Canadian currency at the exchange rate in effect at the time the loan was made. The difference between the two amounts constitutes the gain or loss which is subject to subsection 39(2) of the ITA. Accordingly, the repayment amount will be converted to $275,000 (being $250,000 US multiplied by 1.10 which represents the exchange rate at the time of the repayment). Then, that amount will be compared to the amount in Canadian currency at the time the loan was made, which is $300,000 (being $250,000 US multiplied by 1.20 which represents the exchange rate at the time the loan was made). Therefore, the taxpayer will realize a capital gain of $25,000 pursuant to subsection 39(2) of the ITA.

b) In the same manner as it would be for the repayment of the balance which was made in 2009, the capital gain or loss will be computed by comparing the amount of each monthly repayment in Canadian currency using the exchange rate in effect at the time of the repayment with the amounts in Canadian currency using the exchange rate in effect at the time loan was made.

c) The repayment of the loan and the disposition of the property are two separate transactions. Therefore. the capital gain or loss resulting from each transaction will be computed separately. If the loan is repaid with funds denominated in foreign currency, the tax treatment will be as mentioned in response to the first question.

In addition, the CRA's position, in respect of a gain or loss resulting from the disposition of a property that is a capital property, is that subsection 39(2) of the ITA will apply if, and only if, this gain or loss, as computed under section 40 of the ITA, is solely attributable to the fluctuation in the value of a foreign currency relative to the Canadian currency. If the aforesaid gain or loss is not solely attributable to the fluctuation in the value of a foreign currency relative to the Canadian currency, subsection 39(1) of the ITA, and not subsection 39(2) of the ITA, must be used to compute the capital gain or loss resulting from the disposition of the property. Where subsections 39(1) and 40(1) of the ITA apply with respect to the disposition of capital property, the CRA's position is that the capital gain (or loss) must be computed by converting the adjusted cost base (ACB) and the proceeds of disposition of the capital property to Canadian currency at the exchange rate in effect at the relevant time. More precisely, the CRA's position is that the ACB must be converted into Canadian currency using the exchange rate in effect at the time the capital property was acquired, and that the proceeds of disposition of the capital property must be converted to Canadian currency using the exchange rate in effect at the time of disposition of the capital property. Any loss resulting from the disposition of a personal-use property will be deemed to be nil pursuant to subparagraph 40(2)(g)(iii) of the ITA.

d) The answer to your question will depend on the nature of the shares listed on the New York Stock Exchange. If the shares are considered to be capital property, the tax consequences explained above would apply since the loan would have been made to acquire capital property. In such a situation, subparagraph 40(2)(g)(iii) of the ITA would not apply because the shares would not be personal-use property..

However, if the shares held by the taxpayer are inventory rather than capital property, any foreign exchange gain realized on the repayment of the loan will be considered to be income from business or property and any foreign exchange loss sustained on the repayment of the loan will be considered to be a loss from business or property. The foreign exchange gain or loss resulting from the repayment of the loan will be computed in the same manner as mentioned above with respect to a loan used to acquire capital property. The foreign exchange gain or loss resulting from the disposition of inventory will be considered to be income or loss from business or property. This income or loss will be computed in the same manner by converting the acquisition cost of the shares to Canadian currency at the exchange rate at the time of acquisition and by converting their proceeds of disposition to Canadian currency at the exchange rate at the time of disposition.
