Raisons: Il faudrait examiner les modalités particulières, liées à la détention et au rachat des participations identiques à la participation donnée, dans une entité non-résidente donnée pour déterminer si ces modalités sont telles qu'elles contreviennent à l'obligation pour l'entité non-résidente d'accepter le rachat sur demande formelle de l'entité non-résidente.

Entité de placement étrangère et JVM vérifiable aux fins de la méthode d'évaluation à la valeur du marché
Afin de déterminer si un contribuable peut se prévaloir de la méthode d'évaluation à la valeur du marché prévue au nouvel article 94.2 L.I.R., la participation dans l'entité de placement étrangère doit avoir une " juste valeur marchande vérifiable ". Afin d'avoir une " juste valeur marchande vérifiable ", les participations qui ne sont pas inscrites à une bourse doivent comporter tout au long de la période de détention des conditions qui obligent l'entité non-résidente à accepter le rachat en contrepartie d'une somme déterminée et à payer conformément aux conditions. Or, il n'est pas rare que des fonds de placement imposent une période minimale de détention allant de quelques mois à quelques années selon la nature des placements. Un investisseur peut déposer sa demande de rachat avant l'expiration de la période minimale de détention, mais le prix de rachat ne lui est versé qu'à l'expiration de celle-ci.
Est-ce que l'ARC considère dans ces circonstances que l'imposition d'une période minimale de détention constitue simplement une condition de paiement du prix de rachat qui ne compromet pas l'existence d'une " juste valeur marchande vérifiable "?
Réponse de l'ARC
Nous trouvons à la définition de l'expression " juste valeur marchande vérifiable " au paragraphe 94.2(1), telle que libellée dans le projet de loi C-10, deux séries de conditions à l'égard d'une participation donnée. Une participation donnée doit remplir l'une de ces séries afin que la juste valeur marchande vérifiable corresponde à la juste valeur marchande de la participation. Lorsque des participations déterminées identiques à la participation donnée ne sont pas inscrites à la cote d'une bourse de valeurs visée par règlement, les participations déterminées dans l'entité non-résidente qui sont identiques à la participation donnée doivent comporter des conditions qui obligent l'entité non-résidente, sur demande formelle des détenteurs des participations déterminées, ou ceux-ci, sur demande formelle de l'entité non-résidente, à accepter le rachat, en contrepartie d'une somme déterminée et à payer conformément aux conditions, de tout ou partie des participations déterminées. De plus, cette somme doit, entre autres, être déterminée en fonction de la juste valeur marchande, au moment du rachat de la participation (ou à tout autre moment qui est prévu par les modalités de la participation donnée au moment de son émission et qui se situe dans les 60 jours suivant le rachat de cette participation), des biens de l'entité non-résidente.
Il faudrait examiner les modalités particulières, liées à la détention et au rachat des participations identiques à la participation donnée, dans une entité non-résidente donnée pour déterminer si ces modalités sont telles qu'elles contreviennent à l'obligation pour l'entité non-résidente d'accepter le rachat sur demande formelle des détenteurs ou à celle des détenteurs d'accepter le rachat sur demande formelle de l'entité non-résidente. Si les modalités comportent des conditions selon lesquelles les participations ne peuvent être rachetées avant qu'elles aient été détenues pendant une période minimale de temps, il nous semble que cette condition irait à l'encontre de l'obligation de rachat sur demande. Cependant, il est possible qu'à la suite de l'examen des modalités particulières dans une situation donnée, nous acceptions qu'une période relativement courte de détention minimale ne contrevienne pas à cette obligation. Nous n'avons pas eu l'occasion d'étudier cette question dans le cadre d'une demande de décisions anticipées.
Par contre, si les modalités prévoient, par exemple, que les participations seront rachetées sur demande formelle mais que la détermination du prix de rachat et la date du paiement du prix de rachat surviennent un certain temps après la demande formelle, cette clause pourrait ne pas contrevenir à l'obligation de rachat sur demande formelle. Cependant, il faudrait que le prix de rachat soit déterminé conformément au sous-alinéa b)(ii) de la définition de " juste marchande vérifiable " qui se trouve au paragraphe 94.2(1) contenu au projet de loi C-10.

Foreign Investment Entities and Readily Obtainable FMV for the Purposes of the Mark-To-Market Method
In order to determine if a taxpayer can use the mark-to-market method provided in the new section 94.2 of the ITA, the interest in the foreign investment entity must have a "readily obtainable fair market value". In order to have a "readily obtainable fair market value", the interests that are not listed on a stock exchange must have, throughout the holding period, conditions attached that require the non-resident entity to accept the surrender in consideration of a price determined and payable in accordance with the conditions. It is not unusual, however, for investment funds to require a minimum holding period of a few months to a few years depending on the nature of the investments. An investor can request the surrender before the termination of the minimum holding period but the redemption price is paid to him only on its termination.
Question
Does CRA consider, in these circumstances, that the imposition of a minimum holding period merely constitutes a condition of payment of the redemption price, which does not compromise the existence of a "readily obtainable fair market value"?
CRA Response
In the definition of the expression "readily obtainable fair market value" in subsection 94.2(1) of the ITA, as worded in Bill C-10, there are two sets of conditions in regard to a particular interest. A particular interest must meet one of these sets in order for the readily obtainable fair market value to mean the fair market value of the interest. When participating interests, identical to the particular interest, are not listed on a prescribed stock exchange, the participating interests in the non-resident entity that are identical to the particular interest must have conditions attached that require the non-resident entity, to accept at the demand of the holders of the participating interests or that require the holders to accept, at the demand of the non-resident entity, at a price determined and payable in accordance with the conditions, the surrender in whole or in part of the participating interests. In addition, that price must, inter alia, be determined by reference to the fair market value, at the time the interest is surrendered (or such other time that is set out in the terms of the participating interest at the time it was issued and that is within 60 days of the time that the participating interest is surrendered), of the property of the non-resident entity.
It would be necessary to examine the particular terms, with respect to the holding and the surrender of the interests identical to the particular interest in a particular non-resident entity, to determine if these terms are such that they contravene the obligation of the non-resident entity to accept the surrender at the demand of the holders or the obligation of the holders to accept the surrender at the demand of the non-resident entity. If the terms include conditions pursuant to which the interests cannot be surrendered before they are held for a minimum period of time, it appears to us that this condition would be inconsistent with the obligation to surrender on demand. It is possible, however, that following the examination of the particular terms in a given situation, we would accept that a relatively short minimum holding period would not contravene this obligation. We did not have the opportunity to study this question in the course of an advanced rulings request.
On the other hand, if the terms provide, for example, that the interests will be surrendered on demand but that the determination of the redemption price and the date of payment of the redemption price will occur a certain time after the demand, this clause may not contravene the obligation to surrender on demand. It would be necessary, however, that the redemption price be determined in accordance with subparagraph (b)(ii) of the definition of "readily obtainable fair market value" pursuant to subsection 94.2(1) provided in Bill C-10.
