Principal Issues: "Corporation Inc." has a fiscal period ending on December 31. It filed its income tax return for the fiscal period ending December 31, 20X0. On July 1, 20X1, there is an acquisition of control of Corporation Inc., but it was not made aware of this situation. It therefore files its income tax return for the period from January 1 to December 31, 20X1. The CRA issues a notice of assessment for the year in question. The same occurs for the year 20X2 and subsequent years. Question a): Could the 20X1 taxation year, that is, the period from January 1 to December 31, become statute barred following the issuance of a notice of assessment? Question b): Since a return was filed as of December 31, 20X1, will the CRA assume that December 31 will be the date chosen for the end of the new fiscal period? Question c): The corporation makes a loss carry-back from the year 20X3 to the year 20X1. In 20X6, in the course of an audit for the year 20X3, the CRA revises the loss and realizes that there was a deemed year end on June 30, 20X1. However, the year 20X1, being the period from January 1 to December 31, became statute barred because it was assessed. How will the CRA treat the loss carry-back? Could the CRA require that the 20X1 year be modified and that the corporation files two returns, which are for the period from January 1 to June 30 and for the period from July 1 to December 31?
Position: Answer to question a): A taxation year of Corporation Inc. for the period from January 1, 20X1 to December 31, 20X1, does not exist for the purposes of the ITA. Therefore, the limitation periods provided in the ITA would not be applicable in this respect. By reason of the application of subsection 249(4), Corporation Inc. would have two taxation years for the purposes of the ITA in 20X1, the first commencing January 1, 20X1 and ending June 30, 20X1, and the second commencing July 1, 20X1 and ending December 31, 20X1. Technically, Corporation Inc. would not have filed income tax returns in respect of these two taxation years. The Minister would not have made an assessment or given notification that no tax is payable with respect to one or the other of these two taxation years. Consequently, the limitation periods provided in the ITA would not have technically begun in regard to the aforesaid taxation years of Corporation Inc. Answer to question b): The CRA would generally consider that Corporation Inc. would have established its fiscal year end as of December 31 for the taxation years ending after the acquisition of control. Answer to question c): It would be necessary that Corporation Inc. file income tax returns for each of the taxation years ending on June 30, 20X1 and December, 31, 20X1, respectively, pursuant to paragraph 150(1)(a). In this respect and as needed, the CRA, pursuant to subsection 150(2), could request, on demand, that Corporation Inc. file, within a reasonable time, income tax returns for each of these two taxation years. It would also be necessary that Corporation Inc. makes a new loss carry-back request, clearly indicating in computing the taxable income of which taxation year ending in 20X1 Corporation Inc. would want to deduct the loss incurred in taxation year 20X3.

Conséquences fiscales des fins d'année présumées non identifiées
Considérons la situation suivante :
- La société privée sous contrôle canadien " Société Inc. " a une fin d'exercice se terminant le 31 décembre. Conformément à la L.I.R., elle a produit sa déclaration de revenus pour l'exercice financier se terminant le 31 décembre 20X0.
- Le 1er juillet 20X1, il y a acquisition de contrôle de Société Inc., mais celle-ci n'est pas au fait de cette situation. Elle produit donc sa déclaration de revenus pour la période du 1er janvier au 31 décembre 20X1. L'ARC émet un avis de cotisation pour l'année en question. Il en est de même pour les années 20X2 et suivantes.
Cet exemple est aussi applicable à toutes les situations qui entraîneraient une fin d'exercice présumée, dont la société ignore et qui ne sont pas intentionnelles.
Questions pour l'ARC :
a) L'année d'imposition 20X1, soit pour la période du 1er janvier au 31 décembre, pourra-t-elle devenir prescrite suite à l'émission d'un avis de cotisation?
b) Puisqu'une déclaration a été produite au 31 décembre 20X1, est-ce que l'ARC présumera que le 31 décembre sera le choix de la nouvelle fin d'exercice? Est-ce que ce choix sera valide pour les années 20X2 et suivantes? Ainsi, les années 20X2 et suivantes pourront-elles devenir prescrites?
c) La société effectue un report de perte rétrospectif de l'année 20X3 à l'année 20X1. En 20X6, dans le cadre de la vérification pour l'année 20X3, l'ARC révise la perte et réalise qu'il y avait une fin d'année présumée le 30 juin 20X1. Cependant, l'année 20X1, soit la période du 1er janvier au 31 décembre, est devenue prescrite, car elle a été cotisée. Comment l'ARC traitera-t-elle le report de perte? Le report sera-t-il valide? Pourra-t-elle exiger que l'année 20X1 soit modifiée et que la société produise deux déclarations, soit pour la période du 1er janvier au 30 juin et soit pour la période du 1er juillet au 31 décembre?
Réponse de l'ARC à la question 46 a)
En vertu de l'alinéa 249(4)a) L.I.R., l'année d'imposition de Société Inc. qui, sans cet alinéa, comprendrait le moment de son acquisition de contrôle le 1er juillet 20X1, serait réputée se terminer immédiatement avant ce moment. Aux termes du paragraphe 256(9) L.I.R. et pour l'application de la L.I.R., le contrôle de Société Inc. qui serait acquis à un moment donné le 1er juillet 20X1 serait réputé l'être au début de ce jour, dans la mesure où le choix prévu audit paragraphe 256(9) L.I.R. ne serait pas fait. En conséquence, en raison de son acquisition de contrôle, Société Inc. aurait une année d'imposition débutant le 1er janvier 20X1 et se terminant le 30 juin 20X1.
De plus, en vertu de l'alinéa 249(4)b) L.I.R., une nouvelle année d'imposition de Société Inc. serait réputée commencer au moment de l'acquisition de contrôle, soit le 1er juillet 20X1. L'alinéa 249(4)d) L.I.R. édicte que pour la fixation de l'exercice de Société Inc. après le moment de son acquisition de contrôle, celle-ci est réputée ne pas avoir fixé d'exercice avant ce moment. Toutefois, compte tenu des informations fournies dans l'énoncé de la présente question, il appert que Société Inc. aurait fixé la fin de son exercice au 31 décembre pour les années d'imposition se terminant après l'acquisition de contrôle. En conséquence, en raison de son acquisition de contrôle, Société Inc. aurait une année d'imposition débutant le 1er juillet 20X1 et se terminant le 31 décembre 20X1.
Vous nous demandez si l'année d'imposition de Société Inc. couvrant la période du 1er janvier 20X1 au 31 décembre 20X1 pourrait devenir prescrite suite à l'émission d'un avis de cotisation. À notre avis, une année d'imposition de Société Inc. couvrant la période du 1er janvier 20X1 au 31 décembre 20X1 n'existe pas pour les fins de la L.I.R. Les délais de prescription prévus dans la L.I.R. ne seraient donc pas applicables à cet égard.
Tel qu'indiqué ci-dessus, Société Inc. aurait deux années d'imposition pour les fins de la L.I.R. en 20X1, la première débutant le 1er janvier 20X1 et se terminant le 30 juin 20X1, et la seconde débutant le 1er juillet 20X1 et se terminant le 31 décembre 20X1. Techniquement, Société Inc. n'aurait pas produit de déclarations de revenu à l'égard de ces deux années d'imposition conformément à l'alinéa 150(1)a) L.I.R. Le ministre n'aurait pas non plus établi de cotisation ou donné avis qu'aucun impôt n'est payable relativement à l'une ou l'autre de ces deux années d'imposition. En conséquence, les délais de prescription prévus dans la L.I.R. n'auraient techniquement pas commencé à courir à l'égard desdites années d'imposition de Société Inc.
Réponse de l'ARC à la question 46 b)
Dans une situation du type de celle ci-dessus décrite, l'ARC considérerait généralement que Société Inc. aurait fixé la fin de son exercice au 31 décembre pour les années d'imposition se terminant après l'acquisition de contrôle.
L'établissement par le ministre de toute cotisation, nouvelle cotisation ou cotisation supplémentaire concernant l'impôt pour les années d'imposition de Société Inc. se terminant après son acquisition de contrôle, ainsi que les intérêts ou les pénalités, qui seraient payables par Société Inc. en vertu de la Partie I L.I.R., ou encore l'émission à Société Inc. d'un avis par écrit qu'aucun impôt n'est payable pour ces années, devrait se faire en conformité avec les termes des paragraphes 152(4) et (3.1) L.I.R.
Réponse de l'ARC à la question 46 c)
Tout d'abord et tel qu'indiqué ci-dessus, nous sommes d'avis qu'une année d'imposition de Société Inc. couvrant la période du 1er janvier 20X1 au 31 décembre 20X1 n'existe pas pour les fins de la L.I.R. Les délais de prescription prévus dans la L.I.R. ne seraient donc pas applicables à cet égard.
De plus, en raison de l'application du paragraphe 249(4) L.I.R., Société Inc. aurait deux années d'imposition pour les fins de la L.I.R. en 20X1, la première débutant le 1er janvier 20X1 et se terminant le 30 juin 20X1, et la seconde débutant le 1er juillet 20X1 et se terminant le 31 décembre 20X1.
Il faudrait donc que Société Inc. produise des déclarations de revenu pour chacune des années d'imposition se terminant respectivement le 30 juin 20X1 et le 31 décembre 20X1 en vertu de l'alinéa 150(1)a) L.I.R. À cet égard et au besoin, l'ARC pourrait, en vertu du paragraphe 150(2) L.I.R., mettre en demeure Société Inc. de produire, dans un délai raisonnable, des déclarations de revenu pour chacune de ces deux années d'imposition.
D'autre part, il faudrait aussi que Société Inc. présente à nouveau une demande de report rétrospectif de perte indiquant clairement dans le calcul du revenu imposable de quelle année d'imposition se terminant en 20X1 Société Inc. désirerait déduire la perte subie dans l'année d'imposition 20X3.
À cet égard, il est à noter que même si la demande de report rétrospectif de perte serait produite par Société Inc. à l'extérieur du délai prévu au paragraphe 152(6) L.I.R., la politique de l'ARC est généralement d'accepter un tel report de perte, dans la mesure où une cotisation peut être établie dans le délai prévu au sous-alinéa 152(4)b)(i) L.I.R. à l'égard de l'année d'imposition où la perte est déduite en vertu du paragraphe 111(1) L.I.R.
En terminant, dans un contexte d'acquisition de contrôle, l'ARC examinerait entre autres les incidences que pourrait avoir l'application des paragraphes 111(4) et (5) L.I.R. relativement à la demande de report de perte.

Tax Consequences of Non-Identified Deemed Year Ends
Let us consider the following situation:
- The Canadian-controlled private corporation "Corporation Inc." has a fiscal period ending on December 31. In accordance with the ITA, it filed its income tax return for the fiscal period ending December 31, 20X0.
- On July 1st, 20X1, there is an acquisition of control of Corporation Inc., but it was not made aware of this situation. It therefore files its income tax return for the period from January 1st to December 31, 20X1. The CRA issues a notice of assessment for the year in question. The same occurs for the year 20X2 and subsequent years.
This example is also applicable to all the situations which would result in a deemed fiscal year end of which the corporation is unaware and which are not intentional.
Questions
a) Could the 20X1 taxation year, that is, the period from January 1st to December 31, become statute-barred following the issuance of a notice of assessment?
b) Since a return was filed as of December 31, 20X1, will the CRA assume that December 31 will be the date chosen for the end of the new fiscal period? Will this selection be valid for the year 20X2 and those that follow? Therefore, could the year 20X2 and those that follow become statute barred?
c) The corporation makes a loss carry-back from the year 20X3 to the year 20X1. In 20X6, in the course of an audit for the year 20X3, the CRA revises the loss and realizes that there was a deemed year end on June 30, 20X1. However, the year 20X1, being the period from January 1st to December 31, became statute-barred because it was assessed. How will the CRA treat the loss carry-back? Will the carry-back be valid? Could the CRA require that the 20X1 year be modified and that the corporation files two returns, which are for the period from January 1st to June 30 and for the period from July 1st to December 31?
CRA Response to question 46 a)
Pursuant to paragraph 249(4)(a) of the ITA, the taxation year of Corporation Inc. that would, but for this paragraph, have included the time of its acquisition of control on July 1st, 20X1 would be deemed to have ended immediately before that time. In accordance with subsection 256(9) of the ITA and for the purposes of the ITA, the control of Corporation Inc. that would be acquired at a particular time on July 1st, 20X1 would be deemed to have been acquired at the commencement of that day, provided that the election described in this subsection was not made. Consequently, by reason of its acquisition of control, Corporation Inc. would have a taxation year starting on January 1st, 20X1 and ending on June 30, 20X1.
Moreover, pursuant to paragraph 249(4)(b) of the ITA, a new taxation year of Corporation Inc. would be deemed to have commenced at the time of the acquisition of control, that is, on July 1st, 20X1. Paragraph 249(4)(d) of the ITA provides that for the purpose of determining the Corporation Inc. fiscal period after the time of its acquisition of control, it is deemed not to have established a fiscal period before that time. Taking into account the information provided in this question, however, it appears that Corporation Inc. would have established its fiscal period as of December 31 for the taxation years ending after the acquisition of control. Consequently, by reason of its acquisition of control, Corporation Inc. would have a taxation year commencing July1st, 20X1 and ending December 31, 20X1.
You asked us if the taxation year of Corporation Inc. for the period from January 1st, 20X1 to December 31, 20X1, could become statute-barred following the issuance of the notice of assessment. In our view, a taxation year of Corporation Inc. for the period from January 1st, 20X1 to December 31, 20X1, does not exist for the purposes of the ITA. Therefore, the limitation periods provided in the ITA would not be applicable in this respect.
As indicated above, Corporation Inc. would have two taxation years in 20X1 for the purposes of the ITA, the first commencing January 1st, 20X1 and ending June 30, 20X1, and the second commencing July 1st, 20X1 and ending December 31, 20X1. Technically, Corporation Inc. would not have filed income tax returns in respect of these two taxation years in accordance with paragraph 150(1)(a) of the ITA. The Minister would not have made an assessment or given notification that no tax is payable with respect to one or the other of the two taxation years. Consequently, the limitation periods provided in the ITA would not have technically begun in regard to the aforesaid taxation years of Corporation Inc.
CRA Response to question 46 b)
In a situation like the one described above, the CRA would generally consider that Corporation Inc. would have established its fiscal year end as of December 31 for the taxation years ending after the acquisition of control.
The making of an assessment, reassessment or additional assessment by the Minister, of tax for the taxation years of Corporation Inc. ending after its acquisition of control, as well as interest or penalties, that would be payable under Part I of the ITA by Corporation Inc., or the issuance to Corporation Inc. of a notification in writing that no tax is payable for these years, would have to be made in accordance with the provisions of subsections 152(4) and (3.1) of the ITA.
CRA Response to question 46 c)
To begin with and as indicated above, we are of the view that a taxation year of Corporation Inc. for the period from January 1st, 20X1 to December 31, 20X1, does not exist for the purposes of the ITA. Therefore, the limitation periods provided in the ITA, would not be applicable in this respect.
Moreover, by reason of the application of subsection 249(4) of the ITA, Corporation Inc. would have two taxation years for the purposes of the ITA in 20X1, the first commencing January 1st, 20X1 and ending June 30, 20X1, and the second commencing July 1st, 20X1 and ending December 31, 20X1.
It would thus be necessary that Corporation Inc. file income tax returns for each of the taxation years ending on June 30, 20X1 and December, 31, 20X1, respectively, pursuant to paragraph 150(1)(a) of the ITA. In this respect and as needed, the CRA, pursuant to subsection 150(2) of the ITA, could request, on demand, that Corporation Inc. file, within a reasonable time, income tax returns for each of these two taxation years.
On the other hand, it would also be necessary that Corporation Inc. makes a new loss carry-back request, clearly indicating in computing the taxable income of which taxation year ending in 20X1 Corporation Inc. would want to deduct the loss incurred in taxation year 20X3.
In this respect, it should be noted that even if the request for loss carry-back would be filed by Corporation Inc. beyond the time provided in subsection 152(6) of the ITA, the policy of the CRA is generally to accept such loss carry-back, to the extent that an assessment can be made within the time provided in subparagraph 152(4)(b)(i) of the ITA in respect of the taxation year in which the loss is deducted pursuant to subsection 111(1) of the ITA.
In conclusion, in the context of an acquisition of control, the CRA would examine, among others, the consequences that the application of subsections 111(4) and (5) of the ITA could have on the request for the loss carry-back.
