Principal Issues: What interpretation does the CRA want to give to the notion of contributed surplus to which paragraph 53(1)(b) of the ITA makes reference?

Position: The term "contributed surplus" is not defined in the ITA. However, the CRA is of the view that the meaning of "contributed surplus" should be based on the meaning given to this term under GAAP.

Question 22

Versement d'un dividende à même le revenu protégé

Le Projet de loi C-10 prévoit des modifications aux alinéas 52(3)a) et 53(1)b) de la L.I.R. Selon les notes explicatives, ces modifications proposées ainsi que les modifications corrélatives prévues au paragraphe 89(1) L.I.R. en ce qui a trait au calcul du compte de dividendes en capital résultent des changements apportés au nouvel article 143.3 L.I.R. concernant la limitation des dépenses. Ces modifications proposées entraînent toutefois des incidences importantes au niveau de certaines planifications courantes, notamment celles concernant le versement de dividendes provenant du revenu protégé conformément à l'article 55 L.I.R.

À cet égard, la modification proposée à l'alinéa 53(1)b) L.I.R. ne semble pas à première vue entraîner d'incidence majeure sur les planifications fiscales communément mises en place, compte tenu du fait qu'elle est limitée aux augmentations de capital versé provenant du surplus d'apport. Selon l'interprétation technique 2002-0146655, le terme " surplus d'apport " doit être interprété selon les principes comptables généralement reconnus (" PCGR "). Il semble donc nécessaire qu'un surplus d'apport soit comptabilisé et que l'augmentation de capital versé provienne de ce compte comptable afin que les modifications proposées à l'alinéa 53(1)b) L.I.R. soient applicables. Or, dans les faits, nous comprenons que la comptabilisation de surplus d'apport n'est pas fréquente.

Question à l'ARC

Quelle interprétation entend donner l'ARC aux modifications proposées aux alinéas 52(3)a) et 53(1)b) L.I.R. et plus particulièrement, à la notion de surplus d'apport à laquelle l'alinéa 53(1)b) L.I.R. fait référence?

Réponse de l'ARC

Le terme " surplus d'apport " n'est pas défini dans la L.I.R. Nous sommes toutefois d'avis que le sens de " surplus d'apport " devrait être fondé sur le sens donné à ce terme en vertu des PCGR.

Par ailleurs, l'application d'une ou de plusieurs dispositions de la L.I.R. nécessite généralement l'analyse de tous les faits et circonstances se rapportant à une situation particulière donnée. En conséquence et compte tenu du fait que l'énoncé de la présente question ne réfère à aucune situation spécifique, il nous apparaît difficile de formuler d'autres commentaires sur l'interprétation qu'entend donner l'ARC aux modifications proposées aux alinéas 52(3)a) et 53(1)b) de la L.I.R.

Question 22

Payment of a Dividend out of the Safe Income

Bill C-10 provides amendments to paragraphs 52(3)(a) and 53(1)(b) of the ITA. According to the Explanatory Notes, these proposed amendments as well as the related amendments provided in subsection 89(1) of the ITA with respect to the calculation of the capital dividend account are consequential to amendments made to new section 143.3 of the ITA concerning expenditure limitations. These proposed amendments, however, have important consequences in dealing with certain common plannings, particularly those that concern the payment of dividends from the safe income in accordance with section 55 of the ITA.

In this respect, the proposed amendment in paragraph 53(1)(b) of the ITA does not appear, at first glance, to result in major consequences with respect to common tax plannings, given the fact that it is limited to increases in paid-up capital arising from contributed surplus. In accordance with technical interpretation 2002-0146655, the term "contributed surplus" must be interpreted in accordance with generally accepted accounting principles ("GAAP"). Thus, it appears necessary that contributed surplus be accounted for and that the increase in paid-up capital arises from this account in order that the proposed amendments in paragraph 53(1)(b) of the ITA be applicable. In fact, we understand, however, that the recognition of contributed surplus is not frequent.

Question

What interpretation does the CRA want to give to the proposed amendments in paragraphs 52(3)(a) and 53(1)(b) of the ITA and more specifically, to the notion of contributed surplus to which paragraph 53(1)(b) of the ITA makes reference?

CRA Response

The term "contributed surplus" is not defined in the ITA. We are, however, of the view that the meaning of "contributed surplus" should be based on the meaning given to this term under GAAP.

Additionally, the application of one or more provisions of the ITA generally requires an analysis of all the facts and circumstances related to a given particular situation. Consequently, and taking into account the fact that this question does not refer to a specific situation, it appears difficult to formulate other comments on the interpretation that will be given by the CRA on the proposed amendments to paragraphs 52(3)(a) and 53(1)(b) of the ITA.
