Perte potentielle de l'exonération du gain en capital - acquisition présumée en début de journée
Dans une récente interprétation technique (22 février 2008, No. 2006-0214781E5), on présentait à l'ARC la situation donnée suivante :
- M. A détenait la totalité des actions émises et en circulation de OPCO;
- OPCO était une SPCC et les actions de celle-ci se qualifiaient à titre d'" actions admissibles de petite entreprise ", au sens du paragraphe 110.6(1) L.I.R.;
- Durant l'année d'imposition concernée, M. A et PUBCO, une société publique, avaient conclu une convention de vente d'actions par laquelle M. A cédait à PUBCO la totalité des actions qu'il détenait dans le capital-actions de OPCO, le transfert devant intervenir la dernière journée de l'année d'imposition;
- OPCO n'a pas fait le choix pour rendre applicable le paragraphe 256(9) L.I.R.
On demandait à l'ARC de se prononcer sur le droit pour M. A de réclamer son exemption pour le gain en capital relativement à la disposition de ses actions dans OPCO, en faisant référence à la décision de la Cour d'appel fédérale rendue dans La Survivance 1 . Dans cette affaire, la Cour d'appel fédérale avait décidé en faveur de La Survivance qui réclamait une perte déductible au titre d'un placement d'entreprise suite à la vente des actions d'une filiale à un acheteur qui était une société privée. Comme le choix de rendre applicable le paragraphe 256(9) L.I.R. n'avait pas été exercé, La Survivance avait alors, au moment de la transaction, disposé d'actions d'une SPCC, par l'effet de la loi qui fait rétroagir l'acquisition de contrôle au début de la journée de la transaction.
L'ARC avait conclu, que techniquement et en se basant sur la décision La Survivance, M.A n'avait pas droit à la déduction pour gains en capital. Par contre, l'ARC mentionnait qu'elle référerait cette problématique au ministère des Finances pour déterminer s'il serait opportun de recommander une modification législative.

Est-ce que l'ARC peut nous faire part de l'évolution de ce dossier?
Réponse de l'ARC
L'ARC a soumis la problématique au ministère des Finances et lui a demandé s'il était approprié de recommander une modification législative à cet égard. Le ministère des Finances a accusé réception de notre demande, mais ne nous a pas encore communiqué son point de vue.
Pour le moment, dans une situation comme celle de la situation donnée, l'ARC pourrait cotiser la déclaration de revenu de M. A pour l'année de la disposition de ses actions pour refuser la déduction pour gains en capital réclamée. Une telle cotisation pourrait possiblement être évitée si le choix prévu au paragraphe 256(9) L.I.R. était exercé par OPCO. Par ailleurs, en vertu du paragraphe 220(3.2) L.I.R., OPCO pourrait demander au ministre de prolonger le délai pour faire le choix prévu au paragraphe 256(9) L.I.R.

Potential Loss of the Capital Gains Deduction - Deemed Acquisition at the Commencement of the Day
In a recent technical interpretation (February 22, 2008, No. 2006-0214781E5), the following particular situation was submitted to the CRA:
- Mr. A owns all the issued and outstanding shares of OPCO;
- OPCO was a CCPC and its shares were "qualified small business corporation shares", within the meaning of subsection 110.6(1) of the ITA;
- During the particular taxation year, Mr. A and PUBCO, a public corporation, entered into a sale of shares agreement by which Mr. A transferred to PUBCO all the shares that he held in the capital stock of OPCO, the transfer needs to close on the last day of the taxation year; and
- OPCO did not elect to apply subsection 256(9) of the ITA.
The CRA was asked to provide an opinion as to whether or not Mr. A is entitled to the capital gains deduction in respect of the disposition of his shares of OPCO, given the decision the Federal Court of Appeal rendered in La Survivance 2 . In this case, the Federal Court of Appeal decided in favour of La Survivance which claimed an allowable business investment loss following the sale of the shares of a subsidiary to a purchaser that was a private corporation. Since the election to apply subsection 256(9) was not made, La Survivance had, at the time of the transaction, then disposed of shares of a CCPC, by the effect of the law which causes the acquisition of control to retroact to the commencement of the day of the transaction.
The CRA had concluded that technically and based on La Survivance, Mr. A was not entitled to the capital gains deduction. On the other hand, the CRA mentioned that it would refer this problem to the Department of Finance to determine if it is opportune to recommend a legislative amendment.

Can the CRA inform us on any development on this file?
CRA Response
The CRA submitted the problem to the Department of Finance and asked if it was appropriate to recommend a legislative amendment in this regard. The Department of Finance acknowledged receipt of our request, but has not yet advised us of its point of view.
For the time being, in a situation like the one in the given situation, the CRA could assess the income tax return of Mr. A for the year of the disposition of his shares in order to deny the capital gains deduction that was claimed. Such an assessment could possibly be avoided if the election provided in subsection 256(9) of the ITA was made by OPCO. Additionally, pursuant to subsection 220(3.2) of the ITA, OPCO could ask the Minister to extend the time to make the election provided in subsection 256(9) of the ITA.
