Position Adoptée: 1. L'achat d'une rente pour un employé est imposable s'il s'agit d'une distribution de biens en règlement des obligations de la convention de retraite. 2. Oui, lorsque toutes les conditions d'application sont remplies.

Police d'assurance-vie et convention de retraite
Les conventions de retraite sont utilisées fréquemment par les entreprises et les organismes publics et parapublics pour augmenter les revenus à la retraite des cadres et des dirigeants dont la rémunération excède le maximum prévu par les limites courantes édictées par la Loi de l'impôt sur le revenu, en ce qui concerne les cotisations aux régimes de pension agréés et aux régimes enregistrés d'épargne-retraite. En effet, tout dépendant du revenu gagné, il se peut que la rente de retraite qui sera versée par les régimes enregistrés n'atteigne pas l'objectif minimum de 70% du revenu gagné dans les années précédant la retraite. Ce pourcentage devrait constituer le niveau de revenu minimum acceptable à la retraite selon les experts. L'employeur met alors en place une convention de retraite afin d'augmenter le revenu à la retraite des cadres et des hauts dirigeants, leur permettant ainsi de se rapprocher de cet objectif. Il est prévisible qu'un employeur qui a mis en place une convention, veuille souscrire une rente pour financer le supplément de revenu de retraite auquel il s'est engagé au moment où l'employé prend sa retraite.
Le Guide des conventions de retraite 2006 1 prévoit ce qui suit à l'égard des contrats de rentes acquis dans le cadre d'une convention de retraite :
" Contrat de rente
Lorsqu'un dépositaire d'une CR acquiert un contrat de rente pour un bénéficiaire, nous considérons que le montant payé pour acquérir le contrat de rente est un montant imposable attribué au bénéficiaire en provenance de la FCR. Le montant total est imposable dans l'année où le dépositaire acquiert le contrat, et il doit émettre un feuillet T4A-RCA pour déclarer le montant qu'il a ainsi attribué et l'impôt sur le revenu qu'il a retenu."
a) Pouvez-vous nous expliquer quelles sont les dispositions de la loi de l'impôt sur le revenu (L.I.R.) qui justifient cette position?
b) Puisque, par définition, les contrats de rente sont compris dans les polices d'assurance-vie, peut-on considérer lorsqu'une rente est souscrite par un employeur qui en est le titulaire et dont l'employé ou l'ancien employé en est le rentier, qu'une convention de retraite présumée au sens du paragraphe 207.6(2) L.I.R. serait alors constituée?
c) Quelle serait votre position dans la situation où une fiducie de convention de retraite utiliserait ses actifs pour souscrire une rente dont elle en serait le titulaire et le crédit-rentier serait le bénéficiaire de la fiducie de CR?
Réponse de l'ARC
Nous portons à votre attention qu'un régime comme celui décrit dans l'énoncé de la question pourrait être une entente d'échelonnement du traitement et non pas une convention de retraite. L'ARC a déjà indiqué qu'un régime de pension non agréé ne sera pas considéré être une entente d'échelonnement du traitement si le régime possède les caractéristiques d'un régime de pension supplémentaire ou non agréé et que les montants qui peuvent être versée dans le cadre du régime peuvent être considérés comme des prestations de retraite ou de pensions raisonnables. Si le régime accorde des bénéfices qui ne sont pas des prestations de retraite ou de pensions raisonnables, l'ARC est d'avis que le régime est une entente d'échelonnement du traitement. 2
Les commentaires qui suivent s'appliquent à des régimes de pension par capitalisation qui ne sont pas des régimes de pension agréés ni des ententes d'échelonnement du traitement.
L'alinéa 56(1)x) L.I.R. prévoit qu'un contribuable doit inclure dans son revenu pour une année d'imposition tout montant versé dans le cadre d'une convention de retraite que le contribuable ou une autre personne reçoit dans l'année - sous réserve d'une exception - et qu'il est raisonnable de considérer comme se rapportant à une charge ou un emploi du contribuable.
Le commentaire que vous citez à l'égard des contrats de rente est placé sous le titre " Montants attribués " dans le Guide des conventions de retraite 2006. Lorsqu'un contrat de rente est acheté pour un bénéficiaire de la convention de retraite, en règlement des obligations en vertu de la convention de retraite, l'ARC est d'avis que le montant versé pour acquérir un tel contrat de rente constitue une distribution des biens de la fiducie régie par la convention de retraite. Le montant versé pour acquérir le contrat de rente est un montant visé à l'alinéa 56(1)x) L.I.R.
La question de savoir si un contrat de rente est acheté en règlement des obligations en vertu de la convention de retraite ne peut être résolue qu'après un examen de tous les faits pertinents. L'ARC est généralement d'avis que si le bénéficiaire de la convention de retraite est le titulaire de la rente ainsi acquise, cette dernière est achetée en règlement des obligations en vertu de la convention de retraite. D'autres situations pourraient donner le même résultat.
Pour que le paragraphe 207.6(2) L.I.R. s'applique, il faut que toutes ses conditions d'application soient satisfaites. Entre autres, lorsqu'une police d'assurance-vie, incluant un contrat de rente, est acquise par l'employeur, le régime ou le mécanisme en cause ne doit pas être par ailleurs une convention de retraite. La question de savoir si un contrat de rente qui est souscrit pas un employeur est visé au paragraphe 207.6(2) L.I.R. en est une de fait.
En réponse à la troisième question, le paragraphe 207.6(2) L.I.R. ne s'appliquera pas puisqu'une convention de retraite est déjà en place. L'alinéa 56(1)x) L.I.R. s'appliquera pour inclure dans le revenu d'une année d'imposition les montants de rente que recevra le bénéficiaire de la CR au cours de ladite année si l'acquisition du contrat de rente n'est pas effectuée en règlement des obligations en vertu de la convention de retraite. Dans le cas contraire, l'alinéa 56(1)x) L.I.R. s'appliquera au coût d'acquisition du contrat de rente au moment de cette acquisition.

Life Insurance Policy and Retirement Compensation Arrangement
Retirement compensation arrangements are frequently used by businesses and public and quasi-public organizations to increase retirement income for executives and officers whose compensation exceeds the maximum of current limits stated in the Income Tax Act, with respect to contributions to registered pension plans and registered retirement savings plans. In fact, depending on earned income, it is possible that the pension amounts to be paid by the registered plans will not reach the minimum of 70% of earned income in the years prior to retirement. Experts say that this percentage should represent the minimum acceptable income level at retirement. The employer then implements a retirement compensation arrangement in order to increase retirement income for executives and senior officers, thereby bringing them closer to this objective. It is likely that an employer, who has implemented such an agreement, will want to purchase an annuity to finance the retirement income supplement which it is committed to pay at the time the employee retires.
The Retirement Compensation Arrangements Guide 2006 3 sets out the following with respect to annuity contracts purchased under a retirement compensation arrangement:
"Annuity Contract
When the custodian of an RCA buys an annuity contract for the beneficiary, we consider that the amount paid to buy the contract is a taxable distribution out of the RCA trust to the beneficiary. The full amount is taxable in the year the custodian buys the contract, and the custodian has to issue a T4A-RCA slip showing the amount of the distribution and of the income tax deducted."
a) Can you explain which provisions of the Income Tax Act justify this position?
b) Given that, by definition, annuity contracts are included in life insurance policies, can one consider that when an annuity is purchased by an employer who is the policyholder, and the employee or former employee is the annuitant, a deemed retirement compensation arrangement within the meaning of subsection 207.6(2) of the ITA would then be constituted?
c) What would be your position in a situation where a retirement compensation arrangement trust used its assets to purchase an annuity of which it would be the policyholder and the annuitant would be the beneficiary of the RCA trust?
CRA Response
We would like to mention that a plan as the one described in the situation above could be a salary deferral arrangement and consequently not a retirement compensation arrangement. CRA has previously stated that an unregistered pension plan will not be treated as a salary deferral arrangement where the plan has the characteristics of an unregistered or supplementary pension plan and the amounts that may be paid out of or under the plan can be considered to be reasonable superannuation or pension benefits. Where a plan provides benefits that are not reasonable superannuation or pension benefits, the CRA is of the view that a salary deferral arrangement will exist. 4
The following comments are only applicable where a funded pension plan is not a registered pension plan or a salary deferral arrangement.
Paragraph 56(1)(x) of the ITA stipulates that a taxpayer shall include in computing his income for a taxation year any amount received in the year by the taxpayer or any other person - subject to one exception - out of or under a retirement compensation arrangement that can reasonably be considered to have been received in respect of an office or employment of the taxpayer.
Your quote with respect to annuity contracts appears under the heading "Distributions" in the Retirement Compensation Arrangements Guide 2006. When an annuity contract is purchased for a beneficiary of the retirement compensation arrangement, in settlement of the obligations pursuant to the retirement compensation arrangement, the CRA is of the opinion that the amount paid to purchase such an annuity contract represents a distribution of property out of the trust governed by the retirement compensation arrangement. The amount paid to purchase the annuity contract is an amount to which paragraph 56(1)(x) of the ITA applies.
The issue of whether or not an annuity is purchased in settlement of the obligations pursuant to the retirement compensation arrangement can only be resolved after a review of all the relevant facts. The CRA is generally of the opinion that if the beneficiary of the retirement compensation arrangement is the policyholder of the annuity thus acquired, the latter is purchased in settlement of the obligations pursuant to the retirement compensation arrangement. Other situations could give the same result.
In order for subsection 207.6(2) of the ITA to apply, it is necessary that all the conditions described in that subsection be satisfied. Among others, when a life insurance policy, including an annuity contract, is acquired by the employer, the plan or arrangement involved must not be otherwise a retirement compensation arrangement. Whether or not subsection 207.6(2) of the ITA applies to an annuity contract which is acquired by an employer is a question of fact.
To answer the third question, subsection 207.6(2) of the ITA will not apply since a retirement compensation arrangement is already in place. Paragraph 56(1)(x) of the ITA will apply to include in computing income for a taxation year, the annuity amounts that the beneficiary of the RCA will receive during the year in question if the acquisition of the annuity contract is not carried out in settlement of the obligations pursuant to the retirement compensation arrangement. On the other hand, paragraph 56(1)(x) of the ITA will apply to the acquisition cost of the annuity contract at the time of such acquisition.
