Raisons: Il y a un montant qui serait réputé être un avantage conformément au paragraphe 80.4(2) L.I.R.. Prêt d'une filiale canadienne à une société-mère étrangère
Une société canadienne dont l'année d'imposition est le 31 décembre consent un prêt sans intérêt à sa société-mère étrangère pour un terme de 13 mois, soit de juin 2006 à juillet 2007. Tel que prévu, le prêt est remboursé avant que ne se soit écoulé la fin de la deuxième année de la société canadienne suivant le moment où le prêt a été consenti et le remboursement ne fait pas partie d'une série de prêts et de remboursements. Ainsi, le paragraphe 15(2) L.I.R. n'est pas applicable. Toutefois, compte tenu que le prêt est consenti pour une période excédant un an, le paragraphe 17(1) L.I.R. fera en sorte que la société canadienne devra inclure un intérêt présumé dans son revenu.
L'ARC peut-elle nous indiquer, si en plus de l'intérêt présumé qui doit être inclus dans le revenu de la société canadienne en vertu du paragraphe 17(1) L.I.R., s'il y a un dividende réputé payé au non-résident sur lequel l'impôt de la Partie XIII s'applique?
Réponse de l'ARC
Étant donné que le prêt reçu par la société-mère étrangère est un prêt sans intérêt et que le montant du prêt n'est pas inclus dans le calcul de son revenu en vertu de la Partie I L.I.R., le paragraphe 80.4(2) L.I.R. pourrait s'appliquer à la présente situation. Selon le paragraphe 80.4(2) L.I.R., lorsqu'une personne (autre qu'une société résidant au Canada) était un actionnaire d'une société et que, à ce titre, la personne a reçu un prêt de la société, la personne est réputée avoir reçu un avantage égal au montant calculé à ce paragraphe.
Conformément au paragraphe 15(9) L.I.R., la somme à l'égard d'un prêt qui est réputée, en vertu de l'article 80.4 L.I.R., être un avantage reçu par une personne est réputée être un avantage accordé à un actionnaire aux fins du paragraphe 15(1) L.I.R.
Par conséquent, si la Partie I L.I.R. s'était appliquée à la société-mère étrangère, un montant aurait été inclus dans son revenu en vertu du paragraphe 15(1) L.I.R.
Selon l'alinéa 214(3)a) L.I.R., un montant qui serait inclus dans le calcul du revenu d'un contribuable selon l'article 15 L.I.R. ou le paragraphe 56(2) L.I.R., si la Partie I s'appliquait, est réputé avoir été versé au contribuable à titre de dividende provenant d'une société résidant au Canada. Un tel montant, réputé versé à titre de dividende, serait visé au paragraphe 212(2) L.I.R. et ainsi serait assujetti à l'impôt de la Partie XIII.
Le paragraphe 17(7) L.I.R. prévoit une exception à l'application du paragraphe 17(1) L.I.R. lorsque l'impôt de la Partie XIII est payé à l'égard du montant du prêt. Cependant, il ne prévoit pas une telle exception lorsque l'impôt de la Partie XIII est à l'égard de l'avantage réputé reçu parce que le prêt est sans intérêt. Par conséquent, le paragraphe 17(1) L.I.R. s'appliquera dans la présente situation même si la société-mère étrangère est assujettie à l'impôt de la Partie XIII à l'égard de l'avantage réputé reçu en vertu de 80.4(2) L.I.R.

Loan from a Canadian Subsidiary to a Foreign Parent Corporation
A Canadian corporation whose taxation year ends on December 31 makes an interest-free loan to its foreign parent corporation for a period of 13 months, from June 2006 to July 2007. As provided, the loan is repaid before the end of the second year of the Canadian corporation after the time that the loan was made and the repayment was not part of a series of loans and repayments. Therefore, subsection 15(2) of the ITA is not applicable. However, given that the loan is made for a period exceeding one year, subsection 17(1) of the ITA will require that the Canadian corporation include a deemed interest in computing its income.
Can the CRA indicate if, in addition to the deemed interest which should be included in computing the income of the Canadian corporation pursuant to subsection 17(1) of the ITA, there is a deemed dividend paid to the non-resident on which Part XIII tax applies?
CRA Response
Since the loan received by the foreign parent corporation is an interest-free loan and the amount of the loan is not included in the computation of its income by virtue of Part I of the ITA, subsection 80.4(2) of the ITA could apply to this situation. Pursuant to subsection 80.4(2) of the ITA, where a person (other than a corporation resident in Canada) was a shareholder of a corporation and by virtue of such shareholding that person received a loan from that corporation, the person is deemed to have received a benefit equal to the amount calculated in this subsection.
According to subsection 15(9) of the ITA, where an amount in respect of a loan is deemed by section 80.4 of the ITA to be a benefit received by a person, the amount is deemed for the purpose of subsection 15(1) of the ITA to be a benefit conferred on a shareholder.
Consequently, if Part I of the ITA had applied to the foreign parent corporation, an amount would have been included in its income under subsection 15(1) of the ITA.
In accordance with paragraph 214(3)(a) of the ITA, where section 15 of the ITA or subsection 56(2) of the ITA would, if Part I of the ITA were applicable, require an amount to be included in computing a taxpayer's income, that amount shall be deemed to have been paid to the taxpayer as a dividend from a corporation resident in Canada. Such an amount, deemed to be paid as a dividend, would be provided for in subsection 212(2) of the ITA and thus, would be subject to Part XIII tax.
Subsection 17(7) of the ITA provides an exception to the application of subsection 17(1) of the ITA if a tax has been paid under Part XIII on the amount of the loan. However, it does not provide such an exception when Part XIII tax is in respect of the deemed benefit received because the loan is interest-free. Consequently, subsection 17(1) of the ITA will apply in this situation even if the foreign parent corporation is subject to Part XIII tax in respect of the deemed benefit received pursuant to subsection 80.4(2) of the ITA.
