Principales Questions: Une filiale étrangère qui gagne du revenu d'entreprise dans une juridiction n'ayant pas conclu une convention fiscale avec le Canada, prête une somme d'argent à sa société-mère qui réside au Canada et ce, sans intérêt. Est-ce que Canco est imposable sur les sommes prêtées? A foreign subsidiary generating business income in a jurisdiction that did not conclude a tax treaty with Canada makes an interest-free loan to its shareholder, a corporation resident in Canada. Is Canco taxable on the borrowed money?

Position Adoptée: Il n'y a pas de disposition de la Loi qui permettrait d'imposer la société résidant au Canada à l'égard d'une telle transaction. There is no provision in the Act that would allow CRA to tax a corporation resident in Canada in this type of transaction.

Raisons: Les paragraphes 15(2) et 80.4(2) ne s'appliquent pas à une société résidant au Canada. Le paragraphe 22 de la Circulaire d'information 87-2R prévoit que nous n'appliquerons pas l'article 247 à l'égard de ce genre de transaction. Le comité de la DGAÉ a établi, lors de l'étude antérieure d'une telle transaction, que la règle générale anti-évitement ne s'appliquait pas. Subsections 15(2) and 80.4(2) do not apply to a corporation resident in Canada. Paragraph 22 of Information Circular 87-2R provides that CRA will not apply section 247 to this type of transaction. The GAAR committee established, when this type of transaction was previously studied, that the general anti-avoidance rule did not apply.

Question 38

Prêt par une société étrangère

Canco, une société résidant au Canada, détient toutes les actions émises et en circulation de Étrangeco, une société générant du revenu d'entreprise dans une juridiction n'ayant pas conclu avec le Canada, de convention visant à éviter la double imposition. Au lieu de verser un dividende à Canco, Étrangeco prête des sommes d'argent à Canco sans lui charger d'intérêt.

L'ARC entend-elle imposer Canco sur les sommes lui étant prêtées, et dans l'affirmative, en vertu de quelles dispositions?

Réponse de l'ARC

Le paragraphe 15(2) L.I.R., en vertu duquel le montant d'un prêt à un actionnaire est inclus au revenu de cet actionnaire, ne s'applique pas à une société résidant au Canada. Il n'existe aucune autre disposition spécifique de la L.I.R. permettant à l'ARC d'imposer une société résidant au Canada sur le montant du prêt qu'elle a reçu de sa filiale.

Par ailleurs, le paragraphe 80.4(2) L.I.R., selon lequel un avantage est réputé être reçu lorsqu'un prêt ne porte pas intérêt, ne s'applique pas non plus à une société résidant au Canada. De plus, tel que mentionné au paragraphe 22 de la Circulaire d'information 87-2R, il va généralement à l'encontre de l'esprit de la L.I.R. d'appliquer les dispositions plus générales de l'article 247 L.I.R. pour qu'un intérêt soit réputé reçu ou à recevoir sur des prêts intersociétés lorsqu'une société étrangère affiliée d'une société résidente au Canada consent un prêt à cette dernière.

Le comité de la DGAÉ a déjà eu à étudier ce genre de transaction permettant de rapatrier les fonds d'une société étrangère par le moyen d'un prêt sans intérêt plutôt qu'au moyen d'un dividende et il a établi que la règle générale anti-évitement, prévue au paragraphe 245(2) L.I.R., ne s'appliquait pas à ce genre de transaction.

Question 38

Loan from a Foreign Corporation

Canco, a corporation resident in Canada, holds all the issued and outstanding shares of Foreignco, a corporation generating business income in a jurisdiction that did not conclude a convention for the avoidance of double taxation with Canada. Instead of paying a dividend to Canco, Foreignco makes interest-free loans to Canco.

Does the CRA intend to tax Canco on the borrowed money, and if so, pursuant to which provisions?

CRA Response

Subsection 15(2) of the ITA, which provides that the amount of a loan to a shareholder is included in computing the income of the shareholder, does not apply to a corporation resident in Canada. There is no other specific provision of the ITA allowing the CRA to tax a corporation resident in Canada on the amount of the loan received from its subsidiary.

In addition, subsection 80.4(2) of the ITA, which provides that a benefit is deemed to be received when a loan does not bear interest, also does not apply to a corporation resident in Canada. Moreover, as mentioned in paragraph 22 of Information Circular 87-2R, it would usually be inconsistent with the spirit of the ITA to apply the more general provisions of section 247 of the ITA, in order that interest be deemed to be received or receivable on intercorporate loans when a foreign affiliate of a corporation resident in Canada makes a loan to the latter corporation.

The GAAR Committee has already studied this type of transaction which allows the repatriation of funds from a foreign corporation by means of an interest-free loan rather than by means of a dividend and it established that the general anti-avoidance rule provided in subsection 245(2) of the ITA did not apply to this type of transaction.
