Taux d'imposition des coopératives
La société A est constituée en vertu de la Loi sur les coopératives (Québec). La société répond à la définition de " société coopérative " prévue au paragraphe 136(2) L.I.R. Le paragraphe 136(1) L.I.R. stipule que la société coopérative est réputée ne pas être une société privée, sauf pour l'application des articles 15.1, 125, 125.1, 127, 152, 157 ainsi que l'article 123.4 L.I.R., selon les modifications proposées dans le projet de loi C-33 que la Chambre des communes a adopté le 15 juin 2007. En admettant que la société ne soit pas associée à aucune autre société et que son capital soit inférieur à 10 M$, nous aimerions valider le taux d'imposition applicable à divers types de revenus décrits ci-dessous, selon les taux présentement en vigueur.
a) Revenu d'entreprise exploitée activement (REEA) inférieur à 400 000 $.
Nous comprenons que la société a droit à la déduction accordée aux petites entreprises de 16 % prévue au paragraphe 125(1) L.I.R. et que le taux d'imposition fédéral est de 13,12 % sur son revenu d'entreprise exploitée activement au Canada (REEA) inférieur à 400 000 $.
b) Revenu d'entreprise exploitée activement (REEA) supérieur à 400 000 $
Nous comprenons que la société a droit à la déduction d'impôt générale de 7 % prévue au paragraphe 123.4(2) L.I.R. et que le taux d'imposition fédéral est de 22,12 % sur son revenu d'entreprise exploitée activement (REEA) supérieur à 400 000 $.
c) Revenu de dividende d'une société canadienne imposable
Nous comprenons que l'impôt de la partie IV du paragraphe 186(1) L.I.R. n'est pas applicable à une société coopérative compte tenu qu'elle n'est pas une société privée aux fins de cette partie et que la définition de " société assujettie " au paragraphe 186(3) L.I.R. exclut une société privée. Nous comprenons également que le dividende est déductible du revenu imposable en vertu du paragraphe 112(1) L.I.R. Par conséquent, le taux d'imposition sur un dividende reçu d'une société canadienne imposable est de 0 %.
d) Revenu de biens (intérêts)
Nous comprenons que la société n'est pas assujettie à l'impôt remboursable sur le revenu de placement au taux de 6% prévu à l'article 123.3 L.I.R. Nous comprenons également que la société n'a pas droit à la déduction d'impôt générale de 7 % prévue à l'alinéa 123.4(2) L.I.R. Par conséquent, le taux d'imposition fédéral sur du revenu d'intérêt gagné par la société coopérative est de 22,12 %.
Réponse de l'ARC
Une société qui se qualifie à titre de " société coopérative " selon la définition de cette expression au paragraphe 136(2) L.I.R. et qui est tout au long d'une année d'imposition une société privée sous contrôle canadien peut réclamer la déduction accordée aux petites entreprises, calculée selon le paragraphe 125(1) L.I.R., dans le calcul de son impôt payable par ailleurs pour l'année en vertu de la partie I de la L.I.R.
Également, une telle société peut en vertu du paragraphe 123.4(2) L.I.R. déduire de l'impôt payable par ailleurs pour l'année en vertu de la partie I de la L.I.R., le produit de la multiplication du pourcentage de réduction du taux général qui lui est applicable pour l'année, par son revenu imposable à taux complet pour l'année déterminé à l'alinéa b) de la définition de cette expression au paragraphe 123.4(1) L.I.R.
Finalement, aucun montant ne s'ajoute à l'impôt payable par ailleurs pour l'année en vertu de la partie I de la L.I.R selon l'article 123.3 L.I.R. et aucun montant d'impôt en vertu de la partie IV de la L.I.R. n'est payable par une telle société.

Tax Rate of the Cooperatives
Corporation A is constituted under the Cooperatives Act (Quebec). The corporation meets the definition of a "cooperative corporation" provided in subsection 136(2) of the ITA. Subsection 136(1) of the ITA indicates that a cooperative corporation is deemed not to be a private corporation except for the purposes of sections 15.1, 125, 125.1, 127, 152, 157 and section 123.4 of the ITA, according to the amendments proposed in Bill C-33 that the House of Commons passed on June 15, 2007. Assuming that the corporation is not associated with any other corporation and that its capital is less than $10M, we would like to validate the income tax rate applicable to various types of income described below, according to income tax rates currently applicable.
a) Active business income (ABI) that is less than $400,000
We understand that the corporation may claim the small business deduction of 16% provided in subsection 125(1) of the ITA and that its federal income tax rate is 13.12% on its active business income earned in Canada (IAB) that is less than $400,000.
b) Income from an active business (IAB) exceeding $400,000
We understand that the corporation is entitled to the 7% general tax rate reduction provided in subsection 123.4(2) of the ITA and that the federal income tax rate is 22.12% on its active business income earned in Canada (IAB) that exceeds $400,000.
c) Dividend income from a taxable Canadian corporation
We understand that Part IV tax under subsection 186(1) of the ITA is not applicable to a cooperative corporation given that it is not a private corporation for purposes of this Part and that the definition of "subject corporation" in subsection 186(3) of the ITA excludes a private corporation. We also understand that the dividend is deductible from taxable income in accordance with subsection 112(1) of the ITA. Therefore, the income tax rate on a dividend received from a taxable Canadian corporation is 0%.
d) Property income (interest)
We understand that the corporation is not subject to the 6% refundable tax on investment income under section 123.3 of the ITA. We also understand that the corporation is not entitled to the 7% general tax rate reduction provided in subsection 123.4(2) of the ITA. Consequently, the federal income tax rate on interest income earned by the cooperative corporation is 22.12%.
CRA Response
A corporation which qualifies as a "cooperative corporation" as defined in subsection 136(2) of the ITA and that was, throughout the taxation year, a Canadian-controlled private corporation, may claim the small business deduction calculated in accordance with subsection 125(1) of the ITA, in the computation of its tax otherwise payable under Part I of the ITA for a taxation year.
In addition, such a corporation may, pursuant to subsection 123.4(2) of the ITA, deduct from its tax otherwise payable under Part I of the ITA for a taxation year, the product obtained by multiplying the corporation's general rate reduction percentage for the year by the corporation's full-rate taxable income for the year, determined in accordance with paragraph b) of the definition of this expression in subsection 123.4(1) of the ITA.
Finally, no amount is added to the tax otherwise payable under Part I of the ITA for the taxation year pursuant to section 123.3 of the ITA and no Part IV tax is payable by such a corporation.
