Position: 1) Pursuant to subsection 248(1), "taxable income" has the meaning assigned by subsection 2(2), except that in no case may a taxpayer's taxable income be less than nil. 2) Generally, the carry-forward of a loss will reduce the amount of the GRIP in the year the loss is deducted. In that respect, see variable D of the definition of GRIP in subsection 89(1) which refers to the corporation's taxable income. For the purpose of computing such taxable income, the amount of the loss carried-forward will be deducted pursuant to subsection 111(1). 3) The carry-back of a loss sustained in the 2006 taxation year or afterwards will reduce the amount of the GRIP in the year the loss is incurred. This is due to variable B of the definition of GRIP. Subsection 89(7) does not contain a mechanism similar to variable B of the definition of GRIP. 4) No. 5) The notion of "specified future tax consequence" is defined in subsection 248(1).

Question 2

Report de perte aux fins du calcul du CRTG et mécanisme " des conséquences fiscales futures déterminées "

Nous comprenons que l'interaction du calcul du CRTG et de sa majoration avec les reports de perte est sujette à confusion, il nous semble donc opportun d'en résumer les grandes lignes.

Dans le calcul du CRTG d'une année donnée ou du sous-calcul annuel de la majoration du compte CRTG pour les années 2001 à 2005, le " revenu imposable " ne peut être inférieur à 0 $. Ainsi, un report prospectif de perte est seulement pris en compte dans le calcul du CRTG ou de la majoration du CRTG dans l'année où on fait le choix de l'utiliser.

Afin de ne pas venir réduire rétroactivement le compte de CRTG, les reports rétrospectifs de perte sont seulement pris en compte ultérieurement par le mécanisme " des conséquences fiscales futures déterminées " (tel qu'indiqué à la section 2 de l'annexe 53). Ce mode de fonctionnement permet de ne pas venir disqualifier un dividende déterminé lorsqu'un report rétrospectif de perte est effectué.

Compte tenu que le mécanisme de prise en compte " des conséquences fiscales futures déterminées " s'applique aux trois années antérieures à compter de l'année d'imposition 2006, les reports rétrospectifs de perte peuvent donner lieu à un ajustement négatif à l'égard d'un report rétrospectif de perte aux années d'imposition 2005, 2004 et 2003. Ainsi, tout report rétrospectif aux années 2002 et 2001 ne donne pas lieu à une réduction du CRTG.

a) L'ARC peut-elle confirmer notre compréhension de l'interaction du calcul du CRTG et de sa majoration avec les reports de perte?

b) L'ARC peut-elle préciser si le mécanisme " des conséquences fiscales futures déterminées " doit tenir compte des reports rétrospectifs de perte effectués aux années d'imposition précédant 2006?

c) Autres que les reports rétrospectifs de pertes, l'ARC peut-elle nous indiquer quels sont les éléments qui devront être pris en compte à titre de " conséquences fiscales futures déterminées "?

Réponse de l'ARC à la question 2 a)

Il faut d'abord souligner que la notion de " revenu imposable " est définie au paragraphe 248(1) L.I.R. Cette définition édicte que le revenu imposable est le revenu visé au paragraphe 2(2) L.I.R. et qu'il ne peut en aucun cas être négatif.

Lorsqu'une société effectue le report prospectif d'une perte dans une année d'imposition donnée, le montant de cette perte est effectivement déduit dans le calcul du revenu imposable du contribuable pour l'année d'imposition donnée en vertu du paragraphe 111(1) L.I.R. C'est ce revenu imposable, réduit du montant de la perte reportée, qui sera généralement pris en compte pour l'année d'imposition donnée au niveau de l'élément " D " de la définition du CRTG prévue au paragraphe 89(1) L.I.R. Le même principe s'applique en ce qui a trait à la majoration du CRTG pour l'année 2006 prévue au paragraphe 89(7) L.I.R. puisque les alinéas a) et b) de l'élément A de cette disposition législative réfèrent à la notion de " revenu imposable au taux complet " au sens du paragraphe 123.4(1) L.I.R. qui est elle-même, à la base et malgré certains ajustements, fondée sur la notion de revenu imposable. En conséquence, dans un contexte de report prospectif de perte, c'est le revenu imposable de la société dans l'année du report, réduit du montant de la perte reportée, qui sera généralement pris en compte en ce qui a trait à la majoration du CRTG pour l'année 2006 prévue au paragraphe 89(7).

Ainsi et de manière générale, lorsqu'une société effectue un report prospectif d'une perte dans une année d'imposition donnée, un tel report aura pour effet de réduire le montant du CRTG dans l'année d'imposition où la perte est déduite ou appliquée.

Par ailleurs, l'élément A de la définition de CRTG au paragraphe 89(1) L.I.R. représente la somme positive ou négative obtenue par la formule indiquée à cet élément, avant la prise en compte des conséquences fiscales futures déterminées pour l'année donnée. Un report rétrospectif d'une perte n'est donc pas visé par l'élément A de la définition de CRTG au paragraphe 89(1) L.I.R. Il est plutôt pris en compte par l'élément B de cette définition. De manière générale, dans le cas d'un report rétrospectif de perte, l'élément B réduira le montant du CRTG d'une société pour une année d'imposition donnée du montant de la perte subie dans l'année donnée et reportée dans l'une des trois années d'imposition précédant l'année donnée. En d'autres termes et de manière générale, lorsqu'une société effectue un report rétrospectif d'une perte subie dans une année d'imposition donnée dans une autre année, un tel report aura pour effet de réduire le montant du CRTG dans l'année d'imposition où la perte est subie en vertu de l'élément B de la définition de CRTG au paragraphe 89(1) L.I.R. Il est à noter que le paragraphe 89(7) L.I.R. ne comporte pas de mécanisme similaire à celui prévu à l'élément B de la définition de CRTG au paragraphe 89(1) L.I.R.

Réponse de l'ARC à la question 2 b)

Nous sommes d'avis que, dans la mesure où une société subit une perte dans son année d'imposition 2006 (ou dans une année d'imposition postérieure à 2006) et effectue un report rétrospectif de cette perte à une autre année, l'élément B réduira le montant du CRTG de la société du montant de la perte subie et ce, dans l'année d'imposition où la perte est subie.

Sur la base du libellé actuel du paragraphe 89(7) L.I.R., nous sommes également d'avis que le report rétrospectif d'une perte subie dans l'année d'imposition 2002, 2003, 2004 ou 2005 à l'année d'imposition 2001, 2002, 2003 ou 2004, selon le cas, n'aurait pas pour effet de réduire le montant de majoration du CRTG pour l'année 2006 prévue au paragraphe 89(7) L.I.R.

Réponse de l'ARC à la question 2 c)

La notion de " conséquence fiscale future déterminée " est définie au paragraphe 248(1) L.I.R. et comprend entre autres, quant à une année d'imposition, la conséquence de la déduction ou de l'exclusion d'un montant visé à l'alinéa 161(7)a) L.I.R.

À part les reports rétrospectifs de pertes, il se pourrait que, dans une situation donnée, la restitution d'une remise de taxe sur le combustible ou une réduction d'un montant renoncé à l'égard de frais d'exploration doive également être prise en compte à titre de conséquence fiscale future déterminée.

Question 2

Loss Carry-Over for Purposes of Calculating the GRIP and the Mechanism of the "Specified Future Tax Consequence"

We understand that the interaction of the calculation of the GRIP (and its addition) with loss carry-overs has given rise to confusion, and therefore, it seems timely to give a broad outline of these concepts.

In the calculation of the GRIP in a particular year or the annual sub-calculation of the GRIP addition for the years 2001 to 2005, the "taxable income" cannot be less than nil. Thus, a loss carry-forward is only taken into account in the calculation of the GRIP or the GRIP addition in the year that one chooses to use it.

In order not to retroactively reduce the GRIP, a loss carry-back is only subsequently taken into account by the mechanism of the "specified future tax consequence" (as indicated in Part 2 of Schedule 53). This mechanism allows an eligible dividend not to be disqualified when a loss carry-back is made.

Given that the mechanism of taking into consideration the "specified future tax consequence" is applicable to the three years before the 2006 taxation year, the loss carry-back can give rise to a negative adjustment in respect of a loss carry-back to the 2005, 2004 and 2003 taxation years. Therefore, any loss carry-back to the years 2002 and 2001 does not give rise to a reduction of the GRIP.

a) Can the CRA confirm our understanding of the interaction of the calculation of the GRIP and of its addition with the loss carry-overs?

b) Can the CRA specify if the mechanism of the "specified future tax consequence" must take into consideration the loss carry-backs made to taxation years before 2006?

c) Other than a loss carry-back, can the CRA indicate which elements must be taken into consideration as a "specified future tax consequence"?

CRA Response to Question 2 a)

To begin with, it should be noted that the concept of "taxable income" is defined in subsection 248(1) of the ITA. This definition states that taxable income has the meaning assigned by subsection 2(2) of the ITA and that in no case it can be less than nil.

When a corporation makes a loss carry-forward in a particular taxation year, the amount of this loss is actually deducted in the computation of the taxable income of the taxpayer for the particular taxation year pursuant to subsection 111(1) of the ITA. It is this taxable income, reduced by the amount of the loss carry-forward, that will generally be taken into account for the particular taxation year in element "D" of the definition of the GRIP provided in subsection 89(1) of the ITA. The same principle applies concerning the GRIP addition for the year 2006 provided in subsection 89(7) of the ITA since paragraph (a) and (b) of element A of this subsection refers to the concept of "full rate taxable income" as defined in subsection 123.4(1) of the ITA which is, in spite of certain adjustments, based on the concept of taxable income. Consequently, with respect to any loss carry-forward, it is the taxable income of the corporation in the year of the carry-forward, reduced by the amount of the loss carry-forward, that will generally be taken into account with respect to the GRIP addition for the year 2006 provided in subsection 89(7) of the ITA.

Thus, generally, when a corporation makes a loss carry-forward in a particular taxation year, such a carry-forward will reduce the amount of the GRIP in the taxation year in which the loss is deducted or applied.

In addition, element A of the definition of the GRIP in subsection 89(1) of the ITA represents the positive or negative amount obtained by the formula provided in this element, before taking into consideration the specified future tax consequences for the particular year. Thus, a loss carry-back is not considered in element A of the definition of the GRIP in subsection 89(1) of the ITA. It is rather taken into consideration in element B of this definition. Generally, in the case of a loss carry-back, element B will reduce the amount of the GRIP of a corporation for a particular taxation year by the amount of the loss incurred in the particular year and carried back in one of the three taxation years preceding the particular year. In other words and in very general terms, when a corporation makes a carry-back of a loss incurred in a particular taxation year to another year, such a carry-back will reduce the amount of the GRIP in the taxation year in which the loss is incurred pursuant to element B of the definition of the GRIP in subsection 89(1) of the ITA. It should be noted that subsection 89(7) of the ITA does not contain a mechanism similar to the one provided in element B of the definition of the GRIP in subsection 89(1) of the ITA.

CRA Response to Question 2 b)

To the extent that a corporation incurred a loss in the 2006 taxation year (or in a taxation year after 2006) and makes a loss carry-back to another year, we are of the opinion that element B will reduce the amount of the corporation's GRIP by the amount of the loss incurred in the taxation year in which the loss is sustained.

Based on the current wording of subsection 89(7) of the ITA, we are also of the opinion that the carry-back of a loss incurred in the 2002, 2003, 2004 or 2005 taxation years to the 2001, 2002, 2003 or 2004 taxation years, as the case may be, would not cause a reduction of the amount of the GRIP addition for the year 2006 pursuant to subsection 89(7) of the ITA.

CRA Response to Question 2 c)

The concept of "specified future tax consequence" is defined in subsection 248(1) of the ITA and includes, among other matters, with respect to a taxation year, the consequence of the deduction or exclusion of an amount referred to in paragraph 161(7)(a) of the ITA.

In a particular situation, other than a loss carry-back, the restitution of fuel tax rebates or the reduction of an amount renounced in respect of exploration expenses may have to be taken into consideration as a specified future tax consequence.
