Principal Issues: In a given situation, whether Parentco can include in computing its GRIP Addition, pursuant to 89(7), the amount of a dividend it received from a connected corporation (Subsidiary)?

Position: Yes.

Reasons: It can reasonably be considered that the dividend was attributable to an amount that is described in paragraph (a) of variable A under subsection 87(9) in respect of Subsidiary.

Calcul de la majoration du CRTG impliquant un dividende inter-sociétés Alinéa 89(7)c) L.I.R.

Mise en situation

En vertu du paragraphe 89(7) L.I.R., les sociétés privées sous contrôle canadien peuvent majorer leur compte de revenu à taux général (CRTG) d'un montant relatif au "revenu imposable au taux complet", au sens prévu au paragraphe 123.4(1) L.I.R., pour une de ses années d'imposition s'étant terminée après 2000 et avant 2006, tel que présenté de façon succincte ci-dessous :

+ 63 % du revenu imposable à taux complet pour les années 2001 à 2005
+ total des dividendes déductibles à 112(1) L.I.R. reçus d'une société rattachée pour les années 2001 à 2005
- dividendes imposables versés de 2001 à 2005

Essentiellement, on doit comprendre que si une société a été imposée au taux général dans les années 2001 à 2005, elle pourra avoir un CRTG de 63 % du revenu imposable. Par contre, si des dividendes ont été payés, la majoration du CRTG sera réduite pour autant. De plus, le texte de loi sanctionné a introduit un ajout afin de pouvoir inclure les dividendes reçus de "sociétés rattachées", au sens prévu au paragraphe 186(4) L.I.R., qui répondent à certaines conditions. Plus spécifiquement, l'alinéa 89(7)c) L.I.R. se lit comme suit (le soulignement est le nôtre):

le total des sommes dont chacune était déductible en application du paragraphe 112(1) dans le calcul de son revenu imposable pour une de ses années d'imposition s'étant terminée après 2000 et avant 2006 et se rapporte à un dividende qu'elle a reçu d'une société (appelée "société payeuse" au présent alinéa) qui lui était rattachée (au sens du paragraphe 186(4)) au moment du versement du dividende, dans la mesure où il est raisonnable de considérer, compte tenu des circonstances (notamment la réception par d'autres actionnaires de dividendes de la société payeuse), que le dividende était attribuable à une somme qui est visée au présent alinéa ou aux alinéas a) ou b) relativement à la société payeuse, ou le serait si le présent paragraphe s'appliquait à cette société;

Faits relatifs à un dividende versé par une filiale à sa société mère

Considérons la situation suivante:

- Société mère détient 100 % des actions de Filiale à tout moment pertinent; les deux sociétés sont des sociétés canadiennes imposables et ont toutes deux le 31 décembre comme fin d'année d'imposition;

- Filiale a eu un "revenu imposable au taux complet", au sens prévu au paragraphe 123.4(1) L.I.R., de 100 800 $ durant chaque année de cette période;

- au cours de l'année 2002, Société mère a reçu un dividende de 400 000 $ de Filiale déductible en vertu du paragraphe 112(1) L.I.R. et n'a reçu aucun autre revenu entre 2001 et 2005.

Calcul de la majoration du CRTG de Filiale en vertu du paragraphe 89(7) L.I.R.

Nous comprenons que le calcul de la majoration du CRTG de Filiale en vertu du paragraphe 89(7) de la L.I.R est de 104 000 $ calculé comme suit:

Nous comprenons que si Filiale n'avait pas versé le dividende de 400 000 $ en 2002, la majoration du CRTG de Filiale, en vertu du paragraphe 89(7) L.I.R., aurait été de 504 000 $.

Calcul de la majoration du CRTG de Société mère en vertu du paragraphe 89(7) L.I.R.

Puisque Société mère a reçu un dividende d'une société qui lui était rattachée, qui était déductible de son revenu imposable en vertu du paragraphe 112 (1) de la L.I.R, elle pourrait majorer son CRTG, en vertu du paragraphe 89(7) L.I.R., "dans la mesure où il est raisonnable de considérer que ..." le dividende a trait à une majoration du CRTG de la société payeuse, en vertu du paragraphe 89(7) L.I.R.

À cet égard, compte tenu que la majoration s'applique à l'égard de la période de 2001 à 2005 et non pas à un calcul année par année, nous comprenons qu'il est raisonnable de considérer que le CRTG de Filiale avant paiement du dividende est de 504 000 $ et que le dividende payé de 400 000 $ peut donc être considéré provenir de la majoration prévue au paragraphe 89(7) L.I.R. de Filiale. La position nous semble également raisonnable du fait que la majoration de Filiale a été réduite du dividende payé de 400 000 $.

Questions à l'ARC

a) L'ARC peut-elle confirmer le calcul et le raisonnement ci-haut?

b) L'ARC peut-elle nous indiquer comment elle interprète "... dans la mesure où il est raisonnable de considérer, compte tenu des circonstances (notamment la réception par d'autres actionnaires de dividendes de la société payeuse), que le dividende était attribuable à une somme qui est visée au présent alinéa ou aux alinéas a) ou b) relativement à la société payeuse, ou le serait si le présent paragraphe s'appliquait à cette société ..."?

c) L'ARC peut-elle nous indiquer si nous devons prendre compte des dividendes cumulatifs ou des dividendes attribuables comme dans le cas d'un calcul de revenu gagné aux fins du paragraphe 55(2) L.I.R?

Nous sommes d'accord avec vos calculs à l'égard de la majoration du CRTG, prévu au paragraphe 89(7) L.I.R., pour Société mère et Filiale dans la situation donnée.

Calculation of the GRIP Addition Concerning an Intercorporate Dividend - Paragraph 89(7)(c) of the ITA

Situation

Pursuant to subsection 89(7) of the ITA, Canadian-controlled private corporations can increase their general rate income pool (GRIP) by an amount relative to the "full rate taxable income", as defined in subsection 123.4(1) of the ITA, for a taxation year that ended after 2000 and before 2006, as briefly presented below:

+ 63% of the full rate taxable income for the years 2001 to 2005
+ total of deductible dividends under subsection 112(1) of the ITA received from a connected corporation for the years 2001 to 2005
- taxable dividends paid from 2001 to 2005

Essentially, one must understand that if a corporation is taxed at the general rate for the years 2001 to 2005, it will have a GRIP of 63% of taxable income. However, if dividends were paid, the GRIP addition will be reduced by that amount. Moreover, the legislation, as enacted, introduced an addition which allows for the inclusion of dividends received from "connected corporations", within the meaning provided in subsection 186(4) of the ITA subject to meeting certain conditions. More specifically, paragraph 89(7)(c) of the ITA reads as follows (our underlining):

all amounts each of which was deductible under subsection 112(1) in computing the corporation's taxable income for a taxation year of the corporation (in this paragraph referred to as the " particular corporation") that ended after 2000 and before 2006, and is in respect of a dividend received from a corporation (in this paragraph referred to as the " payer corporation") that was, at the time it paid the dividend, connected (within the meaning assigned by subsection 186(4)) with the particular corporation, to the extent that it is reasonable to consider, having regard to all the circumstances (including but not limited to other shareholders having received dividends from the payer corporation), that the dividend was attributable to an amount that is, or if this subsection applied to the payer corporation would be, described in this paragraph or in paragraph (a) or (b) in respect of the payer corporation;

Facts relating to a dividend paid by a subsidiary to its parent

Let us consider the following situation.

Parentco holds 100% of the shares of Subsidiary at all relevant time. The two corporations are taxable Canadian corporations and both have December 31 as a taxation year end. Subsidiary had a "full rate taxable income", as defined in subsection 123.4(1) of the ITA of $100,800 for each year during this period. In the year 2002, Parentco received a dividend of $400,000 from Subsidiary which is deductible pursuant to subsection 112(1) of the ITA and it did not receive any other income between 2001 and 2005.

Calculation of the GRIP addition for Subsidiary pursuant to subsection 89(7) of the ITA

We understand that the calculation of the GRIP addition for Subsidiary, pursuant to paragraph 89(7) of the ITA, is $104,000 calculated as follows:

We understand that if Subsidiary had not paid the dividend of $400,000 in 2002, the GRIP addition of Subsidiary, pursuant to subsection 89(7) of the ITA would have been $504,000.

Calculation of the GRIP addition for Parentco pursuant to subsection 89(7) of the ITA

Since Parentco received a dividend from a connected corporation that was deductible from its taxable income pursuant to subsection 112(1) of the ITA, it could increase its GRIP pursuant to subsection 89(7) of the ITA, "to the extent that it is reasonable to consider" that the dividend is attributable to a GRIP addition of the payer corporation pursuant to subsection 89(7) of the ITA.

In this respect, given that the addition applies to the period from 2001 to 2005 and not to a year by year calculation, we understand that it is reasonable to consider that the GRIP of Subsidiary before payment of the dividend is $504,000 and that the dividend paid of $400,000 can thus be considered to have come from the addition pursuant to subsection 89(7) of the ITA for Subsidiary. The position also seems reasonable due to the fact that the addition of Subsidiary was reduced by the dividend paid of $400,000.

Questions to the CRA

a) Can the CRA confirm the calculation and the above reasoning?

b) Can the CRA indicate how it interprets: "to the extent that it is reasonable to consider, having regard to all the circumstances (including but not limited to other shareholders having received dividends from the payer corporation), that the dividend was attributable to an amount that is, or if this subsection applied to the payer corporation would be, described in this paragraph or in paragraph (a) or (b) in respect of the payer corporation;"?

c) Can the CRA indicate if we should take into account cumulative dividends or attributable dividends like in the case of the calculation of the income earned for the purposes of subsection 55(2) of the ITA?

CRA Response

In the particular situation, we agree with your calculation of the GRIP addition, under subsection 89(7) of the ITA, for Parent and Subsidiary.

We also agree with your point of view concerning the interpretation of paragraph 89(7)(c) of the ITA and its application in the particular situation.
