Principales Questions: Les intérêts sur un emprunt pour acquérir des actions d'une société sont-ils déductibles dans le calcul du revenu de la société issue de la fusion entre l'acquéreur et la société acquise? La DGAÉ s'applique-elle à la situation ?

Position Adoptée: Le principe énoncé au paragraphe 22 du bulletin d'interprétation IT-533 s'applique aux situations décrites dans l'énoncé de la question. La DGAE ne s'applique pas à la situation.

Raisons: Les opérations sont conforment au paragraphe 22 du bulletin d'interprétation IT-533.

Question 7

Leverage buy out partiel et acquisition d'actions

La question 1.2 de la table ronde du congrès de 1998 de l'APFF, portait sur la déductibilité des intérêts lors de l'acquisition d'une partie des actions d'une société suivie de la fusion des deux sociétés. La réponse de l'ARC mentionnait que sa position énoncée au bulletin d'interprétation IT-315, qui a depuis été retiré, était basée sur le principe que les fonds empruntés par une société pour acquérir la totalité ou presque des actions d'une autre société à être fusionnée ou liquidée étaient en substance empruntés pour acquérir l'actif de la société fusionnée ou liquidée. Cette position visait des cas où une personne acquerrait à la fois le contrôle et la totalité ou presque des actions d'une société cible par un emprunt dont les intérêts seraient déductibles.

Au paragraphe 21 du bulletin d'interprétation IT-533 publié le 31 octobre 2003, il n'est pas fait mention de l'obligation d'acquérir le contrôle et la totalité ou presque des actions afin que les intérêts soient déductibles. Le paragraphe 21 mentionne:

"Les actions d'une autre société peuvent être acquises au moyen d'argent emprunté. L'autre société peut, par la suite, être fusionnée avec la société ayant emprunté l'argent pour faire l'acquisition des actions ou être liquidée au profit de cette société. Selon le processus du retraçage/lien, il est facile d'établir un lien en rapport avec l'utilisation actuelle de l'argent emprunté entre les actions acquises initialement (et qui ont été annulées) et les biens détenus antérieurement par la société acquise qui a été fusionnée ou liquidée (et qui appartiennent maintenant à la société continuant les activités). Il n'est pas nécessaire que les entités n'aient aucun lien de dépendance pour établir un tel retraçage/lien."

Questions:

Quelle serait la position de l'ARC relativement à la déduction des intérêts pour la société issue de la fusion ainsi que sur toute application d'une règle anti-évitement relativement à l'augmentation de la participation de Monsieur A dans les situations ci-dessous:

a) La société X est détenue par deux actionnaires en parts égales, soit Monsieur A et Monsieur B. Monsieur B souhaite vendre ses actions à Monsieur C. L'acheteur, Monsieur C, incorpore une nouvelle société (Acheteurco) afin d'acquérir les actions de la société X. Monsieur C souscrit des actions de Acheteurco pour une somme de 450 000 $ et Acheterco emprunte auprès d'une institution financière une somme de 100 000 $. Acheteurco acquiert de Monsieur B les actions pour une somme de 550 000 $. Par la suite, la société X et Acheteurco sont fusionnées. Monsieur A reçoit 55 % des actions de la société issue de la fusion et Monsieur C reçoit 45 % des actions. Messieurs A, B et C ne sont pas des personnes liées.

b) Même situation que la situation 1, sauf que Monsieur C investit dans Acheteurco une somme de 50 000 $ et Acheteurco emprunte une somme de 400 000 $. L'achat des actions par Acheteurco est effectué pour une somme de 450 000 $ pour la totalité des actions de Monsieur B. Monsieur A reçoit 90 % des actions de la société issue de la fusion et Monsieur C reçoit 10 % des actions.

c) Même situation que les situations 1 et 2, sauf que Messieurs A et B sont des frères.

Réponse de l'ARC

L'ARC est d'avis que le principe énoncé au paragraphe 21 du bulletin d'interprétation IT-533 s'applique aux trois situations décrites dans l'énoncé de la question de sorte que les intérêts seraient généralement déductibles en vertu de l'alinéa 20(1)c) L.I.R.. L'ARC est aussi d'opinion que la disposition générale anti-évitement au paragraphe 245(2) L.I.R. ne s'appliquerait pas du seul fait des opérations décrites dans l'énoncé de la question pour refuser la déduction des intérêts.

Par ailleurs, nous sommes d'avis que des situations du type de celles ci-dessus décrites pourraient, tout dépendant des faits et circonstances entourant une situation particulière, donner lieu à des cas de dépouillements de surplus d'une société donnée, ce qui pourrait entre autres entraîner l'application du paragraphe 245(2) L.I.R. À cet égard, l'ARC examinerait sérieusement l'application potentielle de l'article 84.1 L.I.R. et/ou du paragraphe 245(2) L.I.R. relativement à la situation 3 qui implique des personnes liées.

Partial Leverage Buy-Out and Shares Acquisition

The question 1.2 of the Round Table in the 1998 APFF Conference dealt with the deductibility of interest at the time of the acquisition by one corporation of part of the shares of another corporation followed by the amalgamation of the two corporations. The CRA response mentioned that the position stated in Interpretation Bulletin IT-315, which had been withdrawn since, was based on the principle that the funds that a corporation borrowed to acquire all or substantially all the shares of another corporation that would be amalgamated or wound-up was, in substance, borrowed to acquire the assets of the amalgamated or wound-up corporation. This position was aimed to cases where a person was acquiring the control as well as all or substantially all the shares of a target corporation with borrowed funds, of which the interests would be deductible.

At paragraph 21 of Interpretation Bulletin IT-533 issued on October 31, 2003, there is no mention of any obligation to acquire the control and all or substantially all of the shares for the interests to be deductible. Paragraph 21 mentions that:

Shares of another corporation may be acquired with borrowed money. Subsequently, the other corporation may be wound-up or amalgamated with the corporation that had borrowed the money to acquire the shares. Under the tracing/linking process described above, a link for the current use of the borrowed money is readily established between the shares that were initially acquired (and that have disappeared) and the assets formerly held by the acquired corporation that has been wound-up or amalgamated (and that are now held by the continuing corporation). There is no arm's-length requirement in establishing such a link.

Questions

What would be the CRA's position with regard to the deductibility of interests for a corporation resulting from the amalgamation as well as with any application of an anti-avoidance rule concerning the increase of Mr. A's participation in the following situations?

a) Two shareholders, Mr. A and Mr. B equally own Corporation X. Mr. B whishes to sell his shares to Mr. C. The purchaser, Mr. C, incorporates a new corporation (Purchaseco) in order to acquire Corporation X's shares. Mr. C subscribes for shares in Purchaseco for an amount of $450,000 and Purchaseco borrows $100,000 from a financial institution. Purchaseco purchases Mr. B's shares for $550,000, following which Corporation X and Purchaseco are amalgamated. Mr. A receives 55% of the shares of the corporation resulting from that amalgamation and Mr. C received 45% of the shares. M. A, Mr. B and Mr. C are not related persons.

b) Same situation as in (a) above, except that M. C invests in Purchaseco an amount of $50,000 and Purchaseco borrows $400,000. Purchaseco buys all the shares of Mr. B for $450,000. Mr. A receives 90% of the shares of the corporation resulting from the amalgamation and Mr. C receives 10% of the shares.

c) Same situation as in (a) and (b) above, except that Mr. A and Mr. B are brothers.

CRA Response

The CRA is of the opinion that the principle outlined in paragraph 21 of Interpretation Bulletin IT-533 is applicable to all three situations described in the question so that the interests would generally be deductible according to paragraph 20(1)(c) of the ITA. The CRA is also of the view that the general anti-avoidance rule in subsection 245(2) of the ITA would not apply on the sole fact of the transactions outlined in the questions so as to deny the deduction of the interests.

However, we are of the opinion that situations of the type described above could, depending on their particular facts and circumstances, give rise to cases of surplus stripping of a given corporation, that could result in the application of subsection 245(2) of the ITA. In this regard, the CRA would seriously examine the possible application of section 84.1 of the ITA and/or of paragraph 245(2) of the ITA in the third situation involving related persons.
