Raisons: Compte tenu que la méthode proposée au document 9235160 tient compte de la valeur des marchandises vendues, elle n'entraînerait pas l'imposition au Canada d'une portion des profits du non-résident découlant de la fabrication des biens ni ne contreviendrait à l'alinéa 4(1)b).

Calcul du revenu d'entreprise d'un non-résident

Dans le document 9235160 (Question 4 TEI 1992), l'ARC indique qu'un non-résident fabriquant et transformant des biens à l'extérieur du Canada et sollicitant des ventes au Canada par l'intermédiaire d'un agent qui est une personne liée sera réputé exploiter une entreprise au Canada en vertu de l'article 253 L.I.R.. L'ARC indique ensuite que le non-résident devra inclure le total de ses ventes au Canada et déduire les dépenses encourues pour générer ce revenu dans le calcul de son revenu conformément à l'article 115 L.I.R.. Selon cette interprétation, la présomption de l'article 253 de la Loi entraînera l'imposition au Canada d'une portion des profits du non-résident découlant de la fabrication du bien et non seulement le profit découlant de l'activité de sollicitation.

En vertu de l'alinéa 4(1)b), le revenu d'une entreprise exploitée en partie dans un endroit et en partie dans un autre endroit est le revenu déterminé conformément à la L.I.R., calculé comme si l'entreprise n'avait eu de profit ou perte que dans cet endroit. Nous comprenons qu'aux fins de l'alinéa 4(1)b) L.I.R., seulement le profit lié aux activités de sollicitation serait assujetti à l'impôt canadien.

a) Est-ce que l'ARC pourrait confirmer notre compréhension du document 9235160?

b) Si notre compréhension est correcte, comment l'ARC réconcilie cette position avec l'alinéa 4(1)b) L.I.R. ?

Réponse de l'ARC

Selon la position énoncée dans le document 9235160, aux fins du calcul de son revenu en vertu de l'article 115 L.I.R., le non-résident fabriquant et transformant des biens à l'extérieur du Canada et sollicitant des ventes au Canada par l'intermédiaire d'un agent devra inclure dans le calcul de son revenu le total de ses ventes au Canada et déduire les dépenses encourues pour générer ce revenu. Tel que mentionné au document 9235160, ces dépenses incluraient, entre autres, le montant des commissions versées à l'agent, de même que la valeur des marchandises vendues. Selon ce même document, la valeur des marchandises vendues "would represent the fair market value of the goods manufactured or processed as determined by arm's length sales of these goods [...] under comparable conditions". Compte tenu que la méthode proposée au document 9235160 tient compte de la juste valeur marchande des biens manufacturés ou transformés, nous sommes d'avis qu'elle n'entraînerait pas l'imposition au Canada d'une portion des profits du non-résident découlant de la fabrication du bien, ni ne contreviendrait à l'alinéa 4(1)b) L.I.R..

Question 15

Computation of business income of a non-resident

In document #9235160 (Question 4 - 1992 TEI) the CRA indicates that a non-resident that is manufacturing and processing goods outside Canada and soliciting sales in Canada through an agent that is a related person will be deemed to carry on a business in Canada pursuant to section 253 ITA. The CRA further indicates that the non-resident will have to include his total sales in Canada and deduct the expenses incurred in order to generate this income in computing his income in accordance with section 115 ITA. Pursuant to this interpretation, the deeming rule in section 253 ITA would subject to taxation in Canada not only the non-resident's profit derived from the activity of soliciting sales but also a portion of the non-resident's profits derived from the manufacturing of the goods.

Pursuant to paragraph 4(1)(b) ITA, the income of a business that is carried on in part in one location and in part in another location is the income determined in accordance with the ITA, computed as if the business' profit or loss was from that location alone. We understand that for the purpose of paragraph 4(1)(b) ITA only the portion of the profit that relates to the solicitation of sales would be subject to Canadian tax.

a) Can the CRA confirm our understanding of document #9235160?

b) If our understanding is correct, how can the CRA reconcile this position with paragraph 4(1)(b) ITA?

CRA Response

According to the position outlined in document #9235160, for the purpose of computing his income in accordance with section 115 ITA, a non-resident that is manufacturing and processing goods outside Canada and soliciting sales in Canada through an agent would have to include in his income the total of his sales in Canada and deduct the expenses incurred in order to generate this income. As mentioned in document #9235160, these expenses would include, amongst other things, sales commission paid to the agent as well as the value of the goods sold. According to this document, the value of the goods sold "would represent the fair market value of the goods manufactured or processed as determined by arm's length sales of these goods [...] under comparable conditions." Since the method proposed in document #9235160 takes into account the fair market value of the manufactured or processed goods, we are of the opinion that this method would not result in a portion of the non-resident's profit that is attributable to the manufacturing of the goods being taxed in Canada, nor would it contravene paragraph 4(1)(b) ITA.
