Is the amount paid to obtain the right to broadcast artistic events in Canada an amount referred to in subparagraph 212(1)(d)(i) and does it constitute a royalty for the purposes of Article XII of the Canada-US Tax Convention?

Position Adoptée: Un examen des contrats serait nécessaire. L'alinéa 3(1)f) de la Loi sur le droit d'auteur prévoit qu'un droit d'auteur comporte, en outre, le droit exclusif de communiquer au public, par télécommunication, une oeuvre littéraire, dramatique, musicale ou artistique. Ce droit est distinct du droit de produire ou de reproduire. Si la société a acquis un droit d'utiliser le droit prévu à l'alinéa 3(1)f) de la Loi sur le droit d'auteur, les montants versés par la société seraient des paiements auxquels le sous-alinéa 212(1)d)(i) s'appliquerait, le sous-alinéa 212(1)d)(vi) ne s'appliquerait pas car il s'agit d'un droit distinct du droit de produire et de reproduire et il s'agirait d'une redevance aux fins de l'article XII de la Convention. A close examination of the contracts between the parties would be necessery. Paragraph 3(1)(f) of the Copyright Act provides that a copyright includes, amongst other things, the sole right to communicate to the public, by telecommunication, any literary, dramatic, musical or artistic work. This right is distinct from the right to produce or reproduce the work. If the corporation acquired the right to use the right provided for in paragraph 3(1)(f) of the Copyright Act, the amounts paid by the corporation would be payments to which subparagraph 212(1)(d)(i) woul apply. Subparagraph 212(1)(d)(vi) would not apply as the right acquired is distinct from the right to produce or reproduce. The amounts paid would constitute a royalty for the purpose of Article XII of the Convention.

Royautés et convention Canada/É.U.

Société A est une résidente des États-Unis et une non-résidente du Canada pour fins fiscales. Société A n'a pas d'établissement stable ou permanent au Canada pour les fins de la L.I.R. ou de la convention fiscale entre le Canada et les États-Unis. Société A acquiert les droits mondiaux de télédiffusion de certains évènements artistiques. Société A permet ensuite à Société B de télédiffuser ces évènements artistiques au Canada moyennant le versement de certains montants dépendant des revenus tirés par Société B de cette télédiffusion.

a) L'ARC croit-elle que les sous-alinéa 212(1)d)(i) et/ou (vi) L.I.R. seraient applicables aux versements faits par Société B à Société A?

b) Qu'en est-il du paragraphe 212(5) L.I.R.?

c) Selon l'ARC, ces versements constitueraient-ils des "royautés" pour les fins de l'article XII de la convention fiscale entre le Canada et les États-Unis ou du revenu d'entreprise visé à l'article VII de cette convention?

Réponse de l'ARC

Dans une situation donnée réelle, il faudrait examiner les contrats entre les parties pour déterminer les droits ou les biens acquis en raison de l'entente entre les parties et pour donner une réponse définitive pour ce cas particulier.

L'alinéa f) du paragraphe 3(1) de la Loi sur le droit d'auteur prévoit qu'un droit d'auteur comporte, en outre, le droit exclusif de communiquer au public, par télécommunication, une œuvre littéraire, dramatique, musicale ou artistique. Ce droit est distinct du droit de produire ou de reproduire.

Sous réserve d'un examen des contrats entre les parties, il se pourrait que Société B ait acquis seulement le droit d'utiliser le droit prévu à l'alinéa f) du paragraphe 3(1) de la Loi sur le droit d'auteur.

En supposant que Société B a acquis un tel droit d'utilisation, les réponses à vos questions seraient les suivantes.

a) Nous sommes d'avis que les montants payés par Société B à Société A seraient des paiements faits en vue d'utiliser, ou d'obtenir le droit d'utiliser, au Canada, des biens ou toute autre chose. Ainsi, le sous-alinéa 212(1)d)(i) L.I.R. s'appliquerait.

Par ailleurs, tel que mentionné précédemment, nous sommes d'avis que le droit prévu à l'alinéa f) du paragraphe 3(1) de la Loi sur le droit d'auteur est un droit distinct du droit de production ou de reproduction (droit prévu à l'alinéa a) du paragraphe 3(1)) d'une œuvre littéraire, dramatique, musicale ou artistique. Ainsi, en tenant compte de l'hypothèse mentionnée ci-dessus quant à la nature des droits acquis, nous sommes d'avis que le sous-alinéa 212(1)d)(vi) ne s'appliquerait pas pour exclure de l'impôt de la Partie XIII les montants payés par Société B.

b) Nous n'avons pas assez de renseignements pour déterminer si le paragraphe 212(5) L.I.R. s'applique également à la présente situation. Il pourrait cependant y avoir des situations où les paiements faits par Société B seraient visés par le préambule du paragraphe 212(5), tel que modifié par les propositions législatives du 18 juillet 2005 à l'égard, par exemple, d'un droit d'utilisation d'un film, d'une bande magnétoscopique ou d'autres procédés de reproduction à utiliser pour la télévision (sauf ceux utilisés uniquement pour une émission d'information produite au Canada). Les propositions législatives du 18 juillet 2005 contiennent une modification proposée à l'alinéa 212(1)d) pour ajouter une exclusion de l'alinéa 212(1)d) lorsque le paiement est une somme à laquelle le paragraphe 212(5) s'appliquerait s'il n'était pas tenu compte du passage " dans la mesure où la somme se rapporte à l'utilisation ou reproduction " au paragraphe 212(5) (tel que modifié par les propositions législatives du 18 juillet 2005).

c) Le paragraphe 4 de l'article XII de la Convention fiscale de 1980 entre le Canada et les États-Unis (ci-après la " Convention ") définit le terme " redevances " employé à l'article XII comme désignant les rémunérations de toute nature payées pour l'usage ou la concession de l'usage d'un droit d'auteur sur, entre autres, une œuvre littéraire, artistique ou scientifique (y compris les films et les œuvres enregistrées sur films, bandes magnétoscopiques ou autres moyens de reproduction destinés à la télévision). En tenant compte de l'hypothèse posée quant à la nature des paiements faits par Société B, ces paiements seraient considérés comme étant des redevances aux fins de l'article XII de la Convention.

Que les paiements faits par la Société B à la Société A soient visés par le sous-alinéa 212(1)d)(i) L.I.R. ou par le paragraphe 212(5) L.I.R., le Canada pourrait imposer ces redevances conformément au paragraphe 2 de l'article XII de la Convention à moins que l'alinéa d) du paragraphe 3 de l'article XII de la Convention ne s'applique.

Question 26

Royalties and Canada-United States Convention

Corporation A is a resident of the United States (US) and a non-resident of Canada for tax purposes. Corporation A has no permanent establishment in Canada for the purpose of the ITA and the Canada-US Tax Convention. Corporation A acquires the worldwide rights for television broadcasting of some artistic events. Corporation A then permits Corporation B to broadcast the artistic events in Canada in consideration of the payment of money the amount of which depends on the income this broadcasting will generate to Corporation B.

a) Is the CRA of the opinion that subparagraph 212(1)(d)(i) and/or (vi) of the ITA would apply to payments made by Corporation B to Corporation A?

b) What about subsection 212(5) of the ITA?

c) According to the CRA, could these payments constitute "royalties" for the purpose of Article XII of the Canada-US Tax Convention (1980) or be a business income under Article VII of the Convention?

CRA's Response

In a given situation, we would have to examine the contracts between the parties in order to determine the rights or the properties that are acquired under the contracts signed by both parties before giving any definitive response on that particular case.

Paragraph (f) of subsection 3(1) of the Copyright Act provides that a copyright includes, amongst other things, the sole right to communicate to the public, by telecommunication, any literary, dramatic, musical or artistic work. This right is distinct from the right to produce or reproduce the work.

Subject to close examination of the contracts between the parties, it is a possibility that Corporation B only acquired the right to use the right provided for in paragraph (f) of subsection 3(1) of the Copyright Act.

Assuming Corporation B acquired such a right to use, the answers to your questions would be the following:

a) In our view, the amounts that Corporation B paid to Corporation A would be payments made to use or to obtain the right to use, in Canada, properties or any other thing. Therefore, subparagraph 212(1)(d)(i) of the ITA would apply.

Furthermore, as previously mentioned, we are of the opinion that the right provided for in paragraph (f) of subsection 3(1) of the Copyright Act is distinct from the production or reproduction right (such right is provided for in paragraph a) of subsection 3(1)) of a literary, dramatic, musical or artistic work. Thus, in keeping with the assumption mentioned above about the nature of the acquired right, we are of the opinion that subparagraph 212(1)(d)(vi) would not apply to exclude from Part XIII tax the amounts paid by Corporation B.

b) We do not have enough information in order to determine if subsection 212(5) of the ITA would also apply to the present situation. However, there could be situations where payments made by Corporation B would fall under the preamble of subsection 212(5), as amended by the legislative proposals of July 18, 2005; for example, payments in respect of the right to use a film, a video tape or other means of reproduction for use in connection with television (other than solely in connection with and as part of a news program produced in Canada). The legislative proposals of July 18, 2005, contains a proposed amendment to paragraph 212(1)(d) to add an exclusion to paragraph 212(1)(d) when a payment is an amount to which subsection 212(5) would apply if that subsection were read without reference to "to the extent that the amount relates to that use or reproduction" (as amended by the legislative proposals of July 18, 2005).

c) Paragraph 4 of Article XII of the Canada-US Tax Convention (1980) (hereinafter called the "Convention") defines the term "royalties" used in Article XII as being payments of any kind received as a consideration for the use of, or the right to use, any copyright of literary, artistic, or scientific work (including motion pictures and work on film, videotape or other means of reproduction for use in connection with television). If we take into consideration the assumption put forward about the characterization of the payments Corporation B had made, these payments would be considered as royalties for the purpose of Article XII of the Convention.

Whether the payments that Corporation B made to Corporation A are covered by subparagraph 212(1)(d)(i) of the ITA or by subsection 212(5) of the ITA, Canada could tax those royalties in accordance with Paragraph 2 of Article XII of the Convention unless paragraph 3(d) of Article XII of the Convention applies.
