Position Adoptée: (1) Le terme "payable" tel qu'utilisé au paragraphe 39(12) de la LIR réfère au moment où un créancier peut, pour la première fois, exiger du garant le paiement de la dette de la société.

(2) Il s'agit de déterminations de fait.

Question 33

Moment où le montant devient payable

Aux fins de l'alinéa 39(1)c) L.I.R., le paragraphe 39(12) L.I.R. indique qu'une créance est réputée être une créance d'une SEPE si la société était, entre autres, une SEPE "à un moment donné au cours des 12 mois précédant le moment où un montant devient payable pour la première fois par le contribuable aux termes de l'entente".

Selon nous, les principales étapes qui ont lieu lorsque la société est dans l'impossibilité de rencontrer ses obligations face à ses créanciers sont les suivantes:

a) Défaut de payer pour la première fois par la société;

b) Réception par la caution d'un avis officiel du créancier;

c) Entente de paiement entre le créancier et la caution;

d) Début des procédures de recouvrement par le créancier contre la caution;

e) Date du jugement.

Le paragraphe 30 du jugement dans l'affaire Proulx-Drouin c. Canada¹ mentionne que le montant est devenu payable pour la première fois au moment où le créancier a déposé un avis à la Cour supérieure afin d'exercer l'hypothèque sur la résidence au titre d'exercice de la garantie.

Questions

a) Est-ce que l'ARC est en accord avec l'interprétation du juge relativement au moment où la créance devient payable pour la première fois?

b) L'ARC peut-elle préciser quelles directives seraient appropriées dans la détermination de ce moment où le montant devient payable?

Réponse de l'ARC

a) Le terme "payable" n'est pas défini spécifiquement dans la L.I.R. En conséquence, les tribunaux ont généralement interprété ce terme selon son sens ordinaire. Par exemple, Le Petit Robert, en définissant le terme "payable", réfère au concept de ce qui doit être payé alors que le Jowitt Dictionary of English Law définit ce terme de la façon suivante:

Payable: A sum of money is said to be payable when a person is under an obligation to pay it.

Payable may signify an obligation to pay at a future time, but when used without qualification payable means that the debt is payable at once, as opposed to owing.

Par ailleurs, les décisions dans les affaires Sa Majesté la Reine c. National Trust Company² et Canada v. Yannelis³ confirment que le moment où une somme devient payable est le moment où ladite somme doit être payée et pour laquelle le créancier peut légalement exiger le paiement. Évidemment, puisque le sens d'un mot est fonction du contexte dans lequel ce mot doit être utilisé, l'interprétation du terme "payable" doit être effectuée à la lumière des dispositions législatives pertinentes. En l'espèce, il est nécessaire d'examiner le paragraphe 39(12) L.I.R. afin de déterminer si le terme "payable" garde son sens ordinaire ou si un sens particulier doit lui être attribué.

Au paragraphe 39(12) L.I.R., le terme "payable" fait référence à un montant qui devient payable pour la première fois par le contribuable - soit le garant - aux termes d'une entente de garantie de dette. Ainsi, à défaut de pouvoir examiner le libellé d'une entente de garantie de dette particulière, l'ARC est d'avis que le terme "payable" tel qu'utilisé au paragraphe 39(12) L.I.R. réfère au moment où un créancier peut, pour la première fois, exiger du garant le paiement de la dette de la société.

Dans l'affaire Proulx-Drouin, l'appelante avait garanti un prêt effectué par la Banque Nationale du Canada à la société 139093 Canada Inc. ("139093") en consentant une hypothèque sur la résidence familiale dont elle était propriétaire. Lorsque 139093 fut en défaut de rembourser son prêt à la Banque Nationale du Canada, cette dernière a signifié un préavis de recours hypothécaire à l'appelante et a déposé le préavis à la Cour supérieure le 5 mars 1996. La cour a déterminé que c'est à ce moment que le montant de la garantie devint payable par l'appelante.

L'ARC est d'accord avec cette décision puisqu'elle est conforme à la notion du terme "payable" tel qu'interprété par la jurisprudence. En effet, pour que la Banque Nationale puisse exiger le paiement de la garantie par l'appelante ou, alternativement, exercer ses recours hypothécaires, elle devait signifier à l'appelante un préavis de recours hypothécaire et déposer ce préavis au greffe de la Cour supérieure et ce, aux termes des articles 2757 et 2758 du Code civil du Québec.

b) Un montant devient payable dès qu'il doit être payé par le débiteur et dès que le créancier peut légalement exiger le paiement du montant. Ces déterminations doivent être effectuées à la lumière des circonstances particulières de chaque cas et à la lumière du cadre juridique applicable.

Question 33

Moment where an Amount Becomes Payable

For the purpose of paragraph 39(1)(c) of the ITA, subsection 39(12) of the ITA mentions that an amount owing is deemed to be a debt owing by a SBC if the corporation was, amongst other thing, a SBC "at any time in the 12 months before the time an amount first became payable by the taxpayer under the agreement".

According to us, the principal phases that occur when a corporation is faced with the impossibility to meet its obligations towards its creditors are the following:

(a) The corporation fails to make a payment for the first time;

(b) The reception by the guarantor of an official notice from the creditor;

(c) A payment agreement is reached between the creditor and the guarantor;

(d) The beginning of collection procedures by the creditor against the guarantor;

(e) The date of the judgment.

Paragraph 30 of the decision in the case of Proulx-Drouin v. Canada⁴ mentions that the amount became payable for the first time when the creditor filed a notice with the Superior Court in order to exercise its mortgage right on the family residence in order to cover the guarantee.

Questions to the CRA:

(a) Is the CRA in agreement with the court's interpretation concerning the moment when the debt becomes payable for the first time?

(b) Can the CRA elaborate on the appropriate directive to be given for the determination of the moment when an amount becomes payable?

CRA's Response

(a) The word "payable" is not specifically defined in the ITA. Therefore, the courts have generally interpreted this word according to its ordinary meaning. As an example, Le Petit Robert, in its definition of "payable" refers to the concept of what has to be paid while the Jowitt Dictionary of English Law defines this term in the following manner:

Payable: A sum of money is said to be payable when a person is under an obligation to pay it.

Payable may signify an obligation to pay at a future time but, when used without qualification, payable means that the debt is payable at once, as opposed to owing.

However, the decisions in the cases of Her Majesty the Queen v. National Trust Company⁵ and Canada v. Yannelis⁶ confirm that the moment when an amount becomes payable is the moment when that amount has to be paid and for which the creditor can legally require payment. Of course, since the meaning of a word is dependant of the context in which it is used, the interpretation of the word "payable" must be made in light of the pertinent legal provisions. In this case, it is necessary to examine subsection 39(12) of the ITA in order to determine if the word "payable" takes its ordinary meaning or if a particular meaning must be given.

At subsection 39(12) of the ITA, the word "payable" refers to an amount that becomes payable for the first time by the taxpayer - i.e. the guarantor - according to the terms of a debt coverage guarantee. Therefore, even if we cannot examine the wording of a particular debt coverage guarantee, the CRA is of the opinion that the word "payable", as used in subparagraph 39(12) of the ITA, refers to the moment when a creditor can, for the first time, require payment from the guarantor of the corporation's debt.

In the case of Proulx-Drouin, the appellant had guaranteed a loan made by the National Bank of Canada to the corporation 139093 Canada Inc (139093) by way of a mortgage on the family residence of which the appellant was proprietor. When 139093 defaulted on the loan to the National Bank of Canada, the Bank served a notice of mortgage recourse to the appellant and filed such a notice to the Superior Court on March 5, 1996. The Court determined that it was at that moment the amount of the guarantee became payable by the appellant.

The CRA is in agreement with this decision since it is consistent with the meaning of the word "payable" as interpreted by the jurisprudence. In fact, for the National Bank to call for the payment of the guarantee by the appellant or, alternatively, to exercise its mortgage recourse, it had to serve a notice to the appellant and file that notice with the registry of the Superior Court as per sections 2757 and 2758 of the Quebec Civil Code.

(b) An amount becomes payable as soon as it has to be paid by the debtor and as soon as the creditor can legally enforce its payment. This determination can only be made in light of the particular circumstances of each case as well as the applicable legal framework.
