Principal Issues: What is the CRA's position with respect to the notion of "avoidance transaction" in light of the recent GAAR cases.

Position: CRA's position is that a series of transactions can contain an "avoidance transaction" as defined in subsection 245(3), even if it is determined that the series of transactions has an overall bona fide non-tax purpose. Consequently and subject to subsection 245(4), CRA's position is that subsection 245(2) may apply to deny a tax benefit resulting from a series of transactions, unless it can be established that each transaction in the series was carried out primarily for bona fide non-tax purposes. This position is in accordance with the wording of subsections 245(2) and (3). It is also supported by the Canada Trustco decision rendered by the Supreme Court of Canada and by the Department of Finances's Technical Notes relating to paragraph 245(3)(b). In the Desmarais case, the Court indicated that it had to determine if at least one transaction in the series was an avoidance transaction, and then went on to deal with subsection 245(4). This approach is in accordance with CRA's position. In the Lipson case, the transactions involved were admitted to be avoidance transactions within the meaning of subsection 245(3). Finally, in the Overs decision, the Court found that none of the transactions analyzed constituted an avoidance transaction.

DGAÉ et jurisprudence récente

Dans les affaires Canada c. Hypothèques Trustco Canada ¹ et Mathew c. Canada ² , la Cour suprême du Canada a indiqué de façon claire que la DGAÉ doit être analysée en trois étapes, soit:

1) Déterminer l'existence d'un avantage fiscal
2) Déterminer si l'opération est considérée comme une opération d'évitement
3) Déterminer l'existence d'un évitement fiscal abusif.

Or, la Cour canadienne de l'impôt a rendu deux jugements contradictoires eu égard à la notion d'opération d'évitement, soit Overs ³ et Lipson ⁴ , fondés sur un effet identique des transactions effectuées, soit la déduction des intérêts sur un emprunt d'une conjointe pour rembourser l'emprunt de son mari auprès de la société qui avait financé des dépenses personnelles. La Cour canadienne de l'impôt en est aussi arrivée à des conclusions surprenantes dans la décision Desmarais c. Canada ⁵ rendue le 16 février 2006.

Lors d'une question posée à l'ARC, dans le cadre des Nouvelles Techniques N°22 (11 janvier 2002), concernant l'existence d'une opération d'évitement lorsqu'un contribuable peut démontrer que les opérations ont un objet commercial véritable, la réponse suivante fut donnée:

" La décision rendue dans l'affaire OFSC a confirmé notre position, c.-à-d. que, pour qu'une opération ne soit pas une opération d'évitement en vertu du paragraphe 245(3), chaque opération d'une série d'opérations doit être principalement effectuée pour des objets véritables autres que fiscaux. "

Questions

a) L'ARC maintient-elle cette position énoncée en 2002 reprise par ailleurs dans l'affaire Overs?

b) Dans l'éventualité où l'ARC maintient cette position prise au sujet de l'opération d'évitement en 2002 et énonce par conséquent son désaccord avec le ratio decidendi du juge Little dans l'affaire Overs, l'ARC pourrait-elle nous indiquer de façon complète les fondements de toute nature ayant mené à une telle décision?

c) Quelles sont les actions que l'ARC compte entreprendre pour guider les praticiens en fiscalité lors de l'élaboration de planifications fiscales au niveau de l'opération d'évitement de la DGAÉ pour tenter d'éviter la confusion suscitée par les jugements rendus par la Cour canadienne de l'impôt depuis Trustco et Mathew?

Réponse de l'ARC

Par le passé, l'ARC a indiqué qu'il est possible qu'une série d'opérations puisse englober une " opération d'évitement " au sens du paragraphe 245(3) L.I.R., et ce même s'il peut être démontré que cette série d'opérations possède un " objectif global " véritable et non fiscal. Par conséquent et sous réserve du paragraphe 245(4) L.I.R., la position de l'ARC est que le paragraphe 245(2) L.I.R. peut s'appliquer afin de supprimer un avantage fiscal découlant d'une série d'opérations, à moins qu'il soit raisonnable de considérer que chaque opération composant la série d'opérations pertinente ne soit principalement effectuée pour des objets véritables non fiscaux.

La position ci-dessus décrite relativement à l'interprétation des paragraphes 245(2) et (3) L.I.R. et à la notion d'opération d'évitement reflète toujours la position de l'ARC. Selon nous, cette position est conforme aux termes des paragraphes 245(2) et (3) L.I.R. Elle est également supportée par la décision Hypothèques Trustco Canada rendue par la Cour suprême du Canada. À cet égard, il est indiqué ce qui suit au paragraphe 34 de cette décision :

Si au moins une opération qui fait partie d'une série d'opérations constitue une " opération d'évitement ", la RGAÉ permet alors de supprimer l'avantage fiscal qui découle de la série. C'est ce qui ressort du libellé du par. 245(3). À l'inverse, si chaque opération de la série a été principalement effectuée pour de véritables objets non fiscaux, la RGAÉ ne permet pas de supprimer un avantage fiscal.

La position de l'ARC est également en accord avec les notes techniques émises par le ministère des Finances relativement à l'alinéa 245(3)b) L.I.R. :

Le nouvel alinéa 245(3)b) tient compte du fait que l'une des étapes d'une série d'opérations peut ne pas entraîner en soi d'avantage fiscal. En conséquence, lorsque le contribuable, dans l'exécution d'une série d'opérations, intercale une opération que n'est pas effectuée principalement pour un objet véritable autre que fiscal et qu'un avantage fiscal découle de la série d'opérations, cet avantage pourrait être refusé en application du paragraphe 245(2). On obtient ces résultats en incluant expressément dans la définition d'une opération d'évitement, à l'alinéa 245(3)b), une opération qui fait partie d'une série d'opérations dont, en l'absence du nouvel article 245, découlerait, directement ou indirectement, un avantage fiscal, sauf si l'opération a principalement des objets autres que fiscaux. À cette fin, on peut se reporter à l'actuel paragraphe 248(10) L.I.R., qui stipule qu'une série d'opérations comprend les opérations ou événements liés terminés en vue de réaliser la série.

Par conséquent, lorsqu'un avantage fiscal découlera d'une série d'opérations, il sera refusé à moins que l'objet principal de chaque opération de la série ne soit d'atteindre un objet légitime autre que fiscal. Ainsi, pour ne pas tomber sous le coup de la définition d'"opération d'évitement" au paragraphe 245(3), il faudra que chaque étape d'une série d'opérations soit effectuée principalement pour des objets véritables autres que des objets fiscaux.

Par ailleurs, il est fait référence dans l'énoncé de la présente question aux décisions Desmarais, Lipson et Overs, toutes rendues par la Cour canadienne de l'impôt postérieurement à la décision Hypothèques Trustco Canada. En ce qui a trait à ces décisions, nous nous limiterons aux commentaires suivants portant sur la notion d'opération d'évitement.

Dans la décision Desmarais, le juge Archambault indique entre autres ceci au paragraphe 21 de son jugement : " L'étape suivante consiste à déterminer si au moins une opération de la série constitue une opération d'évitement visée par le paragraphe 245(3), en ce sens qu'elle n'a pas été " principalement effectuée pour des objets véritables - l'obtention de l'avantage fiscal n'étant pas considérée comme un objet véritable " (al. 245(3) b) L.I.R.). " Cette approche est conforme à la position prise par l'ARC relativement à la notion d'opération d'évitement. Le juge Archambault a ensuite conclu qu'au moins une opération effectuée par le contribuable Desmarais constituait une opération d'évitement, ce qui l'a emmené à analyser le paragraphe 245(4) L.I.R. et à déterminer si la série d'opérations avait entraîné un abus dans l'application de la L.I.R., lue dans son ensemble.

Dans la décision Lipson, la question en litige était uniquement de déterminer s'il y avait eu évitement fiscal abusif au sens du paragraphe 245(4) L.I.R. En effet, il avait entre autres été admis par les parties que les opérations analysées constituaient des opérations d'évitement. Nous vous référons au paragraphe 3 du jugement à cet égard.

Enfin, dans la décision Overs, le juge a statué qu'aucune des opérations analysée ne constituait une opération d'évitement.

En terminant, nous tenons à souligner qu'il est toujours possible pour les contribuables d'obtenir une décision anticipée en matière d'impôt sur le revenu avant de procéder à des opérations projetées. Ceci permet aux contribuables impliqués d'obtenir une certitude par rapport aux conséquences fiscales des opérations projetées. Par ailleurs, la communauté fiscale a généralement accès à une version dépersonnalisée des décisions anticipées et interprétations techniques émises par la Direction des décisions en impôt, Direction générale des politiques législatives et des affaires réglementaires, de l'ARC. Enfin, l'ARC fait également connaître à la communauté fiscale ses diverses positions relativement à l'interprétation et à l'application de la L.I.R. par le biais de la publication d'autres documents d'information tels les Nouvelles Techniques, les Bulletins d'interprétation et les Circulaires d'information. Ces éléments nous semblent constituer des actions concrètes qui contribuent à faire connaître les positions de l'ARC en matière fiscale.

Question 14

GAAR and Recent Court Cases

In the case of The Queen v. Canada Trustco Mortgage Company ⁶ and Mathew v. The Queen ⁷ , the Supreme Court of Canada has clearly indicated that the GAAR should be analyzed in three steps:

(1) determine whether a tax benefit exist,
(2) determine whether the transaction can be considered as an avoidance transaction,
(3) determine whether there is abusive tax avoidance.

That being said, the Tax Court of Canada has rendered two contradictory decisions on the concept of avoidance transaction in Overs ⁸ and Lipson ⁹ . The transactions examined in these cases had an identical effect, that is the deduction of the interests on a borrowing made by a spouse in order to repay a loan made to the husband by the corporation; the said corporation had initially advanced the monies to finance personal expenses. The Tax Court of Canada also reached surprising conclusions in its decision rendered on February 16, 2004, in Desmarais v. The Queen ¹⁰ .

When a question was asked to the CRA, in connection with Income Tax Technical News No 22 (January 11, 2002), concerning the existence of an avoidance transaction when a taxpayer can demonstrate that the transactions have a legitimate business purpose, the following response was given:

"The decision in OSFC maintained our position that in order not to be an "avoidance transaction" in subsection 245(3), each step in a series of transactions must be carried out primarily for bona fide non-tax purposes."

Questions

(a) Does the CRA still maintain the position set out in 2002, otherwise repeated in the Overs case?

(b) In the event where the CRA maintains its position set out in 2002 and consequently disagrees with the ratio decidendi from Judge Little in the Overs decision, could the CRA explain in a complete manner the reasons that support such position?

(c) What are the actions contemplated by the CRA in order to guide tax practitioners when they develop any tax planning, in regard to the notion of avoidance transactions in the context of GAAR, considering the confusion created by the decisions rendered by the Tax Court of Canada since the Trustco and Mathew cases?

CRA Response

In the past, the CRA has indicated that it is possible that a series of transactions can contain an "avoidance transaction" as defined in subsection 245(3), even if it is determined that the series of transactions has an overall bona fide non-tax purpose. Consequently and subject to subsection 245(4) of the ITA, the CRA's position is that subsection 245(2) of the ITA may apply to deny a tax benefit resulting from a series of transactions, unless it can be established that each transaction in the series was carried out primarily for bona fide non-tax purposes.

The above position with respect to the interpretation of subsections 245(2) and (3) of the ITA and the concept of "avoidance transaction" still reflects the CRA's views. We believe that this position is in accordance with the wording of subsections 245(2) and (3) of the ITA. This position is also supported by the decision in Canada Trustco Mortgage Company rendered by the Supreme Court of Canada. In this regard, paragraph 34 of the decision contains the following comments:

"If at least one transaction in a series of transaction is an "avoidance transaction", then the tax benefit that results from the series may be denied under GAAR. This is apparent from the wording of subsection 245(3). Conversely, if each transaction in a series was carried out primarily for bona fide non-tax purposes, the GAAR cannot be applied to deny a tax benefit." (Underlines are ours.)

The CRA's position is also in accordance with the following technical notes issued by the Department of Finance relating to paragraph 245(3)(b) of the ITA:

" New paragraph 245(3)(b) recognizes that one step in a series of transactions may not by itself result in a tax benefit. Thus, where a taxpayer, in carrying out a series of transactions, inserts a transaction that is not carried out primarily for bona fide non-tax purposes and the series results in a tax benefit, that tax benefit may be denied under subsection 245(2). This is accomplished by expressly defining an avoidance transaction in paragraph 245(3)(b) as including a step transaction (a step transaction being one that is part of a series of transactions) in a series that, but for new section 245, would result directly or indirectly in a tax benefit, unless that transaction has primary non-tax purposes. For that purpose, reference may be made to existing subsection 248(10), which provides that a series of transactions includes any related transactions or events completed in contemplation of the series.

Thus, where a series of transactions would result in a tax benefit, that tax benefit would be denied unless the primary objective of each transaction in the series is to achieve some legitimate non-tax purposes. Therefore, in order not to fall within the definition of "avoidance transaction" in subsection 245(3), each step in such a series must be carried out primarily for bona fide non-tax purposes." (Underlines are ours.)

This question makes reference to the cases of Desmarais, Lipson and Overs, all decisions rendered by the Tax Court of Canada after the Canada Trustco Mortgage Company decision was delivered. With respect to these cases, we will limit our comments to the following which deals with the concept of avoidance transaction.

In the Desmarais's decision, Mr. Justice Archambault indicated, among other things, the following in paragraph 21 of his judgment: "The next step is to determine whether at least one transaction in the series is an avoidance transaction referred to in subsection 245(3) in the sense that it was not "undertaken or arranged primarily for bona fide purposes other than to obtain the tax benefit" (paragraph 245(3)(b) of the Act)." This approach is in accordance with the position the CRA has adopted with respect to the concept of avoidance transaction. Mr. Justice Archambault then concluded that at least one of the transactions undertook by the taxpayer Desmarais constituted an avoidance transaction, and then went on to deal with subsection 245(4) of the ITA, in order to determine if the series of transactions resulted in an abuse of the provisions of the Act read as a whole.

In Lipson, the only question at issue was to determine if there had been abusive tax avoidance according to the definition in subsection 245(4) of the ITA. The transactions involved were admitted to be avoidance transactions. In this regard, we refer you to paragraph 3 of the judgment.

Finally, in Overs, the Court found that none of the transactions that were analyzed constituted an avoidance transaction.

In conclusion, we want to stress that it is always possible for taxpayers to obtain an advance income tax ruling before undertaking proposed transactions. This provides certainty to the taxpayers involved with respect to the income tax implications of proposed transactions. Furthermore, the tax community has generally access to a severed version of the advance income tax rulings and technical interpretations issued by the Income Tax Rulings Directorate, Legislative Policy and Regulatory Affairs Branch of the CRA. Lastly, the CRA is also disseminating to the tax community various positions relative to the interpretation and application of the ITA through other informative documents such as the Technical News, Interpretation Bulletins and Information Circulars. We feel that these elements constitute concrete actions that help make CRA's positions known to the public.
