Principal Issues: Whether fees incurred by a given public corporation with respect to a "fairness opinion" relating to the redemption of shares of its capital stock are deductible as current expenses. Whether similar "fairness opinion" fees incurred with respect to the amalgamation of two corporations are deductible as current expenses.

Position: Since these fees would be incurred in connection with transactions of a capital nature, the said fees would generally constitute expenditures or outlays of a capital nature and their deduction as current expenses would be precluded by paragraph 18(1)(b) of the Act. The redemption of shares is a transaction of a capital nature because it generally results in the reshaping of the corporation's capital structure. Furthermore, any expenses in connection with the redemption of shares can be viewed as being made "once and for all", at least with respect to the shares being redeemed. Merger costs are generally on account of capital as they are incurred for the creation of a business entity, structure or organization, for the earning of profit, or for the modification or the development of such entity, structure or organization. The merger costs may also be viewed as being expended on the structure within which the profits are earned, as opposed to amounts expended as part of the money-earning process. Finally, the merger costs are expenditures made once and for all, with a view to bringing into existence an advantage of enduring benefit. The decisions in Boulangerie St-Augustin, International Colin Energy and BJ Services (which dealt with the tax treatment of take-over bid costs incurred by a target) can be distinguished from the two given situations. However, if the amalgamation is part of a series of transactions relating to the acquisition of a target, expenses incurred by such target to meet obligations imposed under a Securities Act and/or Business Corporations Act in producing circulars for shareholders concerning take-over bids (which would normally include fees relating to fairness opinions) would generally be deductible pursuant to subsection 9(1), and not be precluded by paragraphs 18(1)(a) and (b). As for the fees incurred by a purchaser in such a case, they would be considered as capital expenditures.

Il nous semble que depuis l'arrêt British Columbia Power Corporation Limited c. M.R.N., 67 DTC 5258 (C.S.C.) (tel que repris par Boulangerie St-Augustin Inc. c. La Reine, 95 DTC 164 (C.C.I.), affirmé par 97 DTC 5012 (C.A.F.)), les frais encourus dans le cadre des communications aux actionnaires sont déductibles dans le calcul de revenu à titre de dépenses courantes et ne sont donc ni refusés par l'alinéa 18(1)a) L.I.R., ni par l'alinéa 18(1)b) L.I.R., même si le sujet de la communication porte sur un sujet de nature capitale.

Questions

Est-ce que l'ARC pourrait se prononcer sur la déductibilité des frais encourus pour des avis professionnels (opinions légales, équité de l'offre ("fairness opinion")) qui sont demandés par les administrateurs afin de préparer des communications aux actionnaires dans les circonstances suivantes:

a) Dans le cadre d'un rachat d'actions proposé par une société publique, les administrateurs devront généralement se prononcer sur la justesse de l'offre de rachat et demanderont d'obtenir un avis externe afin de supporter leur position. Est-ce que les frais encourus pour obtenir cet avis externe seront déductibles dans le calcul du revenu de la société à titre de dépenses courantes ?

b) Dans le cadre d'une fusion entre 2 sociétés requérant un vote des actionnaires, les frais encourus par les sociétés fusionnantes afin d'obtenir une opinion externe sur la justesse de la transaction (" fairness opinion ") sont-ils déductibles à titre de dépenses courantes si cette opinion est demandée par les administrateurs afin de supporter la recommandation de vote faite aux actionnaires et contenue dans les communications adressées aux actionnaires?

Réponse de l'ARC

Il faut d'abord souligner que la question de savoir si certaines dépenses données constituent des dépenses de nature courante ou de nature capitale nécessite l'analyse de tous les faits et circonstances se rapportant à une situation particulière donnée. À cet égard, les faits relatés dans l'énoncé de la présente question sont très limités. Malgré cela, il nous est possible de formuler les commentaires généraux suivants.

Nous sommes d'avis que les frais encourus pour obtenir l'avis externe mentionné en a) ci-dessus constitueraient généralement des dépenses de nature capitale visées à l'alinéa 18(1)b) L.I.R. Notre position à cet égard est entre autres fondée sur ce qui suit.

Nous sommes d'avis que de telles dépenses seraient normalement considérées comme étant encourues relativement à des opérations effectuées " une fois pour toute " (à tout le moins à l'égard des actions rachetées) et ayant pour effet de modifier la structure de capital de la société donnée. De telles opérations ont été considérées comme étant de nature capitale par les tribunaux. Compte tenu que la déductibilité des frais relatifs à des transactions est généralement fonction de la nature desdites transactions (revenu ou capital), les dépenses engagées par la société donnée relativement au rachat des actions de son capital-actions (une transaction de nature capitale) devraient être considérées comme des dépenses de nature capitale. Relativement à ce qui précède, nous vous référons entre autres aux décisions Canada Forgings Limited c. La Reine, 83 DTC 5110 (C.F. 1ère inst) et La Reine c. Kaiser Petroleum Ltd., 90 DTC 6603 (C.A.F. ; permission d'en appeler à la Cour suprême du Canada refusée).

Par ailleurs, il est fait mention de la décision Boulangerie St-Augustin Inc. dans l'énoncé de la question. À notre avis, les faits relatifs à cette décision, de même que ceux relatifs aux décisions International Colin Energy Corporation c. La Reine, 2002 DTC 2185 (C.C.I.) et BJ Services Company Canada c. La Reine, 2004 DTC 2032 (C.C.I), doivent être distingués de la situation énoncée en a) ci-dessus. En effet, dans ces trois décisions, le contribuable en cause était une société faisant l'objet d'une ou de plusieurs offres publiques d'achat. De manière générale, la question que les tribunaux devaient trancher dans ces affaires était de déterminer le traitement fiscal à donner à certaines dépenses encourues par des sociétés cibles dans un contexte où elles faisaient l'objet d'offres d'achat. À notre avis, une telle situation est différente d'une situation où une société rachète les actions de son capital-actions. Dans le cas du rachat d'actions, les dépenses encourues par la société donnée, de même que ses obligations pouvant découler de la législation corporative et/ou sur les valeurs mobilières applicable, résulteraient des actes mêmes de la société donnée, lesquels ont pour but l'acquisition et l'annulation des actions de son capital-actions. En comparaison, les dépenses et les obligations d'une société cible dans un contexte d'offre publique d'achat résultent techniquement d'une offre, émanant d'une autre personne, d'acquérir des actions de son capital-actions, ce qui oblige la société cible à informer ses actionnaires. Dans un tel processus, la société cible ne fait l'acquisition d'aucun bien de nature capitale.

L'énoncé de la présente question fait également référence à la décision British Columbia Power Corporation Limited. Dans cette décision, la Cour suprême du Canada a statué que les dépenses engagées par une société donnée afin de résister à une tentative d'expropriation visant les actions qu'elle détenait dans une filiale étaient des dépenses de nature capitale. Par ailleurs, la cour a également statué que les dépenses encourues par la société donnée afin d'informer ses actionnaires relativement à ses activités et au statut des dossiers la concernant étaient déductibles dans le calcul de son revenu, à titre de dépenses courantes. Nous sommes d'avis que les faits relatifs à cette décision doivent être distingués de la situation énoncée en a) ci-dessus. En effet, contrairement à la situation prévalant dans la décision British Columbia Power Corporation Limited, les frais encourus par une société donnée pour obtenir l'avis externe mentionné en a) ci-dessus seraient intimement liés au processus relatif au rachat des actions de son capital-actions. Ces frais devraient probablement être considérés comme faisant partie intégrante du processus de rachat d'actions, et seraient donc teintés de nature capitale. Dans la décision British Columbia Power Corporation Limited, il nous semble que les frais encourus par la société visée pour informer ses actionnaires n'avaient pas un lien aussi étroit avec la transaction de nature capitale qui était de préserver un actif de nature capitale.

En ce qui a trait au scénario de fusion décrit en b) ci-dessus, nous sommes d'avis que les frais encourus par les sociétés fusionnantes afin d'obtenir une opinion externe sur l'équité de la transaction constitueraient généralement des dépenses de nature capitale visées à l'alinéa 18(1)b) L.I.R. Notre position à cet égard est entre autres fondée sur ce qui suit.

Les dépenses relatives à une fusion doivent être considérées, de manière générale, comme étant effectuées en vue de créer une entité, structure ou organisation commerciale visant à gagner du revenu, ou encore en vue de modifier ou de développer une telle entité, structure ou organisation. La jurisprudence a statué que de telles dépenses étaient de nature capitale. Se référer entre autres sur ce point à la décision Canada Starch Co. Ltd. c. M.R.N., 68 DTC 5320 (C. de l'Éch.), récemment reprise dans la décision Rona Inc. c. La Reine, 2003 DTC 979 (C.C.I.). Dans le même ordre d'idées, des dépenses relatives à la fusion de sociétés sont normalement qualifiées de dépenses de nature capitale parce que de telles dépenses ne sont pas encourues dans le cadre même du processus visant à gagner du revenu. Ces dépenses ont plutôt pour effet d'augmenter la structure servant à gagner du revenu, à modifier cette structure de manière permanente ou durable. Finalement, les dépenses relatives à une fusion peuvent être considérées comme des dépenses engagées une fois pour toute, dans le but d'apporter un avantage pour le bénéfice durable de l'entreprise des sociétés fusionnantes et de celle de la société issue de la fusion.

Par ailleurs, nous sommes d'avis que les faits relatifs aux décisions Boulangerie St-Augustin Inc., International Colin Energy Corporation et BJ Services Company Canada doivent aussi être distinguées de la situation énoncée en b) et ce, sur pour des raisons similaires à celles indiquées ci-dessus. Ainsi, dans le cas d'une fusion, les dépenses encourues par les sociétés fusionnantes, de même que leurs obligations pouvant découler de la législation corporative et/ou sur les valeurs mobilières applicable, résulteraient des actes mêmes des sociétés fusionnantes, lesquels ont pour but la fusion des entités juridiques impliquées. En comparaison, les dépenses et les obligations d'une société cible dans un contexte d'offre publique d'achat résultent techniquement d'une offre, émanant d'une autre personne, d'acquérir des actions de son capital-actions, ce qui oblige la société cible à informer ses actionnaires. Aux termes de ce type d'offre publique d'achat, la société cible ne fait l'acquisition d'aucun bien de nature capitale et n'initie pas la création ou la modification d'une entité, structure ou organisation commerciale visant à gagner du revenu.

Nous sommes également d'avis que les faits relatifs à la décision British Columbia Power Corporation Limited doivent être distingués de la situation énoncée en b) et ce, sur pour des raisons similaires à celles indiquées ci-dessus. Ainsi, les frais encourus par les sociétés fusionnantes afin d'obtenir une opinion externe sur l'équité de la transaction seraient intimement liés au processus relatif à la fusion. Ces frais devraient probablement être considérés comme faisant partie intégrante du processus de fusion, et seraient donc teintés de nature capitale. Encore une fois, dans la décision British Columbia Power Corporation Limited, il nous semble que les frais encourus par la société visée pour informer ses actionnaires n'avaient pas un lien aussi étroit avec la transaction de nature capitale qui était de préserver un actif de nature capitale.

Bien entendu, le traitement fiscal des dépenses pourrait être différent de ce qui précède dans la mesure où il est déterminé que la fusion n'est qu'une étape effectuée dans le cadre de l'acquisition d'une société publique cible. À titre d'exemple, une société publique pourrait lancer une offre publique d'achat, avec contrepartie en actions, relativement aux actions du capital-actions d'une société cible, puis fusionner avec cette société cible. Dans une telle situation, les dépenses effectuées par la société acquéreure relativement à l'acquisition de la société cible (y incluant la fusion avec cette dernière) constitueraient généralement des dépenses de nature capitale visées à l'alinéa 18(1)b) L.I.R. Toutefois, les dépenses effectuées par la société cible en vue de remplir les obligations que lui impose la législation corporative et/ou sur les valeurs mobilières et afférentes à la production, à l'intention des actionnaires, de circulaires relatives à des offres publiques d'achat (ce qui inclut normalement les frais liés à l'obtention d'opinions sur l'équité du prix offert) constitueraient généralement des dépenses déductibles en vertu du paragraphe 9(1) L.I.R. (dans la mesure où elles sont raisonnables), et ne seraient généralement pas visées par les alinéas 18(1)a) et b) L.I.R. Un tel traitement au niveau de la société cible serait alors conforme aux décisions Boulangerie St-Augustin Inc., International Colin Energy Corporation et BJ Services Company Canada.

En terminant, nous sommes d'avis que les frais mentionnés en b) ci-dessus et qui seraient visés par l'alinéa 18(1)b) devraient généralement se qualifier à titre de dépenses en capital admissibles, dans la mesure où les conditions édictées à la définition de " dépense en capital admissible " prévue au paragraphe 14(5) L.I.R., à moins que sur la base des faits applicables, de tels frais doivent être ajoutés au coût des biens acquis (dans un scénario d'acquisition d'actions d'une société cible par exemple).

Professional Fees

It seems that, since the decision in British Columbia Power Corporation Limited v. MNR, 67 DTC 5258 (SCC) (cited with approval in Boulangerie St-Augustin Inc. c. The Queen, 95 DTC 164 (TCC), affirmed 97 DTC 5012 (FCA)), the fees incurred in connection with communications to shareholders are deductible in the computation of income as current expenses and are not disallowed under paragraph 18(1)(a) of the ITA or paragraph 18(1)(b) of the ITA, even if the communications are covering a subject of capital nature.

Questions

Can the CRA give its opinion concerning the deductibility of the fees paid to get professional advices (legal opinions, fairness opinions) that are requested by the directors to help them prepare some communication to shareholders in the following circumstances:

(a) In the context of a share redemption that a public corporation is proposing, the directors would generally have to give their opinion on the validity of the offer and would request external advices to support their position. Are the fees incurred to obtain such an external advice deductible as current expenses in the computation of the corporation's income?

(b) With respect to an amalgamation between two corporations that would necessitate a shareholders' vote, are the fees incurred by the amalgamating corporations to get a fairness opinion deductible as current expenses if the directors request this opinion in order to support the recommendation for a vote and issue a communication to the shareholders that includes such recommendation?

CRA Response

First of all, we have to emphasize that the question as to whether certain given expenses are of a current or capital nature requires the analysis of all the facts and circumstances of the particular situation. To that effect, the facts stated in this question are very limited. Notwithstanding this, we can provide the following general comments.

We are of the opinion that the fees incurred to obtain the external opinion in (a) above would generally constitute capital expenditures within the meaning of paragraph 18(1)(b) of the ITA. Our position is, among other things, based on the following.

We are of the opinion that such expenses should generally be considered as being incurred "once and for all" (at least with respect to the shares being redeemed) and have the effect of reshaping the corporation's capital structure. Such transactions have been considered to be of a capital nature by the courts. Considering that the deductibility of transaction costs will generally depend on the nature of the underlying transactions (as income or capital), the expenditures incurred by the corporation with respect to the redemption of the shares of its capital stock (a transaction of capital nature) should be considered as a capital expenditure. With respect to the above, we refer you to the decisions in Canada Forgings Limited v. The Queen, 83 DTC 5110 (FCTD) and The Queen v. Kaiser Petroleum Ltd., 90 DTC 6603 (FCA; leave to appeal to the Supreme Court of Canada denied).

The Boulangerie St-Augustin Inc. case is mentioned in the question. We are of the opinion that the facts surrounding this decision, as well as the ones relating to the decisions in International Colin Energy Corporation v. The Queen, 2002 DTC 2185 (CTC) and BJ Services Company Canada v. The Queen, 2004 DTC 2032 (CTC), should be distinguished from the situation mentioned in (a) above. In these three decisions, the taxpayer at issue was a corporation that was the object of one or more takeover bids. In general terms, the question the courts had to decide in those cases was to determine the tax treatment to be given to certain expenses incurred by target corporations in response to takeover bids. We are of the opinion that such a situation is different from the situation where a corporation redeems the shares of its capital stock. In the case of a share redemption, the expenses incurred by the corporation as well as the obligations that may arise from the applicable corporate and/or securities legislation would directly result from the actions of the corporation itself, the purpose of which is to acquire and cancel shares of its capital stock. In comparison, the expenses and obligations of a target corporation in the case of a takeover bid technically arise from an offer, made by another person, to acquire shares of its capital stock. This target corporation is then compelled to inform its shareholders about this offer. In such a process, the target corporation does not acquire any capital property.

The question is also referring to the British Columbia Power Corporation Limited case. In this decision, the Supreme Court of Canada has stated that expenses incurred by a corporation in order to resist to an expropriation attempt aimed at the shares it was holding in a subsidiary, were capital expenditures. The Court has also stated that expenses incurred by the corporation to inform its shareholders of its affairs and on the status of important files were deductible as current expenses in the computation of its income. We are of the opinion that the facts of that decision should be distinguished from the ones in the situation described in (a) above. Contrary to the situation in British Columbia Power Corporation Limited, the fees incurred by a corporation to obtain an external opinion as mentioned in (a) above would be closely related to the redemption of shares of its capital stock. These fees should probably be considered as being an integral part of the share redemption process and would be tainted as capital in nature. In the British Columbia Power Corporation Limited decision, it seems that the expenses the corporation incurred in informing its shareholders did not have such a direct link with the capital transaction which was to preserve a capital asset.

Concerning the amalgamation scenario in (b) above, we are of the opinion that the fees incurred by the amalgamating corporations to get a fairness opinion would normally constitute a capital expenditure within the meaning of paragraph 18(1)(b) of the ITA. Our position in this regard is based on the following.

Merger costs should generally be considered as having been incurred for the creation of a business entity, structure or organization, for the earning of profit, or for the modification or the development of such entity, structure or organization. Court cases have stated that such expenditures were capital in nature. We refer you to the decision in Canada Starch Co. Ltd. v. MNR, 68 DTC 5320 (Exchequer Court), recently cited with approval in Rona Inc. v. The Queen, 2003 DTC 979 (TCC). Similarly, merger costs are normally described as capital expenditures because such amounts are not expended as part of the money-earning process. These expenses rather have the effect of enlarging the structure within which the profits are earned, the effect of modifying such structure permanently or in an enduring way. Finally, merger costs can be considered as expenditures made once and for all, with a view to bringing into existence an advantage of enduring benefit for the business of the merging corporations and for the business of the corporation resulting from the merger.

We are also of the opinion that the decision in Boulangerie St-Augustin Inc., International Colin Energy Corporation and BJ Services Company Canada should be distinguished from the facts mentioned in situation (b), for reasons similar to those mentioned above. In the case of an amalgamation, expenses incurred by the amalgamating corporations, as well as their obligations that arise from the applicable corporate and/or securities legislation, would directly result from the actions of the amalgamating corporations themselves, the purpose of which is the amalgamation of the legal entities. In comparison, the expenses and obligations of a target corporation in the case of a takeover bid technically arise from an offer, from another person, to acquire shares of its capital stock. This target corporation is then compelled to inform its shareholders about this offer. In such a process, the target corporation does not acquire any capital property and does not initiate the creation or the modification of a business entity, structure or organization for the earning of profit.

We are also of the opinion that, for reasons similar to those mentioned above, the facts relating to the British Columbia Power Corporation Limited case should be distinguished from the situation mentioned in (b). The fees incurred by the amalgamating corporations to get a fairness opinion would be closely related to the merging process. These fees should probably be considered as being an integral part of the merging process and would be tainted as capital. Again, in the British Columbia Power Corporation Limited decision, it seems that the expenses the corporation incurred to inform its shareholders did not have such a direct link with the capital transaction, which was to preserve a capital asset.

Of course, the tax treatment of the expenses could be different from what has just been indicated, if it is established that the amalgamation is only one step in a series of transactions relating to the acquisition of a target corporation. An example of this would be a public corporation launching a takeover bid, with a share consideration, with respect to the shares of the capital stock of a target corporation, and then amalgamating with such target corporation. In such a situation, the expenses incurred by the acquiring corporation with respect to the acquisition of the target corporation (including the amalgamation with the said target corporation) would normally constitute capital expenditures within the meaning of paragraph 18(1)(b) of the ITA. However, expenses incurred by the target corporation to meet its obligations imposed under the corporate and/or securities legislation in producing circulars for shareholders concerning takeover bids (which would normally include fees relating to fairness opinions) would generally constitute deductible expenses pursuant to subsection 9(1) (in as much as they are reasonable) and would not generally be precluded by paragraphs 18(1)(a) and (b) of the ITA. This tax treatment at the target corporation's level would be consistent with the decision in Boulangerie St-Augustain Inc, International Colin Energy Corporation and BJ Services Company Canada.

Finally, we are of the opinion that the fees mentioned in (b) above, that would fall under paragraph 18(1)(b) of the ITA, would normally qualify as eligible capital expenditures, in as much as the conditions set out in the definition of "eligible capital expenditure" in subsection 14(5) of the ITA are met, unless, based on the applicable facts, those fees have to be added to the cost of the acquired properties (in the case of the acquisition of the shares of a target corporation, for example).
