Position: (1) and (2) Yes.
Reasons: (1) The CRA has decided not to seek leave to appeal of the decision of the FCA before the SCC on the ground that this decision does not raise any question of national impact. (2) It seems that, the concept of "control in fact", as per its meaning in subsection 256(5.1) of the ITA, appears not to have been considered in the determination of whether La Survivance was eligible to a BIL under subparagraph 39(1)(c)(iii) of the ITA

Dans La Survivance c. La Reine, 2006 CAF 129, la Cour d'appel fédérale (CAF) indique que la présomption énoncée du paragraphe 256(9) L.I.R. selon laquelle le contrôle d'une société est, dans certaines circonstances, réputée acquis au premier moment de la journée de la transaction est applicable à toute la L.I.R..
Est-ce que l'ARC accepte les conclusions de la CAF dans l'arrêt La Survivance concernant l'application de la présomption énoncée au paragraphe 256(9) L.I.R.?
Réponse de l'ARC
Dans cette affaire, la CAF devait déterminer si La Survivance, une société réputée être une société publique, avait droit à une "perte au titre d'un placement d'entreprise" (PTPE), en vertu de l'alinéa 39(1)c) L.I.R., à la suite à la disposition par elle des actions de sa filiale, Les Clairvoyants, en faveur de Société Nationale.
L'ARC accepte les conclusions de la CAF dans l'arrêt La Survivance en ce qui concerne l'application de la présomption prévue au paragraphe 256(9) L.I.R. L'ARC a décidé de ne pas demander d'autorisation d'interjeter appel de la décision de la CAF devant la Cour suprême du Canada dans l'affaire La Survivance, au motif que cette décision ne soulève pas de questions d'importance nationale.
Cependant, il semble que, dans cette affaire, la notion de "contrôle de fait", au sens prévu au paragraphe 256(5.1) L.I.R., n'ait pas été considérée pour déterminer si La Survivance avait droit à une PTPE, en vertu du sous-alinéa 39(1)c)(iii) L.I.R. En effet, pour déterminer si une perte en capital subie par un contribuable, résultant de la disposition d'actions d'une société, se qualifie comme PTPE, les actions disposées doivent être des actions d'une "société exploitant une petite entreprise" (SEPE), au sens prévu au paragraphe 248(1) L.I.R. La définition de SEPE prévoit, entre autres, que pour se qualifier comme SEPE, une société doit être une SPCC, au sens prévu au paragraphe 125(7) L.I.R. Enfin, pour être une SPCC, une société doit, entre autres, être une société privée et une société canadienne, mais elle ne doit pas être une "société contrôlée, directement ou indirectement, de quelque manière que ce soit", au sens prévu au paragraphe 256(5.1) L.I.R., par une ou plusieurs sociétés publiques.
En conséquence, nous sommes d'avis qu'on pourrait prétendre que La Survivance "contrôlait, directement ou indirectement, de quelque manière que ce soit" Les Clairvoyants jusqu'au moment où pendant les heures ouvrables, le 5 juillet 1994, elle s'est défaite des actions de celle-ci en faveur de Société Nationale; et ce, malgré la présomption prévue au paragraphe 256(9) L.I.R. Les Clairvoyants n'étant pas une SPCC, on se serait attendu à que La Survivance n'ait pas le droit de réclamer une PTPE à l'égard de la disposition des actions de celle-ci.
L'ARC se propose donc de cotiser les cas semblables à La Survivance afin de refuser toute PTPE réclamée.

In the case of La Survivance v. The Queen, 2006 FCA 129, the Federal Court of Appeal (FCA) stated that the presumption in subsection 256(9) of the ITA to the effect that the control of a corporation is, in certain circumstances, deemed to have been acquired at the commencement of that day of that transaction, applies to all of the Act.
Does the CRA accept the conclusion of the FCA in the case La Survivance regarding the application of the presumption in subsection 256(9) of the ITA?
CRA's Response
In this case, the FCA had to determine whether La Survivance, a corporation deemed to be a public corporation, was eligible to claim a "business investment loss" (BIL) under paragraph 39(1)(c) of the ITA following its disposal of the shares of its subsidiary, Les Clairvoyants, in favor of the Société Nationale.
The CRA accepts the FCA's conclusions in the case of La Survivance in regards to the application of the presumption in subsection 256(9) of the ITA. The CRA has decided not to seek leave to appeal of the decision of the FCA before the Supreme Court of Canada in the case of La Survivanve, on the ground that this decision does not raise any question of national impact.
However, it seems that, in this case, the concept of "control in fact", as per its meaning in subsection 256(5.1) of the ITA, appears not to have been considered in the determination of whether La Survivance was eligible to a BIL under subparagraph 39(1)(c)(iii) of the ITA. To this end, in order to determine if a capital loss incurred by a taxpayer, resulting from the disposition of shares of a corporation, qualifies as a BIL, the shares so disposed have to be shares of a "small business corporation" (SBC) as defined under subsection 248(1) of the ITA. The definition of SBC provides, inter alia, that to qualify as a SBC a corporation has to be a Canadian-controlled private corporation (CCPC) as defined under subsection 125(7) of the ITA. Finally, to be a CCPC, a corporation has, amongst other things, to be a private corporation and a Canadian corporation but cannot be a "corporation controlled, directly or indirectly in any manner whatever", pursuant to subsection 256(5.1) of the ITA, by one or more public corporations.
Accordingly, we are of the opinion that it could be argued that La Survivance "controlled directly or indirectly in any manner whatever" Les Clairvoyants until such time as, during business hours on July 5, 1994, it divested itself of the shares in Les Clairvoyants in favor of the Société Nationale, notwithstanding the presumption in subsection 256(9) of the ITA. The corporation Les Clairvoyants not being a CCPC, we would have expected that La Survivance would not have had the right to claim a BIL in regard to the disposition of the shares of Les Clairvoyants.
Therefore, the CRA plans to assess similar cases to La Survivance's in order to disallow any BIL claimed.
