Position Adoptée: Commentaires généraux.

Raisons: En général, ce moment sera celui où la personne devient propriétaire d'actions du capital-actions de la société qui lui confèrent au moins 25% des votes ou d'actions du capital-actions de la société dont la JVM correspond à au moins 25% de la JVM de l'ensemble des actions émises de la société. Également, la présomption de propriété contenue à la fin paragraphe 80.01(2) doit être prise en considération dans la détermination de ce moment.

DETTE REMISÉE ET PARTICIPATION NOTABLE - ARTICLE 80.01 L.I.R.

Le paragraphe 80.01(6) L.I.R. mentionne qu'une dette émise par un débiteur constituera une dette déterminée à un moment donné si entre autres la dette est acquise par une personne qui détient une participation notable du débiteur juste après l'acquisition de cette dette.

Selon le paragraphe 80.01(2) L.I.R., une personne a une "participation notable à un moment donné" lorsqu'elle est propriétaire à ce moment d'actions du capital-actions du débiteur qui lui confèrent au moins 25% des voix pouvant être exprimées à l'assemblée annuelle des actionnaires de la société, ou d'actions du capital-actions de la société dont la juste valeur marchande correspond à au moins 25% de la juste valeur marchande de l'ensemble des actions émises de la société.

Notre question est relative à la détermination du moment où une société a une participation notable. Quelle serait la position de l'ARC dans la situation où, le 1er janvier d'une année donnée, une société (ci-après "ACHETEURCO") achète d'une autre société (ci-après "VENDEURCO") à laquelle elle n'est pas liée une dette émise (ci-après "DETTE") par une troisième société (ci-après "OPCO") et des actions de OPCO. En vertu de l'offre d'achat, il est stipulé que ACHETEURCO achète de VENDEURCO la DETTE pour 100 000$ (ayant un principal de 1 000 000 $) et des actions votantes et participantes du capital-actions de OPCO selon la formule suivante:

? 10% des actions émises à la signature du contrat?

? 10% des actions émises 6 mois après la signature du contrat initial?

? 10% des actions émises 12 mois après la signature du contrat initial?

En d'autres mots, ACHETEURCO deviendra propriétaire de 30% des actions votantes et participantes 12 mois après la signature du contrat initial.

A) À quel moment l'ARC considère-t-elle que ACHETEURCO détiendra une participation notable de OPCO aux fins de l'application des règles de remisage de dettes dans les circonstances décrites ci-dessus s'il y a certitude que ACHETEURCO deviendra propriétaire de 30% des actions émises de OPCO d'ici une année? Les règles de remisage de dettes s'appliquent-elles et à quel moment dans une situation où la dette est acquise avant que le pourcentage de détention de 25% ne soit atteint?

B) Quelle serait la position de l'ARC si en vertu du contrat, VENDEURCO détenait une option irrévocable de vendre, à son choix, ses participations additionnelles 6 et 12 mois après la signature du contrat de telle façon qu'aucune certitude n'existe pour l'acheteur à l'effet que cette option sera exercée par le vendeur?

C) Quelle serait la position de l'ARC si ACHETEURCO détenait une option irrévocable d'acheter, 6 et 12 mois après la signature du contrat, ces participations additionnelles si certaines conditions sont rencontrées, telles celles reliées au profit, aux ventes etc.? Pour plus de précision, mentionnons qu'aucune certitude n'existe à l'effet que ces conditions soient rencontrées.

D) Quelle serait la position de l'ARC si ACHETEURCO achetait dans un premier temps 10% du capital-actions de OPCO ainsi que la dette émise par OPCO; si 6 mois plus tard, elle recevait une offre inattendue et non planifiée d'acheter un autre 10% du capital-actions de OPCO portant à 20% sa détention d'actions de OPCO; et si 12 mois après l'achat initial elle recevait une nouvelle offre inattendue et non planifiée d'acheter un autre 10% du capital-actions portant à 30% sa détention d'actions de OPCO.

Réponse de l'ARC

La question à savoir à partir de quel moment une personne a une participation notable dans une société donnée en est une qui ne peut être résolue qu'après une analyse complète de tous les faits et documents légaux pertinents. En général, ce moment sera celui où la personne devient propriétaire d'actions du capital-actions de la société qui lui confèrent au moins 25% des voix pouvant être exprimées à l'assemblée annuelle des actionnaires de la société ou d'actions du capital-actions de la société dont la juste valeur marchande correspond à au moins 25% de la juste valeur marchande de l'ensemble des actions émises de la société. En vertu du paragraphe 80.01(2) L.I.R., une personne est réputée être propriétaire, à un moment donné, de chaque action du capital-actions d'une société donnée qui appartient à ce moment à une personne avec laquelle elle a un lien de dépendance. Nous vous référons aux paragraphes 22 à 26 du bulletin d'interprétation IT-419R2, Définition de l'expression "sans lien de dépendance", en date du 8 juin 2004, qui exposent les lignes directrices générales suivies par l'ARC pour déterminer si des personnes non liées ont entre elles un lien de dépendance ou non à un moment donné.

En ce qui a trait à la situation soumise, il nous est impossible de déterminer si ACHETEURCO et VENDEURCO ont entre elles un lien de dépendance à un moment donné puisqu'une telle détermination nécessiterait l'analyse détaillée de tous les faits et circonstances entourant une situation donnée particulière et que votre question ne décrit que sommairement une situation hypothétique. Cependant, nous sommes d'avis que si VENDEURCO ne fait qu'accommoder ACHETEURCO, en permettant que la vente des actions du capital-actions de OPCO soit différée sur plusieurs mois, de manière à retarder ou à éviter la présomption de règlement de la DETTE prévue au paragraphe 80.01(8) L.I.R., cela pourrait être une indication que les parties ont entre elles un lien de dépendance.

Parked Debt and Significant Interest-Section 80.01 of the ITA

Subsection 80.01(6) of the ITA indicates that an obligation issued by a debtor is, at a particular time, a specified obligation if, among other things, the obligation is acquired by a person who has a significant interest in the debtor just after acquiring the obligation.

According to subsection 80.01(2) of the ITA, a person has "a significant interest ... at any time" if the person owned at that time shares of the capital stock of the corporation [debtor] that would give the person 25% or more of the votes that could be cast at an annual meeting of shareholders of the corporation or shares of the capital stock of the corporation having a fair market value of 25% or more of the fair market value of all issued shares of the corporation.

Our question is regarding the moment from which a corporation has significant interest. What would the CRA position be in a situation in which, on January 1 of a given year, a corporation (hereinafter ("BUYERCO") purchases from another corporation (hereinafter "SOLDERCO"), with which it is dealing at arm's length, a debt (hereinafter "DEBT") issued by a third corporation (hereinafter "OPCO") and shares of the capital stock of OPCO. Under the terms of the purchase offer, it is stated that BUYERCO will purchase the DEBT from SOLDERCO for $100 000 (with a principal of $1,000,000) and voting and participating shares of the capital stock of OPCO according to the following formula:

? 10% of issued shares on signing the contract?

? 10% of issued shares 6 months after signing the initial contract?

? 10% of issued shares 12 months after signing the initial contract?

In other words, BUYERCO will own 30% of the voting and participating shares of the capital stock of OPCO 12 months after signing the initial contract.

A) From which moment does the CRA consider that BUYERCO begin to have a significant interest in OPCO for the purpose of applying the debt parking rules in the circumstances set forth above if it is certain that BUYERCO will own 30% of issued shares of the capital stock of OPCO within a year? Do the debt parking rules apply in a situation where the debt is acquired before the 25% interest level is attained?

B) What would CRA's position be if, under the terms of the contract, SOLDERCO held an irrevocable option to sell, at its discretion, its additional shares 6 and 12 months after signing the contract, meaning there is no certainty for the buyer that the option will be exercised by the seller?

C) What would CRA's position be if BUYERCO held an irrevocable option to purchase the additional shares 6 to 12 months after signing the contract if certain conditions were met, such as profit, sales, etc., particularly if there were no certainty that the conditions would be met?

D) What would CRA's position be if BUYERCO first purchased 10% of the shares of the capital stock of OPCO and the debt issued by OPCO and if, six months later, it received an unexpected and unplanned offer to purchase another 10% of OPCO shares, bringing its interest in OPCO to 20%, and if, 12 months after the initial purchase it received another new unexpected and unplanned offer to purchase another 10% of shares, bringing its interest in OPCO to 30%?

CRA Response

The determination of the moment from which a person begin to have a significant interest in a given corporation is a question that can only be resolved through a full analysis of all relevant facts and legal documents. In general, this moment is when the person becomes the owner of shares of the capital stock of the corporation that give the person 25% or more of the votes that could be cast at an annual meeting of shareholders of the corporation or shares in the capital stock of the corporation having a fair market value of 25% or more of the fair market value of all the issued shares of the capital stock of the corporation. Under subsection 80.01(2) of the ITA, a person shall be deemed to own at any time each share of the capital stock of a corporation that is owned at that time by another person with whom the person does not deal at arm's length. See paragraphs 22 to 26 of Interpretation Bulletin IT-419R2, Meaning of Arm's Length, dated June 8, 2004, which explains the guidelines followed by the CRA in determining whether or not unrelated persons are dealing at arm's length at a given time.

Concerning the presented situation, it is impossible for us to determine whether BUYERCO and SOLDERCO are dealing at arm's length at a given time because such a determination would require a detailed analysis of all facts and circumstances surrounding a particular given situation and your question only briefly describes a hypothetical situation. However, we are of the opinion that if SOLDERCO is only accommodating BUYERCO by allowing the sale of the shares of the capital stock of OPCO to be spread over several months in order to delay or avoid the DEBT being deemed settled, as set forth in subsection 80.01(8) of the ITA, this could be an indication that the parties are not dealing at arm's length.
