Indemnisation d'une charge d'impôt

Une société (ci-après "Acquièreco") procède à l'acquisition des actions d'une autre société (ci-après "Cibleco") qui étaient détenues jusqu'alors par une troisième société (ci-après "Vendeurco").

Selon la convention de vente, Vendeurco accepte d'indemniser Acquièreco (ou Cibleco) advenant que Cibleco recevait un avis de nouvelle cotisation visant la période antérieure à l'acquisition. Deux méthodes de compensation peuvent être prévues. La première méthode consiste à compenser Cibleco en lui remboursant les montants en question ou en payant la cotisation en son nom. La seconde méthode est de prévoir un ajustement sur le prix de vente des actions maintenant détenues par Acquièreco en lui versant un remboursement.

Quatre ans après la vente, Vendeurco doit verser une indemnisation selon l'une ou l'autre des méthodes mentionnées ci-dessus.

1. Si l'indemnisation est versée selon la première méthode, est-ce que le montant reçu par Cibleco ou le paiement de la cotisation en son nom est visé par l'alinéa 12(1)x) L.I.R. et le paragraphe 12(2.2) L.I.R.?

2. Si l'indemnisation est versée selon la seconde méthode, est-ce que le montant reçu par Acquièreco est visé par l'alinéa 12(1)x) L.I.R. ou réduit le coût des actions en application de l'alinéa 53(2)s) L.I.R. au moyen du choix au paragraphe 53(2.1) L.I.R. même si le délai pour exercer ce choix a expiré?

Si l'alinéa 12(1)x) L.I.R. n'est pas applicable pour Acquièreco, est-ce que l'indemnisation réduira le coût ou le prix de base rajusté de ses actions dans Cibleco?

Réponse de l'ARC

La question à savoir si l'alinéa 12(1)x) L.I.R. s'applique dans le cadre d'une situation particulière est une question de fait qui ne peut être résolue qu'après un examen de tous les faits reliés à la situation. À notre avis, dans les situations hypothétiques mentionnées, il est pertinent d'examiner tous les documents pour faire une telle détermination, dont la convention de vente des actions.

L'alinéa 12(1)x) L.I.R. prévoit qu'un montant (à l'exclusion d'un montant prescrit) reçu par un contribuable au cours de l'année doit être inclus dans le calcul de son revenu qu'il tire d'une entreprise ou d'un bien, s'il est reçu d'une personne qui paie le montant, entre autres, en vue de tirer un revenu d'une entreprise ou d'un bien ou en vue d'obtenir un avantage pour elle-même ou pour des personnes avec qui elle a un lien de dépendance, s'il est raisonnable de considérer le montant comme reçu soit à titre de remboursement ou d'indemnité à l'égard d'une dépense engagée ou effectuée ou d'une somme incluse dans le coût d'un bien, à moins qu'une des exceptions prévues aux sous-alinéas 12(1)x)(v) à (viii) L.I.R. ne s'applique. Le sous-alinéa 12(1)x)(vii) L.I.R. prévoit, entre autres, que l'alinéa 12(1)x) L.I.R. ne s'applique pas au montant qui réduit en application du paragraphe 12(2.2) L.I.R le montant d'une dépense ou de l'alinéa 53(2)s) L.I.R le coût d'un bien.

Tel que nous l'avons mentionné dans le bulletin de Nouvelles techniques n° 29 du 14 juillet 2003, le mot "reçu" n'est pas défini dans la L.I.R. Son interprétation est déterminée selon le sens ordinaire de ce mot qui a été élargie par les tribunaux. En effet, la jurisprudence a indiqué qu'il n'est pas nécessaire qu'une somme soit effectivement versée. Par exemple, il peut y avoir une réception par un contribuable lorsqu'une personne paie une dépense pour le compte du contribuable.

Le paragraphe 12(2.2) L.I.R. prévoit qu'un contribuable qui reçoit au cours d'une année d'imposition un montant qui serait inclus en application de l'alinéa 12(1)x) L.I.R. dans le calcul de son revenu pour l'année au titre d'une dépense qu'il a engagée ou effectuée avant la fin de l'année d'imposition suivante, peut faire un choix pour réduire le montant de la dépense. Le choix doit, entre autres, être exercé au plus tard le jour où il est tenu de produire sa déclaration de revenu pour l'année d'imposition au cours de laquelle le montant est reçu. Le fait que le montant de la dépense soit déductible ou non en vertu des dispositions de L.I.R. n'a aucun impact sur l'application des dispositions du paragraphe 12(2.2) L.I.R. et de l'alinéa 12(1)x) L.I.R.

Dans la situation ci-dessus, nous sommes d'avis que les dispositions de l'alinéa 12(1)x) pourraient être applicables pour Cibleco pour inclure dans son revenu le montant qu'elle reçoit de Vendeurco ou que Vendeurco remet aux autorités fiscales en paiement de la cotisation de Cibleco si le paragraphe 12(2.2) n'est pas appliqué. Quant au montant reçu par Acquièreco, nous sommes d'avis que ces montants pourraient être considérés comme des ajustements au coût des actions dans Cibleco.

Compensation of a Tax Cost

A corporation (hereinafter "Buyco") acquires shares in another corporation (hereinafter "Cibleco") that were previously held by a third corporation (hereinafter "Sellco").

According to the sales agreement, Sellco agrees to compensate Buyco (or Cibleco) should Cibleco receive a notice of reassessment for the period prior to the acquisition. There are two possible methods of compensation. The first consists of compensating Cibleco by repaying the amounts in question or by paying the assessment on its behalf. The second consists of an adjustment to the sale price of the shares now held by Buyco through payment of a refund.

Four years after the sale, Sellco must pay compensation based on one of the methods indicated above.

1. If the compensation is paid by using the first method, would the amount received by Cibleco or the payment of the assessment on its behalf be subject to paragraph 12(1)(x) of the ITA and subsection 12(2.2) of the ITA?

2. If the compensation is paid by using the second method, would the amount received by Buyco be subject to paragraph 12(1)(x) of the ITA or reduce the cost of shares for application of paragraph 53(2)(s) of the ITA through the election under subsection 53(2.1) of the ITA, even though the period for the election had passed?

If paragraph 12(1)(x) of the ITA does not apply for Buyco, would the compensation reduce the cost or ACB of the Cibleco shares?

CRA Response

The issue of whether paragraph 12(1)(x) of the ITA would apply to a specific situation is a question of fact that can only be determined through careful examination of all the facts regarding the situation. In our opinion, in the hypothetical situations mentioned, it would be relevant to examine all documents in order to make such a determination, including the agreement for the sale of the shares.

Paragraph 12(1)(x) of the ITA provides that any amount (other than a prescribed amount) received by a taxpayer in the year must be included in income from a business or property, if it is received from a person who pays the amount, among other things, in the course of earning income from a business or property or in order to achieve a benefit or advantage for the payer or for persons with whom the payer does not deal at arm's length, where the amount can reasonably be considered to have been received as a refund or reimbursement of an outlay or expense or an amount included in the cost of property, unless one of the exceptions set forth in subparagraphs 12(1)(x)(v) to (viii) of the ITA applies. Subparagraph 12(1)(x)(vii) of the ITA provides, among other things, that paragraph 12(1)(x) of the ITA does not apply to an amount that, through application of subsection 12(2.2) of the ITA, reduces the amount of an outlay or expense or, under paragraph 53(2)(s) of the ITA, reduces the cost of a property.

As we indicated in Technical News No. 29 dated July 14, 2003, the word "received" is not defined in the ITA. Its interpretation is determined using the ordinary meaning of the word as established by the courts. In this regard, the jurisprudence indicates that it is not necessary that an amount be effectively paid. For example, it can be constructively received when an individual pays an expense on the taxpayer's behalf.

Subsection 12(2.2) of the ITA provides that a taxpayer who, in a taxation year, receives an amount that would be included under paragraph 12(1)(x) of the ITA in computing the taxpayer's income for the year in respect of an outlay or expense made or incurred by the taxpayer before the end of the following taxation year, may elect to reduce the amount of the expense. The election must, among other things, be made no later than the day on which the taxpayer must file a tax return for the taxation year in which the amount was received. Whether or not the amount of the expense is deductible under the provisions of the ITA has no impact on application of the provisions of subsection 12(2.2) of the ITA and paragraph 12(1)(x) of the ITA.

In the situation described above, we are of the opinion that the provisions of paragraph 12(1)(x) could apply for Cibleco to include in its income the amount that it received from Sellco or that Sellco remitted to tax authorities as payment of Cibleco's assessment if subsection 12(2.2) were not applied. In terms of the amount received by Buyco, we are of the opinion that these amounts could be deemed to be adjustments to the cost of the Cibleco shares.
