Question 5

Determining the value of a corporate-held life insurance policy

Suppose that a corporation holds a life insurance policy on the life of a shareholder. Such life insurance policy has a cash surrender value (CSV) of $1 million. The corporation receives a policy loan in an amount equal to the full CSV. The corporation invests that amount in marketable securities. The insured dies before the policy loan is repaid.

Pursuant to subsection 70(5.3), in determining the fair market value (FMV) of the deceased's shares for the purposes of subsection 70(5), the FMV of the life insurance policy held by the corporation is its CSV as defined in subsection 148(9). Pursuant to the definition of CSV in subsection 148(9), the CSV is to be determined without regard to any policy loans. On this basis, the FMV of the policy used to determine the FMV of the deceased individual's shares would be equal to the full FMV, in this case $1 million. However, the FMV of the corporation's other assets will include the $1 million of marketable securities acquired by the corporation with the proceeds of the policy loan.

Will the CCRA confirm that for the purposes of subsection 70(5), the tax treatment of the policy loan will be that of any other liability of the corporation and, consequently, the amount will be taken into account in determining the FMV of the deceased's shares?

CCRA Response

Subsection 70(5.3) specifies that the FMV of the life insurance policy that is to be used in determining the FMV of the deceased's shares is the FMV of that policy within the meaning of subsection 148(9). Consequently, in determining the FMV of the policy as an asset of the corporation, the unpaid amount of a policy loan immediately before the death of the individual on whose life the insurance was purchased is to be ignored. In determining whether the policy loan is otherwise relevant to the determination of the FMV of the deceased individual's shares for purposes of subsection 70(5), the principles that normally govern the valuation process would be applied.

Établissement de la valeur d'une police d'assurance-vie possédée par une société

Supposons qu'une société possède une police d'assurance sur la vie d'un actionnaire. Cette police d'assurance-vie a une valeur de rachat (VR) de 1 million de dollars. La société reçoit une avance sur la police d'un montant égal à la pleine VR. La société investit la somme dans des titres négociables. L'assuré décède avant que l'avance sur police n'ait été remboursée.

Conformément au paragraphe 70(5.3) L.I.R., lorsqu'il s'agit de déterminer la juste valeur marchande (JVM) des actions de la personne décédée aux fins du paragraphe 70(5) L.I.R., la JVM de la police d'assurance-vie possédée par la société correspond à sa VR telle que définie au paragraphe 148(9) L.I.R. Suivant la définition de la VR au paragraphe 148(9) L.I.R., la VR doit être déterminée sans tenir compte des avances sur police. Cela étant, la JVM de la police qui sert à établir la JVM des actions du particulier décédé serait égale à la pleine VR, soit, en l'occurrence, 1 million de dollars. Toutefois, la JVM des autres éléments d'actif de la société inclura le montant de 1 million de dollars en titres négociables acquis par la société grâce au produit de l'avance sur police.

L'ADRC va-t-elle confirmer que pour l'application du paragraphe 70(5) L.I.R., le traitement fiscal de l'avance sur police sera celui de tout autre élément de passif de la société et que, par conséquent, le montant sera pris en compte lors de l'établissement de la JVM des actions du défunt?

Réponse de l'ADRC

Le paragraphe 70(5.3) L.I.R. précise que la JVM de la police d'assurance-vie qui doit servir à établir la JVM des actions de la personne décédée doit être la VR de cette police au sens du paragraphe 148(9) L.I.R. Par conséquent, lorsqu'il s'agit d'établir la JVM de la police en tant qu'élément d'actif de la société, on ne doit pas prendre en compte le montant non remboursé d'une avance sur police immédiatement avant le décès du particulier sur la vie duquel une assurance a été souscrite. Afin de déterminer si l'avance sur police est par ailleurs à prendre en compte dans l'établissement de la JVM des actions du particulier décédé aux fins du paragraphe 70(5) L.I.R., on appliquerait les principes qui régissent habituellement le processus d'évaluation.
