Transfert d'actions en fiducie
Il y a un transfert entre vifs d'actions d'une SEPE de Monsieur en faveur de Fiducie, une fiducie exclusive au profit de Madame, auquel le paragraphe 73(1) L.I.R. s'applique. Monsieur est le constituant de la fiducie et est co-fiduciaire avec ses deux enfants.
Tout le revenu et le gain en capital générés dans la fiducie seront attribués à Monsieur en vertu des règles d'attribution, en vertu des articles 74.1 et 74.2 L.I.R.
Au décès de Madame, il y aura disposition présumée des biens détenus par la fiducie à leur juste valeur marchande conformément au sous-alinéa 104(4)a)(ii) L.I.R. et la fiducie réalisera un gain en capital. Ce gain en capital ne sera pas attribué à Monsieur (IT-511R paragraphe 18).
Même si la fiducie peut choisir d'attribuer le gain à un de ses bénéficiaires du capital en vertu du paragraphe 104(21.2) L.I.R., ce choix ne sera pas efficace puisqu'il donnerait lieu à une double imposition du montant car la fiducie ne pourra pas déduire le montant attribué au bénéficiaire en vertu du sous-alinéa 104(6)b)(iii) L.I.R.
Par conséquent, il sera avantageux pour la fiducie de déduire, dans le calcul de son revenu, un montant à titre d'exemption pour gains en capital en vertu du paragraphe 110.6(12) L.I.R.
Nous voulons confirmer que :
1) Les règles d'attribution ne s'appliquent plus dans la journée du décès du conjoint, et que l'exemption du gain en capital pourra être réclamée par la fiducie, sous réserve de l'exemption déjà réclamée par le conjoint décédé.
2) Que le paragraphe 75(2) ne s'appliquera pas afin d'attribuer le gain en capital à Monsieur et non à la fiducie l'empêchant ainsi de réaliser son exonération pour gains en capital ?
3) Si Monsieur avait transféré directement les actions à Madame et non à une fiducie exclusive au conjoint, en vertu du paragraphe 73(1), est-ce que Madame aurait pu réclamer l'exonération pour gains en capital à la suite de son décès? Y aurait-il eu application des règles d'attribution?
Réponse de l'ADRC
1) Tel que mentionné au paragraphe 18 du bulletin d'interprétation IT-511R, le paragraphe 74.2(1) L.I.R. ne s'applique pas pour attribuer à l'auteur du transfert les gains réalisés après le décès du conjoint-bénéficiaire. La disposition réputée des actions de la SEPE par Fiducie, telle que déterminée selon le paragraphe 104(4) L.I.R., se produit après le décès de Madame et le gain en capital imposable qui en résulte ne peut donc lui être attribué. C'est Fiducie qui doit donc déclarer le gain en capital imposable en question dans l'année du décès, et elle ne peut déduire aucune fraction de ce gain en vertu de l'alinéa 104(6)b) L.I.R. Cependant, elle peut réclamer une déduction pour gains en capital en vertu du paragraphe 110.6(12) L.I.R., sous réserve de la déduction déjà réclamée par Madame.
2) Il est probable que le paragraphe 75(2) L.I.R. ne s'appliquerait pas dans ce genre de situation, les conditions d'application de cette disposition ne se trouvant pas rencontrées, selon les renseignements donnés. Cependant, l'application du paragraphe 75(2) à une situation donnée relève de plusieurs conditions et la non-application de cette disposition ne peut être confirmée qu'à la suite d'une analyse de tous les faits se rapportant à une situation donnée.
3) Si Monsieur avait transféré directement les actions à Madame plutôt qu'à Fiducie, aucune déduction pour gains en capital ne serait disponible pour Madame puisque les gains en capital imposables de Madame, résultant de la disposition réputée de ces actions en vertu du paragraphe 70(5) L.I.R., seraient attribués à Monsieur par l'effet de l'application de l'alinéa 74.2(1)a).

Question 15
Transfer of shares in trust
An inter vivos transfer of shares in one of Mr. X's SBCs is made to Trustco, a spousal trust in favour of Mrs. X, to which subsection 73(1) of the ITA is applicable. Mr. X is the settlor of the trust and co-trustee with his two children.
All the income and capital gains generated in the trust will be attributed to Mr. X under the attribution rules in sections 74.1 and 74.2 of the ITA.
Upon the death of Mrs. X, the deemed disposition of property held by the trust will take place at its fair market value in accordance with subparagraph 104(4)(a)(ii) of the ITA and the trust will realize a capital gain. This capital gain will not be attributed to Mr. X (IT-511R, paragraph 18).
Even though the trust may elect to attribute the gain to one of its capital beneficiaries under subsection 104(21.2) of the ITA, this election would be ineffective because it would give rise to double taxation of the amount, as the trust would not be allowed to deduct the amount attributed to the beneficiary under subparagraph 104(6)(b)(iii) of the ITA.
Consequently, it would be beneficial for the trust to deduct, in the computation of its income, a capital gains exemption under subsection 110.6(12) of the ITA.
We would like to confirm that:
1) the attribution rules no longer apply on the day of the death of the spouse, and that the capital gains exemption could be claimed by the trust, subject to the exemption already claimed by the deceased spouse;
2) subsection 75(2) would not apply so that the capital gain can be attributed to Mr. X rather than the trust, thus preventing him from realizing his capital gains exemption;
3) had Mr. X transferred the shares to Mrs. X directly rather than to a spousal trust, under subsection 73(1), could Mrs. X have claimed the capital gains exemption following her death? Would the attribution rules have been applicable?
The CCRA's response
1) As stated in paragraph 18 of Interpretation Bulletin IT-511R, subsection 74.2(1) of the ITA does not apply to the attribution of any capital gains to the transferor following the death of the spouse transferee. The deemed disposition of shares in the SBC by Trustco, as determined under subsection 104(4) of the ITA, occurs after the death of Mrs. X and the resulting taxable capital gain cannot, therefore, be attributed to him. Trustco must, therefore, report the taxable capital gain at issue in the year of the death and it cannot deduct any portion of this gain under paragraph 104(6)(b) of the ITA. However, it can claim a deduction for capital gains under subsection 110.6(12) of the ITA, subject to the deduction already claimed by Mrs. X.
2) Subsection 75(2) of the ITA would not likely apply because in this type of situation, the conditions for the application of this provision have not been met, according to the information provided. However, the application of subsection 75(2) to a given situation depends on a number of conditions and the non-application of this provision cannot be confirmed without an analysis of all the facts relating to the given situation.
3) If Mr. X had transferred the shares directly to Mrs. X rather than to Trustco, no capital gains deductions would have been available to Mrs. X because Mrs. X's taxable capital gains, resulting from the deemed disposition of these shares under subsection 70(5) of the ITA, would have been attributed to Mr. X by virtue of paragraph 74.2(1)(a).
