IT-426 - Actions vendues dans le cadre d'un contrat comportant une clause relative à la capacité de gain
L'ADRC décrit dans son bulletin d'interprétation IT-426 les conditions à satisfaire afin qu'un contribuable puisse utiliser la méthode de recouvrement de fonds pour le calcul du gain en capital découlant de la vente d'actions dans le cadre d'un contrat comportant une clause relative à la capacité de gain. La condition prévue au paragraphe 1c) du bulletin d'interprétation IT-426, prévoit qu'il doit être raisonnable de présumer que la clause relative à la capacité de gain se rapporte à la clientèle intrinsèque dont la valeur peut fort bien faire l'objet d'un désaccord entre le vendeur et l'acheteur au moment de la vente.
Est-ce que les trois situations décrites ci-dessous constituent des clauses relatives à la capacité de gain visées par le paragraphe 1c) du bulletin d'interprétation IT-426?
1. Les comptes à recevoir sont considérés dans le prix d'achat des actions, mais le montant payé à la séance de clôture est réduit du montant des comptes à recevoir. La portion du prix de vente afférente aux comptes à recevoir sera remise au vendeur dans le futur, en fonction de l'encaissement des comptes à recevoir.
2. La société dont les actions sont vendues, détient un élément d'actif dont la valeur est difficile à déterminer. Les parties conviennent d'un mécanisme d'ajustement du prix de vente des actions de la société afin que la somme payée pour les actions lors de la vente ne tienne pas compte de la valeur de cet actif. Par contre, dès que la société aura vendu le bien, il est convenu que l'acheteur remettra au vendeur un montant additionnel pour les actions. Le montant additionnel sera déterminé en fonction du prix de vente de l'actif et des impôts y afférents.
3. Les parties conviennent d'un prix pour les actions. Cependant, afin de garantir les représentations du vendeur (titres valides sur les éléments d'actif, éléments de passif déclarés en totalité et absence de poursuites), une partie du prix d'achat des actions sera remise au vendeur, seulement trois ans après la transaction.
Réponse de l'ADRC
La position de l'ADRC est que la condition prévue au paragraphe 1c) du bulletin d'interprétation IT-426 s'applique aux clauses relatives à la capacité de gain qui se rapportent à l'achalandage d'une entreprise.
Il nous apparaît que toutes les situations décrites ci-dessus ne constituent pas des clauses relatives à la capacité de gain visées par le paragraphe 1c) du bulletin d'interprétation

IT-426 - Shares Sold Subject to an Earnout Agreement
In Interpretation Bulletin IT-426, the CCRA describes the conditions to be met by a taxpayer to use the cost recovery method to compute capital gains on shares sold subject to an earnout agreement. The condition set out at paragraph 1(c) of Interpretation Bulletin IT-426 provides that it must be reasonable to assume that the earnout feature relates to underlying goodwill, the value of which cannot reasonably be expected to be agreed upon by the vendor and purchaser at the date of the sale.
Do the following three situations constitute earnout agreements for which the condition described in paragraph 1(c) of Interpretation Bulletin IT-426 is satisfied?
1. Accounts receivable are considered in the purchase price of the shares, but the amount paid at the closing is reduced by the amount of the accounts receivable. The portion of the purchase price relating to accounts receivable will be paid to the vendor in the future, when the accounts receivable are collected.
2. A corporation whose shares are sold holds an asset for which the value is difficult to determine. The parties agree to a mechanism for adjusting the purchase price of the shares of the corporation so that the amount paid for the shares at the time of the sale does not take into consideration the value of this asset. However, it is agreed that as soon as the corporation will sell the asset, the purchaser will pay the vendor an additional amount for the shares. The additional amount will be based on the selling price of the asset and related taxes.
3. The parties agree on a price for the shares. However, in order to guarantee the vendor's representations (e.g., valid legal title to the assets, liabilities fully declared, no lawsuit), a portion of the share purchase price will be paid to the vendor three years after the transaction only.
CCRA's Reply
The CCRA's position is that the condition set out at paragraph 1(c) of Interpretation Bulletin IT-426 is applicable to earnout features relating to the goodwill of a business.
It seems to us that none of the situations described above constitute an earnout feature as described in paragraph 1(c) of Interpretation Bulletin IT-426.
