Principal Issues: In the context of a sale of shares accompanied by an agreement not to compete, what is the tax treatment, for the payor, for the payment made to the person for agreeing not to compete (non-competition payment) ?
Position: The non-competition payment is considered, generally, part of the cost of acquiring the shares.

Paiement pour non-concurrence
Les tribunaux se sont déjà prononcés sur le traitement fiscal du bénéficiaire d'un paiement pour non-concurrence dans le cadre d'une vente d'actions. Dans les affaires Fortino1 et Manrell2, il a été jugé que le vendeur des actions recevait le paiement pour non-concurrence en contrepartie de la disposition de son droit de concurrencer l'acquéreur des actions et que ce paiement était de nature capitale.
En ce qui concerne l'acquéreur des actions, l'ADRC peut-elle indiquer quel devrait être le traitement fiscal du paiement pour non-concurrence, en supposant que l'acquisition d'actions est une transaction de nature capitale ? L'ADRC peut-elle confirmer que le montant du paiement peut ou doit être ajouté au coût des actions acquises ? En cas contraire, l'ADRC est-elle d'avis que le droit de concurrencer constitue un actif intangible dont le coût d'achat doit être ajouté dans le calcul du MCIA?

Réponse de l'ADRC
La position de l'ADRC est que, dans le cas où le paiement pour non-concurrence se rapporte à l'achat d'actions, le paiement devrait faire partie du coût des actions. La décision de la Cour canadienne de l'impôt dans l'affaire Manrell ne change pas cette position.
Notre position concernant la question sera cependant réévaluée à la lumière de la décision que rendra la Cour d'appel fédérale dans cette affaire.

Non-competition payment
The courts have already ruled on the tax treatment of the beneficiary of a non-competition payment in the context of a sale of shares. In the Fortino1 and Manrell2 cases, it was held that the vendor of the shares received the non-competition payment as consideration for the disposition of his right to compete with the purchaser of the shares and that this was a capital payment.
Insofar as the purchaser of the shares is concerned, can the CCRA indicate what the tax treatment of the non-competition payment ought to be, on the assumption that the purchase of the shares is a transaction of a capital nature ? Can the CCRA confirm that the amount of the payment may or should be added to the cost of the shares that were purchased? If not, is it the CCRA's opinion that the right to compete constitutes an intangible asset the purchase cost of which should be added in the computation of the CEC?

CCRA reply
The CCRA position is that where the non-competition payment pertains to the sale of shares, the payment must be part of the cost of the shares. The decision of the Tax Court of Canada in Manrell does not alter this position.
Our position concerning the issue will however be re-evaluated in light of the decision to be rendered by the Federal Court of Appeal in this case.
