Double imposition causée par une nouvelle répartition du revenu imposable gagné dans une province par une société
Opérante est une société qui a des établissements stables au Québec et dans d'autres provinces. Suivant l'application de l'article 400 du Règlement de l'impôt sur le revenu, le revenu imposable d'Opérante est réparti dans chacune des provinces pour une année d'imposition donnée.
À la suite d'une vérification, le Ministère du revenu du Québec ("Revenu Québec") émet une nouvelle cotisation à Opérante pour augmenter le revenu imposable gagné au Québec pour l'année d'imposition donnée, ce qui devrait, normalement, entraîner une réduction compensatoire du revenu imposable gagné dans une ou plusieurs autres provinces. Les administrations fiscales de certaines autres provinces affectées sont d'accord avec la nouvelle répartition du revenu imposable gagné dans les provinces, effectuée par Revenu Québec.
L'avis de nouvelle cotisation de Revenu Québec, lequel ne fait pas l'objet d'une opposition, est émis quelques mois après la date de prescription applicable à Opérante pour son année d'imposition donnée au niveau fédéral. Ainsi, la déclaration de revenu fédérale est prescrite et conséquemment entraîne une double imposition étant donné que l'ADRC ne peut établir une nouvelle cotisation pour réduire l'impôt en fonction de la nouvelle répartition du revenu imposable gagné dans une province par la société.
Questions :
Dans un cas semblable, quelle est la position administrative de l'ADRC pour prévenir la double imposition ?
Quels sont les critères qui doivent être respectés pour produire une renonciation à la période normale de nouvelle cotisation pour éviter une double imposition et quelles sont les procédures pour faire une telle demande ?
Réponse de l'ADRC
L'ADRC administre les questions d'impôt relatives à la répartition du revenu imposable gagné dans une province par une société, pour toutes les provinces ainsi que les territoires sauf, le Québec, l'Ontario et l'Alberta.
Tant l'ADRC, comme mandataire des provinces et territoires ayant signé un accord de perception fiscale, que les autres provinces n'y ayant pas souscrit, peuvent proposer une nouvelle répartition du revenu imposable gagné dans une province par une société suite à une vérification fiscale.
Un comité appelé le Comité tripartite de la répartition des revenus (CTRR) a été mis sur pied pour s'occuper des questions liées à la modification de toute répartition du revenu imposable gagné dans une province par une société. Les membres actuels du CTRR sont des représentants du Ministère des finances de l'Ontario, du Ministère du revenu de l'Alberta et de l'ADRC (ci-après désignés "Partie" ou "Parties"). Pour le moment, le Québec participe aux réunions du CTRR à titre d'observateur.
Au mois de mai 1995, les Parties ont signé un protocole d'entente qui établit des procédures et des lignes directrices pour résoudre tout litige se rapportant à la double imposition découlant de la répartition du revenu gagné dans une province par une société. Ce protocole prévoit également un mécanisme d'identification des situations où des litiges potentiels pourraient survenir. Le CTRR siège deux fois par année. Bien que Revenu Québec ne soit pas obligé de suivre ces procédures et ces lignes directrices, nous estimons que ce ministère y adhère volontairement comme les autres parties au protocole. D'ailleurs, au cours des ans, la collaboration entre les participants aux réunions du CTRR, a toujours été excellente.
En bref, les lignes directrices prévoient que nulle Partie ne doit proposer de nouvelle cotisation fondée sur une nouvelle répartition du revenu imposable gagné dans une province par une société pour une année d'imposition donnée (la "Nouvelle cotisation") dans le cas où ladite année d'imposition est prescrite ou le sera à l'intérieur d'un délai de cent vingt (120) jours pour une autre Partie. Cette restriction ne s'applique cependant pas dans les cas de fraude ou de déclarations trompeuses alléguées de la part d'un contribuable.
Les lignes directrices prévoient également que dans le cas où une Partie se propose de procéder à une Nouvelle cotisation et demande à une société de produire une renonciation, elle doit le faire par écrit. Dans un tel cas, il est aussi recommandé d'informer la société qu'elle doit déposer une renonciation auprès de l'une ou l'autre des autres Parties concernées afin que les intérêts de la société soient protégés. Il est à noter toutefois, que le fardeau de produire une renonciation auprès des diverses administrations fiscales, selon les formulaires prescrits et dans les délais prescrits, repose sur le contribuable.
Le CTRR analyse chaque cas particulier de double imposition selon ses faits propres et cherche à trouver une solution équitable dans tous les cas.

Double taxation caused by a reallocation of taxable income earned in a province by a corporation
Opco is a corporation with some permanent establishments in Quebec and in other provinces. Under section 400 of the Income Tax Regulations, Opco's taxable income is allocated in each of the provinces for a particular taxation year.
Following an audit, the Ministère du revenu du Québec ("Revenu Québec") issues a reassessment to Opco to increase the taxable income earned in Quebec for the particular taxation year, which should normally result in a compensatory reduction of taxable income earned in one or more of the other provinces. The taxation authorities in some other affected provinces agree with the reallocation of taxable income earned in the provinces made by Revenu Québec.
The Revenu Québec notice of reassessment, which is not objected to, is issued a few months after the statute bar period applicable to Opco for its particular federal taxation year. Accordingly, the federal income tax return is statute barred and this results in double taxation given that the CCRA is unable to reassess to reduce the tax in accordance with the reallocation of the taxable income earned in a province by the corporation.
Questions:
In such a case, what is the administrative position of the CCRA in order to prevent double taxation?
What are the criteria that must be met in order to file a waiver for the normal reassessment period in order to avoid double taxation and what are the procedures for making such a request?
CCRA reply
The CCRA administers tax issues pertaining to the allocation of taxable income earned in a province by a corporation on behalf of all the provinces and territories other than Quebec, Ontario and Alberta.
Either the CCRA, as an agent of the provinces and territories that have signed a tax collection agreement, or the other provinces that have not signed on may propose a reallocation of taxable income earned in a province by a corporation following a tax audit.
A committee called the Tri-Party Review Allocation Committee (TRAC) has been established to deal with issues related to the modification of any allocation of taxable income earned in a province by a corporation. The present members of the TRAC include representatives of the Ontario Ministry of Finance, the Alberta Ministry of Revenue and the CCRA (hereinafter referred to as "Party" or "Parties"). For the time being, Quebec participates in TRAC meetings as an observer.
In May 1995, the Parties signed a memorandum of understanding establishing procedures and guidelines for resolving any dispute pertaining to the double taxation resulting from the allocation of income earned in a province by a corporation. This memorandum also provides a mechanism for identifying situations in which potential disputes might occur. The TRAC sits twice a year. Although Revenu Québec is not obliged to follow these procedures and guidelines, we think this department adheres to them voluntarily as do the other parties to the memorandum. Over the years, the collaboration among the participants in the TRAC meetings has always been excellent.
In short, the guidelines provide that no party shall propose any reassessment based on a reallocation of taxable income earned in a province by a corporation for a particular taxation year (the "reassessment") where the said taxation year is statute barred or will be within one hundred and twenty (120) days for another party. However, this limitation does not apply in cases of alleged fraud or misleading statements on the part of a taxpayer.
The guidelines also provide that in the case where a party proposes to proceed with a reassessment and asks a corporation to produce a waiver, it shall do so in writing. In such cases, it is also recommended that the corporation be informed that it must file a waiver with one or another of the other parties concerned in order to protect the interests of the corporation. It should be noted, however, that the onus of filing a waiver with the various tax authorities, using the prescribed forms and within the prescribed periods, rests with the taxpayer.
The TRAC analyzes each particular case of double taxation on its own facts and tries to find an equitable solution in all cases.
