Principal Issues: In a situation where there may be a certain number of taxation years between the time of the commencement of the wind-up and the formal dissolution of a wholly-owned subsidiary:

(1) Would CCRA reassess the parent corporation if it claimed a subsidiary's loss in its first taxation year commencing after the commencement of the winding-up, pursuant to s.s. 88(1.1), even though the subsidiary is not formally dissolved ?

(2) If the parent waited until the subsidiary is formally dissolved to claim a subsidiary's loss, would CCRA pay interest on a refund from the day the original return to which the loss is being applied was filed to the day of the reassessment ?

(3) Can the CCRA reassess the parent's first taxation year commencing after the commencement of the winding-up to allow the subsidiary's loss if the normal reassesssment period for that taxation year expired before the subsidiary is officially dissolved ?

(4) Can the parent corporation protect its right to claim the subsidiary's loss in its first taxation year commencing after the commencement of the winding-up by filing a waiver of the normal reassesssment period for that year under s.p. 152(4)(a)(ii) ?

Position: (1) It could. (2) No. (3) No.

(4) Technically no. Final decision made on a case by case basis.

Reasons:

(1) The law.

(2) Per s.s. 164(3) interest is paid up to the day the amount is refunded, repaid or applied to another liability. Interest is computed from the latest of the days provided under

p. 164(3)(b), (c) and (d). Paragraph 164(3)(d) refers to the day the overpayment arose. In the case of a carry-forward, the day the overpayment arose for the purposes of s.s. 164(3) would be considered to be the later of (i) the day the parent corporation filed its adjustment request made after the formal dissolution of the subsidiary and (ii) the day the parent corporation filed its adjustment request after the subsidiary filed its income return for the taxation year in which the loss was incurred.

(3) The law.

(4) The parent corporation cannot receive a refund for a taxation year even if a waiver is filed in time because, in this situation, the parent corporation cannot make the refund request, as required by p. 164(1)(b), within the period within which the Minister would be allowed under s.s. 152(4) to assess tax payable if s.s. 152(4) were read without reference to p. 152(4)(a). However, CCRA will consider a refund request on a case by case basis when a waiver is filed within the normal reassessment period.

Question 27

Liquidation d'une société canadienne

Au paragraphe 5 du Bulletin d'interprétation IT-126R2, il est indiqué que lorsque la dissolution officielle d'une société n'est pas complète, mais que tout indique que la société sera bientôt dissoute, la société est réputée avoir été liquidée aux fins des paragraphes 88(1) et (2) L.I.R.

Toutefois, dans une récente interprétation technique (Document no 2001-0067105 daté du 19 mars 2001), il est indiqué que pour les fins du paragraphe 88(1.1) L.I.R., l'ADRC ne considère pas qu'une société ait été liquidée tant qu'elle n'a pas été formellement dissoute. Selon le paragraphe 88(1.1) L.I.R., lorsqu'une société canadienne est liquidée ("filiale"), ses pertes autres que des pertes en capital pourront être déduites par la société mère dans le calcul de son revenu imposable pour toute année d'imposition commençant après le début de la liquidation. L'interprétation technique mentionne que la société mère peut réclamer les pertes de la filiale en produisant une déclaration de revenu modifiée pour toute année d'imposition commençant après le début de la liquidation qui fut produite avant que la filiale soit formellement dissoute.

Dans certains cas, la liquidation d'une société ne sera pas finalisée pour plusieurs années (par exemple, si la société est impliquée dans un litige). Dans de tels cas, si la société mère réclame une perte autre qu'une perte en capital ("perte") de sa filiale dans le calcul de son revenu imposable pour sa première année d'imposition commençant après le début de la liquidation, l'ADRC établira-t-elle une nouvelle cotisation afin de refuser la perte ? Si la société mère attend et produit une déclaration modifiée afin de réclamer cette perte, est-ce que les intérêts afférents à la somme du paiement en trop d'impôt sera calculé à partir de la date de production de la déclaration initiale jusqu'au moment de la cotisation de la déclaration amendée ? L'ADRC pourra-t-elle établir une nouvelle cotisation pour la première année d'imposition de la société mère commençant après le début de la liquidation si la période normale de nouvelle cotisation applicable au contribuable pour cette année d'imposition est expirée avant que la filiale soit formellement dissoute? Est-ce que l'ADRC s'attend à ce que la société mère produise une renonciation afin de protéger son droit de produire une déclaration amendée dans un tel cas ?

Réponse de l'ADRC

En ce qui concerne la procédure à suivre afin qu'une perte de la filiale qui a été dissoute puisse être utilisée par la société mère après que celle-ci ait produit sa déclaration pour une année donnée, notre position est que le redressement de la déclaration initiale de la société mère peut se faire par l'envoi d'une demande écrite plutôt que par la production d'une déclaration modifiée.

À l'égard de votre première question, si une société mère réclamait une perte de sa filiale dans le calcul de son revenu imposable pour sa première année d'imposition commençant après le début de la liquidation alors que la filiale n'est pas encore formellement dissoute, l'ADRC pourrait établir une nouvelle cotisation afin de refuser la perte.

En ce qui concerne votre deuxième question, si une société mère attend comme il se doit que sa filiale soit dissoute avant de demander une nouvelle cotisation d'une année donnée afin de réclamer une perte de sa filiale et la société mère a alors droit à un remboursement d'un "paiement en trop", au sens de cette expression au paragraphe 164(7) L.I.R., l'ADRC calculerait les intérêts sur le montant du remboursement de tout "paiement en trop", en vertu du paragraphe 164(3) L.I.R., au taux prescrit prévu à l'article 4301 du Règlement de l'impôt sur le revenu. En général, le calcul des intérêts commence à la dernière des dates suivantes: (1) la date à laquelle il y a eu "paiement en trop"; (2) le 120e jour suivant la fin de l'année d'imposition de la déclaration à être modifiée, si celle-ci a été produite à temps; (3) la date à laquelle la déclaration à être modifiée a effectivement été produite, si elle a été produite en retard. Les intérêts sont calculés sur ce montant jusqu'au jour où le "paiement en trop" est remboursé ou affecté à d'autres obligations.

Dans une situation comme celle soumise, lorsque le "paiement en trop" d'une société mère résulte d'un report prospectif, prévu à l'article 111 L.I.R., d'une perte de la filiale dans la déclaration pour une année d'imposition de la société mère qui commence après le début de la liquidation, nous considérons que la date à laquelle il y a eu "paiement en trop", prévue au paragraphe 164(3) L.I.R., par la société mère est la dernière des dates suivantes: (1) la date de production de la demande d'ajustement de la société mère faite après le jour de la dissolution formelle de la filiale; et (2) la date de production de la demande d'ajustement de la société mère faite après la production de la déclaration de revenu (T2) de la filiale pour l'année d'imposition dans laquelle la perte a été subie. Donc, en général dans une situation semblable, les intérêts sur remboursement ne seraient pas calculés à partir de la production de la déclaration initiale de la société mère mais bien à partir du moment où la société mère produit une demande de redressement après la dissolution de la filiale.

En ce qui a trait à votre troisième question, le paragraphe 152(4) L.I.R. précise les circonstances dans lesquelles l'ADRC peut établir, entre autres, une nouvelle cotisation après l'expiration de la "période normale de nouvelle cotisation", au sens du paragraphe 152(3.1) de la L.I.R., applicable à un contribuable. La réclamation par une société mère d'une perte d'une filiale dissoute n'est pas une des circonstances prévues au paragraphe 152(4) L.I.R. L'ADRC ne pourrait donc pas établir une nouvelle cotisation pour la première année d'imposition de la société mère commençant après le début de la liquidation si la "période normale de nouvelle cotisation" applicable au contribuable pour cette année d'imposition est expirée.

En ce qui concerne votre quatrième question, la société mère pourrait protéger son droit de modifier une déclaration de revenu pour une année d'imposition commençant après le début de la liquidation en produisant une renonciation au cours de la "période normale de nouvelle cotisation", prévue au sous-alinéa 152(4)a)(ii) L.I.R. Cependant, l'alinéa 164(1)b) L.I.R prévoit qu'une demande de remboursement doit être faite par écrit au cours de la période pendant laquelle l'ADRC pourrait établir, aux termes du paragraphe 152(4) L.I.R., une cotisation concernant l'impôt payable en vertu de la Partie I de la L.I.R. pour l'année, s'il n'était pas tenu compte de l'alinéa 152(4)a) L.I.R., c'est-à-dire, sans tenir compte de la production d'une renonciation au cours de la "période normale de nouvelle cotisation" applicable au contribuable. Il s'ensuit donc que techniquement, même si une société produisait une renonciation au cours de la "période normale de nouvelle cotisation", elle ne pourrait pas obtenir un remboursement d'un "paiement en trop" au-delà de la "période normale de nouvelle cotisation" qui lui est applicable pour une année d'imposition donnée. Cependant, si une renonciation a été produite par une société tel que mentionné précédemment et que le délai pour procéder à un remboursement est expiré, l'ADRC est disposé à prendre les circonstances particulières d'un cas donné en considération avant de prendre une décision finale.

Question 27

Winding up a Canadian corporation

Paragraph 5 of Interpretation Bulletin IT-126R2 states that where the formal dissolution of a corporation is not complete but there is substantial evidence that the corporation will be dissolved within a short period of time, for the purpose of subsections 88(1) and (2) of the ITA, the corporation is considered to have been wound up.

However, a recent technical interpretation (Document number 2001-0067105 of March 19, 2001) states that for purposes of subsection 88(1.1) of the ITA, the CCRA will not consider a corporation to be wound up until it has been formally dissolved. Subsection 88(1.1) of the ITA states that when a Canadian corporation ("subsidiary") has been wound up, its non-capital losses can be deducted by the parent corporation in computing its taxable income for any taxation year commencing after the commencement of the winding-up. The technical interpretation mentions that the parent corporation can claim the subsidiary's losses by filing an amended income tax return for any taxation year beginning after the commencement of the winding-up whose return was filed before the subsidiary was formally dissolved.

In certain cases, the winding-up of a corporation will not be completed for several years (for example, if the corporation is involved in litigation). In such cases, if the parent corporation claims a non-capital loss (loss) of its subsidiary in computing its taxable income for its first taxation year commencing after the start of the winding-up, will the CCRA make a reassessment to disallow the loss?

If the parent corporation waits and files an amended return to claim this loss, will the interest pertaining to the overpayment of tax be calculated from the date the initial return was filed to the time the amended return is assessed?

Could the CCRA make a reassessment for the parent corporation's first taxation year commencing after the commencement of the winding-up if the normal reassessment period applicable to the taxpayer for that taxation year expires before the subsidiary is formally dissolved?

Does the CCRA expect the parent corporation to file a waiver to protect its right to file an amended return in such a case?

The CCRA's answer

Regarding the procedure to follow for the parent corporation to claim a loss of its wound-up subsidiary after having filed its income tax return for a given year, our position is that the parent corporation's initial income tax return can be amended by filing a written request instead of an amended return.

Regarding your first question, if a parent corporation claims a loss of its subsidiary in computing its taxable income for its first taxation year commencing after the start of the winding-up although the subsidiary is not yet formally dissolved, the CCRA may make a reassessment to disallow the loss.

Regarding your second question, if a parent corporation waits as it should until its subsidiary is dissolved before requesting a reassessment for a given year in order to claim a loss of its subsidiary and the parent corporation is therefore eligible for an "overpayment" refund, within the meaning of this expression in subsection 164(7) of the ITA, the CCRA would calculate interest on the amount of the refund of any "overpayment," pursuant to subsection 164(3) of the ITA, at the rate prescribed in section 4301 of the Income Tax Regulations. In general, interest could accrue from the latest of the following dates: (1) the day the "overpayment" arose; (2) the day that is 120 days after the end of the taxation year of the return to be amended, if it was filed on time; and (3) the day the return to be amended was actually filed, if it was filed late. Interest is calculated on this amount until the "overpayment" is refunded or allocated to other obligations.

In a situation like the one submitted, when a parent corporation's "overpayment" is the result of a carry forward, set out in section 111 of the ITA, of a loss of the subsidiary on the income tax return for a taxation year of the parent corporation that commences after the commencement of the winding-up, we consider that the date of the "overpayment," prescribed in subsection 164(3) of the ITA, by the parent corporation is the latest of the following dates: (1) the day the parent corporation filed its adjustment request after the day the subsidiary was formally dissolved and (2) the day the parent corporation filed its adjustment request after the (T2) income tax return of its subsidiary was filed for the taxation year in which the loss was incurred. Therefore, in general, in a similar situation, interest on the refund would not be calculated from the day the parent corporation filed its initial income tax return but from the day the parent corporation filed an adjustment request after the subsidiary was dissolved.

Regarding your third question, subsection 152(4) of the ITA sets out the circumstances under which the CCRA may, among other things, reassess a taxpayer after the "normal reassessment period," within the meaning of subsection 152(3.1) of the ITA, has ended. A parent corporation's claim for the loss of a wound-up subsidiary is not one of the circumstances listed in subsection 152(4) of the ITA. The CCRA could therefore not make a reassessment for the parent corporation's first taxation year commencing after the commencement of the winding-up if the "normal reassessment period" applicable to the taxpayer for that taxation year has ended.

Regarding your fourth question, the parent corporation could protect its right to amend an income tax return for a taxation year commencing after the commencement of the winding-up by filing a waiver during the "normal reassessment period," prescribed in subparagraph 152(4)(a)(ii) of the ITA. However, paragraph 164(1)(b) of the ITA states that an application for a refund must be made in writing within the period within which the CCRA would be allowed, under subsection 152(4) of the ITA, to assess tax payable under Part I of the ITA for the year, if that subsection were read without reference to paragraph 152(4)(a) of the ITA, that is, without taking into account the filing of a waiver during the "normal reassessment period" applicable to the taxpayer. It therefore follows that, technically, even if a corporation files a waiver during the "normal reassessment period," it cannot obtain an "overpayment" refund beyond the "normal reassessment period" that is applicable to the corporation for a given taxation year. However, if a corporation files a waiver as previously mentioned and the refund deadline has expired, the CCRA is prepared to consider the specific circumstances of a particular case before making a final decision.
