Re: Limited Liability Company ("LLC")
We are writing in response to your letter dated May 23, 2001, wherein you requested an updated list of the states for which we have provided an opinion that a LLC formed under the laws of that state was a corporation for Canadian tax purposes.
The Canada Customs and Revenue Agency (the "CCRA") has provided opinions that LLCs formed under the statutes of the following states are considered corporations for purposes of the Income Tax Act (Canada):

Delaware Chapter 18, subtitle II of Tier 6 of the laws of Delaware (except partnerships formed under the Delaware Revised Uniform Partnership Act, which the CCRA considers to be partnerships for Canadian tax purposes)
Florida Florida Limited Liability Company Act
Indiana Indiana Business Flexibility Act
Kentucky Chapter 275 Limited Liability Companies (known and cited as the "Kentucky Limited Liability Company Act")
Michigan Michigan Limited Liability Company Act
