Principal Issues: Whether ss 15(1), 56(2) or 246(1) could apply in a situation where the child of the sole shareholder of HOLDCO (Mr. X) uses at no cost the condominium owned by HOLDCO's wholly-owned subsidiary OPCO?
Position: Ss 246(1) could apply.
Reasons: HOLDCO confers a benefit indirectly on Mr. X which would be included in Mr. X's income pursuant to ss 15(1) if the amount of the benefit were a payment made directly by HOLDCO to Mr. X.

M. X possède la totalité des actions d'une société de portefeuille («HOLDCO»). HOLDCO possède la totalité des actions d'une autre société («OPCO») qui exploite une entreprise au Canada et possède un condominium aux États-Unis. Le fils de M. X est étudiant à une université aux États-Unis et utilise le condominium 10 mois par année. Le fils de M. X ne paie aucun loyer pour l'utilisation du condominium et OPCO pourrait demander au fils de M. X de quitter le condominium n'importe quand.
Est-ce que les paragraphes 15(1), 56(2) ou 246(1) de la Loi sont applicables à cette situation ?
Réponse de l'Agence des douanes et du revenu du Canada
Nous supposons ici que le condominium est mis à la disposition de M. X et de sa famille selon les instructions ou avec l'accord de M. X. Nous invoquerions donc le paragraphe 246(1) de la Loi car HOLDCO confère indirectement un avantage à M. X, lequel avantage serait imposable entre ses mains en vertu du paragraphe 15(1) de la Loi, s'il s'agissait d'un paiement que HOLDCO avait fait directement à M. X.

Taxable benefit in respect of a property owned by a subsidiary of a Canadian corporation
Mr. X owns all the shares in a holding company ("HOLDCO"). HOLDCO owns all the shares in another company ("OPCO"), which carries on a business in Canada and owns a condominium in the United States. Mr. X's son is a student at a university in the United States, and he uses the condominium 10 months a year. Mr. X's son does not pay any rent for the use of the condominium, and OPCO could ask Mr. X's son to leave the condominium at any time.
Do subsections 15(1), 56(2) or 246(1) of the Act apply to this situation?
Answer of the Canada Customs and Revenue Agency
We assume here that the condominium is placed at the disposal of Mr. X and his family at the direction of, or with the concurrence of, Mr. X. We would therefore invoke subsection 246(1) of the Act because HOLDCO is indirectly conferring a benefit on Mr. X that would be taxable in his hands pursuant to subsection 15(1) of the Act if it were a payment that HOLDCO made directly to Mr. X.
